PT T oba Bara S ejahtra T bk, domiciled in S outh J akarta (the “C ompany”),
herewith informs the S hareholders that the C ompany will hold an Annual
General Meeting of S hareholders (the “Meeting”) in J akarta on T uesday, 21st
May 2014.
S hareholders who are entitled to attend or be represented in the Meeting are
the shareholders whose names are registered, script or scriptless, in the
C ompany’s R egister of S hareholders and shareholders of the C ompany shares
at the sub-securities account of the PT Kustodian S entral E fek Indonesia
(Indonesia’s C entral S ecurities Depository) on the closing date of trading in the
Indonesia’s S tock E xchange at 4 pm on May 5th 2014 (recording date).
Pursuant to the Indonesian F inancial S ervice Authority R egulation Number
32/POJ K.04/2014 concerning the Planning & Implementation of General
Meeting of S hareholders for the Public/Listed C ompany and Article 11.8 Article
of Association of the C ompany, any proposal raised by S hareholders will be
accomodated in the Meeting’s agenda, if:
a. S uch proposal is raised by 1 (one) or more shareholders, who jointly
represent 1/20 (one per twentieth) or more from the total number of all
shares with legitimate voting rights issued by the C ompany;
b. It is sent in written to and received by the Board of Directors of the
C ompany at least 7 (seven) days prior to the Invitation of the Meeting;
c. T he proposal must:
- F orm part of the agenda that requires decision from the Meeting;
- be made in good faith;
- consider the interest of the C ompany
- include the reason and materials of the proposed agenda of the
Meeting;
- not be contrary to the laws and the prevailing regulations.
T he Invitation of the Meeting will be published on May 6th, 2014 through
advertisement in 1 (one) daily newspaper with national circulation and on the
website of the C ompany and also the website of Indonesian S tock E xchange.
T his announcement of the Meeting is also available and can be accessed on
the C ompany’s website (www.tobabara.com) and on the Indonesian S tock
E xchange’s website (www.idx.co.id).
