United Nations Educational, Science and Cultural Organization (UNESCO) hereby

solicit your quotation for the following product and services:

Provide the equipment and services to furnish the computer laboratory in Dinas

Pendidikan Kota Banjarmasin, laptops and LCD projectors for 20 schools in

Banjarmasin, South Kalimantan, Indonesia, within the project of Green School

Action Project for Climate Change Education (as described in Annex - BOQ). The

products offered should be from well-known international brand with minimum 1

year warranty and easy access for after sales support.

  

Quotations must be submitted in English and shall comprise of the following

  Evaluation of Quotation and Award Criteria:

  • • The Evaluation Committee will examine the quotation to determine award

    criteria whether they are complete and whether the offer complies with the request.
  • Arithmetical errors will be rectified on the following basis: o If there is a discrepancy between the unit price and the total price that is obtained by multiplying the unit price and quantity, the unit price shall prevail and the total price shall be corrected.

  o If the Bidder does not accept the correction of errors, its quotation will be rejected. o If there is a discrepancy between words and figures, the amount in words will prevail.

  • Any offers which do not meet the requirements will be rejected.
  • • The contract will be awarded to the bidder that offers the lowest price with

    the best technical qualified quotation.

UNESCO reserves the right to amend the documents at any time during the

solicitation process. Any amendments or clarifications will be communicated

USE OF NAME EMBLEM OR OFFI CI AL SEAL OF THE UNI TED NATI ONS OR UNESCO: Unless aut hor ized in w r it ing, t he Cont ract or shall not adv er t ise or ot herwise m ak e public t he fact t hat it is perform ing, or has per for m ed, services for t he Unit ed Nat ions or UNESCO or use t he nam e ( or any abbr eviat ion t her eof) , em blem or official seal of t he Unit ed Nat ions or UNESCO for adver t ising or for any ot her purpose.

  20. OFFI CI ALS NOT TO BENEFI T: The Cont ract or w ar rant s t hat no official of t he Unit ed Nat ions, UNESCO or any Governm ent has received or w ill be offer ed by t he Cont r act or any direct or indirect benefit of any kind, or any gift , pay m ent or ot her considerat ion in connect ion w it h or arising from t his Cont ract or t he aw ard t hereof.

  19. SOURCE OF I NSTRUCTI ON: The Cont r act or shall neit her seek nor accept inst r uct ions from any aut hor it y ex t ernal t o UNESCO in connect ion wit h t he perform ance pur suant t o t his Cont ract . The Cont ract or shall r efr ain from any act ion w hich m ay adversely affect UNESCO.

  18. FORCE MAJEURE: Not w it hst anding t he pr ov isions of Clauses 16 and 17, t he Cont r act or shall not be liable for default or liquidat ed dam ages, if an t o t he ex t ent t hat it s failure t o perfor m it s obligat ions under t his Cont r act is t he result of an event of For ce Maj eure. For purposes of t his Cont r act , For ce Maj eur e is defined as an event beyond t he cont r ol of t he Cont ract or; not involving the Cont r act or ’s fault or negligence and not for eseeable and includes act s of God, nat ural disast er s, w ar ( whet her or not declared) and ot her event s of a sim ilar nat ure or force.

  17. LI QUI DATED DAMAGES FOR DELAY: Subj ect t o Clause 18, I f t he Cont ract or fails t o deliv er all or part of t he goods or perfor m any of t he services wit h t he t im e per iod specified in t he Cont ract , UNESCO m ay , w it hout prej udice t o any ot her right s and rem edies, deduct from t he t ot al pr ice st ipulat ed in t his Cont r act an am ount of 0.5% of t he price of such goods or unper form ed services for each w eek of delay ( or part t her eof) , up t o a per iod of 8 week s.

REMEDI ES FOR DEFAULT: I n case of failur e by t he Cont ract or t o per for m according t o t his Cont r act , including but not lim it ed t o failure t o obt ain necessary export licenses or t o m ak e deliv ery of all of t he goods by t he agr eed delivery dat e, UNESCO m ay, aft er giv ing t he Cont ract or reasonable not ice t o perform and wit hout pr ej udice t o any ot her r ight s or r em edies, exercise one or m ore of t he following right s: ( 1) procure all or par t of t he goods fr om ot her sources, in w hich event UNESCO m ay hold Cont ract or r esponsible for any excess cost s occasioned t hereby ; ( 2) r efuse t o accept delivery of all or par t of t he goods; ( 3) t erm inat e t his Cont r act ; ( 4) require Cont r act or t o ship v ia prem ium m eans, at Cont r act or’s expenses, t o m eet t he delivery schedule; ( 5) im pose liquidat ed dam ages.

  14. CHANGES: UNESCO m ay at any t im e by w r it t en inst r uct ion m ak e changes w it hin t he general scope of t his Cont r act . I f any such change causes an incr ease or decrease in t he price of or t he t im e required for perfor m ance pursuant t o t his Cont r act , an equit able adj ust m ent shall be m ade in t he Cont ract price, or delivery schedule, or bot h and t he Cont r act shall be eit her am ended or t erm inat ed and it s sole discret ion, r eceive and act upon any such claim asser t ed at any t im e pr ior t o final paym ent under t his Cont ract . Failure t o agree t o any adj ust m ent s shall be a cont r ov er sy w it hin t he m eaning of Clauses 22. However, not hing in t his Clause shall ex cuse t he Cont ract or from pr oceeding w it h t he Cont ract as changed. ACCEPTANCE OF THE CONTRACT: This Cont r act m ay only be accept ed by t he Cont r act or 's signing and ret urning an ack now ledgem ent copy of it or by t im ely delivery of t he goods in accordance w it h t he t erm s of t his Cont r act , as her ein specified. Accept ance of t his Cont r act shall effect a Cont ract bet w een t he Part ies under w hich t he right s and obligat ions of t he Par t ies shall be gover ned solely by t he t er m s and condit ions of t his Cont r act , including t hese Gener al Condit ions. No addit ional or inconsist ent pr ov isions proposed by t he Cont ract or shall bind UNESCO unless agreed t o in w r it ing by it s duly aut horized official.

FI RE AND EXTENDED COVERAGE I NSURANCE: At all t im es pr ior t o deliv er y, t he Cont r act or shall effect and m aint ain cont inuous fire, hazard and ext ended cover age insurance upon any goods subj ect t o t his Cont r act in an am ount equal t o t he sound insurable value of such goods and labour incorpor at ed t herein w it h loss payable t o t he Cont ract or and UNESCO as t heir int erest s m ay appear .

  11. PATENT I NDEMNI FI CATI ON: Cont ract or shall defend at it s ow n expenses any suit or proceeding br ought against UNESCO or it s client s based on a claim t hat any goods or t he norm al use t her eof furnished under t his Cont r act const it ut e any infr ingem ent of any pat ent of any count r y, if not ified pr om pt ly in w rit ing and giv en aut hor it y, inform at ion and assist ance ( at Cont r act or’s expenses) for t he defense of sam e, and Cont r act or shall pay all dam ages and cost s aw arded t herein against UNESCO or it s client s. I n case use of said goods or any par t is enj oined, Cont ract or shall, at it s ow n expense and at it s opt ion, eit her procure of UNESCO or it s client s t he right t o cont inue using t he goods, m odify t hem so t hey becom e non- infringing or, w it h t he appr oval of UNESCO, rem ove said goods and refund t he pur chase price, including t ranspor t at ion and inst allat ion cost s.

  10. I NDEMNI FI CATI ON: The Cont r act or shall indem nify , hold and save harm less and defend at it s ow n expenses UNESCO, it s personnel and it s client s from and against all suit s, claim s, dem ands, and liabilit y of any nat ure or k ind, including cost s and expresses arising out of act s or om issions of t he Cont ract or or it s per sonnel or ot hers responsible t o t he Cont ract or in t he perform ance pursuant t o t his Cont r act .

  9. AFTER SALES SERVI CE: The Cont r act or shall m aint ain or provide a ser vice or ganizat ion r easonably const it ut ed t o handle request s from UNESCO or it s client s for t echnical assist ance, m aint enance, serv ice, r epair s and overhaul of t he goods.

  8. FI TNESS OF GOODS I NCLUDI NG PACKAGI NG: Cont ract or war rant s t hat t he goods conform t o t he specificat ions and are fit for t he purposes for which such goods ar e or dinar ily used, as w ell as for purposes, in locat ions and under circum st ances m ade known t o t he Cont r act or by UNESCO. Cont ract or warr ant s t hat t he goods are new, of cur rent m anufact ure and free fr om defect s in design, w or km anship and m at erials. The Cont r act or also w arr ant s t hat t he goods are secur ely cont ained, packaged and m ark ed, t ak ing int o considerat ion and t he m ode( s) of shipm ent , in a m anner so as t o pr ot ect t he goods dur ing delivery t o t heir ult im at e dest inat ion. Unless a longer per iod is specified in t his Cont r act , t he Cont ract or w ar rant s and cer t ifies t hat it w ill r epair or replace w it hout expense t o UNESCO or it s client s any goods or com ponent s w hich prove t o be defect iv e in design, m at er ial, or work m anship wit hin a period of one ( 1) year fr om t he dat e such goods ar e placed in use.

  The Cont ract or shall provide and m aint ain an inspect ion, qualit y, and m anufact uring pr ocess cont r ol syst em cov er ing t he goods w hich is accept able t o UNESCO. Records of all inspect ion w ork by Cont ract or shall be kept com plet e and m ade available t o UNESCO during t he perform ance pur suant t o t his Cont r act and for t went y four ( 24) m ont hs t hereaft er or for such ot her per iod as m ay be specified in t his Cont ract . Copies of all m at erial cert ificat ions and t est r esult s ar e t o be subm it t ed t o UNESCO upon r equest .

  7. I NSPECTI ON AND ACCEPTANCE: All goods shall be subj ect t o inspect ion and t est ing by UNESCO or it s designat ed r epr esent at iv e, t o t he ex t ent pract icable, at all t im es and places, including t he per iod of m anufact ur e and, in any ev ent , pr ior t o final accept ance by UNESCO. I f any inspect ion or t est is m ade on t he prem ises of Cont r act or or it s supplier , t he Cont r act or , w it hout addit ional charge, shall pr ovide all r easonable facilit ies and assist ance for t he safet y and convenience of t he inspect or s in t he per form ance of t heir dut ies. All inspect ion and t est s on t he pr em ises of t he Cont r act or or it s supplier shall be perfor m ed in such a m anner as not t o unduly delay or disrupt t he ordinar y business act ivit ies of t he Cont ract or or supplier. Final accept ance or rej ect ion of t he goods shall be m ade as soon as pract icable aft er delivery, but failure t o inspect and accept or rej ect goods shall neit her relieve Cont r act or from r esponsibilit y for non- confor m ing goods nor im pose liabilit ies on UNESCO t her efor e.

  6. EXPORT LI CENSES: The Cont ract or shall obt ain any export license( s) r equir ed for t he goods.

  5. TRADE TERMS: Whenever an I NCOTERM is used in t his Cont r act it shall be int erpret ed in accor dance w it h t he I NCOTERMS 2000.

  4. TAX EXEMPTI ON: Sect ion 7 of t he Convent ion on Privileges and I m m unit ies of t he Unit ed Nat ions provides, int er alia, t hat t he Unit ed Nat ions and it s subsidiary organs ar e ex em pt from all dir ect t ax es and are exem pt from cust om s dut ies in r espect of ar t icles im port ed or expor t ed for it s official use. Accordingly, t he Cont ract or aut hor izes UNESCO t o deduct from t he Cont r act or’s inv oice any am ount represent ing such t ax es or dut ies charged t o UNESCO by t he Cont ract or. Paym ent of such adj ust ed am ount shall const it ut e full paym ent by UNESCO. I n t he event any t axing aut hor it y refuses t o recognize t he UNESCO exem pt ion from such t axes or dut ies, t he Cont r act or shall im m ediat ely consult w it h UNESCO.

  3. PAYMENT: UNESCO shall, on fulfillm ent of t he Deliv er y Ter m s, unless ot herw ise pr ov ided in t his Cont ract , m ake pay m ent w it hin 30 days of receipt of t he Cont r act or 's invoice for t he goods and copies of t he shipping docum ent s specified in t his Cont ract . Paym ent by UNESCO does not im ply accept ance of goods nor of any relat ed w ork or ser vices under t his Cont ract .
