PT Mandom Indonesia Tbk listed its shares on the Jakarta
Stock Exchange in 1993 with a total 13,000,000 shares
and nominal value Rp 1,000/share. In 1997 the Company
completed a stock split from Rp 1,000/share to Rp 500/
share. Currently, the Company’s shares listed on the
Indonesia Stock Exchange are 201,066,667 shares with a
total of 27.8% or 55,992,288 shares held by public.

PT Mandom Indonesia Tbk mencatatkan sahamnya di
Bursa Efek Jakarta pada tahun 1993 sebanyak 13.000.000
saham dengan nilai nominal Rp 1.000/saham. Pada tahun
1997 Perseroan melakukan stock split dari Rp 1.000/saham
menjadi Rp 500/saham. Hingga saat ini saham Perseroan
yang tercatat di Bursa Efek Indonesia sebanyak 201.066.667
saham, dimana sebanyak 27,8% atau 55.992.288 saham
dimiliki oleh mayarakat.

Para Pemegang Saham yang Terhormat,
Honorable Shareholders,
Seperti yang sudah diprediksikan, perekonomian dunia di
tahun 2016 menunjukkan perbaikan dibanding tahun 2015
walaupun pemulihan berjalan dengan lambat. Begitu juga
dengan pasar domestik Indonesia yang ditopang oleh
pertumbuhan konsumsi rumah tangga yang masih terlihat
cukup kuat. Tingkat inlasi secara keseluruhan tahun
2016 terkendali di level 3,02% didukung oleh kebijakan
Bank Indonesia dan koordinasi dengan Pemerintah yang
semakin solid, baik di pusat maupun di daerah, dalam
mengendalikan inlasi. Sementara itu, pertumbuhan
ekonomi tumbuh tipis dari 4,79% di tahun 2015 menjadi
5,02%.

As estimated, world economy in the year 2016 had shown
a recovery compared to 2015 although the recovery
ran slower than expected. This is also perceived in the
Indonesia domestic market which was supported by
domestic consumption which remained strong. The overall
inlation rate in 2016, which remained controlled at the level
of 3.02% was supported by policy of Bank of Indonesia and
solid coordination with the Government, both central and
local, in terms of controlling the inlation rate. Meanwhile,
economic growth strengthened from 4.79% in 2015 to
5.02%.

Penilaian Kinerja dan Pengawasan Implementasi

Performance Assessment and Supervision of the
Implementation of the Company’s Strategy

Penjualan di tahun 2016 tercatat sebesar Rp 2,53 triliun
atau tumbuh sebesar 9,2% dibanding tahun 2015.
Penjualan domestik tercatat sebesar Rp 1,88 triliun
sementara penjualan ekspor sebesar Rp 650,48 miliar
dimana masing-masing tumbuh sebesar 10,6% dan 5,2%
dibanding pencapaian di tahun 2015.

In 2016, sales were recorded at Rp 2.53 trillion or grew by
9.2% compared to 2015. Domestic sales were recorded
at Rp 1.88 trillion, while export sales were recorded at
Rp 650.48 billion, grew by 10.6% and 5.2%, respectively,
compared to the achievement in 2015.

Secara keseluruhan, kinerja masih dibawah dari target
yang telah ditetapkan yaitu pertumbuhan penjualan
sebesar double digit atau minimal 10%. Namun demikian,
Perseroan mampu mencatatkan pertumbuhan double digit
pada penjualan domestik. Hal ini sebagai hasil strategi
Perseroan untuk meningkatkan konsentrasi pada produkproduk fast-moving baik dari segi rencana produksi
maupun strategi sales dan marketing. Selain itu beberapa

konsumen seperti Gatsby Styling Pomade, Pixy AquaBeauty Protecting Face Mist, dan beberapa varian Pixy
Lipstick termasuk yang terbaru Pixy Lip Cream.

Gatsby Styling Pomade, Pixy Aqua-Beauty Protecting Face
Mist, and several variants of Pixy Lipstick, including the
newest product, Pixy Lip Cream.

Perseroan menghadapi kendala pada penjualan ekspor
di semester 1 tahun 2016 yang disebabkan oleh
ketidakstabilan suplai produk aerosol dari perusahaan
OEM serta kondisi eksternal seperti situasi politik dan
ekonomi di negara-negara tujuan ekspor di Timur Tengah
dan Afrika. Namun demikian, mulai semester 2 tahun 2016
penjualan ekspor perlahan mulai pulih dan diharapkan
pemulihan ini terus berlanjut di tahun 2017.

The Company was faced by an obstacle in export sales
during the 1st semester of 2016 due to the instability of
aerosol product supply from OEM Company and external
condition such as political and economic situation in
export destination counties in the Middle East and Africa.
However, starting the 2nd semester of 2016, export sales
started to gradually recover, and this recovery is expected
to continue in 2017.

Sementara itu, laba bersih tercatat sebesar Rp 162,06 miliar
atau 29,8% dibanding laba bersih di tahun 2015. Hal ini
dikarenakan nilai laba bersih di tahun 2015 sebagian besar
dikontribusikan dari laba hasil penjualan tanah, bangunan
kantor dan pabrik di Sunter, Jakarta Utara.

In the meantime, net income was recorded at Rp 162.06
billion or 29.8% compared to net income in 2015. This was
because the amount of net income in 2015 was mostly
contributed by gain on the sale of land, ofice building,
and factory in Sunter, North Jakarta.

Secara garis besar, Dewan Komisaris memandang walaupun
menghadapi beberapa kendala, Direksi telah berupaya
dengan baik untuk dapat mencatatkan pertumbuhan
penjualan baik di pasar domestik maupun ekspor. Atas
upaya pengelolaan yang dilakukan oleh Direksi, Dewan
Komisaris memberikan apresiasi setinggi-tingginya dan
berharap agar kedepannya Direksi dapat meningkatkan
kinerja secara berkesinambungan untuk bisa membangun
fondasi yang kuat dalam hal pengelolaan operasional dan
proses bisnis.

On the big picture, the Board of Commissioners is of the
opinion that despite of being faced by some obstacles, the
Board of Directors has made a fair attempt to record sales
growth in the domestic as well as export market. For the
management effort made by the Board of Directors, the
Board of Commissioners expresses its highest appreciation
and hopes that in the future, the Board of Directors can
continuously improve its performance in order to build
a strong foundation in the operations management and
business process.

Pandangan atas Prospek Usaha Perseroan

Opinion on the Company’ Business Prospect

Memasuki tahun 2017, Dewan Komisaris telah melakukan
penelaahan atas rencana kerja dan anggaran tahunan
Perseroan yang disusun oleh Direksi. Dewan Komisaris
berharap Direksi dapat menyelesaikan rencana-rencana
yang telah ditetapkan dan membangun fondasi bisnis yang
kuat bagi perkembangan Perseroan. Perolehan beberapa
sertiikasi di tahun 2016 yaitu Worldwide Responsible
Accredited Production (WRAP) dan ISO 9001: 2015
menunjukkan komitmen Direksi dalam hal manajemen
mutu dan upaya peningkatan kualitas proses kerja maupun
produk yang dihasilkan. Selain itu, usaha-usaha perbaikan
dalam hal Keselamatan dan Kesehatan Kerja (K3) harus
menjadi fokus untuk dapat mewujudkan komitmen Zero
Accident dan mencegah terjadinya musibah serupa di
masa datang. Oleh karena itu, Dewan Komisaris berharap
di tahun 2017, Perseroan dapat memperoleh sertiikat
Sistem Manajemen K3 (SMK3) serta menyelesaikan proses
sertiikasi Halal untuk produk-produk Perseroan.

Entering year 2017, the Board of Commissioners has
conducted a review on the Company’s work plan and
budget prepared by the Board of Directors. The Board
of Commissioners expects that the Board of Directors
will be able to inish stipulated plans and build a
strong business foundation for the development of the
Company. Certiications obtained in 2016, namely the
Worldwide Responsible Accredited Production (WRAP)
and ISO 9001:2015, indicated commitment of the Board
of Directors in terms of quality management and efforts
of improving the quality of work process as well as
the generated products. In addition to that, efforts of
improvement in terms of Occupational Health and Safety
(OHS) must become the focus in order to realize the Zero
Accident commitment and prevent similar incidents in the
future. Therefore, the Board of Commissioners hopes that
in 2017, the Company can obtain the Sistem Manajemen
K3 (SMK3) certiicate and complete the process of Halal
certiication for the Company’s products.

Tahun 2017 adalah tahun pertama pelaksanaan Rencana
Manajemen Jangka Menengah 3-Tahun yang ke-5 (MID5) yang berlangsung sampai dengan tahun 2019. Dalam
periode ini, Perseroan menetapkan “Challenge, Change,
Innovation (Continuously Performing)” sebagai tema dari
strategi bisnis Perseroan.

The year 2017 is the irst year of implementation of the
Stage 5 of the 3-Year Middle Range Management Planning
(MID-5) which will be implemented until 2019. In this
period, the Company stipulated “Challenge, Change,
Innovation (Continuously Performing)” as the theme of the
Company’s business strategy.

Dewan Komisaris memandang bahwa penetapan tema ini
adalah upaya Perseroan untuk dapat menyesuaikan diri
dengan perkembangan pasar yang mengalami perubahan
secara konstan. Untuk dapat bertahan dan memenangkan

manajemen
harus
senantiasa
menghadapi tantangan, perubahan, dan inovasi sehingga
dapat menghasilkan kinerja yang berkelanjutan. Dewan
Komisaris optimis dan mengajak seluruh pihak untuk
memberikan dukungan terhadap tema dan strategi yang
ditetapkan oleh Direksi untuk mencapai pertumbuhan
Perseroan di masa mendatang.

stipulation of this theme is an effort made by the Company
in order to adjust itself to the development in the market,
which is constantly changing. In order to survive and win
the market competition, the management must always face
the challenge, change, and innovation in order to achieve
a sustainable performance. The Board of Commissioners is
optimistic and encourages all parties to support the theme
and strategy stipulated by the Board of Directors in order
to achieve Company growth in the future.

Opinion on the Implementation of Corporate
Governance

Dewan Komisaris bertugas dan bertanggung jawab
melakukan pengawasan atas kebijakan pengurusan,
jalannya pengurusan pada umumnya, dan juga memberikan
nasihat kepada Direksi. Dalam menjalankan tugas, Dewan
Komisaris membentuk Komite Audit dan Komite Nominasi
dan Remunerasi sehingga fungsi pengawasan dapat
berjalan lebih efektif.

The Board of Commissioners has the duty and responsibility
of performing supervision on the management policy and
implementation of management in general as well as
providing advice to the Board of Directors. In performing
its duty, the Board of Commissioners has established the
Audit Committee and the Nomination and Remuneration
Committee in order that the supervisory function can be
performed more effectively.

Dewan Komisaris telah menerima dengan baik laporan
pelaksanaan tugas Komite Audit di tahun 2016. Komite
audit memberikan pendapat yang independen kepada
Dewan Komisaris, melakukan penelaahan laporan
keuangan, melakukan penelaahan tingkat ketaatan
Perseroan terhadap peraturan perundang-undangan yang
berlaku dibidang Pasar Modal dan peraturan perundangundangan lainnya yang berhubungan dengan kegiatan
usaha Perseroan, serta tugas lainnya yang tertuang dalam
Piagam Komite Audit.

The Board of Commissioners has properly received
the report on the implementation of duty of the Audit
Committee in 2016. The Audit Committee gives
independent opinion to the Board of Commissioners,
performs review on inancial statements, performs review
on the Company’s level of compliance with the applicable
laws and regulations in the ield of Capital Market and
other laws and regulations related to the Company’s
business activity, as well as other duties set forth in the
Audit Committee Charter.

Dewan Komisaris juga telah menerima dengan baik laporan
pelaksanaan tugas Komite Nominasi dan Remunerasi serta
laporan rekomendasi atas penyusunan usulan nominasi
dan remunerasi bagi anggota Dewan Komisaris dan

Untuk melaksanakan fungsi pengawasan dan pemberian
nasihat, Dewan Komisaris secara rutin menghadiri Rapat

Direksi serta mengadakan Rapat Bersama Dewan Komisaris
dan Direksi dimana Dewan Komisaris mengundang Direksi
untuk melaporkan jalannya pengurusan Perseroan dan halhal lainnya yang berkaitan dengan proses bisnis Perseroan.
Selain itu, Dewan Komisaris juga menghadiri Rapat
Bersama Direksi dan Dewan Komisaris dimana Direksi

In order to implement the supervisory and advisory
functions, the Board of Commissioners regularly attends
the Board of Directors Meeting and Management Meeting
held by the Board of Directors and holds the Board of

Perseroan telah menerima surat rekomendasi pada tanggal
6 Maret 2017 dari Mandom Corporation selaku Pemegang
Saham Pengendali Perseroan dengan jumlah saham

recommendation from Mandom Corporation as Controlling
Shareholder of the Company with total 122,319,485 shares,

Tahun 2016 ditandai dengan adanya pemulihan kondisi
ekonomi di beberapa negara walaupun prosesnya berjalan
tidak secepat yang diharapkan. Hal ini juga dirasakan di
dalam pasar domestik dimana pertumbuhan ekonomi
tumbuh tipis dari 4,79% di tahun 2015 menjadi 5,02% di
tahun 2016. Namun demikian, di tengah realisasi belanja
pemerintah yang lebih rendah dari perkiraan sebelumnya,
pertumbuhan konsumsi dan investasi tetap kuat. Hal ini
didukung juga oleh tingkat inlasi secara keseluruhan tahun
2016 yang terkendali di level 3,02%.

The year 2016 is marked with economic recovery in
several countries, although the process is not as fast as
expected. This is also perceived in the domestic market,
in which economic growth slightly increased from 4.79%
in 2015 to 5.02% in 2016. However, despite of the lower
than projected realization of government expenditure, the
growth in consumption and investment remained strong.
This is also supported by the overall inlation rate in 2016,
which remained controlled at the level of 3.02%.

tahun 2015. Beberapa penyesuaian dan perbaikan telah

proses kerja, maupun prioritas Perseroan dalam hal
Keselamatan dan Kesehatan Kerja (K3).

adjustments and improvements have been made in terms
of business strategy, investment plan, work process, as
well as the Company’s priority in Occupational Health and

dan marketing yang disusun untuk mendukung penjualan
produk-produk utama Perseroan.

Hasilnya, di tahun 2016 Perseroan mencatatkan nilai
penjualan sebesar Rp 2,53 triliun atau tumbuh sebesar
9,2% dibanding tahun 2015. Penjualan domestik tercatat
sebesar Rp 1,88 triliun sementara penjualan ekspor sebesar
Rp 650,48 miliar dimana masing-masing tumbuh sebesar
10,6% dan 5,2% dibanding pencapaian di tahun 2015.

As the result, in 2016 the Company recorded total sales
of Rp 2.53 trillion or grew by 9.2% compared to 2015.
Domestic sales were recorded at Rp 1.88 trillion, while
export sales were recorded at Rp 650.48 billion, grew
by 10.6% and 5.2%, respectively, compared to the
achievement in 2015.

Sementara laba bersih tercatat sebesar Rp 162,06 miliar
atau 29,8% dibanding laba bersih di tahun 2015. Hal ini
dikarenakan nilai laba bersih di tahun 2015 sebagian besar
dikontribusikan dari laba hasil penjualan tanah, bangunan
kantor dan pabrik di Sunter, Jakarta Utara.

In the meantime, net income was recorded at Rp 162.06
billion or 29.8% compared to net income in 2015. This was
because the amount of net income in 2015 was mostly
contributed by gain on the sale of land, ofice building,
and factory in Sunter, North Jakarta.

Pencapaian pertumbuhan penjualan di tahun 2016 masih
dibawah target yang telah ditetapkan sebelumnya yaitu
pertumbuhan double digit atau minimal 10%. Walaupun
penjualan domestik berjalan cukup lancar, Perseroan
menghadapi kendala dalam penjualan ekspor. Pada
kuartal 1 tahun 2016 Perseroan menghadapi kendala
ketidakstabilan suplai produk aerosol untuk ekspor yang
diproduksi di perusahaan Original Equipment Manufacturer
(OEM). Hal ini cukup berpengaruh bagi Perseroan karena
produk aerosol memberikan kontribusi lebih dari 15%
terhadap total penjualan ekspor. Selain itu, kondisi politik
dan ekonomi di beberapa negara tujuan ekspor di Timur
Tengah dan Afrika memberikan dampak pada daya beli
konsumen di negara-negara tersebut. Penjualan ekspor
mulai menunjukkan perbaikan di semester 2 namun hal
ini tidak cukup untuk dapat mengejar ketertinggalan di
semester 1. Kondisi perbaikan ini terus berlanjut dan
diharapkan pemulihan penjualan ekspor dapat terwujud di
tahun 2017.

Sales growth achievement in 2016 was still below the
stipulated target, namely a double-digit growth or at least
10%. Although domestic sales seem quite seamless, the
Company was faced with a constraint in export sales. In
the 1st quarter of 2016, the Company was faced by an
obstacle of instability in aerosol product supply for export,
which is produced in original equipment manufacturer
(OEM) Company. The impact was quite signiicant for
the Company because the aerosol product contributed
for more than 15% of total export sales. In addition to
that, political and economic condition in several export
destination countries in the Middle East and Africa has an
impact on consumer purchasing power in the countries.
Export sales started to show improvement in the 2nd
semester, but this is insuficient to catch up with the lag in
the 1st semester. This condition continues to improve and
it is expected that recovery in export sales can be achieved
in 2017.

untuk berkonsentrasi pada produk-produk fast moving
berjalan cukup baik. Kondisi ini juga didukung oleh kinerja
beberapa produk baru yang dapat diterima dengan baik
oleh konsumen seperti Gatsby Styling Pomade, Pixy AquaBeauty Protecting Face Mist, dan beberapa varian Pixy
Lipstick termasuk yang terbaru Pixy Lip Cream.

Tercatat penambahan sebanyak 10 titik sehingga total
titik distribusi di akhir tahun 2016 adalah sebanyak 142
titik. Penambahan titik distribusi ini sangat diperlukan agar
produk Perseroan tersedia di setiap daerah hingga tingkat
kecamatan, sehingga konsumen akan dengan mudah
mendapatkan produk-produk Perseroan. Di tahun 2016
juga Perseroan meresmikan Logistic Center di Surabaya
yang berfungsi untuk mengakomodir pengiriman produkproduk ke Kawasan Indonesia Timur. Tingginya potensi
pertumbuhan ekonomi dan permintaan konsumen di area
tersebut telah mendorong Perseroan untuk menyediakan
sarana logistik yang mampu membuat jalur distribusi
berjalan lebih efektif dan eisien.

In relation to market penetration, in 2016, the Company
has been consistently developing points of distribution
(POD), namely distribution points for the Company’s
products which are spread nationwide. Ten additional
points was recorded so that the total amount of distribution
points at the end of 2016 was 142 points. The addition
of distribution points is necessary to make the Company’s
products available in every region up to the district level, in
order to make it easy for consumers to get the Company’s
products. In 2016, the Company also oficially opened a
Logistic Center in Surabaya, which will have the function
of accommodating delivery of products to the Eastern
Indonesia Region. The high potential of economic growth
and consumer demand in this area has encouraged the
Company to provide logistic facility which can make the
distribution lane more effective and eficient.

Beberapa kegiatan iklan dan promosi dilakukan untuk
meningkatkan product awareness baik melalui kegiatan
above the line seperti iklan TV, maupun kegiatan below
the line yang bertujuan untuk lebih mendekatkan produk
dengan konsumen. Kegiatan promosi melalui media
digital semakin bertambah seiring dengan perkembangan
konsumen yang lebih sering mengakses informasi melalui
media online. Hal ini tentunya berpengaruh pada strategi
iklan dan promosi Perseroan dimana sebagian besar target
pasar Perseroan adalah para remaja dan dewasa muda
yang notabene adalah pengguna media digital paling aktif.

Dalam hal produksi produk aerosol, Perseroan masih
melakukan dengan sistem OEM dan bekerja sama dengan
perusahaan-perusahaan lain baik di dalam maupun luar
negeri. Area produksi aerosol yang sebelumnya terkena
dampak musibah kebakaran telah dibangun kembali
dan dialihfungsikan menjadi area fasilitas karyawan yaitu
Masjid, Sports Center, dan Memorial Garden.

In terms of production of aerosol product, the Company
still uses the OEM system and cooperates with other
companies, domestic and overseas. The aerosol production
area, which was previously hit by ire, has been rebuilt and
changed its function into employee facility area, namely
Mosque, Sports Center, and Memorial Garden.

Di tahun 2017, Perseroan meningkatkan sosialisasi program
Zero Accident dan melakukan beberapa perbaikan dalam
hal K3. Perseroan meningkatkan jumlah sertiikasi tenaga
ahli K3, melakukan berbagai pelatihan dan juga sosialisasi
budaya sadar K3 untuk meningkatkan pemahaman
karyawan mengenai pentingnya K3 baik selama di lokasi
kerja maupun dalam perjalanan pulang-pergi menuju
lokasi kerja. Prioritas Perseroan adalah menyediakan
lingkungan kerja yang dapat menimbulkan rasa aman dan
nyaman bagi karyawan untuk dapat beraktivitas sehari-hari
dan menjaga komitmen untuk berupaya sekuat tenaga
mencegah terjadinya musibah serupa di masa depan.

In the year 2017, the Company has increased the
dissemination of the Zero Accident program and made
some improvements in OHS. The Company increased the
frequency of OHS expert certiication and held various
trainings and dissemination of OHS awareness culture to
improve employee’s understanding of the importance of
OHS, both at the work location as well as during the trip
to and from the work location. The Company’s priority is to
provide a work environment which may provide a sense of
security and comfort to employees in order to do their dayto-day activities and keep the commitment to make the
best effort to prevent similar incidents in the future.

Perseroan memperoleh beberapa penghargaan dan
sertiikasi di tahun 2016 sebagai bentuk pengakuan
atas kinerja, pencapaian, dan komitmen Perseroan baik
dalam hal produk-produk maupun Perseroan secara
keseluruhan. Perolehan sertiikat Worldwide Responsible
Accredited Production (WRAP) dan ISO 9001: 2015 di

Proyeksi pertumbuhan ekonomi Indonesia di tahun 2017
terlihat tidak jauh berbeda dengan nilai pertumbuhan
ekonomi tahun 2016. Hal ini mencerminkan adanya
perbaikan walau prosesnya berjalan lambat. Fase pemulihan
ekonomi diperkirakan terus berlanjut terutama didorong
oleh membaiknya kinerja ekspor, dan mulai meningkatnya
investasi yang didukung oleh perkembangan pembiayaan
baik dari kredit perbankan maupun pembiayaan non-bank.
Perkiraan inlasi yang tidak jauh berbeda dengan kondisi
