PT Mahaka Media Tbk (Perseroan)
didirikan di Jakarta dengan nama
PT Abdi Bangsa pada tanggal 28
November 1992 dengan Akta No.
229, kemudian diubah dengan Akta
No. 157 tanggal 17 Desember 1992,
yang keduanya dibuat di hadapan
Ny. S.P. Henny Shidki, S.H., Notaris
di Jakarta dan telah mendapatkan
persetujuan dari Menteri Kehakiman
Republik Indonesia dengan Surat
Keputusannya No. C2-10310.HT.01.01.
TH.92 tanggal 19 Desember 1992
serta diumumkan dalam Berita Negara
Republik Indonesia No. 9/1993
tanggal 29 Januari 1993, tambahan
No. 564/1993. Pada tanggal 4 Januari
1993, Perseroan mendirikan Harian
Republika, surat kabar pertama bagi
komunitas Muslim di Indonesia. Pada
Rapat Umum Pemegang Saham Luar
Biasa (RUPSLB) tanggal 4 Mei 2010,
nama PT Abdi Bangsa Tbk berubah
menjadi PT Mahaka Media Tbk dan
telah memperoleh persetujuan dari
Menteri Hukum dan Hak Asasi Manusia
RI berdasarkan keputusan No. AHU24811.AH.01.02 Tahun 2010, pada
tanggal 17 Mei 2010.
Semenjak pendirian Perseroan,
Anggaran Dasar Perseroan telah
beberapa kali mengalami perubahan.
Adapun perubahan terakhir adalah
berdasarkan Akta Penegasan Rapat
Umum Pemegang Saham (RUPS)
No. 25 tanggal 17 Juni 2015 yang
dibuat oleh Notaris Zulkifli, S.H.,
Notaris di Jakarta, dengan Daftar
Perseroan Nomor AHU.AH.01.030943079 tanggal 18 Juni 2015.
Tahun 2002 merupakan tahun penting
dalam sejarah berdirinya Mahaka
Media, dimana perusahaan ini pertama
kali mencatatkan sahamnya sebagai
PT Abdi Bangsa Tbk pada tanggal
3 April 2002 di Bursa Efek Jakarta
(BEJ) dan menjadikannya sebagai
perusahaan penerbitan surat kabar
pertama yang menjadi perseroan
publik.

Pada tahun 2003, Mahaka Media
mulai mengawali perkembangannya
sebagai sebuah Induk Perusahaan Multi
Media (Multi Media Holding Company)
dengan membawahi 2 (dua) unit usaha
yaitu PT Pustaka Abdi Bangsa dan PT
Republika Media Mandiri. Kemudian
melalui Penawaran Umum Terbatas
III pada tanggal 29 September 2004,
perkembangan Mahaka Media menjadi
lebih luas dengan mengakuisisi seluruh
kepemilikan PT Indopac Usaha Prima
di beberapa perusahan lain seperti PT
Media Golfindo yang bergerak dalam
penerbitan majalah berlisensi, PT
Mahaka Visual Indonesia yang bergerak
di bidang animasi dan PT Avabanindo
Perkasa yang bergerak dalam media
iklan luar ruang, sehingga memperkuat
kedudukan Perseroan menjadi Perusahan
Induk Multi Media. Pada tahun 2014,
Mahaka Media kembali memperluas
perkembangan bisnisnya dengan
melakukan pengambilalihan sebagian
saham (akuisisi) PT Kalyanamitra Adhara
Mahardhika (Alive! Indonesia) dan juga
pembelian saham terhadap PT Wahana
Kalyanamitra Mahardhika (CardPlus).
Sejalan dengan perkembangan
usahanya, kini PT Mahaka Media Tbk
telah menjadi Induk Perusahaan Multi
Media dengan unit-unit usaha seperti
Surat Kabar, Majalah, Penerbit Buku,
Televisi, Radio, Media Luar Ruang serta
Media Digital. Setiap unit bisnis tersebut
berhasil membangun kekuatan dari
masing-masing karakter produk, seperti
Harian Republika sebagai Surat Kabar
Muslim terbesar di Indonesia, Golf Digest
Indonesia sebagai Majalah Golf No. 1 di
Indonesia, Jak tv sebagai stasiun TV lokal
Jakarta, serta Gen FM sebagai radio No.
1 di Jakarta dengan jumlah pendengar
terbanyak. Seluruh pencapaian yang
telah dicapai oleh PT Mahaka Media Tbk
melengkapi Mahaka Media sebagai Induk
Perusahaan Multi Media terintegrasi, kuat
dan terus berkembang.

PT Mahaka Media Tbk was organized
with the name PT Abdi Bangsa, Tbk,
on 28 November 1992 with Deed No.
229, it was amended by the Deed No.
157 of 17 December 1992, both drawn
up before Ny. S.P. Henny Shidki,
S.H., Notary of Jakarta and has been
approved by Minister of Justice of the
Republic of Indonesia with his Letter of
Decision No. C2-10310.HT.01.01.TH.92
of 19 December 1992 and published
in the State Gazette of the Republic
of Indonesia No. 9/1993 of 29 January
1993, supplement No. 564/1993.
On 4 January 1993, The Company
incorporated Republika Daily, the first
newspaper for the Moslem community in
Indonesia. At the Extraordinary General
Meeting of Shareholders (EGMS)
convened on 4 May 2010, PT Abdi
Bangsa Tbk was changed to PT Mahaka
Media Tbk and it has been approved by
Minister of Law and Human Rights of the
Republic of Indonesia pursuant to the
Decree No. AHU-24811.AH.01.02 of 17
May 2010.
Since the establishment of the Company,
the Articles of Association of the
Company has been amended several
times. The last amendment of the Articles
of Association of the Company is based
on the Deed of Statement of General
Meeting of Shareholders (GMS) No. 25 of
17 Juni 2015 drawn up by Notary Zulkifli,
S.H., Notary of Jakarta. The amendment
to such Articles of Association has been
approved by Minister of Law and Human
Right of the Republic of Indonesia
pursuant to the Decree AHU.AH.01.030943079 of 18 Juni 2015.
The year 2002 is the important year
in the history of the establishment of
Mahaka Media, when the company
initially registered its shares as PT Abdi
Bangsa Tbk on 3 April 2002 in Jakarta

Stock Exchange (BEJ) and it is the
first newspaper publishing company to
become a public company.
In the year 2003, Mahaka Media
commences its development as
a Multi Media Holding Company)
subordinating 2 (two ) business units
namely PT Pustaka Abdi Bangsa and PT
Republika Media Mandiri. Subsequently,
through the Limited Public Offering III
on 29 September 2004, Mahaka Media
developed rapidly by acquiring the entire
ownership of PT Indopac Usaha Prima in
several other companies like PT Media
Golfindo engaged in the area of the
publication of licensed magazines, PT
Mahaka Visual Indonesia engaged in the
area of animation and PT Avabanindo
Perkasa engaged in the area of outdoor
advertising media, strengthening the
position of the Company to be Multi
Media Holding Company accordingly.
In line with the growth of its businesses,
PT Mahaka Media Tbk has now become
a Multi Media Holding Company with
business units include Newspaper,
Magazine, Book Publisher, Television,
Radio, Outdoor Media and Media
Digital. Each of the business unit has
succeeded in establishing superiority
of each character of the product, like
Harian Republika Daily as the biggest
Moslem Newspaper in Indonesia, Golf
Digest Indonesia as the Golf Magazine
Golf No.1 in Indonesia, Jak tv as a local
TV station in Jakarta, and Gen FM as
radio No. 1 in Jakarta with the majority
listeners . All of the achievements made
by PT Mahaka Media Tbk have made
Mahaka Media as an integrated, reliable
and it will keep prospering.

FOREWORD FROM
THE PRESIDENT COMMISSIONER

Para pemegang saham
yang terhormat,

Dear honorable shareholders,

Alhamdulillah, rasa syukur kepada Allah
SWT atas karunia dan kesempatan yang
diberikan kepada kami sebagai Dewan
Komisaris dalam pengawasan terhadap
berjalannya kinerja Perseroan sepanjang
tahun 2015 ini. Kondisi lingkungan
eksternal terutama pada perspektif
ekonomi pada tahun 2015 yang tidak
sebaiknya tahun sebelumnya, ditambah
dengan faktor persaingan usaha,
konvergensi konsumsi media yang terjadi
di masyarakat, kami menilai upaya dan
kinerja yang disampaikan berdasarkan
laporan Direksi Perseroan merupakan
proses untuk melewati tantangan yang
dihadapi.

The commissioners would like to show
their gratitude to God for receiving the
opportunity to supervise the performance
of the company throughout 2015. The
conditions of the external environment,
primarily on the declining economic
perspective of 2015 as compared to
the previous year and the competition
as well as the convergence of media
consumption taking place in the society,
we evaluate the effort and performance
based on the reports from the company’s
directors that the challenge can be
managed.

Pendapatan sebesar
Rp290.556.699.926,- di tahun 2015
diperoleh melalui strategi inovasi
produk melalui unit usahanya dalam
upaya mencapai visi yang dibangun
sebagai perusahaan media terintegrasi
dan terdepan di Indonesia. Hal ini
terus dibangun oleh manajemen untuk
memperbaiki dan meningkatkan kinerja
Perseroan dalam jangka panjang.
Kami telah menerima rencana kerja
serta prospek usaha oleh manajemen
dalam menghadapi tantangan di tahun
mendatang. Kerja keras dan formulasi
strategi usaha yang baik, pengembangan
sumber daya manusia dan efisiensi
operasional akan menjadi perhatian
utama. Penanaman nilai sinergi diperkuat
untuk membuat rencana pencapain
tahun 2016 yakni kenaikan 10% menjadi
realistis. Tren penetrasi positif melalui
media konvensional yang dimiliki oleh
Mahaka Media di tahun 2015 juga
menjadi salah satu optimisme dalam
rancangan strategi. Pertumbuhan yang
baik dari segi kepemirsaan secara
keseluruhan turut dipengaruhi oleh
semakin tingginya penetrasi internet
sebagai media distribusi masa depan

Mahaka Media recorded a revenue
of Rp290.556.699.926,- in 2015 from
innovative products strategy through
its business units, aligning with the
company’s vision to become an
integrated and leading company in
Indonesia. The management section
continues to improve and increase the
performance long-term.
We have accepted work plans
and business prospects from the
management section to counter the
challenges in the upcoming year.
With hard work and effective business
strategies, the development of human
resources and operational efficiency
will be prioritized. The importance of
synergy will be strengthened to make
the 2016 achievement plan which is
a 10% increase a reality. The positive
penetration plan through conventional
media owned by Mahaka Media in 2015
also serves as a tool in the strategy. A
healthy growth in regards to the number
of viewers will be affected as the internet
penetration using distributive media
increases.
On the other hand, the company is also
responsible for the implementation of
the governance and efforts to keep the

sehingga mampu memberikan andil
terhadap pertumbuhan pemirsa pada
platform media milik Mahaka Media.
Di sisi lain, sebagai Perseroan yang
memiliki tanggung jawab terhadap
pelaksanaan tata kelola dan upaya untuk
menjaga konsistensi manajemen, telah
berjalan fungsi Komite Audit, Komite
Remunerasi, dan Komite GCG yang
efektif di bawah Dewan Komisaris.
Penerapan yang baik dapat mendorong
strategi dan kinerja dalam mencapai
target Perseroan.
Dalam susunan Dewan Komisaris
berdasarkan keputusan RUPS Tahunan
PT Mahaka Media Tbk tanggal 22
Mei 2015 telah mengalami perubahan
dengan pengunduran Daniel JP
Wewengkang dan Rosan P Roeslani
sebagai Komisaris. Apresiasi setinggitingginya juga diberikan kepada
seluruh jajaran Direksi yang selalu
menunjukkan loyalitas dan upaya terbaik
dalam memajukan usaha Perseroan.
Kepercayaan dari seluruh stakeholders
kami percaya akan memberikan
dukungan kepada manajemen untuk
usaha kemajuan Perseroan dan tentunya
memberi manfaat lebih besar kepada
seluruh masyarakat dan para Pemegang
Saham.

Memperoleh gelar Sarjana Ekonomi
pada tahun 1968 dari Fakultas Ekonomi
Universitas Indonesia, gelar MA dari
Harvard University Boston tahun 1986
dan dari University of Colorado, Boulder,
USA pada tahun 1998.

Received a Bachelor’s Degree in
Economics in 1968 from Universitas
Indonesia’s Faculty of Economics, a
Master’s Degree (MA) from Harvard
University, Boston, in 1986 and from
University of Colorado, Boulder, United
States in 1998.

Menjabat sebagai Komisaris Utama PT
Mahaka Media Tbk sejak tahun 2008
dan kembali menjabat berdasarkan Akta
No. 27 tanggal 28 Juni 2013. Selama
berkarir, beliau pernah menjabat di
sejumlah posisi penting seperti Direktur
Utama PT Garuda Indonesia, Pejabat
Sementara Sekretaris Menteri Negara
BUMN, anggota Dewan Komisaris Duta
IBJ Bank (Industrial Bank of Japan),
Komisaris Utama Bank Bukopin, Dewan
Direksi The ASEAN Finance Corporation
Singapore, Direktur Utama Bank Duta
dan sebagai Pendiri Sekolah Tinggi
Ekonomi Keuangan dan Perbankan
(STEKPI).  

Since 2008, he serves as the President

2013. During his career, he served in
a number of important positions such

Indonesia, interim secretary of the
Minister of State Owned Enterprise, a
Member of the Board of Commissioners

Bukopin, the member of the Board
of Directors in the ASEAN Finance
Corporation Singapore, the President
Director of Bank Duta and the Founder of
Sekolah Tinggi Ekonomi Keuangan dan

Menyelesaikan pendidikan di Glendale
College, California, USA dan memperoleh
gelar Associate of Arts. Memperoleh
Bachelor of Arts dari American College,
California serta mendapatkan gelar MBA
dari National University, California, USA.
Memimpin PT Mahaka Media Tbk sebagai
Direktur Utama PT Mahaka Media
hingga tahun 2008, kemudian menjabat
sebagai Komisaris PT Mahaka Media Tbk
sejak Juni 2010 dan kembali menjabat
berdasarkan Akta No. 28 tanggal 31 Mei
2012. Beliau menjabat sebagai Direktur
Utama PT Lativi Media Karya (tvone) pada
tahun 2007 – 2012 dan Direktur Utama PT
Visi Media Asia (VIVA) pada tahun 2011 –
2013. Saat ini menjabat sebagai Komisaris
Utama PT Beyond Media (Mahaka Group),
Direktur Utama PT Andalas Cakrawala
Televisi (AnTV) dan aktif dalam organisasi
Stasiun Televisi Swasta Indonesia
sebagai Ketua Umum ATVSI sejak tahun
2010. Beliau juga sebagai Presiden klub
sepakbola F.C. Internazionale.
Erick Thohir juga aktif dalam organisasi
olahraga. Pada tahun 2004 – 2006
Beliau menjabat sebagai Presiden
PERBASI (Persatuan Bola Basket Seluruh
Indonesia). Kemudian terpilih sebagai
Presiden SEABA (Southeast Asian
Basketball Association) selama 3 periode
sejak tahun 2006 sampai sekarang.
Pada tahun 2014 Beliau diangkat
sebagai anggota dari Central Board FIBA
(Organisasi Bola Basket Dunia) dan
sebagai Ketua Umum Komite Olimpiade
Indonesia (KOI) periode 2015-2019.

Commissioner of PT Beyond Media

as the Chairman in Indonesia’s Private
Television Stations Organization. He

Furthermore, Erick Thohir is very active
in sport organizations. In 2004-2006,
he served as the President of PERBASI
(Indonesian Basketball Association). He
was then elected as President of SEABA
(Southeast Asian Basketball Association)
for 3 periods since 2006 until now. In
2014, he was appointed as a Member
of FIBA Central Board (International
Basketball Federation) and as the
chairman of the indonesia Olympic
Committee in 2015-2019 period.

Beliau menjabat sebagai Komisaris
Independen PT Mahaka Media Tbk
berdasarkan Akta No. 11 tanggal 15 Juni
2013. Hingga saat ini masih menjabat
beberapa posisi antara lain sebagai Senior
Partners Kantor Konsultan Hukum Pradjoto
& Associates, Anggota Sub Komisi E Komisi
Hukum Nasional Republik Indonesia,
Anggota Perhimpunan Advokat Indonesia
(Peradi), Dewan Kode Etik Badan Sertifikat
Manajemen Risiko (BSMR), Wakil Komisaris
Utama Bank Negara Indonesia, Ketua
Dewan Kode Etik Perhimpunan Bank-Bank
Nasional (Perbanas), Dewan Penasehat
Ikatan Bankir Indonesia (IBI) dan Senior

Direktur PT Sarana Daya Mandiri,
Wakil Ketua Yayasan Dharma Bakti
Mahaka dan Presiden Klub Basket
Satria Muda Jakarta. Sebelumnya
beliau pernah menjabat sebagai
Direktur PT Indama Putra Jaya dan
Manager PT Bank Sumitomo Niaga.
He completed his education in
Glendale College, California in 1988
and received an MBA from Northrop
University, California, United States in
1990.
Since 2005, he has been serving as
the Commissioner of PT Mahaka
Media Tbk according to Deed No.
18 of 19 May 2011. He currently
serves in several positions in Mahaka
Group namely as the Director of PT
Mahaka Industri Perdana, Director of
PT Indopac Usaha Prima, President
Director of PT Ogspiras Basya
Pratama, Director of PT Sarana Daya
Mandiri, Deputy Head of Dharma Bakti
Mahaka Foundation and The President

Para pemangku kepentingan dan

Dear honorable shareholders and
stakeholders,

Pertama-tama, kami bersyukur kepada
Allah SWT atas bimbingan dan
perlindungan-Nya dalam upaya yang
dilakukan oleh manajemen selama
tahun 2015 untuk usaha memajukan
kinerja Perseroan. Implementasi
strategis berfokus pada pengembangan
produk, media luar ruang dan
entertainment telah dilalui dengan baik
meski dihadapi dengan tantangan yang
tidak pernah surut. Semangat kerja
keras terus dibangun untuk memperoleh
hasil yang diharapkan pada tahun-tahun
berikutnya.

First, we would like to extend our
gratitude to Allah SWT who has guided
and protected us in the efforts done
by the management during 2015
to increase the performance of the
company. Although there were many
challenges, the strategic implementation
focused on product, Digital Out of Home
(DOOH), and entertainment passed with
a good result. The spirit of hard work is

of next year could be achieved.

Terkait dengan pengembangan
produk dan upaya perluasan pasar
diijalankan secara gencar melalui
aktivasi seperti Pesta Generasi Musik
Terkini yang selain mengedepankan
unsur entertainment juga sekaligus
merupakan kegiatan sosial kepada
masyarakat melalui donasi yang
digalang melalui request lagu melalui
radio. Kegiatan yang terkait dengan
dengan kepentingan masyarakat juga
dilakukan oleh Jak tv seperti aktivitas
rutin di Car Free Day. Penganugerahan
kepada tokoh-tokoh berpengaruh
secara konsisten dilakukan melalui
program Tokoh Perubahan Republika.

and increase the performance of the
company in 2015. We believe that other
strategic plans must be flexible and
adaptable in order to face the changes
of the business environment, both
internally and externally.
Perfomance In 2015
The product development and market
expansion efforts was implemented
through activation programs such as
Pesta Generaksi Musik Terkini, a social
activity towards the people through
donations received from song requests
through radios, which accentuates the
elements of entertainment. The activity
related to the public’s welfare is also
done by Jak tv through their routine
Car Free Day activity. Awards give to
influential figures were held through
a program called Tokoh Perubahan
Republika. In addition, the novel Rindu
which was published by PAB received
a 2015 Islamic Book Award during the
Islamic Book Fair.

Berbagai faktor eksternal seperti regulasi
pada bisnis media luar ruang, kondisi
makro ekonomi dan perubahan pola
konsumsi masyarakat terhadap media
terjadi di tahun 2015 dan tentunya
memberi dampak pada industri.
Menghadapi hal tersebut, Mahaka
Media berpikir jauh kedepan untuk
peningkatan di tahun berikutnya, seperti
dengan adanya penambahan asset
OOH berupa videotron yang berlokasi
di Pondok Indah. Kerjasama strategis
guna memperluas cakupan audience
dilakukan bersama salah satu pengelola
property besar di tanah air agar di
tahun berikutnya semakin memiliki
kemampuan untuk menangkap peluang
yang lebih besar. Sinergi sejumlah unit
usaha Mahaka diwujudkan salah satunya
melalui program sosial dan edukasi
untuk meningkatkan kemampuan anak
sebagai generasi penerus dan memberi
pengetahuan dan pengalaman belajar
di dunia media melalui program Mahaka
Kids.
Dari sisi kinerja keuangan dan
perolehan target market, Perseroan
membukukan pendapatan sebesar
Rp290.556.699.926,- di tahun 2015
dan untuk perolehan pasar, mampu
mempertahankan dominasi melalui
market share radio konvensional serta
kenaikan jumlah kepemirsaan pada
kategori media lainnya.
Prospek dan Strategi 2016
Pertumbuhan internet akan
dimanfaatkan oleh Mahaka Media
untuk mendistribusikan konten dan
entertainment serta pengembangan
produk sehingga dapat memberikan
layanan kepada konsumennya dengan
lebih baik. Penetrasi market Digital OOH
milik Mahaka Media masih mampu terus

through a social and educational program
which serves to increase the ability of a
child as the future generation and to give
knowledge of the media world through a
program called Mahaka Kids.
From the financial and market
target income performance, the
company recorded an income of
Rp290.556.699.926,- in 2015 and for
the market share, the company is able
to preserve its domination through
conventional radio market share as well
as increase the number of viewers in
other media categories.
Prospect And Strategy In 2016
The growth of the internet will be taken
advantage of by Mahaka Media to
distribute content and entertainment, as
well as develop products so that it can
give the best service to its consumers.
The DOOH market penetration of Mahaka
Media is still able to compete along
with the growth of its asset ownership.
According to Nielsen Listenerships Study,
the radio unit belonging to Mahaka Media
is still able to place in the first sequence.
It dominated the market of listeners
in Indonesia and is still 14% higher
compared to other groups.
The company’s commitment to build a
strong foundation will lead to an increase
in performance and a rise in the market
share. One of the primary factors
important to achieve lies in its Human
Resources. Therefore, an increase in
competence and quality is heightened
in 2016. Mahaka Media applies the 4 S

bersaing seiring dengan pertumbuhan
kepemilikan asetnya, sementara unit
radio milik Mahaka Media juga masih
mampu menempati urutan pertama
dengan dominasi pasar pendengar Radio
seluruh Indonesia yang masih mencapai
14%, tertinggi bila dibandingkan dengan
grup Radio lainnya berdasarkan Nielsen
Listenerships Study.
Komitmen Perseroan untuk terus
membangun fundamental perusahaan
yang baik sehingga dapat memberikan
tingkat performa yang semakin baik
diiringi dengan peningkatan market
share secara keseluruhan. Salah satu
faktor penting untuk mencapai upaya
tersebut terdapat pada kemampuan
SDMnya. Oleh karena itu, peningkatan
kompetensi serta kualitas di tingkatkan
di tahun 2016. Mahaka Media sebagai
induk usaha menetapkan strategi 4 S
(Strategic, Service, Supportive, Simple)
kepada unit bisnisnya.
Penerapan Tata Kelola Perusahaan
Perseroan senantiasa menjaga dan
menjunjung tinggi nilai-nilai integritas
serta menerapkan prinsip-prinsip tata
kelola perusahaan yang baik (Good
Corporate Governance - GCG) dalam
setiap kegiatan usahanya. Dewan
Komisaris bersama Direksi sepakat
untuk menerapkan prinsip-prinsip tata
kelola yang untuk memastikan kepatuhan
Perusahaan terhadap peraturan
perundang-undangan dan praktik bisnis
yang sehat.
Dewan Komisaris berkomitmen untuk
memberikan dukungan kepada Direksi,
bukan hanya dengan melaksanakan
fungsi pengawasan yang lebih
komprehensif, namun juga secara
berkelanjutan melakukan kajian,
memberikan rekomendasi, dan
persetujuan terhadap corporate action
dan business plan yang diusulkan oleh
Direksi. Dewan Komisaris dibantu oleh

Implementation Of Good Corporate
Governance
The company maintains and holds in high
regards the values of integrity as well as
implement principles on good corporate
governance in every activity. The Board
of Commissioners and Directors made
a unanimous decision to implement the
good corporate governance to ensure the
company’s conformity to the rules and
regulations.
The Board of Commissioners made a
commitment to give their support to
the Directors, not only to execute the
more comprehensive oversight function,
but also to give routine inspections,
recommendations, and approvals
towards corporate action and business
plan recommended by the Directors.
