Menyetujui Perubahan Anggaran Dasar Bank, sehubungan dengan
ketentuan otoritas Jasa Keuangan (oJK) tentang Rencana dan
Penyelenggaraan Rapat Umum Pemegang Saham Perusahaan
Terbuka, dan merubah Anggaran Dasar Bank, sehubungan dengan
ketentuan oJK tentang Direksi dan Dewan Komisaris Emiten atau
Perusahaan Publik.

Approval of Amendment of Articles of Association of the Bank, in
relation to the Financial Services Authority (FSA) discussing about
planning and execution of Public company’s general Meeting of
Shareholders, related to FSA’s regulation dealing with Board of
Directors and commissioners in Public Listed company.

Menyetujui penambahan modal dengan mengeluarkan sebanyakbanyaknya 1.270.655.670 (satu miliar dua ratus tujuh puluh juta
enam ratus lima puluh lima ribu enam ratus tujuh puluh) saham
baru dari portepel, dengan menerbitkan Hak Memesan Efek
Terlebih Dahulu (HMETD) dalam Penawaran Umum Terbatas I (PUT
I), dengan nilai nominal sebesar Rp. 100,- (seratus Rupiah) per
saham, pada Harga Pelaksanaan yaitu sebesar Rp. 100,- (seratus
Rupiah) per saham.

Approval of increasing capital by releasing as much as
1.270.655.670 (one billion two hundred seventy million six
hundred fifty five thousand six hundred seventy) new shares from
unissued company portfolio, by releasing Limited Public offering I
with nominal value Rp. 100. (one hundred Rupiah) per share, on
performing price Rp. 100 (one hundred Rupiah) per share.

Pada tahun 2015, Bank melaksanakan Penawaran Umum Terbatas
I (PUT I), dengan tanggal pencatatan saham baru di Bursa Efek
Indonesia sejak 23 Desember 2015 sampai dengan 6 Januari 2016.
Modal ditempatkan dan disetor Bank hasil PUT I menjadi Rp. 5.256
juta.

In 2015, the Bank performed Limited Public offering I, which dated
Statement of New Shares in Indonesian Stock Exchange from
December 23, 2015 to January 6, 2016. capital as the result of
Limited Public offering I was placed and paid up by Bank, had
accumulated to Rp. 5.256 million.

Persetujuan atas Laporan Tahunan Bank dan pengesahan atas
perhitungan laporan keuangan tahunan Bank untuk tahun buku
2014; serta memberikan pembebasan dan pelunasan (acquit
et decharge) sepenuhnya kepada Direksi dan Dewan Komisaris
Bank; persetujuan atas penggunaan laba bersih Bank Tahun Buku
2014; persetujuan untuk memberikan kewenangan kepada Dewan
Komisaris untuk menetapkan besarnya remunerasi dan/atau
tunjangan lain bagi Anggota Direksi dan Dewan Komisaris Bank
untuk Tahun Buku 2015; persetujuan untuk memberikan wewenang
kepada Dewan Komisaris untuk menunjuk Kantor Akuntan Publik
yang akan melakukan audit terhadap Laporan Keuangan Bank
untuk tahun buku 2015 dan periode-periode lainnya dalam tahun
buku 2015 (apabila diperlukan) serta untuk menetapkan honorarium
Akuntan Publik beserta persyaratan-persyaratan lainnya; Laporan
Realisasi Penggunaan Dana Hasil Penawaran Umum.

The Approval for the Annual Report 2014 and the verification
of Bank’s annual financial report for 2014 period; also granting
exemption and repayment in full to the Board of Directors and
commissioners; Approval for Bank’s Nett Profit Utilization in 2014;
Approval in letting Board of commissioners to set the amount
of remuneration and/or other benefits for members of Board of
Directors and commissioners for 2015 period; Approval for Board
of commissioners in nominating Public Accountant to audit the
Bank’s financial report in 2015 and anything related within the
same years (if needed) as well as determining emoluments for
certified Public Accountant including other requirements such as
the Realization Report of Public offering Fund.

The policy of Bank’s dividend distribution was set based on the
shareholders decision in Annual general Meeting of Shareholders
based on the recommendation of the Board of Directors. The Bank
could distribute dividend in the year in which the Bank recorded
positive retained earnings with reserve based on the UUPT.

Bank dapat memberikan usulan pembagian dividen kas sebanyakbanyaknya 30% dari laba tahun berjalan, dimulai tahun 2015
berdasarkan laba tahun berjalan tahun buku 2014, dengan
mempertimbangkan berbagai macam faktor meliputi keberhasilan
dan mengimplementasikan strategi bisnis, keuangan, persaingan
dan peraturan otoritas perbankan yang berlaku khususnya faktor
kecukupan modal (cAR), kondisi perekonomian secara umum dan
faktor-faktor lain yang spesifik terkait industri perbankan.

The Bank could provide a cash dividend proposal as much as
30% form the profit of the year, starting in 2015 based on the
profit of the year 2014, by taking into account various factors
including the success and implementation of business strategy,
financial, competition and regulatory banking authority that applied
particularly in capital adequacy ratio (cAR), economic condition in
general and other specific factors related with the banking industry.

Pada tahun 2015, kebijakan pembagian dividen Bank berdasarkan
hasil RUPST 2014 adalah Bank belum dapat membagikan dividen
kepada Pemegang Saham, mengingat Bank masih memerlukan

PENILAIAN ATAS
KINERJA dIREKSI

ASSESSMENT ON THE BOARd Of
dIREcTORS’ PERfORMANcE

Kondisi perekonomian yang kurang menguntungkan sejak 2014,
masih berlanjut di 2015. Laju pertumbuhan ekonomi hanya
mencapai 4,7% akibat dari ketidakpastian global yang terus
berlanjut dibarengi dengan minimnya penggerak pertumbuhan
ekonomi domestik. Sektor komoditi yang beberapa tahun lalu
menjadi mesin penggerak pertumbuhan ekonomi masih terpuruk,
sedangkan permintaan ekspor juga terganggu karena lemahnya
pertumbuhan ekonomi di Eropa, Amerika Serikat, Jepang, dan
china.

The unsavory financial condition that started since 2014 still
continued in 2015. The economic growth only scaled up to 4.7%
due to the global instability that had been continuing along side
with minimum domestic economy growth. commodities sector
which several years ago had been the engine of this country’s
economic growth, still suffered from the crisis. on the other hand,
export demands had also been disturbed because of low economic
growth in Europe, United States, Japan and china.

Kondisi tersebut menyebabkan non performing loan (NPL) industri
perbankan secara rata-rata mengalami peningkatan dibandingkan
tahun 2014. Namun di tengah trend peningkatan NPL tersebut,
Bank Agris tetap menunjukkan jati dirinya sebagai bank kecil yang
konservatif dengan mencatatkan NPL bruto hanya sebesar 1,75%.
Apresiasi kepada Direksi Bank atas kehati-hatian yang ditunjukkan
di tengah tendensi penurunan kualitas kredit perbankan tersebut.

Those conditions had caused NPL banking industry in general
experiencing improvement compared to 2014. However, in the
middle of NPL increasing trend, Bank Agris kept on showing its
true identity as a conservative small bank by recorded bruto NPL
only as much as 1.75%. Appreciation to the Board of Directors
of the Bank was given for their cautioness shown amidst all the
tendency of decreasing bank loan quality.

Dari aspek keuangan, pencapaian kinerja Bank tergolong cukup
memadai. Pertumbuhan kredit mencapai 13,03% sedangkan aset
hanya bertumbuh 2,83%. Capital Adequacy Ratio (CAR) Bank tetap
terjaga pada level 17,35%. Meskipun profit belum optimal, Dewan
Komisaris dapat memahami kondisi tersebut karena merupakan

From financial perspective, the Bank’s performance achievement
was categorized as satisfactory. Loan credit growth had reached
13,03% while asset growth had only reached 2,83%. Bank’s
capital Adequacy Ratio was kept at level of 17,35%. Although the
profit was not in optimal state, the Board of commissioners could
understand this condition due to its trade-off nature resulted from
principle of awareness amidst all global uncertainties along with
expansion planning implementation to agribusiness sector.

Dari aspek pengembangan bisnis, Dewan Komisaris melihat
bahwa positioning Bank semakin membaik yang ditandai dengan
perbaikan rasio cASA terhadap dana pihak ketiga (DPK). Dalam
upaya menarik DPK dari masyarakat, Bank tidak ikut dalam perang
bunga sebagaimana peers bank. Sebagai dampaknya, suku bunga
dasar kredit Bank mengalami penurunan dari 12,52% pada awal
2015 menjadi 11,60% di akhir 2015.

From business development aspect, the Board of commissioners
saw the Bank’s positioning would get better shown by the
improvement in cASA ratio to Third Party Fund (TPF). In effort
of gathering TPF from society, Bank didn’t participate in interest
wars like most Banks were. As a result, the Bank’s base interest
rate experiencing reduction from 12,52% on beginning of 2015 to
11.60% by the end of 2015.

Bank juga telah merumuskan Visi Agris 2020 sebagai bank fokus
pada sektor agribisnis. Untuk mewujudkan visi tersebut, Bank
mengembangkan jaringan kantor dengan membuka beberapa
kantor fungsional sebagai tempat pemasaran agribisnis. Saat
ini, fokus agribisnis masih pada bidang yang telah dikuasai yaitu
peternakan dan perikanan. Kedua bidang tersebut kurang diminati
oleh perbankan pada umumnya karena risiko yang cukup tinggi.
Namun dengan bekal pemahaman yang lebih baik terhadap
karakteristik peternak dan petambak, Bank meyakini bahwa
peluang pembiayaan masih terbuka lebar.

Bank also had formulated its 2020 Agris Vision as a Bank focused in
agribusiness sector. To manifest the vision, Bank developed offices
network by opening several function offices as marketing places
for agribusiness. on this time, agribusiness was still focusing on
already familiar segment such as farming and fishery. Those two
fields, somehow were not favored by banking society, due to their
considerably high risk. However, thanks to better understanding
to farmers’ and fishermen’s characteristics, Bank believed that the
funding opportunities were still wide open and available.

Disamping itu, kemajuan teknologi yang dapat mempermudah
akses ke daerah dan desa yang menjadi sentra peternak atau
petambak dapat mengintegrasikan dan memonitor perkembangan
usaha debitur dengan lebih baik. Melihat potensi di bidang
peternakan dan pertambakan, namun di sisi lain risiko yang cukup
besar, Bank menempuh strategi untuk tumbuh dengan kecepatan
moderat tetapi fokus pada bidang tertentu dan pengelolaan risiko
yang moderat.

Besides that, the technological advancement facilitating access
to rural areas and villages where most farmers and fishermen
resided made it so much easier for Bank to integrate and monitor
debtors’ business activities. Realizing the great potency in farming
and fishery business, despite its high risk, had strenghtened the
Bank ‘s resolve in following business strategy that was growing in
moderate speed while maintaining its focus on selected field while
kept managing risk moderately.

Dari aspek tata kelola, Dewan Komisaris melihat bahwa dalam
penerapan prinsip-prinsip dasar, Bank telah mengikuti kaidah
yang ditetapkan oleh otoritas Jasa Keuangan sehingga rating
gcg dapat dijaga pada tingkat yang cukup baik. Dewan Komisaris
sangat terbantu oleh Komite Audit, Komite Pemantau Risiko, dan
Komite Nominasi dan Remunerasi yang secara aktif memberikan
masukan terhadap proses penegakan tata kelola.

From corporate governance point of view, the Board of
commissioners realized that in practicing basic principles, Bank
had followed regulations issued by FSA in order for gcg could be
maintained on acceptable level. The board of commissioners truly
appreciated with helps from Audit committee, Risk Monitoring
committee and Nomination and Remuneration committee who
actively gave their consults in improving corporate governance of
the Bank.

Namun demikian, Dewan Komisaris berpendapat bahwa
masih perlu dilakukan banyak pembenahan, khususnya dalam
menumbuhkan budaya sadar risiko di setiap level. Penguatan
first layer of defence dalam pemberian kredit dan pengelolaan
operasional yang aktifitasnya lebih banyak di cabang menjadi
agenda yang harus dibenahi pada tahun mendatang.

However, the Board of commissioners were agreed that
restructurization was needed especially in growing risk awareness
culture in every level of Bank management. Strenghtening first layer
of defence in granting loan credit and operational management
which mostly happened in branch offices became agenda that
needed to be revamped next year.

di lembaga pendidikan dan pengembangan manajemen (lppm)
Jakarta. selanjutnya beliau bergabung dengan pt Makindo Securities,
kemudian bergabung dengan pt Global penta mandiri dan menjabat
posisi sebagai presiden direktur pt Global investama mandiri pada
tahun 1999-2005.
Kemudian beliau menekuni investment dengan bekerja di pt Insight
Investment Management sebelum bergabung di bank. pada desember
2007, melalui mekanisme rapat umum luar biasa pemegang saham,
beliau ditetapkan untuk diangkat menjadi Komisaris independen bank
dan menjadi efektif setelah lulus it and proper test dari bank indonesia
pada 23 mei 2008.

2008, after passing the required fit and proper test conducted by Bank
Indonesia.

pegembangan bisnis, pt danareksa sekuritas sebagai direktur senior,
pt mandiri sekuritas sebagai eksekutif Wakil presiden dan pt sarana

Head of Agribusiness Division (2001), Corporate Secretary of BRI (20012003), Regional Manager (2003-2005), GM/Head of Consumer Banking
Division (2005-2006) and Vice President Director of PT BTMU BRI-Finance,

Rakyat Indonesia (Persero) Tbk in 2006-2011. After his retirement from BRI,

Proyeksi tahun 2016, kinerja perbankan akan lebih baik dikarenakan
turbulensi perekonomian telah mereda. Diperkirakan sektor
infrastruktur akan meningkat dan akan terjadi perbaikan dari
sisi kredit. Salah satu keunggulan Bank Agris yang belum besar
membuat Bank cukup memiliki ruang dalam menjalankan
usahanya. Hal utama yang perlu dilakukan Bank adalah menjaga
likuiditas pada tingkat yang memadai, LDR pada tingkat 85 – 90%,
dan NPL di bawah 2%.

2016’s target, banking performance was hoped for the better
because of the ending of economic turbulence. Estimated
infrastructure sector would rise and there would be enhancement
in credit aspect. one of the Bank Agris’ advantages as a medium
sized bank was the availability of unimpeded room to operate its
business. The main thing Bank needed to do were to maintain
acceptable liquidity level. LDR level on 85 – 90%, and NPL level
under 2%.

Target Bank di tahun 2016 adalah menjadi BUKU 2, sehingga
tahun ini akan menjadi tahun penting bagi Bank karena akan terjadi
perubahan status dari BUKU 1 menjadi BUKU 2 yang berarti perlu
melakukan penyesuaian pada produk dan fasilitasnya.

Bank’s target in 2016 was to reach BUKU 2, and so this year had
become an important year for Bank because there would be status
change from BUKU 1 to BUKU 2 which meant that accordance was
needed for its products and facilities.

Bank telah menyiapkan blue print untuk lima (5) tahun mendatang
atau sampai dengan tahun 2020. Misi Bank akan lebih fokus
kepada agribisnis dengan perkiraan porsi sebesar 30% dari sektor
ekonomi. Tahap pembentukan diperkirakan akan membutuhkan
waktu 2 tahun melalui sarana kantor fungsional yang telah tersebar
di beberapa lokasi daerah agribisnis.

Bank had prepared blue print for next five (5) years or until 2020. The
Bank’s mission was to become more focused in agribusiness with
estimated portion of 30% from economy sector. Establishment
step was estimated to take two years with function offices facilities
that had spread to other locations in agribusiness area.

Kinerja Bank tahun 2015 secara keseluruhan cukup baik walaupun
pada tahun 2014-2015, kondisi perekonomian kurang kondusif.
Peningkatan tetap terjadi pada dana pihak ketiga (DPK) menjadi
sebesar Rp. 3.494.487 juta dari tahun sebelumnya Rp. 3.482.969
juta atau peningkatan 0,33%, kredit menjadi sebesar Rp.
2.755.965 juta atau peningkatan 13,03% dari tahun sebelumnya
Rp. 2.439.290 juta, pertumbuhan aset meningkat 2,83% dari Rp.
4.101.329 juta di tahun 2014 menjadi Rp. 4.217.368 juta di tahun
2015, dan surat berharga Rp. 502.908 juta dari tahun sebelumnya
Rp. 271.767 juta atau peningkatan 85,05%.

The Bank’s overall performance in 2015 was satisfactory although
in 2014-2015, economic situation was not favorable. Progress took
place on Third Party Funds with total of Rp. 3,494,487 million from
last year’s amount of Rp. 3,482,969 million which was increased
by 0.33%, loan credit growth from Rp. 2,439,290 million in 2014
to Rp. 2,756,965 million in 2015 which was increased by 13.03%.
Bank’s asset was increased by 2.83% from Rp. 4,101,329 million
in 2014 to Rp. 4,217,368 million in 2015, obligation and securities
amounted to Rp. 502,908 million compared to previous year
amount of Rp. 271,767 million, which was improved by 85.05%.

Di tahun 2015, Bank melaksanakan Penawaran Umum Terbatas I
(PUT I) dengan jumlah keseluruhan saham yang telah diterbitkan
sebanyak 1.020.657.744 saham atau senilai Rp. 102.066 juta. Dana
yang diperoleh dari PUT I, setelah dikurangi biaya-biaya emisi
saham, akan digunakan seluruhnya untuk penambahan modal
untuk ekspansi kredit. Kami harapkan dengan adanya penambahan
modal dan pertumbuhan DPK, Bank dapat lebih besar lagi dalam
menyalurkan kredit ke masyarakat.

In 2015, Bank performed Limited Public offering I with total
released shares as much as 1,020,657,744 shares or equivalent to
Rp. 102,066 million. capital collected from Limited Public offering
I, after deducted from share emission, would be used completely
for share interpolation for credit expansion. We expected there
would be capital increment and third party fund growth, and
because of it, Bank were able to dispense greater amount of credit
to people and society.

Demikian juga untuk cAR telah menjadi sebesar 17,35%, hal ini
menunjukkan Bank telah mengoptimalkan permodalan yang ada.
Sementara mengenai harga saham Bank di Bursa Efek Indonesia
terjadi penurunan, dari harga saham perdana Rp. 110 menjadi Rp.
85 di akhir tahun ini.

Likewise for cAR’s growth had reached 17.35%, this showed
that Bank had optimized existing capital. While the stock price of
Bank Agris in Indonesian Stock Exchange experienced downward
progress from the initial shares price of Rp. 110 into Rp. 85 by the
end of this year.

Dalam rangka pengembangan jaringan kantor, Bank telah
membuka tujuh (7) kantor fungsional, yaitu di kabupaten garut,
Subang, Kediri, Jember, Magelang, Purwodadi, dan Pekalongan
yang berfungsi untuk memasarkan produk kredit Mikro Agris
Solusi (MAS), yaitu usaha peternakan ayam, pertambakan udang
dan ikan. Sedangkan pembukaan cabang baru belum direalisasikan
karena kondisi makro tahun 2015 belum kondusif.

As the expansion of office networks, Bank had established seven
(7) function offices in regencies such as garut, Subang, Kediri,
Jember, Magelang, Purwodadi and Pekalongan which function
was to market credit product Mikro Agris Solusi (MAS) as example,
poultry, shrimp farm and fishery. Instead, opening of new branch
offices had not been realized because of unconducive macro
economy situation in 2015.

Perekonomian Indonesia melambat sejak 1-2 tahun terakhir.
Kondisi ini juga berpengaruh pada industri perbankan dimana
perlambatannya berdampak sejak tahun lalu. Bila pada tahun 2014
tantangannya dari likuiditas dan kenaikan suku bunga, sedangkan
pada tahun 2015, perbankan dihadapkan pada risiko kredit, yaitu
merupakan dampak dari kenaikan harga BBM yang terjadi pada
kuartal IV tahun lalu yang mengakibatkan daya beli masyarakat
menurun. Dalam menghadapi tantangan di risiko kredit, Bank lebih
berkonsentrasi pada bidang ini, mulai dari melakukan monitoring
sampai kepada penagihan, dan memperkuat proses pemberian
kredit.

Indonesian economy had slowed down in past two years. The
condition also affected banking industry which slowdown had
started from last year. In 2014, the challenges came from liquidity
and rising of interest rates, while in 2015, banking segment was
faced with credit risk, resulted as effect from the rising price of
petroleum in last quarter of last year that reduced society buying
power. In tackling credit risk challenges, the Bank concentrated
more in this area starting from monitoring to billing and
strenghtening credit granting process.
