SEKILAS MAHAKA MEDIA
MAHAKA MEDIA AT A GLANCE
Mahaka Media dengan semboyan “Unlimited Content Creation”,
merupakan perusahaan media multiplatform yang membuat,
menjual, mengumpulkan dan mendistribusikan konten-konten
komunitas melalui semua platform yang dibutuhkan konsumen.
Perseroan ini berlokasi di Sahid Oice Boutique Blok G, Jl. Jend.
Sudirman Kav. 86, Jakarta 10220 (sebelumnya di Plaza Asia/ABDA).
Tahun 2002 menjadi tahun penting dalam sejarah berdirinya
Mahaka Media, karena tepatnya pada 3 April 2002 Perseroan
pertama kali mencatatkan sahamnya di Bursa Efek Jakarta (BEJ)
sebagai PT Abdi Bangsa Tbk. Langkah ini menjadikan Perseroan
sebagai perusahaan penerbitan surat kabar pertama yang menjadi
Perseroan Publik.
Mahaka Media with the tagline “Unlimited Content Creation”,
is multiplatform media company making, selling, collecting
and distributing the community contents through all platforms
needed by the consumers. This company is domiciled in Sahid
Oice Boutique Blok G, Jl. Jend. Sudirman Kav. 86, Jakarta 10220
(previously at Plaza Asia/ABDA).
PT Mahaka Media Tbk (Perseroan) didirikan di Jakarta
dengan nama PT Abdi Bangsa pada tanggal 28 November 1992
berdasarkan Akta No. 229, kemudian diubah dengan Akta No. 157
tanggal 17 Desember 1992, yang keduanya dibuat di hadapan Ny.
S.P. Henny Shidki, S.H., Notaris di Jakarta dan telah memperoleh
persetujuan dari Menteri Kehakiman Republik Indonesia dengan
Surat Keputusannya No. C2-10310.HT.01.01.TH.92 tanggal 19
Desember 1992 serta diumumkan dalam Berita Negara Republik
Indonesia No. 9/1993 tanggal 29 Januari 1993, tambahan No.
564/1993. Pada tanggal 4 Januari 1993, Perseroan mendirikan
Harian Republika, surat kabar pertama bagi komunitas Muslim
di Indonesia. Rapat Umum Pemegang Saham Luar Biasa
(RUPSLB) tanggal 4 Mei 2010, memutuskan perubahan nama
PT Abdi Bangsa Tbk menjadi PT Mahaka Media Tbk dan telah
memperoleh persetujuan dari Menteri Hukum dan Hak Asasi
Manusia RI berdasarkan keputusan No. AHU-24811.AH.01.02
Tahun 2010, pada tanggal 17 Mei 2010.
Pada tahun 2003, Mahaka Media mulai mengawali
perkembangannya sebagai sebuah Induk Perusahaan Multi Media
(Multi Media Holding Company) dengan membawahi 2 (dua) unit
usaha yaitu PT Pustaka Abdi Bangsa dan PT Republika Media
Mandiri. Kemudian, melalui Penawaran Umum Terbatas III pada
tanggal 29 September 2004, Mahaka Media mengembangkan
bisnisnya dengan mengakuisisi seluruh kepemilikan PT Indopac
Usaha Prima di beberapa perusahan lain seperti PT Media
Golindo yang bergerak dalam penerbitan majalah berlisensi, PT
Mahaka Visual Indonesia yang bergerak di bidang animasi dan PT
Avabanindo Perkasa yang bergerak dalam media iklan luar ruang,
sehingga memperkuat kedudukan Perseroan menjadi Perusahan
Induk Multi Media.
PT Mahaka Media Tbk was organized with the name PT Abdi
Bangsa Tbk, on 28 November 1992 based on Deed No. 229, and
amended by the Deed No. 157 of 17 December 1992, both drawn
up before Ny. S.P. Henny Shidki, S.H., Notary of Jakarta and has
been approved by Minister of Justice of the Republic of Indonesia
with his his Letter of Decision No.C2-10310.HT.01.01.TH.92 of
19 December 1992 and published in the State Gazette of the
Republic of Indonesia No. 9/1993 of 29 January 1993, supplement
No. 564/1993. On 4 January 1993, The Company incorporated
Republika Daily, the irst newspaper for the Moslem community in
Indonesia. At the Extraordinary General Meeting of Shareholders
( EGMS) convened on 4 May 2010, PT Abdi Bangsa Tbk was
changed to PT Mahaka Media Tbk and it has been approved by
Minister of Law and Human Rights of the Republic of Indonesia
pursuant to the Decree No. AHU-24811.AH.01.02 of 17 May 2010.
Semenjak pendirian Perseroan, Anggaran Dasar Perseroan
telah beberapa kali mengalami perubahan. Adapun perubahan
Anggaran Dasar Perseroan terakhir adalah berdasarkan Akta
Pernyataan Keputusan Rapat Umum Pemegang Saham (RUPS)
No. 27 tanggal 28 Juni 2013 yang dibuat oleh Notaris Zulkili,
S.H., Notaris di Jakarta. Perubahan Anggaran Dasar tersebut
telah memperoleh persetujuan dari Menteri Hukum dan HAM
RI berdasarkan Keputusan No. AHU-AH.01.10-38620 tanggal 13
September 2013, dengan Daftar Perseroan Nomor AHU-0087006.

Sejalan dengan perkembangan usahanya, kini PT Mahaka Media
Tbk telah menjadi Induk Perusahaan Multi Media dengan total
karyawan di seluruh unit usaha mencapai lebih dari 1.000 orang.
Unit-unit usaha tersebut termasuk Surat Kabar, Majalah, Penerbit
Buku, Televisi, Radio, Media Luar Ruang serta Media Digital.
Setiap unit bisnis tersebut berhasil membangun kekuatan dari
masing-masing karakter produk, seperti Harian Republika sebagai
Surat Kabar Muslim terbesar di Indonesia, Golf Digest Indonesia
sebagai Majalah Golf No. 1 di Indonesia, Jak tv sebagai stasiun TV
lokal Jakarta, serta Gen FM sebagai stasiun radio No. 1 di Jakarta
dengan jumlah pendengar terbanyak. Seluruh pencapaian yang
telah diraih oleh PT Mahaka Media Tbk melengkapi Mahaka
Media sebagai Induk Perusahaan Multi Media terintegrasi, kuat
dan terus berkembang.
Since the establishment of the Company, the Articles
of Association of the Company has been amended several
times. The last amendment of the Articles of Association of
the Company is based on the Deed of Statement of General
Meeting of Shareholders (GMS) No. 27 of 28 June 2013 drawn
up by Notary Zulkili, S.H., Notary of Jakarta. The amendment
to such Articles of Association has been approved by Minister of
Law and Human Right of the Republic of Indonesia pursuant to
the Decree No. AHU-AH.01.10-38620 of 13 September 2013,
with the Company Register No. AHU-0087006.AH.01.09 of
13 September 2013.
The year 2002 is the important year in the history of the
establishment of Mahaka Media, when precisely on 3 April 2002,
the company initially registered its shares as PT Abdi Bangsa
Tbk in Jakarta Stock Exchange (BEJ). This is noted as the irst
newspaper publishing company to become a public company.
In the year 2003, Mahaka Media commeneces its development as
a (Multi Media Holding Company) subordinating 2 (two) business
units namely PT Pustaka Abdi Bangsa and PT Republika Media
Mandiri. Subsequently, through the Limited Public Ofering III
on 29 September 2004, Mahaka Media developed rapidly by
acquiring the entire ownership of PT Indopac Usaha Prima in
several other companies like PT Media Golindo engaged in the
area of the publication of licensed magazines, PT Mahaka Visual
Indonesia engaged in the area of animation and PT Avabanindo
Perkasa engaged in the area of outdoor advertising media,
strengthening the position of the Company to be Multi Media
Holding Company accordingly. In line with the growth of its
businesses, PT Mahaka Media Tbk has now become a Multi Media
Holding Company with the total employees in all business units
reaching more than 1.000 employees. Its business units include
Newspaper, Magazine, Book Publisher, Television, Radio, Outdoor
Media and Digital Media. Each of the business unit has succeded
in establishing superiority of each character of the product, like
Harian Republika Daily as the biggest Moslem Newspaper in
Indonesia, Golf Digest Indonesia as the No. 1 Golf Magazine
in Indonesia, Jak tv as a local TV station in Jakarta, and Gen FM
as No. 1 radio station in Jakarta with the majority listeners. All
of the achievements made by PT Mahaka Media Tbk have made
Mahaka Media as an integrated, reliable Company and it will
keep prospering.

FOREWORD FROM THE PRESIDENT COMMISSIONER
Para pemegang saham yang terhormat,
The honorable shareholders,
Atas nama Dewan Komisaris, pertama-tama kami sampaikan
Alhamdulillah, puji syukur kita panjatkan ke hadirat Allah SWT
yang telah melimpahkan rahmat dan karunia-Nya sehingga kita
semua diberikan kekuatan dan kesempatan untuk menjalankan
tahun 2013 ini. Kompetisi persaingan antar group media
semakin ketat, namun Mahaka Media masih tetap berhasil
meningkatkan kinerjanya.
On behalf of the Board of Commissioners, irst of all let us say
Alhamdulillah, prayer of thanks and gratitude to Almighty God
for all the blessings given to all of us so that we are blessed with
strength and opportunity to live this year 2013. Despite the tighter
competition between media groups, Mahaka Media still managed
to improve its performance.
Keberhasilan manajemen dalam pengelolaan bisnis tentunya
tidak terlepas dari komitmen, kerja keras serta kemampuan
seluruh jajaran karyawan yang terlibat. Salah satu yang menjadi
faktor penunjang keberhasilan di tengah situasi kompetisi yang
dialami adalah inovasi-inovasi baru yang lahir berkat adanya
sinergi dan kerjasama tim yang semakin solid di antara seluruh
level karyawan Mahaka Media.
Agar inovasi tersebut selalu searah dengan visi dan misi
Perseroan, Direksi selalu menjalankan prinsip-prinsip manajemen
Plan-Do-Check-Action (PDCA), serta melaksanakan praktek tata
kelola Perseroan dengan baik. Dalam hal pelaksanaan fungsi
pengawasannya terhadap Perseroan, Dewan Komisaris dibantu
oleh beberapa Komite, yaitu : Komite Audit, Komite Remunerasi,
Komite Investasi, Komite SDM dan Komite GCG, yang berfungsi
untuk memastikan bahwa kegiatan operasional perseroan
dilakukan dengan sistem yang baik dan benar.

The success of the management in managing the business
is deinitely resulted from the commitment, hard work, and
capability of the Board of Directors and its stafs. One of the
successful supporting factors in the middle of competing
situation is the presence of synergy and team work which
become more solid among all employee's level of Mahaka Media
so that new innovations always occurs to overcome a dynamic
situation and condition of the market.
To make the innovation in line with the company's vision
and mission, the Board of Directors always implements
a Plan-Do-Check-Action (PDCA) management principles and
a good corporate governance practice. In the implementation
of its supervisory function towards the Company, the Board of
Commissioners is assisted by a number of Committees namely:
Audit Committee, Remuneration Committee, Investment
Committee, Human Resources Committee and GCG Committee,
which function is to ensure that the operational activities of the
company will be carried out with a good and proper system.

Guna meningkatkan fungsi dan kinerja pada beberapa bidang
usaha, susunan Dewan Direksi berdasarkan keputusan RUPS
Tahunan PT Mahaka Media Tbk tanggal 28 Juni 2013 mengalami
perubahan yakni dengan pengangkatan Bapak Agoosh Yoosran
sebagai Direktur Corporate Afair & Corporate Secretary, Bapak
Harry Danui sebagai Direktur Keuangan, Ibu Henny M. Chandra
sebagai Direktur Penjualan dan Pemasaran serta Bapak Ahmad
Aditya sebagai Direktur Kreatif dan Pengembangan Usaha.
To improve the function and performance in several areas of
business, the Board of Directors composition based on the Annual
General Meeting of Shareholders Resolution of PT Mahaka Media
Tbk dated 28 June 2013 has changed namely by the appointment
of Mr. Agoosh Yoosran as Director of Corporate Afair & Corporate
Secretary, Mr Harry Danui as Director of Finance, Mrs. Henny M.
Chandra as Director of Sale and Marketing and Mr Ahmad Aditya
as the Director of Creative and Business Development.
Memasuki tahun 2014, tentunya tantangan yang dihadapi
industri media dan kreatif akan terus tumbuh dan semakin berat.
Rencana inovasi produk dan layanan membutuhkan dukungan
infrastruktur dan sistem informasi manajemen yang baik. Kondisi
ini juga membutuhkan pemenuhan Sumber Daya Manusia
(SDM) yang kompeten untuk mendorong terciptanya visi dan
misi Perseroan. Diperkirakan Belanja Iklan Nasional 2014 akan
mencapai angka Rp 121 triliun dengan optimisme peningkatan
iklan di media digital, kami yakin bahwa Direksi dapat membawa
Mahaka Media jauh lebih berkembang, salah satunya dengan
menggarap digital media menjadi sektor unggulan baru.
Entering year 2014, the media and creative industry will
surely encounter tougher challenges. The product and service
innovation plan require a good infrastructure and management
information system support. This condition also required the
fulillment of a competent Human Resources (HR) to encourage
the creation of vision and mission of the company. It is predicted
that the National Advertisement Expenditure for 2014 will
reach Rp 121 trillion number with the optimism of the increase
of digital media advertisement, we believe that the Board of
Directors can bring Mahaka Media to be further developed, one
of them by developing a digital media to become a new preeminent sector.
Pada kesempatan ini, Dewan Komisaris menyampaikan
penghargaan dan apresiasi kepada Direksi dan seluruh karyawan
untuk kerja keras dan dedikasinya. Terima kasih juga kami
sampaikan kepada para Pemegang Saham atas dukungan dan
kepercayaan yang diberikan kepada Perseroan untuk mencapai
visi dan misinya. Semoga Allah SWT memberikan berkah-Nya

pada tahun 1968 dari Fakultas Ekonomi
Universitas Indonesia dan gelar MA dari
Harvard University Boston tahun 1986 dan
dari University of Colorado, Boulder, USA
pada tahun 1998.
Menjabat sebagai Komisaris Utama PT
Mahaka Media Tbk sejak tahun 2008.
Sampai saat ini beliau masih aktif sebagai
dosen pascasarjana Universitas Indonesia
dan juga sebagai Komisaris PT Garuda
Indonesia. Selama berkarir, beliau pernah
menjabat di sejumlah posisi penting seperti
Direktur Utama PT Garuda Indonesia,
Pejabat Sementara Sekretaris Menteri
Negara BUMN, anggota Dewan Komisaris
Duta IBJ Bank (Industrial Bank of Japan),
Komisaris Utama Bank Bukopin, Dewan
Direksi The ASEAN Finance Corporation
Singapore, Direktur Utama Bank Duta dan
sebagai Pendiri Sekolah Tinggi Ekonomi
Keuangan dan Perbankan (STEKPI).

Received a Bachelor’s Degree in Economics in
1968 from Faculty of Economics Universitas
Indonesia, Master’s Degree (MA) from
Harvard University Boston in 1986 and from

Serving as the President Commissioner
of PT Mahaka Media Tbk from 2008. To
date he is still active as a lecturer in the

Menyelesaikan pendidikan di Glendale
College, California, AS dan memperoleh
gelar Associate of Arts. Kemudian
memperoleh Bachelor of Arts dari
American College, California serta
mendapatkan gelar MBA dari National
University, California, AS.
Beliau menjabat sebagai Komisaris
PT Mahaka Media Tbk sejak Juni 2010.
Sebelumnya pernah memegang posisi
Direktur Utama PT Mahaka Media Tbk
hingga tahun 2008, dan merangkap
sebagai Direktur Keuangan hingga tahun
2003. Saat ini masih menjabat sebagai
Komisaris Utama PT Beyond Media dan
Direktur Utama PT Visi Media Asia. Selain
itu, beliau juga pernah menjadi Presiden
PERBASI (Persatuan Bola Basket Seluruh
Indonesia) 2004-2006, serta menjabat
sebagai Presiden SEABA (Southeast Asian
Basketball Association) periode 2006-2010
dan 2010-2014, serta sebagai Ketua Komite
Industri Konten dan Aplikasi Kamar Dagang
dan Industri Indonesia (KADIN) periode
2009-2013.

Menyelesaikan pendidikan di Glendale

Menjabat sebagai Komisaris PT Mahaka
Media Tbk sejak tahun 2005. Saat ini
menjabat beberapa posisi di Mahaka Group
yaitu sebagai Direktur PT Mahaka Industri
Perdana, Direktur PT Indopac Usaha Prima,
Direktur Utama PT Ogspiras Basya Pratama,
Direktur PT Sarana Daya Mandiri, Wakil
Ketua Yayasan Dharma Bakti Mahaka dan

of PERBASI (Indonesian Basketball

Dear Shareholders,
Tahun 2013 merupakan periode dimana PT Mahaka Media Tbk
mampu membangun fondasi yang kuat untuk pertumbuhan
berkelanjutan di masa depan. Implementasi yang konsisten
terhadap pengoptimalan kinerja unit-unit bisnis Mahaka Media
berhasil menaikan EBITDA sebanyak 63,65% atau setara dengan
Rp 24.423.240.695,- Diikuti dengan pencapaian Laba Bersih yang
meningkat sebesar 678,52% dari pencapaian tahun 2012 atau setara
dengan Rp 27.427.531.376,- Peningkatan pencapaian ini didukung
oleh pertumbuhan bisnis yang berkualitas, bersama dengan
kemampuan untuk mempertahankan eisiensi operasional.
Year 2013 is the period which PT Mahaka Media Tbk was able
to build a strong foundation for the sustainable growth in the
future. The consistent implementation towards the optimization
of business unit performance of Mahaka Media has succeeded
increasing EBITDA to 63.65% or equal to Rp 24.423.240.695,-.
It was also followed by the achievement of Net Proit which
increased amounting to 678.52% from the year 2012 achievement
or equal to Rp 27.427.531.376,-. Such achievement was supported
by the quality business growth along with the capability to
maintain the operational eiciency.

structure is proven supporting a better implementation strategy.
The implementation of synergy revitalization strategy consisting
of inancial, sales & market and development of products are
strengthening the performance of PT Mahaka Media Tbk.

Challenge and Solution
Dalam mengembangkan usahanya, khususnya di tahun 2013
PT Mahaka Media Tbk menghadapi tantangan antara lain
pemenuhan kebutuhan sumber daya manusia secara tepat
waktu dan sesuai dengan perkembangan bisnis. Selain itu,
sistem Perseroan yang eisien dan efektif untuk memenuhi
kebutuhan Perseroan juga menjadi tantangan dalam mendukung
perkembangan Perseroan ke depannya. Secara berkala, hal-hal
tersebut mulai dibenahi untuk mempercepat pertumbuhan
PT Mahaka Media Tbk.
In developing its business, especially in year 2013, PT Mahaka
Media Tbk faced challenges, among others to fulill the need for
human resources timely and in accordance with the business
development. Additionally, the eicient an efective corporate
system to fulill the Company’s needs also become a challenge
to support the future development of the company. However,
periodically such issues have been resolved to enhance the
future growth of PT Mahaka Media Tbk.
Penerapan tata kelola perusahaan yang konsisten turut serta
mendukung pertumbuhan Perseroan. Melalui kebijakan tata
kelola perusahaan yang dikeluarkan oleh Perseroan serta
peran aktif Dewan Komisaris dan Komite Audit, realisasi target
Perseroan dapat tercapai.

Opportunities in Year 2014
Peningkatan belanja iklan nasional di tahun 2014 yang diperkirakan
akan mencapai Rp 121 triliun menjadi peluang yang sangat baik
untuk meningkatkan performa PT Mahaka Media Tbk. Tidak hanya
itu, peningkatan belanja iklan media digital di tahun 2014 yang
diperkirakan akan mencapai Rp 6.69 triliun, diperkirakan masih akan
tumbuh rata-rata 42% per tahun sampai dengan tahun 2017.
The increase of national advertising expenditure in 2014
is estimated to reach Rp 121 trillion and it become very good
opportunity to improve PT Mahaka Media Tbk performances.
In addition to this, the increase of digital media spending in 2014
is estimated to reach Rp 6.69 trillion, projected to grow an average
of 42% per year until 2017.

Rencana jangka panjang PT Mahaka Media Tbk ke depan
adalah mengembangkan produk-produk digital sebagai sumber
pendapatan alternatif selain optimalisasi kinerja operasional Unit
Bisnis PT Mahaka Media. Selain itu, pengembangan sumber daya
manusia khususnya usia muda produktif menjadi fokus lain dari
PT Mahaka Media Tbk.
The long term plan of PT Mahaka Media Tbk in the future is to
develop a digital products as an alternative income source other
than the optimization of operational performance of business
unit of PT Mahaka Media. Moreover, the development of human
resources especially the productive young age has become the
other focus of PT Mahaka Media Tbk.
Sebanyak 39 juta audience reach yang saat ini dimiliki PT
Mahaka Media Tbk akan menjadi kunci penting dalam strategi
pengembangan produk Perseroan dalam mempertahankan dan
memperluas pasar yang dimiliki.

Media Tbk will become an important key in the strategy for
development of the Company's products in maintaining and
expanding the current market.

MAHAKA MEDIA AT A GLANCE
Mahaka Media dengan semboyan “Unlimited Content Creation”,
merupakan perusahaan media multiplatform yang membuat,
menjual, mengumpulkan dan mendistribusikan konten-konten
komunitas melalui semua platform yang dibutuhkan konsumen.
Perseroan ini berlokasi di Sahid Oice Boutique Blok G, Jl. Jend.
Sudirman Kav. 86, Jakarta 10220 (sebelumnya di Plaza Asia/ABDA).
Tahun 2002 menjadi tahun penting dalam sejarah berdirinya
Mahaka Media, karena tepatnya pada 3 April 2002 Perseroan
pertama kali mencatatkan sahamnya di Bursa Efek Jakarta (BEJ)
sebagai PT Abdi Bangsa Tbk. Langkah ini menjadikan Perseroan
sebagai perusahaan penerbitan surat kabar pertama yang menjadi
Perseroan Publik.
Mahaka Media with the tagline “Unlimited Content Creation”,
is multiplatform media company making, selling, collecting
and distributing the community contents through all platforms
needed by the consumers. This company is domiciled in Sahid
Oice Boutique Blok G, Jl. Jend. Sudirman Kav. 86, Jakarta 10220
(previously at Plaza Asia/ABDA).
PT Mahaka Media Tbk (Perseroan) didirikan di Jakarta
dengan nama PT Abdi Bangsa pada tanggal 28 November 1992
berdasarkan Akta No. 229, kemudian diubah dengan Akta No. 157
tanggal 17 Desember 1992, yang keduanya dibuat di hadapan Ny.
S.P. Henny Shidki, S.H., Notaris di Jakarta dan telah memperoleh
persetujuan dari Menteri Kehakiman Republik Indonesia dengan
Surat Keputusannya No. C2-10310.HT.01.01.TH.92 tanggal 19
Desember 1992 serta diumumkan dalam Berita Negara Republik
Indonesia No. 9/1993 tanggal 29 Januari 1993, tambahan No.
564/1993. Pada tanggal 4 Januari 1993, Perseroan mendirikan
Harian Republika, surat kabar pertama bagi komunitas Muslim
di Indonesia. Rapat Umum Pemegang Saham Luar Biasa
(RUPSLB) tanggal 4 Mei 2010, memutuskan perubahan nama
PT Abdi Bangsa Tbk menjadi PT Mahaka Media Tbk dan telah
memperoleh persetujuan dari Menteri Hukum dan Hak Asasi
Manusia RI berdasarkan keputusan No. AHU-24811.AH.01.02
Tahun 2010, pada tanggal 17 Mei 2010.
Pada tahun 2003, Mahaka Media mulai mengawali
perkembangannya sebagai sebuah Induk Perusahaan Multi Media
(Multi Media Holding Company) dengan membawahi 2 (dua) unit
usaha yaitu PT Pustaka Abdi Bangsa dan PT Republika Media
Mandiri. Kemudian, melalui Penawaran Umum Terbatas III pada
tanggal 29 September 2004, Mahaka Media mengembangkan
bisnisnya dengan mengakuisisi seluruh kepemilikan PT Indopac
Usaha Prima di beberapa perusahan lain seperti PT Media
Golindo yang bergerak dalam penerbitan majalah berlisensi, PT
Mahaka Visual Indonesia yang bergerak di bidang animasi dan PT
Avabanindo Perkasa yang bergerak dalam media iklan luar ruang,
sehingga memperkuat kedudukan Perseroan menjadi Perusahan
Induk Multi Media.
PT Mahaka Media Tbk was organized with the name PT Abdi
Bangsa Tbk, on 28 November 1992 based on Deed No. 229, and
amended by the Deed No. 157 of 17 December 1992, both drawn
up before Ny. S.P. Henny Shidki, S.H., Notary of Jakarta and has
been approved by Minister of Justice of the Republic of Indonesia
with his his Letter of Decision No.C2-10310.HT.01.01.TH.92 of
19 December 1992 and published in the State Gazette of the
Republic of Indonesia No. 9/1993 of 29 January 1993, supplement
No. 564/1993. On 4 January 1993, The Company incorporated
Republika Daily, the irst newspaper for the Moslem community in
Indonesia. At the Extraordinary General Meeting of Shareholders
( EGMS) convened on 4 May 2010, PT Abdi Bangsa Tbk was
changed to PT Mahaka Media Tbk and it has been approved by
Minister of Law and Human Rights of the Republic of Indonesia
pursuant to the Decree No. AHU-24811.AH.01.02 of 17 May 2010.
Semenjak pendirian Perseroan, Anggaran Dasar Perseroan
telah beberapa kali mengalami perubahan. Adapun perubahan
Anggaran Dasar Perseroan terakhir adalah berdasarkan Akta
Pernyataan Keputusan Rapat Umum Pemegang Saham (RUPS)
No. 27 tanggal 28 Juni 2013 yang dibuat oleh Notaris Zulkili,
S.H., Notaris di Jakarta. Perubahan Anggaran Dasar tersebut
telah memperoleh persetujuan dari Menteri Hukum dan HAM
RI berdasarkan Keputusan No. AHU-AH.01.10-38620 tanggal 13
September 2013, dengan Daftar Perseroan Nomor AHU-0087006.

Sejalan dengan perkembangan usahanya, kini PT Mahaka Media
Tbk telah menjadi Induk Perusahaan Multi Media dengan total
karyawan di seluruh unit usaha mencapai lebih dari 1.000 orang.
Unit-unit usaha tersebut termasuk Surat Kabar, Majalah, Penerbit
Buku, Televisi, Radio, Media Luar Ruang serta Media Digital.
Setiap unit bisnis tersebut berhasil membangun kekuatan dari
masing-masing karakter produk, seperti Harian Republika sebagai
Surat Kabar Muslim terbesar di Indonesia, Golf Digest Indonesia
sebagai Majalah Golf No. 1 di Indonesia, Jak tv sebagai stasiun TV
lokal Jakarta, serta Gen FM sebagai stasiun radio No. 1 di Jakarta
dengan jumlah pendengar terbanyak. Seluruh pencapaian yang
telah diraih oleh PT Mahaka Media Tbk melengkapi Mahaka
Media sebagai Induk Perusahaan Multi Media terintegrasi, kuat
dan terus berkembang.
Since the establishment of the Company, the Articles
of Association of the Company has been amended several
times. The last amendment of the Articles of Association of
the Company is based on the Deed of Statement of General
Meeting of Shareholders (GMS) No. 27 of 28 June 2013 drawn
up by Notary Zulkili, S.H., Notary of Jakarta. The amendment
to such Articles of Association has been approved by Minister of
Law and Human Right of the Republic of Indonesia pursuant to
the Decree No. AHU-AH.01.10-38620 of 13 September 2013,
with the Company Register No. AHU-0087006.AH.01.09 of
13 September 2013.
The year 2002 is the important year in the history of the
establishment of Mahaka Media, when precisely on 3 April 2002,
the company initially registered its shares as PT Abdi Bangsa
Tbk in Jakarta Stock Exchange (BEJ). This is noted as the irst
newspaper publishing company to become a public company.
In the year 2003, Mahaka Media commeneces its development as
a (Multi Media Holding Company) subordinating 2 (two) business
units namely PT Pustaka Abdi Bangsa and PT Republika Media
Mandiri. Subsequently, through the Limited Public Ofering III
on 29 September 2004, Mahaka Media developed rapidly by
acquiring the entire ownership of PT Indopac Usaha Prima in
several other companies like PT Media Golindo engaged in the
area of the publication of licensed magazines, PT Mahaka Visual
Indonesia engaged in the area of animation and PT Avabanindo
Perkasa engaged in the area of outdoor advertising media,
strengthening the position of the Company to be Multi Media
Holding Company accordingly. In line with the growth of its
businesses, PT Mahaka Media Tbk has now become a Multi Media
Holding Company with the total employees in all business units
reaching more than 1.000 employees. Its business units include
Newspaper, Magazine, Book Publisher, Television, Radio, Outdoor
Media and Digital Media. Each of the business unit has succeded
in establishing superiority of each character of the product, like
Harian Republika Daily as the biggest Moslem Newspaper in
Indonesia, Golf Digest Indonesia as the No. 1 Golf Magazine
in Indonesia, Jak tv as a local TV station in Jakarta, and Gen FM
as No. 1 radio station in Jakarta with the majority listeners. All
of the achievements made by PT Mahaka Media Tbk have made
Mahaka Media as an integrated, reliable Company and it will
keep prospering.

FOREWORD FROM THE PRESIDENT COMMISSIONER
Para pemegang saham yang terhormat,
The honorable shareholders,
Atas nama Dewan Komisaris, pertama-tama kami sampaikan
Alhamdulillah, puji syukur kita panjatkan ke hadirat Allah SWT
yang telah melimpahkan rahmat dan karunia-Nya sehingga kita
semua diberikan kekuatan dan kesempatan untuk menjalankan
tahun 2013 ini. Kompetisi persaingan antar group media
semakin ketat, namun Mahaka Media masih tetap berhasil
meningkatkan kinerjanya.
On behalf of the Board of Commissioners, irst of all let us say
Alhamdulillah, prayer of thanks and gratitude to Almighty God
for all the blessings given to all of us so that we are blessed with
strength and opportunity to live this year 2013. Despite the tighter
competition between media groups, Mahaka Media still managed
to improve its performance.
Keberhasilan manajemen dalam pengelolaan bisnis tentunya
tidak terlepas dari komitmen, kerja keras serta kemampuan
seluruh jajaran karyawan yang terlibat. Salah satu yang menjadi
faktor penunjang keberhasilan di tengah situasi kompetisi yang
dialami adalah inovasi-inovasi baru yang lahir berkat adanya
sinergi dan kerjasama tim yang semakin solid di antara seluruh
level karyawan Mahaka Media.
Agar inovasi tersebut selalu searah dengan visi dan misi
Perseroan, Direksi selalu menjalankan prinsip-prinsip manajemen
Plan-Do-Check-Action (PDCA), serta melaksanakan praktek tata
kelola Perseroan dengan baik. Dalam hal pelaksanaan fungsi
pengawasannya terhadap Perseroan, Dewan Komisaris dibantu
oleh beberapa Komite, yaitu : Komite Audit, Komite Remunerasi,
Komite Investasi, Komite SDM dan Komite GCG, yang berfungsi
untuk memastikan bahwa kegiatan operasional perseroan
dilakukan dengan sistem yang baik dan benar.

The success of the management in managing the business
is deinitely resulted from the commitment, hard work, and
capability of the Board of Directors and its stafs. One of the
successful supporting factors in the middle of competing
situation is the presence of synergy and team work which
become more solid among all employee's level of Mahaka Media
so that new innovations always occurs to overcome a dynamic
situation and condition of the market.
To make the innovation in line with the company's vision
and mission, the Board of Directors always implements
a Plan-Do-Check-Action (PDCA) management principles and
a good corporate governance practice. In the implementation
of its supervisory function towards the Company, the Board of
Commissioners is assisted by a number of Committees namely:
Audit Committee, Remuneration Committee, Investment
Committee, Human Resources Committee and GCG Committee,
which function is to ensure that the operational activities of the
company will be carried out with a good and proper system.

BOARD OF COMMISSIONERS
Guna meningkatkan fungsi dan kinerja pada beberapa bidang
usaha, susunan Dewan Direksi berdasarkan keputusan RUPS
Tahunan PT Mahaka Media Tbk tanggal 28 Juni 2013 mengalami
perubahan yakni dengan pengangkatan Bapak Agoosh Yoosran
sebagai Direktur Corporate Afair & Corporate Secretary, Bapak
Harry Danui sebagai Direktur Keuangan, Ibu Henny M. Chandra
sebagai Direktur Penjualan dan Pemasaran serta Bapak Ahmad
Aditya sebagai Direktur Kreatif dan Pengembangan Usaha.
To improve the function and performance in several areas of
business, the Board of Directors composition based on the Annual
General Meeting of Shareholders Resolution of PT Mahaka Media
Tbk dated 28 June 2013 has changed namely by the appointment
of Mr. Agoosh Yoosran as Director of Corporate Afair & Corporate
Secretary, Mr Harry Danui as Director of Finance, Mrs. Henny M.
Chandra as Director of Sale and Marketing and Mr Ahmad Aditya
as the Director of Creative and Business Development.
Memasuki tahun 2014, tentunya tantangan yang dihadapi
industri media dan kreatif akan terus tumbuh dan semakin berat.
Rencana inovasi produk dan layanan membutuhkan dukungan
infrastruktur dan sistem informasi manajemen yang baik. Kondisi
ini juga membutuhkan pemenuhan Sumber Daya Manusia
(SDM) yang kompeten untuk mendorong terciptanya visi dan
misi Perseroan. Diperkirakan Belanja Iklan Nasional 2014 akan
mencapai angka Rp 121 triliun dengan optimisme peningkatan
iklan di media digital, kami yakin bahwa Direksi dapat membawa
Mahaka Media jauh lebih berkembang, salah satunya dengan
menggarap digital media menjadi sektor unggulan baru.
Entering year 2014, the media and creative industry will
surely encounter tougher challenges. The product and service
innovation plan require a good infrastructure and management
information system support. This condition also required the
fulillment of a competent Human Resources (HR) to encourage
the creation of vision and mission of the company. It is predicted
that the National Advertisement Expenditure for 2014 will
reach Rp 121 trillion number with the optimism of the increase
of digital media advertisement, we believe that the Board of
Directors can bring Mahaka Media to be further developed, one
of them by developing a digital media to become a new preeminent sector.
Pada kesempatan ini, Dewan Komisaris menyampaikan
penghargaan dan apresiasi kepada Direksi dan seluruh karyawan
untuk kerja keras dan dedikasinya. Terima kasih juga kami
sampaikan kepada para Pemegang Saham atas dukungan dan
kepercayaan yang diberikan kepada Perseroan untuk mencapai
visi dan misinya. Semoga Allah SWT memberikan berkah-Nya

pada tahun 1968 dari Fakultas Ekonomi
Universitas Indonesia dan gelar MA dari
Harvard University Boston tahun 1986 dan
dari University of Colorado, Boulder, USA
pada tahun 1998.
Menjabat sebagai Komisaris Utama PT
Mahaka Media Tbk sejak tahun 2008.
Sampai saat ini beliau masih aktif sebagai
dosen pascasarjana Universitas Indonesia
dan juga sebagai Komisaris PT Garuda
Indonesia. Selama berkarir, beliau pernah
menjabat di sejumlah posisi penting seperti
Direktur Utama PT Garuda Indonesia,
Pejabat Sementara Sekretaris Menteri

hingga tahun 2008, dan merangkap
sebagai Direktur Keuangan hingga tahun
2003. Saat ini masih menjabat sebagai
Komisaris Utama PT Beyond Media dan
Direktur Utama PT Visi Media Asia. Selain
itu, beliau juga pernah menjadi Presiden
PERBASI (Persatuan Bola Basket Seluruh
Indonesia) 2004-2006, serta menjabat
sebagai Presiden SEABA (Southeast Asian
Basketball Association) periode 2006-2010
dan 2010-2014, serta sebagai Ketua Komite

Dear Shareholders,
Tahun 2013 merupakan periode dimana PT Mahaka Media Tbk
mampu membangun fondasi yang kuat untuk pertumbuhan
berkelanjutan di masa depan. Implementasi yang konsisten
terhadap pengoptimalan kinerja unit-unit bisnis Mahaka Media
berhasil menaikan EBITDA sebanyak 63,65% atau setara dengan
Rp 24.423.240.695,- Diikuti dengan pencapaian Laba Bersih yang
meningkat sebesar 678,52% dari pencapaian tahun 2012 atau setara
dengan Rp 27.427.531.376,- Peningkatan pencapaian ini didukung
oleh pertumbuhan bisnis yang berkualitas, bersama dengan
kemampuan untuk mempertahankan eisiensi operasional.
Year 2013 is the period which PT Mahaka Media Tbk was able
to build a strong foundation for the sustainable growth in the
future. The consistent implementation towards the optimization
of business unit performance of Mahaka Media has succeeded
increasing EBITDA to 63.65% or equal to Rp 24.423.240.695,-.
It was also followed by the achievement of Net Proit which
increased amounting to 678.52% from the year 2012 achievement
or equal to Rp 27.427.531.376,-. Such achievement was supported
by the quality business growth along with the capability to
maintain the operational eiciency.

Dalam mengembangkan usahanya, khususnya di tahun 2013
PT Mahaka Media Tbk menghadapi tantangan antara lain
pemenuhan kebutuhan sumber daya manusia secara tepat
waktu dan sesuai dengan perkembangan bisnis. Selain itu,
sistem Perseroan yang eisien dan efektif untuk memenuhi
kebutuhan Perseroan juga menjadi tantangan dalam mendukung
perkembangan Perseroan ke depannya. Secara berkala, hal-hal
tersebut mulai dibenahi untuk mempercepat pertumbuhan
PT Mahaka Media Tbk.
In developing its business, especially in year 2013, PT Mahaka
Media Tbk faced challenges, among others to fulill the need for
human resources timely and in accordance with the business
development. Additionally, the eicient an efective corporate
system to fulill the Company’s needs also become a challenge
to support the future development of the company. However,
periodically such issues have been resolved to enhance the
future growth of PT Mahaka Media Tbk.
Penerapan tata kelola perusahaan yang konsisten turut serta

kelola perusahaan yang dikeluarkan oleh Perseroan serta

Opportunities in Year 2014
Peningkatan belanja iklan nasional di tahun 2014 yang diperkirakan
akan mencapai Rp 121 triliun menjadi peluang yang sangat baik
untuk meningkatkan performa PT Mahaka Media Tbk. Tidak hanya
itu, peningkatan belanja iklan media digital di tahun 2014 yang
diperkirakan akan mencapai Rp 6.69 triliun, diperkirakan masih akan
tumbuh rata-rata 42% per tahun sampai dengan tahun 2017.
The increase of national advertising expenditure in 2014
is estimated to reach Rp 121 trillion and it become very good
opportunity to improve PT Mahaka Media Tbk performances.
In addition to this, the increase of digital media spending in 2014
is estimated to reach Rp 6.69 trillion, projected to grow an average
of 42% per year until 2017.

Rencana jangka panjang PT Mahaka Media Tbk ke depan
adalah mengembangkan produk-produk digital sebagai sumber
pendapatan alternatif selain optimalisasi kinerja operasional Unit
Bisnis PT Mahaka Media. Selain itu, pengembangan sumber daya
manusia khususnya usia muda produktif menjadi fokus lain dari
PT Mahaka Media Tbk.
The long term plan of PT Mahaka Media Tbk in the future is to
develop a digital products as an alternative income source other
than the optimization of operational performance of business
unit of PT Mahaka Media. Moreover, the development of human
resources especially the productive young age has become the
other focus of PT Mahaka Media Tbk.
