Pasar modal memiliki peranan penting bagi perekonomian suatu Negara
dikarenakan fungsi pasar modal sebagai sarana bagi pendanaan usaha dan sebagai
sarana investasi. Oleh karenanya, diperlukan adanya kerangka hukum yang dapat
memberikan perlindungan kepada investor pasar modal menyediakan alternatif
investor bagi baik yang ingin melakukan investasi jangka pendek maupun jangka
panjang ,karena instrumen pasar modal mempunyai sifat likuiditas yang tinggi,
sehingga pasar modal memiliki andil yang sangat besar di dalam perekonomian
suatu negara untuk melindungi hak dari investor, akan tetapi dalam praktiknya,
terdapat tindakan tindakan perusahaan sekuritas (manajer investasi) yang
merugikan investor seperti melakukan transaksi jual atau beli efek tanpa izin dari
investor. Maksud dan tujuan penelitian ini adalah untuk mengetahui dan
menganalisis mengenai perbuatan melanggar hukum dari PT Sarijaya Permana
Sekuritas serta perlindungan hukum terhadap investor terhadap perusahaan
sekuritas yang melakukan transaksi jual/beli efek tanpa izin dari investor.
Pada penelitian ini penulis menggunakan spesifikasi penelitian deskriptif
analitis dengan metode pendekatan yuridis normatif. Sedangkan data-data diperoleh
melalui studi kepustakaan dengan menelaah literatur dan peraturan perundangundangan dan dengan penelitian lapangan yang berkaitan dengan substansi skripsi
kemudian data yang diperoleh di analisis secara yuridis kualitatif.
Berdasarkan hasil penelitian ini dapat disimpulkan bahwa telah melakukan
transaksi jual beli saham tanpa izin dari investor ,lebih lanjut lagi Hukum di pasar
modal telah memberikan perlindungan kepada investor yang dirugikan atas tindakan
dari perusahaan efek yang melakukan transaksi jual/beli efek tanpa izin dari
investor, mengingat perbuatan tersebut merupakan perbuatan melawan hukum,
maka investor dapat menuntut perusahaan efek untuk mengganti segala kerugian
yang diderita investor.

Capital markets have an important role for the economy of a country due to
the function of capital markets as a means for businesses and as a means of
financing investment . Therefore , the legal framework is needed to provide
protection to capital market investors provide a good alternative for investors who
want to invest short-term or long-term , due to the nature of capital market
instruments have high liquidity , so that the capital market has a very large stake in
the economy of a country to protect the rights of investors , but in practice , there are
other courses of action securities firms ( investment managers ) are detrimental to
investors such conduct transactions or purchase securities without the consent of the
investor . The purpose and goal of this research is to investigate and analyze the
unlawful actions of PT Sarijaya Permana Securities and the legal protection of
investors against securities firms that conduct transactions buying / selling securities
without a license from investors .
In this study the authors use analytical descriptive specification with
normative juridical approach. While the data obtained through the study of literature
by reviewing the literature and legislation and with the field of research related to the
substance of the thesis then the data obtained in the analysis of qualitative juridical.
Based on these results we can conclude that it has buying or selling stock
without the consent of the investors, further capital market law has provided
protection to investors harmed by the actions of the company's securities
transactions buying / selling securities without the consent of the investor, given the
such actions constitute an unlawful act, then the investor can sue companies for
securities replace any losses suffered by investors.

yang diderita investor.
