2001 - 2004
Perseroan telah berbadan hukum sebagai PT Island
Concepts Indonesia sesuai dengan keputusan akta
Notaris No. 3 pada tanggal 11 Juli 2001 oleh
Akta Notaris Evi Susanti Panjaitan, SH dan
diberikan kuasa sebagai Perusahaan PMA oleh
Badan Koordinasi Penanaman Modal Republik
Indonesia (BKPM) No. 496/PMA/2001 pada
tanggal 14 Juli 2001, sebagai sebuah perusahaan
pengembang dan operator jasa pelayanan serta
akomodasi turis di “Pulau Dewata”, Bali.
The Company was incorporated as PT Island
Concepts Indonesia under Notary Deed No. 3 on the
11th July 2001 by Notary Deed Evi Susanti
Panjaitan SH, and authorized as a PMA company by
Investment Coordinating Board of Republic of
Indonesia (BKPM) No. 469/PMA/2001 on the 14th
July 2001 as a developer and operator of Tourist
accommodation and services on the “Island of the
Gods”, Bali.
Perseroan mengerjakan pembangunan properti
pertamanya di Petitenget, Bali pada bulan Agustus
2002.
The Company acquired its first development
property in Petitenget, Bali in August 2002.
Tahun 2003 Perseroan mendirikan kantor
berbadan hukum di Jalan Raya Petitenget No. 469.
Program pembangunan Perseroan telah ditunda
satu tahun sebagai akibat dari Bom Bali pada
bulan Oktober 2002.
At 2003 the Company establishes corporate offices
at Jl. Raya Petitenget No. 469, Bali. The company’s
construction program was deferred one year as a
result of the Bali Bombing in October 2002.
PT Island Concepts Indonesia menerbitkan website
www.islandconcepts.com pada bulan Juli 2003
dengan mencantumkan persewaan properti villa
baik untuk penjualan maupun sewa.
PT Island Concepts Indonesia launched its website
www.islandconcepts.com in July 2003 listing Villa
rental properties for sale and lease.
Perseroan mulai pembangunan kembali untuk 10
luxury One Bedroom Villas, Island Villas Bali pada
bulan Februari 2004.
The Company commenced construction of 10 Luxury
One Bedroom Villas, Island Villas Bali in February
2004.

dibuka pada tanggal 1 April 2005.
Island Villas Bali, www.islandvillasbali, opened for
business on the 1st April 2005.
Pendaftaran sekuritas Perusahaan pada Bursa Efek
Surabaya telah disetujui oleh BAPEPAM pada
tanggal 30 Juni 2005. PT Island Concepts Indonesia
Tbk mulai perdagangannya di “BES” pada tanggal
8 Juli 2005. Modal yang diterbitkan Perseroan
adalah 125.000.000 saham pada nilai nominal Rp.
112,25 per saham.
The Company was approved by BAPEPAM on the
30th June 2005 to list its securities on the Surabaya
Stock Exchange. PT Island Concepts Indonesia Tbk
commenced trading on “BES” on July 8th 2005. The
issued capital of the Company was 125,000,000
shares at a nominal value of IDR 112.25 per share.

2006
Penyelesaian tahun pertama Island Villas Bali
berhasil lebih cepat dari yang diperkirakan dan
dengan nama baru Island Villas & Spa sebagai
hasil pengambilalihan kegiatan usaha dan staf dari
“Day Spa Bali” yang telah menutup usahanya
pada tahun ini.
The Island Villas Bali completed its first year ahead
of forecasts and was renamed Island Villas & Spa as
a result of the company incorporating the staff and
business of the “Day Spa Bali”, which closed its
doors during the year.
Saham perusahaan diperdagangkan di Bursa Efek
dengan simbol “ICON” dengan penutupan harga
Rp. 670 per saham pada tanggal 31 Desember
2006, hal ini menggambarkan suatu peningkatan
harga dari Rp. 557,75 atau berkisar 500%
kenaikan sejak terdaftar pada tanggal 8 Juli
2005.
The Company’s stock traded on the Surabaya Stock
Exchange, symbol “ICON”, to a closure price of IDR
670.00 per share as at December 31st 2006. This
represented in increase of IDR 557.75 or
approximately 500% since listing on July 8th,
2005.
Island Residences Club yang berpusat di
Williamsburg, Virginia, US, tahun ini telah
menunjukkan kepercayaannya kembali di Bali,
Indonesia, dengan mendapatkan 24.250.000 (dua
puluh empat juta dua ratus lima puluh ribu) saham
di dalam Perusahaan yang mewakili 19,4% saham.
Sehubungan dengan investasi yang strategis, Island
Residences Club Inc. telah menyiapkan dana US$
20.000.000,00 (dua puluh juta dollar Amerika
Serikat), kesempatan bagi Perusahaan untuk
pengembangan dan pengelolaan Pemukiman
mewah and Resor untuk keanggotaan Island
Residences Club
During this year Island Residences Club, Inc. based
in Williamsburg, Virginia, USA, demonstrated
renewed confidence in Bali/Indonesia, acquiring
twenty four million two hundred and fifty thousand
(24,250,000) shares in the Company representing
a 19,4% stake. In conjunction with this strategic
investment, Island Residences Club, Inc. also made
available a USD twenty million ($ 20,000,000.00)
facility to the Company for the development and
management of Luxury Residences & Resorts for the
Island Residences Club membership.
2007
Perusahaan mendapatkan tanah di Tabanan
dengan maksud untuk mengembangkan suatu
Destinasi dan Tempat tersembunyi. Pembangunan
akan dimulai pada 2008 dengan sebuah
pembangunan Regency Resort yang memiliki lebih
dari 200 kunci.
Bursa Efek Surabaya dan Jakarta telah bergabung
pada tanggal 30 November 2007. Nilai harga
saham pembuka ICON, yang merupakan simbol
dagang PT Island Concepts Indonesia Tbk adalah
Rp. 870 untuk total pasar modal dari Rp. 108,750
milyar.
The Company acquires land in Tabanan with the
intent of developing a Resort Destination and
Retreat. Construction will commence in 2008 on a
200+ key Regency Resort.
The Surabaya and Jakarta Stock Exchanges merged
on the 30 November 2007. The opening stock value
for ICON, trading symbol for PT Island Concepts
Indonesia Tbk was IDR 870 for a total market
capital of 108.750 billion IDR.
2008
Pemegang Saham Perseroan telah menyetujui
Pemecahan Nilai Nominal Saham (Stock Split) pada
bulan Mei 2008 dengan rasio perbandingan 1:2
dan mengajukan Anggaran Dasar baru yang
berbadan hukum dengan segala perubahan yang
dibuat sebagai Tindakan Perseroan. Stok Split
The Company received approval from the
Shareholders in May 2008 to split the company’s
stock in a ratio 2:1 and filed new Corporate Articles
incorporating this and including the changes made
to the Corporation Act. The Stock Split was recorded
on the Indonesian Stock Exchange “IDX” on the

December 3, 2008, reflecting an increase of the
issued capital from 125,000,000 shares at a
nominal value of IDR 112.25 per share to
250,000,000 shares at a nominal value of IDR
56.125 per share. The Company believes this should
assist in achieving greater liquidity in the Company’s
stock.
Hingga tanggal 31 Desember 2008 saham-saham
Perseroan masih ditangguhkan oleh BEI dengan
nilai perubahan yang telah dikutip pada harga Rp.
870 menjadi Rp 435 per saham setelah Stock Split
yang telah dicatat pada Bursa Efek Indonesia.
The Company’s shares remain suspended to
December 31, 2008 on the IDX with the quoted
value changing from IDR 870 per share to IDR 435
per share after the Share Split was recorded by the
Indonesia Stock Exchange.
Perseroan merumuskan dan menyetujui suatu
kebijakan “Green” Energy di tahun ini dan telah
mencapai penghematan listrik yang digunakan
selama sebulan sebesar 15%, namun demikian
secara dramatis pula tarif listrik meningkat di tahun
yang sama dan dalam laporan keuangan tidak
tampak secara nyata penghematan yang telah
dihasilkan Perseroan. Perseroan akan melanjutkan
memperluas Kebijakan Green Energy tersebut.
The Company formulated and adopted a “Green”
Energy policy during the year and has already
achieved a monthly saving of electricity usage of
15%, however with a dramatic increase in electricity
prices during the year the financial accounts do not
reflect the true nature of savings made. The
Company will continue to expand its Green Energy
Policy.

The company has reorganized its operations into two
business units; A) ICON Hospitality & Leisure and B)
ICON Resource Services. There were presented to
attendee at the Company’s Public Exposure on
December 23rd, 2008. The Company is positioning
itself for significant growth in 2009.
2009
Pada tanggal 2 November 2009, Perseroan
mengadakan diskusi yang menentukan untuk
menggabungkan PT Island Concepts Indonesia Tbk
dengan PT Pulau Mas Utama, yaitu Perusahaan
yang bergerak di bidang Konstruksi Komersial
yang sama-sama didirikan di Bali.
On November 2, 2009, the Company entered into
definitive discussions to merge PT Island Concepts
Indonesia Tbk. with PT Pulau Mas Utama a long
established Bali based Resort and Commercial
Construction company.
2010
Penggabungan
usaha
Perusahaan
dengan
perusahaan afiliasi PT. Pulau Mas Utama Group
yaitu PT. Patra Supplies dan Services telah
diajukan ke BAPEPAM namun tidak menjadi efektif
dengan batas waktu Audit Perusahaan saat ini.
Perusahaan telah memperbarui semua dokumen
yang diperlukan dan telah diajukan kembali dan
berharap penggabungan tersebut akan efektif
pada pertengahan 2011.
The Company merger with PT Pulau Mas Utama
Group affiliate company, PT Patra Supplies and
Services was filed with BAPEPAM but did not
become effective within the time limit of current
Company Audits. The Company has updated all
necessary documentation and has refiled and is
hopeful the merger will become effective midle2011.

Pada tanggal 16 Juni 2011 Perseroan mendapat
pernyataan efektif dari BAPEPAM LK atas
penggabungan usaha dengan PT. Gama Wahyu
Abadi dan di sahkan oleh Mentri Hukum dan HAM
RI pada tanggal 19 Juli 2011.
On June 16, the company had an effective
statement from Bapepam LK, merger with PT.
Gama Wahyu Abadi and approved by the
Ministry of Justice and Human Rights on July 19,
2011.
Pada tanggal 9 September 2011 perdagangan
saham perseroan di bursa efek Indonesia
dilepaskan. Dengan demikian Efek PT. Island
Concepts
Indonesia
dapat
kembali
diperdagangkan.
On September 9,2011, stock trading company in
Indonesia stock exchange( IDX ) was release.
Hence stock PT Island Concepts Indonesia Tbk. can
be re-Trade.

Dear Shareholders
Fokus kami pada sektor perhotelan dalam negeri,
termasuk jasa akomodasi serta makanan dan
minuman akhirnya terbayar saat kami membukukan
laba perdana kami sebagai Perusahaan Publik,
meskipun hal tersebut masih jauh dari harapan.
Tahun ini menjadi tahun yang berhasil bagi
Perusahaan setelah melakukan merger usaha
dengan PT. Gama Wahyu Abadi di mana
efektivitasnya telah diberikan oleh BAPEPAM pada
tanggal 16 Juni 2010. Persetujuan telah diberikan
oleh pemegang saham pada Rapat Umum
Pemegang
Saham
Luar
Biasa
yang
diselenggarakan pada tanggal 20 Juni 2010 dan
untuk suspensi perdagangan yang dikenakan oleh
Bursa Efek Indonesia pada PT. Island Concepts
Indonesia Tbk. telah dicabut pada tanggal 12
September 2010.
Our focus on the domestic hospitality sector,
including both accommodations and food &
beverage operations has finally paid off as we
posted our maiden profit as a public listed company,
albeit it below expectations. It has been a successful
year for the Company having completed a merger
with PT Gama Wahyu Abadi and effectiveness
granted on June 16, 2010 by BAPEPAM; approval
by our shareholders at an extra ordinary general
Meeting on June 20, 2010 and trade suspension
imposed on PT Island Concepts Indonesia Tbk., by
the Indonesian Stock Exchange being lifted on
September 12, 2010.

Wisatawan yang datang ke Bali, telah meningkat
16% di tahun 2009, 20% pada tahun 2010 dan
22% pada tahun 2011, angka yang luar biasa
mengingat keadaan ekonomi global dan bencana
alam serta bencana di luar faktor alam yang
terjadi di dalam negeri sejak beberapa tahun
terakhir. Bali telah membentuk dirinya sebagai
Pulau Surga, Pulau Dewata, sehingga dengan

PT. Island Concepts Indonesia Tbk., kami akan
memanfaatkan
keuntungan

Inbound Tourism to Bali has increased 16% in the
year 2009, 20% in 2010 and 22% in 2011,
remarkable figures given the state of the global
economy and the local natural and un-natural
disasters of the past few years. Bali has as cemented
itself as an Island Paradise, an Island of the Gods
and together with my collegues at PT Island
Concepts Indonesia Tbk., we will capitalize on this to
the benefit of all.

Dear Shareholders,
Pada tahun 2011 perseroan mencatat telah mencapai
kinerja keuangan yang lebih baik dibandingkan
dengan tahun 2010, ditahun ini perseroan
mendapatkan laba bersih sebesar Rp. 624 Juta,
dibandingkan dengan tahun lalu yang masih rugi
sebesar Rp. 6,3 Milliar.
PT Island Concepts Indonesia Tbk has achieved
brighter financial performance In 2011, compared
with year 2010, this year the company earn net profit
of Rp. 624 million, compared with last year which still
suffered a loss of Rp. 6.3 billion.
Pada tahun 2011, perseroan telah berhasil
meningkatkan pendapatan sebesar Rp. 109, 3 Miliar
dibandingkan dengan tahun lalu sebesar Rp. 54,8
Miliar, atau kenaikan sebesar 99,6 %.
In 2011, the company has successfully increased
revenue, amounting to Rp. 109, 3 billion compared
with last year amounted Rp. 54.8 billion, or increase of
99.6%.
Pendapatan terbesar perseroan adalah dari anak
Perusahaan Perseroan yakni PT Patra Supplies and
Services, perusahaan penyedia jasa catering kepada
perusahaan perusahaan minyak, gas dan tambang yg
beroperasi dilepas pantai dan di daerah daerah
terpencil . dengan pendapatan sebesar Rp.104,8
Miliar ditahun 2011 atau sebesar 95,9% dan Rp.
50,9 miliar atau sebesar 92,9% ditahun 2010.

Patra Supplies and Services, provider of catering
services to the oil, gas and mining companies which
operate off coast and remote areas. with an income of
Rp.104, 8 billion in the year 2011 or by 95.9% and
Rp. 50.9 billion or by 92.9% in 2010
Demikian pula dengan aset perseroan yang
mencapai Rp. 91,6 miliar atau sebesar 36,5% ditahun
2011, dibandingkan dengan tahun 2010 sebesar Rp.
67,1 miliar.
Similarly, the assets of the company reaching Rp. 91.6
billion, or equal to 36.5% in the year 2011,
compared to the year 2010 amounted Rp. 67.1 billion.
Ekuitas perseroan mencapai Rp. 16,6 ditahun 2011,
sedangkan di tahun 2010 sebesar Rp. 16 miliar, atau
meningkat sebesar 3,89 %.
The company's equity achieve Rp. 16.6 in the year
2011, while in the year 2010 amounted Rp. 16 billion,
or an increase of 3.89%.
Total peningkatan performa keuangan di tahun 2011,
adalah dampak positif hasil penggabungan usaha,
yang telah dilakukan oleh perseroan dengan PT.
Gama Wahyu Abadi, pemilih 50% saham PT Patra
Suplies and Services, yang telah perseroan
rencanakan sejak tahun 2010.
The total increase in financial performance in 2011,
was positive impact from the merger, which has been
done by the company with PT Gama Wahyu Abadi,
owner of 50% stake in PT Patra Suplies and Services,
which company has planned since 2010.
Pada tahun mendatang, perseroan berkomitmen untuk
tetap melakukan pertumbuhan usaha baik secara
organic maupun unorganik. Secara organic perseroan
akan melakukan efisiensi dan meningkatkan usaha2
pemasaran, sehingga perseroan dapat meningkatkan
pendapatan dan laba. Sedangkan Secara an-organic
perusahaan akan mengakuisisi beberapa proyek
property yang tengah dibangun dibali, oleh
karenanya perusahaan merencanan melakukan right
issue untuk meningkatkan modal. Kami direksi
perseroan mengharapkan dukungan dari seluruh
stakeholder perseroan, agar rencana expansi
perseroan ditahun tahun mendatang dapat berjalan
dengan baik, sehingga peseroan mencetak
keuntungan dan memberikan deviden kepada
pemegang saham.
In the years ahead, the company is committed to
continue doing business improvement, either organic or
inorganic. In organic, the company will conduct
business efficiency and improve marketing efforts, so
the company can increase revenue and profits.
While as an-organic, the company will acquire some
property projects being built in Bali, therefore the
company plans to do a rights issue to raise capital.
We, the directors of the company expect support from
all
stakeholders
of
the
company,
expansion plans for the company in the next years run
correctly, so the company made a profit and provide
dividends to shareholders.

Perseroan didirikan dalam rangka penanaman
modal asing berdasarkan persetujuan Badan
Koordinasi Penanaman Modal (BKPM) Republik
Indonesia, sesuai dengan surat keputusan Kepala
BKPM No. 496/1/PMA/2001 tanggal 14 Juni
2001 sebagaimana disempurnakan melalui
keputusan BKPM No. S-506/DU6-BKPM/2001
yaitu tanggal 11 Juli 2001 yang dibuatkan di
depan Notaris Evi Susanti Panjaitan, SH di
Denpasar, Bali.

modified as stated Government Regulation BKPM
No. S-506/DU6-BKPM/2001 on Julyl 11th 2001
has made in Notary Evi Susanti Panjaitan, SH in
Denpasar, Bali.
PT. Island Concepts Indonesia Tbk., didirikan pada
tanggal 11 Juli 2001 dengan akta notaris No. 3
oleh Evi Susanti Panjaitan, SH., yang merupakan
Notaris Publik di Bali dan telah memulai usaha
sejak tahun 2001 sebagai agen online web
berdasarkan pemesanan dan manajemen untuk
Properti Villa dan Apartemen tertentu di Bali.
Pada tahun 2002 perusahaan meluncurkan website
www.islandconcepts.com.
PT Island Concepts Indonesia Tbk. was established
on the 11th July 2001 by notaries deed No.3, of
Evi Susanti Panjaitan, SH, who is a Notary Public in
Bali and commenced business later in 2001 as an
online web-based reservations and management
agent for certain Villa and Apartment properties in
Bali. In 2002 the company launched its online
operation at www.islandconcepts.com.
Di tahun 2003 perusahaan mengembangkan
usahanya dalam pembangunan Properti, penjualan
properti dan Sewa menyewa. Perusahaan memulai
pembangunan 10 unit villa dari 30 unit Villa Resort
di Seminyak, Bali di atas tanah 160 are dari tanah
sewa, www.islandvillasbali.com.
In 2003 the company expanded its business to
include Property Sales & leasing and Property
Development. The company commenced construction
of its own 10 unit Villa from 30 unit Villa Resort
complex in Seminyak, Bali on 160 Are of leased
land, www.islandvillasbali.com.
Pada tahun 2004 PT. Island Concepts Indonesia
Tbk., telah menyiapkan diri menjadi perusahaan
terbuka pada Bursa Saham Indonesia. Perusahaan
telah terdaftar pada Bursa Efek Surabaya pada 8
Juli 2005.
In 2004 PT Island Concepts Indonesia Tbk. prepared
itself for “Going Public” on the local Indonesian
Stock Exchange. The company listed on the
Surabaya Stock Exchange on July 8th 2005.
Saham perdagangan PT. Island Concepts Indonesia
Tbk., di bawah simbol “ICON” di-suspend sejak
tanggal 1 Desember 2007 sebagai akibat dari
merger Bursa Efek Surabaya & Bursa Efek Jakarta
yang kemudian menjadi Bursa Efek Indonesia “BEI”.
PT Island Concepts Indonesia Tbk shares trading
under symbol “ICON” were suspended December 1st,
2007 as result of merger of the Surabaya Stock
Exchange and Jakarta Stock Exchange and resulting
compliance issues with the newly formed Indonesia
Stock Exchange “IDX”.
Dalam tahun 2008, Perseroan telah melaksanakan
Pemecahan Nilai Nominal Saham (Stock Split) yang
semula Rp. 112,25 per saham menjadi Rp. 56,125
per saham sehingga saham yang diterbitkan dari
125.000.000 saham menjadi 250.000.000 saham.
Dan telah mengubah seluruh Anggaran Dasar
Perseroan sesuai dengan Undang-Undang Nomor
40 tahun 2007 yang telah dinyatakan dalam akta
pernyataan Nomor 56 tanggal 13 Juni 2008,
dibuat di hadapan Notari Evi Susanti Panjaitan, SH.
yang berkedudukan di Kabupaten Badung, Kuta
dan telah mendapat persetujuan Menteri Hukum

Articles of Incorporation reflecting a share split from
125,000,000 shares on issue at a par value of
112.25 Rp to 250,000,000 shares on issue at a
new par value of 56.125 Rp per share. Company

Pada tanggal 16 Juni 2011 perseroan
mendapatkan pernyataan efektif dari Bapepam LK
dan pengesahan dari menteri Hukum dan HAM
Republik Indonesia pada tanggal 19 Juli 2011,
untuk penggabungan usaha dengan PT. Gama
Wahyu Abadi.
On June 16, 2011 the company receive an effective
statement from Bapepam-LK, and the approval from
the Minister of Justice and Human Rights Republic of
Indonesia on July 19, 2011, to its merger with PT
Gama Wahyu Abadi.
Suspensi perseroan dilepaskan pada tanggal 19
September 2011, sehingga saham perseroan
dapat diperdagangkan kembali.
Suspension of the company is released on September
19, 2011, the company shares can be traded again.

PT. Patra Supplies And Service was incorporated
under Notary Deed No. 25 on 18th March 1976 by
Notary Tan Thong Kie, SH., and authorized as a
PMA company in the framework of Law no. 1 of
1967 amended by Law no. 11 regarding Foreign
Investment based on the Letter of the President of
Republic of Indonesia B-03/Pres/1/1976 and
Decision Letter of the Minister of Trade

Perusahaan ini didirikan antara 1948 Spinneys
Ltd., yang diwakili oleh Interagencies (HK) Ltd., dan
Pertamina, perusahaan minyak milik negara, untuk
tujuan mendukung Industri Energi Indonesia dengan
layanan Catering, Taman, Layanan Binatu, dan
Manajemen Camp. Spinneys 1948 Ltd., adalah

The company was established between Spinneys
1948 Ltd, represented by Interagencies (HK) Ltd
and PERTAMINA, the state owned oil company, for
the purpose of supporting the Indonesian Energy
Industry with Catering, Housekeeping, Laundry, and
Camp Management. Spinneys 1948 Ltd was a
multinational British Industrial Catering Company
which ventured into Indonesia to perform services
for UNOCAL 76 in East Kalimantan in 1974. As
government policy in 1976 regulated that foreign
catering companies were not permitted to operate
independently, Spinneys 1948 Ltd established a
Foreign Investment Joint Venture with PERTAMINA.

In 2010 PT Patra Supplies And Services converted
from a PMA Joint Venture to an Indonesian nonfacility company through an affiliation with Pulau
Mas Group allowing the Company to enter industrial
markets outside that of the energy industry.

The scope of services and activities of the company
is defined as accommodation services, this covers
many aspects of the travel industry as well as
residential communities, apartment and condominium
development and management. The Company has
conducted extensive research and the modern
traveler now prefers to stay in private villa resorts.
In Bali this was pioneered by the Four Seasons
Group who have won “Best Resort Hotel” in world
many time and today is has been challenged by
many more operators taking advantage of this shift
in customer preference. PT. Island Concepts
Indonesia Tbk., have modeled their business on this
sector of the industry.

tergantung pada pengunjung atau wisatawan yang

that its Bali Island Villa Resort depends on visitors or
tourists who come to Bali, both domestic and
foreign; maintaining the safety and security of these
arrivals to Bali is crucial.

Warga negara Indonesia, Marzuki Usman telah
berhasil meraih gelar di bidang ekonomi dari
Universitas Gajah Mada, Yogyakarta pada tahun
1969 dan lulus dengan gelar MA (Master of Arts)
di bidang Ekonomi dari Duke University di Durham,
California Utara, Amerika pada tahun 1975.
Indonesian Citizen, Pak Marzuki Usman obtained a
degree in Economics from the University of Gajah
Mada, Yogyakarta in 1969 and graduated Master
Arts in Economics from the Duke University in
Durham, North Carolina, USA in 1975.
Marzuki Usman memiliki asosiasi (perkumpulan)
yang strategis dengan Universitas-Universitas dan
sebagai Dewan Penasehat Internasional pada
Center of Tropical Forest Conversation (Pusat
Perlindungan Hutan Tropis) pada Duke University
dan menjadi dewan penasehat untuk Masters
Program Manajemen di Universitas Gajah Mada.
Even today Marzuki Usman has strong associations
with the Universities and is on the international
advisory board for the Center of Tropical Forest
Conservation at Duke University and a member of
the advisory board for the Masters in Management
program at the University of Gajah Mada.
Marzuki telah menghabiskan bertahun-tahun
mengabdi di bidang pelayanan umum tingkat
tinggi di negaranya. Beliau sempat menjabat Ketua
BAPEPAM, mantan Menteri Pariwisata, Seni dan
Budaya di Pemerintahan Indonesia dan anggota
Perkumpulan Konsul Kemasyarakatan Republik
Indonesia dan Pejabat Partai Kebangkitan Bangsa.

serving his country at the highest level. He is the

Regulatory body, BAPEPAM; a former Minister of
Tourism, Arts and Culture in the Indonesia

Dari tahun 1995 sampai 1996 berturut-turut
Marzuki Usman adalah Anggota Dewan Penasehat

for NASDAQ and senior advisor to the Jakarta

Marzuki Usman telah diangkat menjadi Dewan

Beliau adalah seorang Profesor dibidang Arsitektur
dan Doktor di bidang Philosophi. Prof. A.
Sulistyawati lahir di Denpasar tahun 1946, memulai
karir sebagai asisten teknik fakultas tehnik
Universitas Udayana, Bali dan hingga sekarang
menjadi Dosen pada Universitas Udayana.
Prof. Dr. Ir A. Sulistyawati is a Professor in the field
of Architecture and has attained a Doctor of
Philosophy. Prof. A Sulistyawati was born in
Denpasar in 1946 and started her career as a
technical assistance at the Architecture Faculty of the
Udayana University, Bali and today is a lecturer at
the Udayana University.
Beliau aktif dalam bidang organisasi sejak tahun
1980 menjadi anggota Asosiasi Konsultan
Indonesia, anggota Asosiasi Arsitek Indonesia dan
anggota
Bali
International
Training
and
Development Centre ( BITDEC ).
Prof. Dr. Ir A. Sulistyawati is active in many
organization,s Prof. A. Sulistyawati became a

Adapun penghargaan yang telah beliau raih

Seorang warga negara Selandia Baru. Graham
lahir pada bulan Juli 1947 di Hastings, New
Zealand. Beliau memulai karir pada tahun 1967
sebagai seorang Akuntan di Unilever NZ Ltd dan
pada tahun berikutnya bergabung dengan
operator transportasi pedesaan R. Sherwood
Limited. Kemudian Sherwood’s menjadi Hawkes Bay
Transport Holdings Ltd. yang bergabung dan
terdaftar sebagai perusahaan terbuka tahun 1971.
Dari tahun 1987 – 1990 Graham adalah Direktur
Pelaksana Vector Corporation Ltd., sebuah
perusahaan bidang teknologi yang ada di
Auckland.
New Zealand Nationality. Graham was born in July,
1947 at Hastings, New Zealand. He started his
career in 1967 in Banking, then Public Accountancy
before joining Unilever NZ Ltd as a Manufacturing
Account. The following year joined rural transport
operator R. Sherwood Limited. Sherwood’s became
Hawkes Bay Transport Holdings Ltd in a merger and
public listing in 1971. From 1987 – 1990 Graham
was Managing Director of Vector Corporation Ltd,
an Auckland based technology company.
Pada akhir tahun 1991, Graham dipindahkan ke
Melbourne, Australia sebagai General Manager
untuk Telephone System Pty Ltd. Graham telah
mendirikan dan menjadi Direktur Pelaksana
LibertyOne Limited tahun 1996 untuk memulai

Indonesian public company. Graham Bristow was a
director of Indoexchange in 2001 and 2002, and
then resigned from his position to mentor PT Island
Concepts Indonesia. He founded PT. Island Concepts
Indonesia Tbk. and became a member of the board
of commissioners in 2002.

Beliau pernah bekerja selama 10 tahun (tahun
1990-2000) di PT. Bank Duta Tbk. sebagai
Corporate Lawyer dan beberapa jabatan lainnya
dengan jabatan terakhir sebagai Asistant Vice
President pada Internal Audit Division.
He has worked for 10 years (1990-2000) at PT.
Bank Duta Tbk. as a Corporate Lawyer and several
other positions with his last position as Asistant Vice
President at the Internal Audit Division.
Pada waktu Bank Duta merger dengan Bank
Danamon tahun 2000, beliau mengambil paket
pensiun dini (golden shakehand) dan langsung
mendirikan Kantor Hukum RICH & RISJAD Law Firm,
dan selanjutnya menjadi RIVAI, SUSANTONO &
PARTNERS dan terakhir tahun 2010 berubah
menjadi PRISMA & CO Law Firm seiring dengan
penambahan jumlah Partner.
At the time of the merger with Bank Duta Bank
Danamon in 2000, he took early retirement
package (golden shakehand) and immediately
founded the Law Offices of Rich & Risjad Law Firm,
and subsequently became Rivai, Susantono &
PARTNERS 2010 and last year turned into PRISMA
& CO Law Firm along with the addition of Partner.
Sejak tahun 2007 sampai dengan sekarang beliau
dipercaya menjadi Anggota Komite Audit pada
PT. Bank Yudha Bhakti dan sejak tahun 2009
menjabat sebagai Direktur PT. Prisma Mentari
Internasional.

Dodi Prawira Amtar was born in December 1962 at
Jakarta, and domiciled in Bekasi and Central
Jakarta. He gained a Master of Science ( M. Sc ) on
1993 in the field of Finance and Management from
the New York State University (SUNY), Stony Brook,
New York, USA, and a Bachelor's of Engineering (
Ir. ) from the Architect faculty of Indonesian
University, Jakarta in 1996. He completed a
Governance Executive Program at Yale University,
Connecticut, USA, in August 2002 and obtained a
Certificate of Securities Analysis, New York
University, New York, USA ( December 1994) and
retirement Fund Education Program, Institute of
Management Faculty of Economics, University of
Indonesia (June 1994).
Saat ini Beliau aktif berorganisasi sebagai ketua
Dewan Pengawas Indonesian Institute for Corporate
Directorship (IICD), Ketua Departemen Etika &
Profesi, Asosiasi Penjamin Emisi Efek Indonesia
(AWPEEI) dan sebagai Ketua Departemen IT &
Permodalan,

Indonesia (HIPPI) dari tahun 2004–2010.
Currently he is active as Chairman of the Board of
Trustees of the Indonesian Institute for Corporate
Directorship (IICD), Chairman of Ethics and

Association (AWPEEI) and also as of department of
IT & Capital he was Chairman, Native Indonesian
Entrepreneurs Association, from 2004-2010.
Pada tahun 2010 beliau menjabat Sebagai
direktur utama PT. Patra Suplies and Services dan
Komisaris Utama PT. Pulau Mas Utama, senior
advisor pada PT. Trust Sekuritas, serta menjadi
dosen tetap pada Universitas Sahid, selain itu
beliau pernah menjabat sebagai Direktur Utama
pada PT. Bapindo Bumi Sekuritas.
In 2010, Dodi Prawira Amtar served as director of
PT Patra Suplies and President Commissioner of PT
Pulau Mas Utama; he is also senior advisor to PT.
Trust Securities, and is a lecturer at Sahid University,
Jakarta. He also served as a former President
Director of PT Bapindo Bumi Securities.
Dengan pengalamannya tersebut maka PT. Island
Concepts Indoensia Tbk., mengangkat Beliau
sebagai Presiden Direktur.
With such experience, PT. Island Concepts Indonesia

Putu Agung Prianta was born on 1974 in Denpasar,

Saat ini beliau menjabat sebagai Managing
Director Pulau Mas Group (Holding), membuat dan

Currently he serves as Managing Director of the
Pulau Mas Group (Holding) create & set up a
diverse property and business group based in Bali

2001 - 2004
Perseroan telah berbadan hukum sebagai PT Island
Concepts Indonesia sesuai dengan keputusan akta
Notaris No. 3 pada tanggal 11 Juli 2001 oleh
Akta Notaris Evi Susanti Panjaitan, SH dan
diberikan kuasa sebagai Perusahaan PMA oleh
Badan Koordinasi Penanaman Modal Republik
Indonesia (BKPM) No. 496/PMA/2001 pada
tanggal 14 Juli 2001, sebagai sebuah perusahaan
pengembang dan operator jasa pelayanan serta
akomodasi turis di “Pulau Dewata”, Bali.
The Company was incorporated as PT Island
Concepts Indonesia under Notary Deed No. 3 on the
11th July 2001 by Notary Deed Evi Susanti
Panjaitan SH, and authorized as a PMA company by
Investment Coordinating Board of Republic of
Indonesia (BKPM) No. 469/PMA/2001 on the 14th
July 2001 as a developer and operator of Tourist
accommodation and services on the “Island of the
Gods”, Bali.
Perseroan mengerjakan pembangunan properti
pertamanya di Petitenget, Bali pada bulan Agustus
2002.
The Company acquired its first development
property in Petitenget, Bali in August 2002.
Tahun 2003 Perseroan mendirikan kantor
berbadan hukum di Jalan Raya Petitenget No. 469.
Program pembangunan Perseroan telah ditunda
satu tahun sebagai akibat dari Bom Bali pada
bulan Oktober 2002.

rental properties for sale and lease.
Perseroan mulai pembangunan kembali untuk 10
luxury One Bedroom Villas, Island Villas Bali pada
bulan Februari 2004.

Pendaftaran sekuritas Perusahaan pada Bursa Efek
Surabaya telah disetujui oleh BAPEPAM pada
tanggal 30 Juni 2005. PT Island Concepts Indonesia
Tbk mulai perdagangannya di “BES” pada tanggal
8 Juli 2005. Modal yang diterbitkan Perseroan
adalah 125.000.000 saham pada nilai nominal Rp.
112,25 per saham.
The Company was approved by BAPEPAM on the
30th June 2005 to list its securities on the Surabaya
Stock Exchange. PT Island Concepts Indonesia Tbk
commenced trading on “BES” on July 8th 2005. The
issued capital of the Company was 125,000,000
shares at a nominal value of IDR 112.25 per share.

Penyelesaian tahun pertama Island Villas Bali
berhasil lebih cepat dari yang diperkirakan dan
dengan nama baru Island Villas & Spa sebagai
hasil pengambilalihan kegiatan usaha dan staf dari
“Day Spa Bali” yang telah menutup usahanya
pada tahun ini.
The Island Villas Bali completed its first year ahead
of forecasts and was renamed Island Villas & Spa as
a result of the company incorporating the staff and
business of the “Day Spa Bali”, which closed its
doors during the year.
Saham perusahaan diperdagangkan di Bursa Efek
dengan simbol “ICON” dengan penutupan harga
Rp. 670 per saham pada tanggal 31 Desember
2006, hal ini menggambarkan suatu peningkatan
harga dari Rp. 557,75 atau berkisar 500%
kenaikan sejak terdaftar pada tanggal 8 Juli
2005.
The Company’s stock traded on the Surabaya Stock
Exchange, symbol “ICON”, to a closure price of IDR
670.00 per share as at December 31st 2006. This
represented in increase of IDR 557.75 or
approximately 500% since listing on July 8th,
2005.
Island Residences Club yang berpusat di
Williamsburg, Virginia, US, tahun ini telah
menunjukkan kepercayaannya kembali di Bali,
Indonesia, dengan mendapatkan 24.250.000 (dua
puluh empat juta dua ratus lima puluh ribu) saham
di dalam Perusahaan yang mewakili 19,4% saham.

During this year Island Residences Club, Inc. based
in Williamsburg, Virginia, USA, demonstrated
renewed confidence in Bali/Indonesia, acquiring
twenty four million two hundred and fifty thousand
(24,250,000) shares in the Company representing
a 19,4% stake. In conjunction with this strategic
investment, Island Residences Club, Inc. also made
available a USD twenty million ($ 20,000,000.00)
facility to the Company for the development and
management of Luxury Residences & Resorts for the
Island Residences Club membership.
2007
Perusahaan mendapatkan tanah di Tabanan
dengan maksud untuk mengembangkan suatu
Destinasi dan Tempat tersembunyi. Pembangunan
akan dimulai pada 2008 dengan sebuah
pembangunan Regency Resort yang memiliki lebih
dari 200 kunci.
Bursa Efek Surabaya dan Jakarta telah bergabung
pada tanggal 30 November 2007. Nilai harga
saham pembuka ICON, yang merupakan simbol
dagang PT Island Concepts Indonesia Tbk adalah
Rp. 870 untuk total pasar modal dari Rp. 108,750
milyar.
The Company acquires land in Tabanan with the
intent of developing a Resort Destination and
Retreat. Construction will commence in 2008 on a
200+ key Regency Resort.
The Surabaya and Jakarta Stock Exchanges merged
on the 30 November 2007. The opening stock value
for ICON, trading symbol for PT Island Concepts
Indonesia Tbk was IDR 870 for a total market
capital of 108.750 billion IDR.

Pemegang Saham Perseroan telah menyetujui
Pemecahan Nilai Nominal Saham (Stock Split) pada
bulan Mei 2008 dengan rasio perbandingan 1:2
dan mengajukan Anggaran Dasar baru yang
berbadan hukum dengan segala perubahan yang
dibuat sebagai Tindakan Perseroan. Stok Split

Shareholders in May 2008 to split the company’s
stock in a ratio 2:1 and filed new Corporate Articles
incorporating this and including the changes made
to the Corporation Act. The Stock Split was recorded
on the Indonesian Stock Exchange “IDX” on the

assist in achieving greater liquidity in the Company’s
stock.
Hingga tanggal 31 Desember 2008 saham-saham
Perseroan masih ditangguhkan oleh BEI dengan
nilai perubahan yang telah dikutip pada harga Rp.
870 menjadi Rp 435 per saham setelah Stock Split
yang telah dicatat pada Bursa Efek Indonesia.
The Company’s shares remain suspended to
December 31, 2008 on the IDX with the quoted
value changing from IDR 870 per share to IDR 435
per share after the Share Split was recorded by the
Indonesia Stock Exchange.
Perseroan merumuskan dan menyetujui suatu
kebijakan “Green” Energy di tahun ini dan telah
mencapai penghematan listrik yang digunakan
selama sebulan sebesar 15%, namun demikian
secara dramatis pula tarif listrik meningkat di tahun
yang sama dan dalam laporan keuangan tidak
tampak secara nyata penghematan yang telah
dihasilkan Perseroan. Perseroan akan melanjutkan
memperluas Kebijakan Green Energy tersebut.
The Company formulated and adopted a “Green”
Energy policy during the year and has already
achieved a monthly saving of electricity usage of
15%, however with a dramatic increase in electricity
prices during the year the financial accounts do not
reflect the true nature of savings made. The
Company will continue to expand its Green Energy
Policy.

Pada tanggal 2 November 2009, Perseroan
mengadakan diskusi yang menentukan untuk
menggabungkan PT Island Concepts Indonesia Tbk
dengan PT Pulau Mas Utama, yaitu Perusahaan
yang bergerak di bidang Konstruksi Komersial
yang sama-sama didirikan di Bali.
On November 2, 2009, the Company entered into
definitive discussions to merge PT Island Concepts
Indonesia Tbk. with PT Pulau Mas Utama a long
established Bali based Resort and Commercial
Construction company.

Penggabungan
usaha
Perusahaan
dengan
perusahaan afiliasi PT. Pulau Mas Utama Group
yaitu PT. Patra Supplies dan Services telah
diajukan ke BAPEPAM namun tidak menjadi efektif
dengan batas waktu Audit Perusahaan saat ini.
Perusahaan telah memperbarui semua dokumen
yang diperlukan dan telah diajukan kembali dan
berharap penggabungan tersebut akan efektif
pada pertengahan 2011.
The Company merger with PT Pulau Mas Utama
Group affiliate company, PT Patra Supplies and
Services was filed with BAPEPAM but did not
become effective within the time limit of current
Company Audits. The Company has updated all
necessary documentation and has refiled and is
hopeful the merger will become effective midle2011.

Pada tanggal 16 Juni 2011 Perseroan mendapat
pernyataan efektif dari BAPEPAM LK atas
penggabungan usaha dengan PT. Gama Wahyu
Abadi dan di sahkan oleh Mentri Hukum dan HAM
RI pada tanggal 19 Juli 2011.
On June 16, the company had an effective
statement from Bapepam LK, merger with PT.
Gama Wahyu Abadi and approved by the
Ministry of Justice and Human Rights on July 19,
2011.
Pada tanggal 9 September 2011 perdagangan
saham perseroan di bursa efek Indonesia
dilepaskan. Dengan demikian Efek PT. Island

Indonesia
dapat
kembali
diperdagangkan.
On September 9,2011, stock trading company in

Fokus kami pada sektor perhotelan dalam negeri,

laba perdana kami sebagai Perusahaan Publik,

Tahun ini menjadi tahun yang berhasil bagi
Perusahaan setelah melakukan merger usaha
dengan PT. Gama Wahyu Abadi di mana
efektivitasnya telah diberikan oleh BAPEPAM pada

Our focus on the domestic hospitality sector,
including both accommodations and food &
beverage operations has finally paid off as we
posted our maiden profit as a public listed company,
albeit it below expectations. It has been a successful
year for the Company having completed a merger
with PT Gama Wahyu Abadi and effectiveness
granted on June 16, 2010 by BAPEPAM; approval
by our shareholders at an extra ordinary general
Meeting on June 20, 2010 and trade suspension
imposed on PT Island Concepts Indonesia Tbk., by
the Indonesian Stock Exchange being lifted on
September 12, 2010.

year 2009, 20% in 2010 and 22% in 2011,
remarkable figures given the state of the global
economy and the local natural and un-natural

Concepts Indonesia Tbk., we will capitalize on this to

Pada tahun 2011 perseroan mencatat telah mencapai
kinerja keuangan yang lebih baik dibandingkan
dengan tahun 2010, ditahun ini perseroan
mendapatkan laba bersih sebesar Rp. 624 Juta,
dibandingkan dengan tahun lalu yang masih rugi
sebesar Rp. 6,3 Milliar.
PT Island Concepts Indonesia Tbk has achieved
brighter financial performance In 2011, compared
with year 2010, this year the company earn net profit
of Rp. 624 million, compared with last year which still
suffered a loss of Rp. 6.3 billion.
Pada tahun 2011, perseroan telah berhasil
meningkatkan pendapatan sebesar Rp. 109, 3 Miliar
dibandingkan dengan tahun lalu sebesar Rp. 54,8
Miliar, atau kenaikan sebesar 99,6 %.
In 2011, the company has successfully increased
revenue, amounting to Rp. 109, 3 billion compared
with last year amounted Rp. 54.8 billion, or increase of
99.6%.

compared to the year 2010 amounted Rp. 67.1 billion.
Ekuitas perseroan mencapai Rp. 16,6 ditahun 2011,
sedangkan di tahun 2010 sebesar Rp. 16 miliar, atau
meningkat sebesar 3,89 %.

for UNOCAL 76 in East Kalimantan in 1974. As
government policy in 1976 regulated that foreign
catering companies were not permitted to operate
independently, Spinneys 1948 Ltd established a
Foreign Investment Joint Venture with PERTAMINA.

di bidang Ekonomi dari Duke University di Durham,
California Utara, Amerika pada tahun 1975.
Indonesian Citizen, Pak Marzuki Usman obtained a
degree in Economics from the University of Gajah
Mada, Yogyakarta in 1969 and graduated Master
Arts in Economics from the Duke University in
Durham, North Carolina, USA in 1975.
Marzuki Usman memiliki asosiasi (perkumpulan)
yang strategis dengan Universitas-Universitas dan
sebagai Dewan Penasehat Internasional pada
Center of Tropical Forest Conversation (Pusat

Universitas Udayana, Bali dan hingga sekarang
menjadi Dosen pada Universitas Udayana.
Prof. Dr. Ir A. Sulistyawati is a Professor in the field
of Architecture and has attained a Doctor of
Philosophy. Prof. A Sulistyawati was born in
Denpasar in 1946 and started her career as a
technical assistance at the Architecture Faculty of the
Udayana University, Bali and today is a lecturer at
the Udayana University.
Beliau aktif dalam bidang organisasi sejak tahun

lahir pada bulan Juli 1947 di Hastings, New
Zealand. Beliau memulai karir pada tahun 1967
sebagai seorang Akuntan di Unilever NZ Ltd dan
pada tahun berikutnya bergabung dengan
operator transportasi pedesaan R. Sherwood
Limited. Kemudian Sherwood’s menjadi Hawkes Bay
Transport Holdings Ltd. yang bergabung dan
terdaftar sebagai perusahaan terbuka tahun 1971.
Dari tahun 1987 – 1990 Graham adalah Direktur
Pelaksana Vector Corporation Ltd., sebuah
