Peranan Dan Tanggung Jawab Notaris Dalam Kepastian Proses Pengesahan Badan Hukum
ABSTRAK
SABH adalah Sistem Administrasi Badan Hukum dalam permohonan
penyelesaian badan hukum Perseroan Terbatas yang dilakukan secara elektronik
menggunakan media Internet secara online. Sebuah prosedur adalah kunci dari
suatu sistem hukum yang berlaku, tanpa prosedur yang benar dan sesuai dengan
undang-undang serta ketentuan yang berlaku, maka seluruh sistem tersebut akan
timpang, sehingga prosedur memegang peranan penting dalam sebuah
keberlangsungan suatu sistem. Begitu pula dalam sistem pengesahan pendirian
Perseroan Terbatas, dimana peranan notaris adalah sebuah mata rantai dari
seluruh prosedurnya.
Keberadaan notaris selaku pejabat umum ini tidak hanya sekedar untuk
melayani masyarakat yang membutuhkan jasanya tetapi juga atas perintah undangundang.Tanggung jawab notaris dalam hal pendirian Perseroan Terbatas tidak
lepas dari peranan notaris dalam proses pengesahan pendirian Perseroan Terbatas
tersebut.Pengetahuan notaris dengan kemajuan teknologi penggunaan SABH
harus sejalan. Direktorat Perdata, Direktorat Jenderal Administrasi Hukum
Umum, Kementerian Hukum dan HAM yang mempunyai kewenangan di bidang
pelayanan dan pengesahan badan hukum Perseroan Terbatas, perlu untuk
melakukan pembenahan dan mengimplementasikan hal-hal yang diamanatkan
Undang-Undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas. Dan juga
Peraturan Menteri Hukum dan Hak Asasi Manusia Nomor 4 tahun 2014 Tentang Tata
Cara Pengajuan Permohonan Pengesahan Badan Hukum Dan Persetujuan Perubahan
Anggaran Dasar Serta Penyampaian Pemberitahuan Perubahan Anggaran Dasar Dan
Perubahan Data Perseroan Terbatas.
SABH dihadirkan guna menggantikan sistem manual dalam
prosedur
pengesahan pendirian Perseroan Terbatas yang dirasa tidak efisien, namun karena
berbagai alasan, maka sistem manual tetap berlaku disamping kehadiran SABH, hal
ini tentu saja tidak sejalan dengan peraturan pendahulunya yang menyatakan bahwa
sistem manual sudah tidak berlaku lagi .Dengan menggunakan SABH ini diharapkan
tidak ada kendala lagi dalam praktek pengesahan perseroan terbatas menjadi badan
hukum karena sistem ini mempunyai fungsi kontrol dan kendali yang baik,
sehingga mengurangi terjadinya kesalahan manusia karena semua proses
berlangsung secara otomatis.
Dengan adanya inovasi dan kemudahan terhadap proses pengesahan badan
hukum perseroan, persetujuan dan pemberitahuan perubahan anggaran dasar
perseroan diharapkan dapat meningkatkan iklim berusaha dan pembangunan
ekonomi di Indonesia.

ABSTRACT
SABH (Legal Entity Administrative System) is used to request the settlement of
the legal entity of a corporation electronically by using internet online. A procedure
is the key of a legal system. Without a correct procedure which is in line with legal
provisions, the system will be imbalanced; therefore, a procedure plays an important
role in the sustainability of a system. The same is true to in the system of validating
the establishment of a corporation in which the role of a Notary becomes the link of
all procedures.
A Notary as a public official not only serves people who need his service but
also because of law. The Notary’s responsibility in the establishment of a
corporation cannot be separated from his role in the process of the validation of the
establishment of the corporation. A Notary’s knowledge should be in line with
technological advancement in using SABH. The Directorate of Civil Case, The
Directorate General of General Legal Administration, and the Ministry of Law and
Human Resources that have the authority in the Service and Validation of a
Corporation need to improve and implement what has been stipulated in Law No.
40/2007 on Corporation, including the Regulation of the Minister of Law and Human
Resources No. 4/2014 on the Procedures of Requesting the Validation of the Legal
Entity and the Approval of the Amendment of the Articles of Association and
Notification of the Amendment of the Articles of Association and the Data of a
Corporation.
SABH is used to replace inefficient manual system in the procedure of
validation of the establishment of a Corporation; but, for many reasons, manual
system is still in effect besides SABH which is not in line with the previous regulation
which states that manual system is not in effect. By using SABH, it is expected that
there will be no obstacle any more in the practice of validating a corporation to
become legal entity since it has good control system so that human error can be
decreased because all processes operate automatically.
By the innovation and facility in the process of validating a corporation, an
agreement and notification about the amendment of the Articles of Association of a
Corporation is expected to improve the climate of business and economic
development in Indonesia.
