A. Mekanisme Pengangkatan

1. Sumber Bakal Calon Pengajuan nama-nama calon Dewan Komisaris didasarkan pada sumber-sumber bakal calon yang terdiri dari mantan Direksi BUMN, Dewan Komisaris, pejabat struktural dan fungsional pemerintah dari sumber lain.

2. Penjaringan Penjaringan nama-nama Dewan Komisaris dilakukan oleh Menteri BUMN, Sekretaris, Deputi Teknis, dan/ atau Deputi mencari bakal calon dari berbagai sumber. Semua bakal calon diadministrasikan oleh Deputi.

3. Penilaian Merujuk pada PER-02/MBU/02/2015, secara umum penilaian yang dilakukan terhadap calon meliputi pemenuhan persyaratan baik formal, materiil dan lain; evaluasi terhadap persayaratan; diajukan dengan memberikan rekomendasi “Disarankan”.

In relation to the concept of right man on the right place in the Company’s Board of Commissioners structure, Board of Commissioners’ skills and capabilities are highly required in each decision-making process or formulation of strategic policies. Through Board of Commissioners’ competence, the Company may obtain professional opinion and consideration from various viewpoints so that the policies formulated by the Company will

be more effective and accurate, and prioritize independency aspect. Hence, the Company’s operational activity is expected to align with the vision and targets set by the Company.

In conducting appointment, dismissal and re-nomination of Board of Commissioners, the Company adjusts its guidelines by referring to the provisions stipulated in the CoCG of the Company In terms of technical guideline, the Company refers to several related policies, such as the Law No. 40 of 2007 regarding Limited Liability Company, Law No. 19 of 2003 regarding State- Owned Enterprises, Regulation of Minister of SOE No. Per-01/ MBU/2011 regarding Implementation of Good Corporate Governance (GCG) at SOEs as well as Articles of Association of PT Pelabuhan Indonesia III (Persero). In addition, with the issuance of Regulation of State Minister of SOE No. PER-02/MBU/02/2015 regarding Requirements and Procedures to Appoint and Dismiss Members of Board of Commissioners and Supervisory Board of State-Owned Enterprises, the Company makes this regulation as a reference while the assessment mechanism refers to the Decision of Minister of State-Owned Enterprise No. Kep-09A/ MBU/2002 regarding Fit and Proper Test for the Candidates of Members of Board of Directors of State-Owned Enterprises.

1. Source of Potential Candidates Proposal for the name of candidates for Board of Commissioners is based on the sources of potential candidates which consist of ex-members of Board of Directors of SOEs, Board of Commissioners, structural and functional officials of the government and other sources.

2. Selection The selection of the names for members of Board of Commissioners is conducted by the Minister of SOE, Secretary, Technical Deputy and/or Deputy from the potential candidates from various sources. All potential candidates are administrated by the Deputy.

3. Assessment Referring to PER-02/MBU/02/2015, assessment conducted on the candidates in general shall encompass the fulfillment of formal, material and other requirements; evaluation on the requirements; and proposing the candidates with “Recommended” stamp.

4. Usulan Pengangkatan Bagi calon yang telah mendapatkan rekomendasi “Disarankan” oleh tim penilai dapat diangkat menjadi Dewan Komisaris Perseroan. Untuk penetapan, karena status Perseroan sebagai BUMN yang kepemilikan seluruh saham dimiliki negara maka penetapan dilkaukan melalui Keputusan Menteri.
