THE ESTABLISHMENT OF PRE-STRESSED CONCRETE
BRIDGE COMPONENT PREFABRICATION PLANTS : PHASE I

GENERAL


1.

THIS MEMORANDUM

expresses the understandings of the Government

of the Republic of Indonesia and the Government of Australia concerning
the responsibility of the two Governments in regard to the establishment
of Pre-stressed Concrete Bridge Component Prefabrication Plants, the
training of Indonesian personnel in the operation of these plants and the
implementation of fina l studies on the establishment of plants in Jambi,
Endeh, Boyolali and Central Sulawesi (hereinafter referred to as the Project), located in the Provinces of Aceh, Bengkulu and West Central Java
(Buntu), as further described and detailed in the Annexures (I · Ill) to
this Memorandum.
2.

AUTHORITIES

The Executing Authorities for this Project will be :

For the Indonesian Government : Direktorat Jenderal Bina Marga, Departe·
men Pekerjaan Umum (The Directorate General of Highways of the Minis·
try of Public Works).
For the Australian Government : The Australian Development Assistance
Bureau of the Department of Foreign Affairs.
The Australian Development Assistance Bureau may nominate suitably
qualified agents to undertake any part of its functions on its behalf.

DURATION

3.

This Memorandum will take effect from the date of its signature and the
Project will be deemed to have commenced from that date.

The Australian contribution to the Project and all undertakings given
herein will cease four (4) years after the date of signature of this Memo·
randum on such other date as may subsequently be agreed between the

two Governments.
PROJECT

4.

ORGANISATION

Responsibility for development and direction of the Project will be vested
in a Project Co·ordinating Board, whose chairman will be appointed by
the Indonesian Government.

Membership of the Board will include the

Australian Team Leader, who is to be appointed by the Australian Co·
ordinating Authorities in consultation with the Indonesian Government.
Membership of the Board will also include representatives of the lndone·
sian Government Ministry referred to in Clause 2 above, or nominated
at the discretion of the Indonesian Government,

as well as a nominee


designated by the Australian Embassy accredited to Indonesia.
The Board will meet not less than twice per year.

5.

Functions of the Project Co-ordinating Board will include :
(a)

Co-ordinating policy for the Project;

(b)

Co-ordinating operation of the project team;

(c)


Co-ordinating the disposition of the project personnel and equipment;

(d)

Reviewing and reporting on progress to the two Governments; and

(e)

Recommending to the two Governments changes in program, budget
and future development.

RESPONSIBILITY

6. Overall responsibility for this Project will rest with the Government of
Indonesia.

The final authority for decisions on implementation of the

agreed works program shall rest with the Directorate General of Highways

after considering consultations between the Indonesian Project Manager
and the Australian Team Leader.
CONTRIBUTIONS

7. The contributions of the Australian and Indonesian Governments are
detailed in Annex 1 and are estimated to value Rp.5,805,000,000 and
$A16.5 million

respectively.

Disbursement of the Australian and

Indonesian Governments' contributions will be subject to the normal
annual Parliamentary approval of Appropriations.
EVALUATION

8. An evaluation of progress of the Project may be made at times arranged
between and mutually convenient to, the Australian and Indonesian
Governments.


Such an evaluation would be undertaken by a joint

investigation team appointed by the two Governments and independent
of staff involved in the Project.
PERSONNEL

9. For the purposes of this Project, the Indonesian Government will, in
accordance with existing laws and regu lations, faci litate the employment
by the Australian Government or its agent of personnel as required for
the project and established between the two Governments by :
(a)

granting exemption from income or other taxes on Project salaries
and allowances;

(b)

granting exemption from import and other duties on personal and
household effects;


(c)

granting exemption from import duties on one commercial motor
vehicle per expert on condition that it either be re-exported, sold
to

person who hos the same privileges, or duty paid on its assessed

value at time of sale within Indonesia, or granting exemption from
taxes and duties on the purchase in Indonesia of one locally
assembled motor vehicle per expert;
(d)

granting to Australian Project personnel all rights and entitlements

accorded to the aid personnel of any other donor country and;
(e)

expediting the issue of all documentation required for the entry of,
and performance of work by, Project personnel, including work
permits or certificates and drivers' licenses for eligible persons.

SUPPLIES

10. (a)

The Indonesian Government will, in accordance with regulations
and laws, exempt from import duties and other taxes (or pay such
duties thereon) all goods supplied for the established purposes of
the Project as set out in Annex 1.

The Australian Government must


submit a master list of all supplies to be supplied by the Australian
Government to the Government of Indonesia;
(b)

The Indonesian Government will facilitate movement of Project
equipment and supplies by providing appropriate customs and
wharfage facilities in the port closest to the Project site and wi ll be
responsible for the expeditious transport of such equipment and
supplies to the site; and

(c)

Project equipment and supplies provided by Australia shall be
available for the unrestricted use of the project and shall not be
withdrawn

from such use without the consent of the Project

Co-ordinating Board.


The Australian Team Leader in consultation

with the Indonesian Project Manager shall exercise administrative
control over such equipment and supplies for the duration of the
Project.

LIABILITY

11. The Indonesian Government shall be responsible for dealing with any

claims which may be brought by third parties against Australia

and

its experts, agents or Australian personnel and shall hold harmless
Australia

and its experts, agents and personnel in case of any claims or

liabilities

resulting

from

operations

under this Memorandum.

This

provision shall not relieve any person from liability for any criminal,
grossly negligent or fraudulent act.

SECURITY

12. The Indonesian Government will arrange for any protection deemed
necessary to ensure the safety of Australian personnel, Project and
personnel equipment both at the Project location, in transit and on any
other official representational activity in Indonesia.

personnel have due regard for local traditions and customs.

SETTLEMENT OF
DIFFERENCES

13. Any differences arising out of the interpretation of the Memorandum
shall be settled amicably by consultation of negotiation between the two
Governments.

AMENDMENTS

14. Amendments to this Memorandum may be made at any time by an
Exchange of Letters between the tow Governments.

ANNEXURES I, II and Ill to this Memorandum form an integral part of it.

ANNEX

ESTABLISHMENT OR PRE-STRESSED CONCRETE BRIDGE PLANTS
D IVISION OF RESPONSI BILITY AND CONTRIBUTIONS

1.

Australia
(a)

The Australian contribution to the Project will be approximately $A 16.5 million excluding
escalation spread over the Australian financial years 1979-80 to 1983-84.

(b)

Within the limits of its contribution Australia will provide on the recommendation of the
Australian Project Manager the following items for the purposes of the agreed construction
program:
(i)

the professional and technical staff on a long term basis as listed in Annex II including
the payment of their salaries, allowances and travel between Australia and Indonesia;
and short term specialist staff as required;

(ii)
(iii)

survey, instruments and equipment in Indonesia, including workshop equipment;
laboratory testing equipment for concrete quality control testing and bridge sub
soil investigation equipment;

(iv)

construction and transport plant, equipment and vehicles as listed in Annex Ill and
spare-parts therefore as required;

(v)

pre-stressing consumables including strand, anchorages and ducting, concrete
admixtures;

(vi)

bridge bearings and associated fittings;

(vii)

technical reference books, films, and equipment for training purposes;

(viii)

Colombo Plan awards tor practical training in Australia for key Indonesian staff
associated with the Project;

(ix)

major household appliances (refrigerators, deep freeze units, air conditioners, electric
stoves, water filtration units) for the accommodation provided by the Indonesian
Government tor Australian personnel.

These items will be transferred to the

Indonesian Government at the end of the Project, if requested;
(x)

plant and building (framework and cladding) as specified in Annex Ill;

(xi)

rented accommodation for Central Management staff in Jakarta or Bandung; and

(xii}

camping facilitiP.s as required at assembly and erection cities.

All plant, equipment, vehicles and spare parts excluding major household appliances supplied
by Australia for the Project will become the property of the Indonesian Government on being
shipped C. I. F. from Australia to the closest port of entry in Indonesia to the respective plant sites
and the Indonesian Government will provide the Austra•ian Embassy, Jakarta with documentary
confirmation of the receipt of the equipment.
Major modification to the list of plant, equipment and vehicles in Annex Ill may be after
consultation with the Indonesian authorities and the Australian Development Assistance Bureau.

2.

Indonesia
(a)

The Indonesian contribution to the Project will be approximately Rp.5,805,000,000 spread
over the Indonesian financial years 1980-81 to 1983·84.

(b)

The Directorate General of Bina Marga will appoint an officer as Executive Project Director
in Jakarta through whom all communications with the Ministry of Public Works will be
directed.

(c)

Within the limits of its contribution Indonesia will provide :
(i)

staff as listed in Annex II on a full-time basis together with the requisite sub·
professional, skilled and semi skilled; including payment of all salaries and allowances;

(ii)

all office and laboratory furniture;

(iii)

accommodation as required close to or at the plants for Indonesian and Australian
personnel;

(iv)

all maintenance and replacement (including furniture and equipment). as necessary
during the life of the Project, for all buildings at and associated with Plant Centres,
and labour and materials or contracts for the erection of houses and other
accommodation required with all necessary services;

(v)

field accommodation, workshops and offices as required progressively throughout
the life of the Project to mutually agreed specifications, maintenance and replacement
as necessary;

(vi)

adequate water and electrical reticulation to reasonable standards within the Plant
Centres;

(vii)

road, drainage, sewerage and other services to and within the Plant Centres;

(viii)

all fuels and lubricants to mutually agreed specifications, road tankers, bulk storage
facilities at Plant Centres and the adequate maintenance of supplies;

(ix)

all plant and vehicle エケイセウ@

(x)

adequate security arrangements for the Plant Centres, accommodation sites and

in tht: sizes manufactured in lndonesta;

construction sites, and for movement of personnel, equipment and materials to and
from the letter;

(xi)

facilities for medical treatment for Indonesian personnel at the Plant Centres and
sites;

(xii)

all construction materials required for the project excluding the pre-stressing
consumables, concrete admixtures and bridge bearings listed in paragraphs 1 (b) (v)
and (vi) ;

(xiii)

prefabrication plant substructure including floors and drainage and Plant Centre
security fencing;

(xiv)

all other requisite materials, services and facilities required for the execution of the
project, estimated annual requirements to be agreed between the Australian Team
Leader and the Indonesian Project Manager prior to the beginning of each financial
year;

(xv)

all handling, clearing and transportation costs at, and from, the ports of entry to the
project sites, of imported materials, equipment, vehicles, machinery, furniture and
fittings and other goods and spare parts supplied to the project by Australia;

(xvi)

exemption from or reimbursement of all duty tax paid in Indonesia by Australia
in purchasing vehicles, spare parts and materials for the project;

(xvii)

complete office and training centre and workshop building structures within the
Plant Centres to mutually agreed specifications; and

(xviii) registration of all project plant items and vehicles as required by Indonesian law.
The personnel provided by Australia shall have and advisory role, and final authority for
decisions in formulating and implementing the agreed work program shall rest with the Government
of the Republic of Indonesia after consultation with the Australian Project Manager.
The Australian Project Manager in consultation with the Australian Ambassador in Indonesia
or his delegate shall nevertheless have final jurisdiction in respect of :
(a)

duties, discipline, leave and all other administrative issues concerning Australian personnel ;
and

(b)

use of passenger vehicles provided by Australia as transportation for Australian personnel.
It is understood that the Indonesian Government will make arrangements to design and

construct a sufficient number of bridges in the influence area of each plant to utilise sufficient numbers
of prefabricated bridge components to enable the plants to operate at the economically justified levels.
