FINANCIAL PROTOCOL

THE GOVERNMENT OF THE REPUBUC OF INDONESIA
AND
THE GOVERNMENT OF THE FRENCH REPUBLIC
With a view to strengthening the ties of friendship and cooperation which bind them, the
Governement of the Republic of Indonesia and the Government of the French Republic have agreed
to conclude the present protocol to foster the economic development of Indonesia.
ARTICLE 1 - EXTENT AND PURPOSE OF THE FINANCIAL SUPPORT
The French Government grants the Government of the Republic of Indonesia financial
support designed for the execution of projects included in the economic development priorities of
Indonesia. The said support shall not exceed 19 970 821 ,26 EUR (nineteen million nine hundred and
seventy thousand eight hundred and twenty one euros and twenty six cents) equivalent to 131 M FRF
(one hundred and thirty one million French Francs) and shall be used to finance on the one hand, the
purchase in France of French goods and services and on the other hand, local parts, related to the
implementation of the projects mentioned in the annex to the present protocol. In addition, a
provision of 1 524 490, 17 EUR (one million five hundred and twenty four thousand four hundred and
ninety euros and seventeen cents), equivalent to 10 M FRF (ten million french francs), is made to
cover costs due to construction delays for the Lahendong power plant project.
ARTICLE 2 - BREAKDOWN OF FINANCE PACKAGE
The financial support provided for in article 1 shall comprise :
- a grant from the French Treasury of a total amount not exceeding 3 048 980,34 EUR
(three million fourty eight thousand nine hundred and eighty Euros end thirty four cents) equivalent to
20 M FRF (twenty million French Francs),
- a loan from the French Treasury of a total amount not exceeding 18 446 331 ,09
EUR (eighteen million four hundred and fourty six thousand three hundreed and thirty one euros and
nine cents) equivalent to 121 M FRF (one hundred and twenty one million French Francs) ;
ARTICLE 3 - METHOD GOYERNING THE FINANCING OF THE PROJECTS
A) The French financing of the project referred to in appendix A shall be provided by
the French Treasury Grant. The first installment of each contract relating to this project shall be
between 10 % and 20 % of the value of the contract financed, after deduction of the amount of
transport end insurance.
B) The financing of the projects referred to in appendix B shall be provided by the
French Treasury Loan. The first installment of each contract relating to these projects shall be
between 1O % and 20 % of the value of the contract financed, after deduction of the amount of
transport and insurance.
ARTICLE 4 - MODALITIES RELATING TO LOCAL PARTS
Concerning the financing of locel parts, the following particular provisions will be
applicable :
A) The Indonesian authorities will provide additional financing to those mentioned in
this protocol to complete the implementation of the projects mentioned in annex B.
B) The items eligible to locel part financing include goods and services of Indonesian
origin directly connected to the implementation of the projects mentioned in annex B. Direct or indirect
taxes, custom duties, levies and administrative expenses, land acquisitions and other expenses non
directly connected to these projects ere not eligible to financing.
C) Contracts or part of contracts related to local parts may be denominated in Euros,
in French Francs or in Indonesia Rupiahs. They must be signed or countersigned by the French
companies and submitted to the concerned French authorities for registration.
For the local parts invoiced in Indonesia Rupiahs, payments are made jointly by
Natexis Banque, acting in name and on behalf of the French Government and the Indonesian part up
to the respective parts as mentioned in annex B.
Payments are made in Euros by Natexis Banque, for its share, to the French
company, according to contractual provisions if any, or at the prevailing rate quoted by Bank
Indonesia at the date of the drawing as specified in the convention of implementation mentioned at
article 6 hereafter and up to the remaining available amount of the French Treasury loan dedicated to
financing of local parts.
In case this remaining amount proves insufficient, Indonesian authorities will provide
the additional financing to complete the implementation of the projects concerned.
ARTICLE 5 - CONDITIONS GOVERNING THE TREASURY LOAN
For the projects mentioned in appendix B, the French Treasury loan shell be granted
for a period of 25 years, including a grace period of 7 years. The interest rate shall be 2,20 % per
year. Said loan shall be repaid in 36 equal consecutive six-monthly installments, the first installment
falling due 90 months after the end of the calendar quarter during the drawings are made. Interest
shall be payable on the total amount outstanding ; it shall be applicable as of the date of each
drawing on the French Treasury loan and shall be paid at six-monthly intervals.
The date of payment of a maturity of principal or interest is, when it falls due on a
non-working day in France, postponed to the working day which follows. Any maturity of principal or
interest not paid on due date shall give rise to interest on overdue payment from the date of maturity
up to the effective date of payment. The rate of interest on overdue payment is the legal interest rate
published by the French authorities for 1999 plus 3% per year. Interest on overdue payment shall
itself bear interest at the rate above mentioned if it is due for a full year.
ARTICLE 6 - MODALITIES GOVERNING FINANCIAL SUPPORT
An implementation agreement between Nate.xis Banque, acting in name and on behalf
of the Government of the French Republic and the Indonesian Ministry of Finance, acting in name
and on behalf of the Government of the Republic of Indonesia shall define the mechanism of
utilisation of the French Treasury grant and loan and of repayment of the French Treasury loan.
ARTICLE 7 - CURRENCY OF ACCOUNT ANO PAYMENT
The currency of account and payment under the terms of the present protocol shall be
the Euro.
ARTICLE 8 - REGISTRATION OF THE CONTRACTS
For each contract relating to the projects referred to in appendix, its registration as
specified hereafter is subject to :
- the conformity of the contract with the recommendations formulated by the preevaluation of the project corresponding to such contract ;
- the verification of the conformity of the project with the rules established by the
participants to the OECD consensus for exports credits benefiting of a public support ;
- the fact that there are no arrears concerning amounts due and not paid on due date
by the Government of the Republic of Indonesia relating to French Treasury Loans or agreements on
debt consolidation ;
- the fact that there are no arrears concerning amounts due and not paid on due date
relating to credits guaranteed by COFACE and granted to the Government of the Republic of
Indonesia or to its public sector or with the guarantee of the Government of the Republic of Indonesia
if any.
For each contract relating to the projects referred to in appendix, after the French
competent authorities have verified that these conditions are fulfiled, the contract will be registered on
the protocol by exhange of letters between the Economic and Commercial Counsellor to the French
Embassy in Indonesia, acting with the authorisation of the competent French authorities, and the
competent Indonesian authorities.
ARTICLE 9 - DEADLINES OF THE FRENCH TREASURY FACILITIES
In order to qualify for the financial support provided for in Article 1 hereof, contracts
between French suppliers and Indonesian buyers must be signed no later than June 30, 1999, and
registered by September 30, 1999 at the latest.
No drawing on the French Treasury financing provided by the present protocol shall
be made after December 31 , 2002. By special agreement between the two Governments, in case of
exceptional circumstances, this date can be extended.
ARTICLE 1O - TAXATION
The financial support from the French Government shall not be used to finance any
taxation in Indonesia.
The payment of principal and interest as well as fees linked to the execution of the
present Protocol shall be paid net of taxation in Indonesia.
ARTICLE 11 - POST EVALUATION PROJECTS
The Government of the French Republic may proceed at its own cost to undertake
post evaluation of the projects financed under this protocol on the economic, financial and accounting
levels in order to appreciate their impact on the economic development of Indonesia. The
Government of the Republic of Indonesia could, if it wishes, participate in this evaluation, according to
modalities to be defined, in order to benefit directly from the findings. The Government of the
Republic of Indonesia agrees to welcome the post evaluation mission sent by the Government of the
French Republic and to facilitate the access to relevant information about the projects.
ARTICLE 12 - EFFECTIVE OATE
The present protocol shall come into force at the date of its signature.

Afin de renforcer les liens d'amitie et de cooperation qui les unissent, le
Gouvemement de la Republique d'lndonesie et le Gouvernement de la Republique franc;aise sont
convenus de conclure le present protocole pour favoriser le developpement economique de
l'lndonesie.
ARTICLE 1 - MONTANT ET OBJET DES CONCOURS FINANCIERS
Le Gouvemement de la Republique franc;aise consent au Gouvemement de la
Republique d'lndonesie des concours financiers destines la realisation de projets s'inscrivant dans
les priorites de developpement economique de l'lndonesie. Ces concours, d'un montant maximum de
19 970 821 ,26 EUR (di>c neuf millions neut cent soixante dix mille huit cent vingt et un euros et vingt
six cents) equivalent 131 M FRF (cent trente et un millions de francs franc;ais) financent d'une part,
l'achat en France de biens et services franc;ais et d'autre part, des parts locales, relatifs l'execut.ion
des projets mentionnes en annexe au present protocole. En outre, une provision de 1 524 490,17
EUR (un million cinq cent vingt quatre mille quantre cent quatre vingt dix euros et dix sept cents),
equivalents 10 M FRF (dix millions de francs franyais), est constituee pour financer les surcouts lies
aux retards de la construction de la centrale thermique de lahendong.

ARTICLE 2. COMPOSITION DES FINANCEMENTS

Les concours financiers mentionnes a !'article 1 sont constitues :
- d'un don du Tresor franc;ais d'un montant maximal de 3 048 980,34 EUR (trois
millions quarante huit mille neuf cent quatre vingt euros et trente quatre cents) equivalent a 20 M FRF
(vingt millions de francs franc;ais) ;
- d'un pr6t du Tresor franc;ais d'un montant maximal de 18 446 331,09 EUR (dix huit
millions quatre cent quarante six mille trois cent trente et un euros et neuf cents) equivalent a 121 M
FRF (cent vingt et un millions de francs franc;ais).
ARTICLE 3 - MOOALITES DE FINANCEMENT DES PROJETS
A) Le financement du projet mentionne en annexe A est assure par utilisation du don
du Tresor ｆｲ｡ｾｩｳ

et 20 % du montant du contrat finance, hors transport et assurance.
B) Le financement a la charge de la partie franc;aise des projets mentionnes en

Pour le finencement des parts locales, les dispositions speciales suivantes sent

Les paiements sont effectues en euros par Natexis Banque, pour sa part, au profit de
l'entreprise fra01;Sise selon les dispositions contractuelles ou dans le silence du contrat sur la base
du taux de change en vigueur la Banque d'lndonesie la date du tirage selon les specifications de
la convention d'application mentionnee l'article 6 ci-apres et dans la limite du montant du prltt du
Tresor fran1;Sis disponible prevu pour le financement des parts locales.

En cas d'insuffisance de ce montant, les autorites indonesiennes s'engagent

5 - CONDITIONS DU PRET OU TRESOR FBANCAIS
Pour les projets mentionnes en annexe B, le prtlt du Tresor fra01;Sis a une duree de
25 ans, dent 7 ans de franchise. Le taux d'inter&t est de 2,20 % l'an. Le principal est remboursable en
36 semestrialites egales et successives, la premiere echeant 90 mois apres la fin du trimestre civil au
cours duquel les tirages auront ete effectues. Les interftts sont calcutes sur le montant du principal
restant du ; ifs courent a partir de la date de chaque tirage sur le pret du Tresor fran1;Sis et sont payes
semestriellement.

La date de reglement d'une echeance de principal OU d'interet est, lorsqu'elle echoit
un jour non ouvre en France, repoussee au premier jour ouvre qui suit. Toute echeance de principal
ou d'interAt non reglee bonne date donnera lieu interet de retard compter du jour de l'exigibilite
jusqu'au jour du paiement effectif. Le taux des interAts de retard est le taux d'interet legal pour 1999
plus 3% l'an. Les interAts de retard portent eux-memes interAt au taux defini ci-dessus s'ils sont dus
pour une annee entiere.

Pour chaque contrat relatif aux projets mentionnes en annexe, son imputation,
comme precisee ci-dessous, est conditionnee :

- a la verification de la conformite du projet avec les dispositions prevues par

ARTICLE 10 - IMPOTS ET TAXES

!'evaluation retrospective, sur les plans economique, financier et comptable, des projets inscrits sur
ce protocole, de maniere notamment a en apprecier !'impact sur le developpement economique de
l'lndonesie. Le Gouvemement de la Republique d'lndonesie est associe, s'il le souhaite, la conduite
de cette evaluation, selon des modalites qui sont
definir, afin de beneficier directement des
resultats de l'etude. Le Gouvemement de la Republique d'lndonesie s'engage accueillir la mission
et a lui faciliter l'acces aux
d'evaluation envoyee par le Gouvemement de la Republique ｦｲ｡ｮｾｩｳ･＠
informations concernant les projets.

Le present protocole entre en vigueur

nine cents) equivalent to 121 M FRF (one hundred and twenty one million French Francs) ;
ARTICLE 3 - METHOD GOYERNING THE FINANCING OF THE PROJECTS
A) The French financing of the project referred to in appendix A shall be provided by
the French Treasury Grant. The first installment of each contract relating to this project shall be
between 10 % and 20 % of the value of the contract financed, after deduction of the amount of
transport end insurance.
B) The financing of the projects referred to in appendix B shall be provided by the
French Treasury Loan. The first installment of each contract relating to these projects shall be
between 1O % and 20 % of the value of the contract financed, after deduction of the amount of
transport and insurance.
ARTICLE 4 - MODALITIES RELATING TO LOCAL PARTS
Concerning the financing of locel parts, the following particular provisions will be
applicable :
A) The Indonesian authorities will provide additional financing to those mentioned in
this protocol to complete the implementation of the projects mentioned in annex B.
B) The items eligible to locel part financing include goods and services of Indonesian
origin directly connected to the implementation of the projects mentioned in annex B. Direct or indirect
taxes, custom duties, levies and administrative expenses, land acquisitions and other expenses non
directly connected to these projects ere not eligible to financing.
C) Contracts or part of contracts related to local parts may be denominated in Euros,
in French Francs or in Indonesia Rupiahs. They must be signed or countersigned by the French
companies and submitted to the concerned French authorities for registration.
For the local parts invoiced in Indonesia Rupiahs, payments are made jointly by
Natexis Banque, acting in name and on behalf of the French Government and the Indonesian part up
to the respective parts as mentioned in annex B.
Payments are made in Euros by Natexis Banque, for its share, to the French
company, according to contractual provisions if any, or at the prevailing rate quoted by Bank
Indonesia at the date of the drawing as specified in the convention of implementation mentioned at
article 6 hereafter and up to the remaining available amount of the French Treasury loan dedicated to
financing of local parts.
In case this remaining amount proves insufficient, Indonesian authorities will provide
the additional financing to complete the implementation of the projects concerned.
ARTICLE 5 - CONDITIONS GOVERNING THE TREASURY LOAN
For the projects mentioned in appendix B, the French Treasury loan shell be granted
for a period of 25 years, including a grace period of 7 years. The interest rate shall be 2,20 % per
year. Said loan shall be repaid in 36 equal consecutive six-monthly installments, the first installment
falling due 90 months after the end of the calendar quarter during the drawings are made. Interest
shall be payable on the total amount outstanding ; it shall be applicable as of the date of each
drawing on the French Treasury loan and shall be paid at six-monthly intervals.
The date of payment of a maturity of principal or interest is, when it falls due on a
non-working day in France, postponed to the working day which follows. Any maturity of principal or
interest not paid on due date shall give rise to interest on overdue payment from the date of maturity
up to the effective date of payment. The rate of interest on overdue payment is the legal interest rate
published by the French authorities for 1999 plus 3% per year. Interest on overdue payment shall
itself bear interest at the rate above mentioned if it is due for a full year.
ARTICLE 6 - MODALITIES GOVERNING FINANCIAL SUPPORT
An implementation agreement between Nate.xis Banque, acting in name and on behalf
of the Government of the French Republic and the Indonesian Ministry of Finance, acting in name
and on behalf of the Government of the Republic of Indonesia shall define the mechanism of
utilisation of the French Treasury grant and loan and of repayment of the French Treasury loan.
ARTICLE 7 - CURRENCY OF ACCOUNT ANO PAYMENT
The currency of account and payment under the terms of the present protocol shall be
the Euro.
ARTICLE 8 - REGISTRATION OF THE CONTRACTS
For each contract relating to the projects referred to in appendix, its registration as
specified hereafter is subject to :
- the conformity of the contract with the recommendations formulated by the preevaluation of the project corresponding to such contract ;
- the verification of the conformity of the project with the rules established by the
participants to the OECD consensus for exports credits benefiting of a public support ;
- the fact that there are no arrears concerning amounts due and not paid on due date
by the Government of the Republic of Indonesia relating to French Treasury Loans or agreements on
debt consolidation ;
- the fact that there are no arrears concerning amounts due and not paid on due date
relating to credits guaranteed by COFACE and granted to the Government of the Republic of
Indonesia or to its public sector or with the guarantee of the Government of the Republic of Indonesia
if any.
For each contract relating to the projects referred to in appendix, after the French
competent authorities have verified that these conditions are fulfiled, the contract will be registered on
the protocol by exhange of letters between the Economic and Commercial Counsellor to the French
Embassy in Indonesia, acting with the authorisation of the competent French authorities, and the
competent Indonesian authorities.
ARTICLE 9 - DEADLINES OF THE FRENCH TREASURY FACILITIES
In order to qualify for the financial support provided for in Article 1 hereof, contracts
between French suppliers and Indonesian buyers must be signed no later than June 30, 1999, and
registered by September 30, 1999 at the latest.
No drawing on the French Treasury financing provided by the present protocol shall
be made after December 31 , 2002. By special agreement between the two Governments, in case of
exceptional circumstances, this date can be extended.
ARTICLE 1O - TAXATION
The financial support from the French Government shall not be used to finance any
taxation in Indonesia.
The payment of principal and interest as well as fees linked to the execution of the
present Protocol shall be paid net of taxation in Indonesia.
ARTICLE 11 - POST EVALUATION PROJECTS
The Government of the French Republic may proceed at its own cost to undertake
post evaluation of the projects financed under this protocol on the economic, financial and accounting
levels in order to appreciate their impact on the economic development of Indonesia. The
Government of the Republic of Indonesia could, if it wishes, participate in this evaluation, according to
modalities to be defined, in order to benefit directly from the findings. The Government of the
Republic of Indonesia agrees to welcome the post evaluation mission sent by the Government of the
French Republic and to facilitate the access to relevant information about the projects.
ARTICLE 12 - EFFECTIVE OATE
The present protocol shall come into force at the date of its signature.

Afin de renforcer les liens d'amitie et de cooperation qui les unissent, le
Gouvemement de la Republique d'lndonesie et le Gouvernement de la Republique franc;aise sont
convenus de conclure le present protocole pour favoriser le developpement economique de
l'lndonesie.
ARTICLE 1 - MONTANT ET OBJET DES CONCOURS FINANCIERS
Le Gouvemement de la Republique franc;aise consent au Gouvemement de la
Republique d'lndonesie des concours financiers destines la realisation de projets s'inscrivant dans
les priorites de developpement economique de l'lndonesie. Ces concours, d'un montant maximum de
19 970 821 ,26 EUR (di>c neuf millions neut cent soixante dix mille huit cent vingt et un euros et vingt
six cents) equivalent 131 M FRF (cent trente et un millions de francs franc;ais) financent d'une part,
l'achat en France de biens et services franc;ais et d'autre part, des parts locales, relatifs l'execut.ion
des projets mentionnes en annexe au present protocole. En outre, une provision de 1 524 490,17
EUR (un million cinq cent vingt quatre mille quantre cent quatre vingt dix euros et dix sept cents),
equivalents 10 M FRF (dix millions de francs franyais), est constituee pour financer les surcouts lies
aux retards de la construction de la centrale thermique de lahendong.

ARTICLE 2. COMPOSITION DES FINANCEMENTS

Les concours financiers mentionnes a !'article 1 sont constitues :
- d'un don du Tresor franc;ais d'un montant maximal de 3 048 980,34 EUR (trois
millions quarante huit mille neuf cent quatre vingt euros et trente quatre cents) equivalent a 20 M FRF
(vingt millions de francs franc;ais) ;
- d'un pr6t du Tresor franc;ais d'un montant maximal de 18 446 331,09 EUR (dix huit
millions quatre cent quarante six mille trois cent trente et un euros et neuf cents) equivalent a 121 M
FRF (cent vingt et un millions de francs franc;ais).
ARTICLE 3 - MOOALITES DE FINANCEMENT DES PROJETS
A) Le financement du projet mentionne en annexe A est assure par utilisation du don

36 semestrialites egales et successives, la premiere echeant 90 mois apres la fin du trimestre civil au
cours duquel les tirages auront ete effectues. Les interftts sont calcutes sur le montant du principal

La date de reglement d'une echeance de principal OU d'interet est, lorsqu'elle echoit
un jour non ouvre en France, repoussee au premier jour ouvre qui suit. Toute echeance de principal
ou d'interAt non reglee bonne date donnera lieu interet de retard compter du jour de l'exigibilite
jusqu'au jour du paiement effectif. Le taux des interAts de retard est le taux d'interet legal pour 1999
plus 3% l'an. Les interAts de retard portent eux-memes interAt au taux defini ci-dessus s'ils sont dus

de cette evaluation, selon des modalites qui sont
definir, afin de beneficier directement des
resultats de l'etude. Le Gouvemement de la Republique d'lndonesie s'engage accueillir la mission
et a lui faciliter l'acces aux
d'evaluation envoyee par le Gouvemement de la Republique ｦｲ｡ｮｾｩｳ･＠
informations concernant les projets.
