MEMORANDUM OF UNDERSTANDING
BETWEEN
THE BAT AM INDONESIA FREE ZONE AUTHORITY (BIFZA)
OF THE REPUBLIC OF INDONESIA
AND
OPEN JOINT STOCK COMPANY «SPECIAL ECONOMIC ZONE OF TECHNICAL
AND INNOVATIVE TYPE «TOMSK»
OF THE RUSSIAN FEDERATION
ON FREEZONE COOPERATION

The Batam Indonesia Free Zone Authority (BIFZA) and Open Joint Stock
Company «Special Economic Zone of Technical and Innovative Type «Tomsk»
(hereinafter referred to as "the parties")
Considering the need for the strengthening and institutionalizing of existing friendly
relations between the Parties in the field of the free zones;
Acknowledging the role of free trade and special zones in encouraging and
accelerating economic development of their respective countries:
Taking into account the Protocol of the Seventh Session of the Indonesian Russian Joint Commission on Trade, Econom ic and Technical Cooperation, signed
in Moscow 25th March 2011;

Recalling the Agreement between the Government of the Republic of Indonesia
and the Government of the Russian Federation on Economic and Technical
Cooperation, signed at Jakarta, on 12 March 1999;
Pursuant to the prevailing laws and regulations in their respective Countries ;
Have agreed as follows;

Article 1
Objective

The objective of this Memorandum of Understanding (hereinafter referred to as
"MOU") is to enhance cooperation of Free Zones between the Parties.

Article 2
Area of Cooperation

1.

Areas of cooperation are as follows:
- Developing bilateral trade and industrial sectors;
- Promoting the development of Free Zones of each Party;

- Promoting the exchange of information, visits, experts and businessmen-;- Conducting joint training, research, design and consultation on the project
related to the Free Zones;
- Organ izing joint participation at any exhibition in their respective countries
and other countries;
Assisting the establishment of joint Russian-Indonesian enterprises in SEZ
TIT «Tomsk» and BIFZA;
- Assisting the establishment of mutual business contacts between resident
companies of SEZ TIT «Tomsk» and BIFZA;
- Assisting the opening and placement of resident compan ies of the Parties in
SEZ TIT «Tomsk» and BIFZA;
- Providing adequate information about the activity and perspective investment
projects of the Parties on the websites of BIFZA and SEZ TIT «Tomsk»

The areas of cooperation may be extended as mutually agreed in writing by the
Parties.
Article 3
Implementation

1.

The executing agencies responsible for the implementation of this
Memorandum of Understanding are : ·

The Parties shall carry out the above mentioned activities based on mutual
benefit principle and shall discuss them prior to activities.
In order to achieve the aforementioned objective both Parties shall conduct the
activities based on an agreed action plan in future.
Concern ing cost facilities to the implementation of this cooperation , both Parties
agree not to im pose any financial obl igation on either Party and shall share
available facilities based on reciprocal basis, unless both Parties agree
otherwise.

Article 4
Intellectual Property Rights

Any intellectu al property rights resulted from activities whi ch are performed under
this Memorandum of Understanding, shall be subject to the laws and reg ulati ons
concern ing th e protection of intellectual property rights in respective territories of the
Parties .
Article 5
Amendment

This Memorand um of Understanding may be amended or revised by mutua l written
consent of the Parties.

Article 6
Limitation of personal activities

Any person engaged in activities related to th is Memorandum of Understanding
shall respect politica l independence, sovereignty, and territorial integrity of the host
country, and shall avoid any activities inconsistent with the purposes and objectives
of this Memorandum of Understanding.

Article 7
Settlement of Disputes

Any disputes between the Parties on the interpretation and/or implementation of this
Memorandum of Understanding shall be settled am icably through consu ltations or
negotiations between the parties.
Article 8
Entry into force and Termination
1. The Memorandum of Understand ing shall enter into force on the date of its

signature by both Parties.
2. Th is Memorandum of Understanding shall remain in force for a period of 5 (five)
years and shall be automatica lly extended for a period of 2 (two) years
thereafter, unless either Party notify in writing to the other Party of its intention to
term inate this Memorandum of Understanding at least 6 (six) months in advance
through diplomatic channels.
3. The termination of this Memorandum of Understanding shall not affect the
completion of any programs or activities already in progress under this
Memorandum of Understanding.

Article 9

IN WITN ESS WH EREOF, the undersigned have signed this Memorandum of
Understanding.
DONE in duplicate at Moscow, on this day 8th of December 2011 in English
language.
