TENT ANG
KERJASAMA DIBIDANG INDUSTRI DAN ILMU PENGETAHUAN
Departemen Perindustrian Republik Indonesia don Pemerintah Propinsi
Jilin Republik Rakyat China, selanjutnya masing-masing disebut "Pihak"
don secara bersama-sama disebut sebagai "Para Pihak".
MEMPERTIMBANGKAN kepentingan bersama dalam mempromosikan
kerjasama industri don ilmu pengetahuan;
BERKEINGINAN untuk mempromosikan kerjasama industri don ilmu
pengetahuan di kedua negara;
BERMAKSUD untuk mendorong don ｭ･ｮ､ｵｫｾｧ＠
kemitraan dalam
kerjasama industri don ilmu pengetahuan dibidang investasi,
manajemen, don kerjasama penelitian don pengembangan;
MENGACU pada Persetujuan Perdagangan antara Pemerintah
Republik Indonesia dan Pemerintah Republik Rakyat China yang
ditandatangani di Jakarta pada tanggal 8 Agustus 1990;
MEMPERTIMBANGKAN Deklarasi Bersama antara Republ1k Indonesia
don Republik Rakyat China mengenai Kemitraan Strategis yang
ditandatangani oleh kedua Kepala Negara di Jakarta pada tanggal
25 April 2005;
BERDASARKAN hukum dan peraturan perundang-undangan yang
berlaku di masing-masing Negara;
Para Pihak sepakat untuk mengikuti ketentuan sebagai berikut:
Pasal 1
Tujuan
Memorandum Saling Pengertian ini bertujuan untuk mendorong dan
mendukung hubungan kemitrarn1 dalam kerjasama industri dan ilmu
pengetahuan dibidang investasi, manajemen, dan kerjasama
penelitian dan pengembangan antara Para Pihak;
Pasal2
Ruang Lingkup
Para Pihak mendorong dan memfasilitasi kerjasama dalam hal-hal
berikut:
1. Meningkatkan kerjasama penelitian dan pengembangan di
bidang ilmu pengetahuan, kegiatan penelitian dan pertukaran
magang, termasuk bidang industri agrokimia;
2. Meningkatkan pemanfaatan dan pembangunan sumber daya
serta kerjasama penelitian dan pengembangan industri antara
Para Pihak;
3. Meningkatkan kerjasama investasi dan mendorong masuknya
industri Jilin ke pasar ASEAN dengan mendirikan basis produksi di
Indonesia;
4. Meningkatkan kemitraan bisnis antara industri dari Para Pihak;
5. Meningkatkan pertukaran informasi kebijakan, peraturan dan
hukum yang terkait dengan bidang industri;
6. Meningkatkan dan memfasilitasi kerjasama industri, alih teknologi
dan isu-isu kerjasama ekonomi dan perdagangan;
7. Meningkatkan kerjasama loinnya yang disepakati oleh Para
Pihak dibidang industri dan ilmu pengetahuan.
Pasal3
Unit Pelaksana
Unit Pelaksana yang bertanggung jawab terhadap pelaksanaan
Memorandum Saling Pengertian ini untuk Departemen Perindustrian
Republik Indonesia adalah Badon Penelitian don Pengembangan
lndustri, don untuk Pemerintah Propinsi Jilin Republik Rakyat China
adalah Biro Kerjasama Ekonomi don Teknik.
Pasal4
Ketentuan Teknis
Pelaksanaan dari Memorandum Saling Pengertian ini diatur dalam
perjanjian teknis tersendiri yang disepakati oleh Para Pihak.
Pasal5
Perlindungan Hak Kekayaan lntelektual
a. Para Pihak sepakat bahwa segala kekayaan intelektual dihasilkan
dalam kerangka pelaksanaan Memorandum Saling Pengertian ini
akan menjadi milik bersama don:
(I) Kedua belah Pihak boleh menggunakan kekayaan intelektual
menyesuaikan, don

untuk tujuan mengelola,
mengembangkan Hok Kekayaan lndustri terkait.
(2) Kedua belah Pihak bertanggung jawab atas klaim dari Pihak
ketiga atas kepemilikan don legalitas penggunaan hak
kekayaan intelektual yang dibawa oleh Pihak tersebut, dalam
rangka pelaksanaan kegiatan kerjasama, dalam Memorandum
Saling Pengertian ini.
b. Jika salah satu Pihak berkeinginan untuk membuka data rahasia
dan/atau informasi yang berasal dari kegiatan kerjasama dibawah
Memorandum Saling Pengertian ini kepada pihak ketiga, Pihak
yang membuka harus mendapat persetujuan terlebih dulu dari
Pihak lain sebelum melakukannya.
Pasal6
Penyelesaian Sengketa
Perselisihan yang timbul dari perbedaan penafsiran dan/atau
pelaksanaan Memorandum Saling Pengertian ini diselesaikan secara
musyawarah melalui negosiasi don konsultasi diantara Para Pihak.
Pasal7
Amande men
Segala perubahan atas ketentuan ini hanya dapat dilakukan setelah
dilakukan konsultasi don dengan persetujuan tertulis dari Para Pihak.
Pasal8
Pemberlakuan, Maso Berlaku, don Pengakhlran
1. Memorandum Saling Pengertian ini mulai berlaku sejak tanggal
ditandatangani.
2. Memorandum Saling Pengertian ini berlaku untuk jangka waktu 5
(limo) tahun don akan secara otomatis diperpanjang selama 5
tahun setelahnya kecuali diakhiri sewaktu-waktu oleh salah satu
Pihak dengan cara memberikan pemberitahuan tertulis setidaktidaknya 6 (enam) bulan sebelum tanggal pengakhiran
dimaksud.
3. Pengakhiran Ketentuan ini tidak akan berpengaruh pada
validitas don jangka waktu Proyek a tau kegiatan yang sedang
berjalan sampai selesainya proyek atau kegiatan tersebut.
SEBAGAI BUKTI, yang bertandatangan di bawah
menandatangani Memorandum Saling Pengertian ini.

dalam bahasa Indonesia , China don lnggris. Seluruh naskah
mempunyai kekuatan hukum yang soma. Dolam hal terdapat

MEMORANDUM OF UNDERSTANDING
BETWEEN
THE MINISTRY OF INDUSTRY OF
THE REPUBLIC OF INDONESIA
AND
THE PEOPLE'S GOVERNMENT OF JILIN PROVINCE
THE PEOPLE'S REPUBLIC OF CHINA
ON
INDUSTRY AND SCIENTIFIC COOPERATION
The Ministry of Industry of the Republic of Indonesia and the People's
Government of the Jilin Province of the People's Republic of China,
here!nafter individually referred to as "Party" and collectively referred to as
the "Parties''.
CONSIDERING their mutua! interest in promoting industry and scientific
cooperation;
DESIRING to promote industry and scientific cooperation in both countries;
INTENDING to encourage and support mutual partnership in industry and
scientific cooperation in the fields of investment, management, and
research and development cooperation;
REFERRING to the Trade Agreement between the Government of the
Republic of Indonesia and the Government of the People's Republic of
China, signed in Jakarta on August 8 1990;
T.AKING INTO ACCOUNT the Joint Declaration between the Republic of
Indonesia ond the People's Republic of China on Strategic Partnership,
signed by the two Presidents in Jakarta on April 25, 2005;
PURSUANT to the prevailing laws and regulations in their respective
countries;
HAVE REACHED an understanding as follows:
Article 1
Objective
The objective of this Memorandum of Understanding is to develop and
support mutual partnersllip in industry and scientific cooperation in the
fields of investment, management, and R&D cooperation betwee:1 the
Parties;
Article 2
Scope of Cooperation
The Parties shall encourage and facilitate cooperation in the following
areas :
1. Promote research ancl development cooperation in scientific fields,
research and internship exchange activities, including ｡ｧｲｯ｣ｨ･ｾｩｬ＠
industries.
2. Promote resources utilization, development, industry and scientific
coopemtion between the Parties;
3. Promote investment cooperation and encourage the antrance of
Jilin industries into ASEAN market through establishing production
bases in lndonP-sia;
4. Promote business partnerships between industries from both

relevant industrial policies,
6. Promote and facilitate industry cooperation, technology exchange
and economic & trade cooperation issues ;
7. Promote any other cooperation mutually agreed by the Parties in
the fields of industry and science
Article 3
Executing Agency
The organization responsible for the execution of this Memorandum of
Understanding for the Ministry of Industry of the Republic of Indonesia shall
be the Secretariat General of the Ministry and for the People's
Government of Jilin Province of the People's Republic of China shall be the
Bureau of Economic and Technical Cooperation.
Article 4
Technical Arrangements
The cooperation under this Memorandum of Understanding shall be
carried out through special arrangements to be concluded by the Parties.
Article 5
Protection of Intellectual Property Rights
a. The Parties agree that any intellectual property arising under the
implementation of this Memorandum of Understanding will be jointly
owned and:
( 1) Each Party shall be allowed to use such intellectual property for the
purpose of maintaining, adapting and improving the relevant
property.
(2) Each Party shall be liable for any claim made by any third Party on
the ownership and legality of the use of the intellectual property
rights which the aforementioned Party for the implementation of the
cooperation activities brings in this Memorandum of Understanding .
b. If either of the Party wishes to disclose confidential data and/or
information resulted from the cooperation activities under this
Memorandum of Understanding to any third party, the disclosing Party
must obtain prior consent from the other Party before the disclosure can
be made.
Article 6
Settlement of Disputes
Any dispute arising out of the interpretation and/or implementation of this
Memorandum of Understanding shall be settled amicably through
negotiations or consultations between the Parties.
Article 7
Amendment
Any amendments to this arrangement shall only be made after
consultation and by mutual written consent of the Parties.
Article 8
Entering Into Force
1. This Memorandum of Understanding will be effective on the date of
signing.
2. This Memorandum of Understanding shall remain in force for a period
of 5 (five) years and will be automatically extended for another five
years unless terminated at any time by either Party by giving written
notification at lease 6 (six) months prior to the date of the intended
termination.
3. The termination of this Arrangement will not affect the validity and
duration of any on-going Project or activities until the completion of
such project or activities.
IN WITNESS WHEREOF. the undersigned have signed this Memorandum of
Understanding.
DONE in duplicate at Jakarta on March 23, 2009. in the Indonesian.
Chinese and English languages. all texts being equally authentic. In case ot
any divergence on the interpretation of this Memorandum of
Understanding, the English text shall prevail.

serta kerjasama penelitian dan pengembangan industri antara
Para Pihak;
3. Meningkatkan kerjasama investasi dan mendorong masuknya
industri Jilin ke pasar ASEAN dengan mendirikan basis produksi di
Indonesia;
4. Meningkatkan kemitraan bisnis antara industri dari Para Pihak;
5. Meningkatkan pertukaran informasi kebijakan, peraturan dan
hukum yang terkait dengan bidang industri;
6. Meningkatkan dan memfasilitasi kerjasama industri, alih teknologi
dan isu-isu kerjasama ekonomi dan perdagangan;
7. Meningkatkan kerjasama loinnya yang disepakati oleh Para
Pihak dibidang industri dan ilmu pengetahuan.
Pasal3
Unit Pelaksana
Unit Pelaksana yang bertanggung jawab terhadap pelaksanaan
Memorandum Saling Pengertian ini untuk Departemen Perindustrian
Republik Indonesia adalah Badon Penelitian don Pengembangan
lndustri, don untuk Pemerintah Propinsi Jilin Republik Rakyat China
adalah Biro Kerjasama Ekonomi don Teknik.
Pasal4
Ketentuan Teknis
Pelaksanaan dari Memorandum Saling Pengertian ini diatur dalam
perjanjian teknis tersendiri yang disepakati oleh Para Pihak.
Pasal5
Perlindungan Hak Kekayaan lntelektual
a. Para Pihak sepakat bahwa segala kekayaan intelektual dihasilkan
dalam kerangka pelaksanaan Memorandum Saling Pengertian ini
akan menjadi milik bersama don:
(I) Kedua belah Pihak boleh menggunakan kekayaan intelektual

Memorandum Saling Pengertian ini kepada pihak ketiga, Pihak
yang membuka harus mendapat persetujuan terlebih dulu dari
Pihak lain sebelum melakukannya.
Pasal6
Penyelesaian Sengketa
Perselisihan yang timbul dari perbedaan penafsiran dan/atau
pelaksanaan Memorandum Saling Pengertian ini diselesaikan secara
musyawarah melalui negosiasi don konsultasi diantara Para Pihak.
Pasal7
Amande men
Segala perubahan atas ketentuan ini hanya dapat dilakukan setelah
dilakukan konsultasi don dengan persetujuan tertulis dari Para Pihak.
Pasal8
Pemberlakuan, Maso Berlaku, don Pengakhlran
1. Memorandum Saling Pengertian ini mulai berlaku sejak tanggal
ditandatangani.
2. Memorandum Saling Pengertian ini berlaku untuk jangka waktu 5
(limo) tahun don akan secara otomatis diperpanjang selama 5
tahun setelahnya kecuali diakhiri sewaktu-waktu oleh salah satu
Pihak dengan cara memberikan pemberitahuan tertulis setidaktidaknya 6 (enam) bulan sebelum tanggal pengakhiran
dimaksud.
3. Pengakhiran Ketentuan ini tidak akan berpengaruh pada
validitas don jangka waktu Proyek a tau kegiatan yang sedang
berjalan sampai selesainya proyek atau kegiatan tersebut.

MEMORANDUM OF UNDERSTANDING
BETWEEN
THE MINISTRY OF INDUSTRY OF
THE REPUBLIC OF INDONESIA
AND
THE PEOPLE'S GOVERNMENT OF JILIN PROVINCE
THE PEOPLE'S REPUBLIC OF CHINA
ON
INDUSTRY AND SCIENTIFIC COOPERATION
The Ministry of Industry of the Republic of Indonesia and the People's
Government of the Jilin Province of the People's Republic of China,
here!nafter individually referred to as "Party" and collectively referred to as
the "Parties''.
CONSIDERING their mutua! interest in promoting industry and scientific
cooperation;
DESIRING to promote industry and scientific cooperation in both countries;
INTENDING to encourage and support mutual partnership in industry and
scientific cooperation in the fields of investment, management, and
research and development cooperation;
REFERRING to the Trade Agreement between the Government of the
Republic of Indonesia and the Government of the People's Republic of
China, signed in Jakarta on August 8 1990;
T.AKING INTO ACCOUNT the Joint Declaration between the Republic of
Indonesia ond the People's Republic of China on Strategic Partnership,
signed by the two Presidents in Jakarta on April 25, 2005;
PURSUANT to the prevailing laws and regulations in their respective
countries;
HAVE REACHED an understanding as follows:
Article 1
Objective
The objective of this Memorandum of Understanding is to develop and
support mutual partnersllip in industry and scientific cooperation in the
fields of investment, management, and R&D cooperation betwee:1 the
Parties;
Article 2
Scope of Cooperation
The Parties shall encourage and facilitate cooperation in the following
areas :
1. Promote research ancl development cooperation in scientific fields,
research and internship exchange activities, including ｡ｧｲｯ｣ｨ･ｾｩｬ＠
industries.
2. Promote resources utilization, development, industry and scientific
coopemtion between the Parties;
3. Promote investment cooperation and encourage the antrance of
Jilin industries into ASEAN market through establishing production
bases in lndonP-sia;
4. Promote business partnerships between industries from both

relevant industrial policies,
6. Promote and facilitate industry cooperation, technology exchange
and economic & trade cooperation issues ;
7. Promote any other cooperation mutually agreed by the Parties in
the fields of industry and science
Article 3
Executing Agency
The organization responsible for the execution of this Memorandum of
Understanding for the Ministry of Industry of the Republic of Indonesia shall
be the Secretariat General of the Ministry and for the People's
Government of Jilin Province of the People's Republic of China shall be the
Bureau of Economic and Technical Cooperation.
Article 4
Technical Arrangements
The cooperation under this Memorandum of Understanding shall be
carried out through special arrangements to be concluded by the Parties.
Article 5
Protection of Intellectual Property Rights
a. The Parties agree that any intellectual property arising under the
implementation of this Memorandum of Understanding will be jointly
owned and:
( 1) Each Party shall be allowed to use such intellectual property for the
purpose of maintaining, adapting and improving the relevant
property.
(2) Each Party shall be liable for any claim made by any third Party on
the ownership and legality of the use of the intellectual property
rights which the aforementioned Party for the implementation of the
cooperation activities brings in this Memorandum of Understanding .
b. If either of the Party wishes to disclose confidential data and/or
information resulted from the cooperation activities under this
Memorandum of Understanding to any third party, the disclosing Party
must obtain prior consent from the other Party before the disclosure can
be made.
Article 6
Settlement of Disputes
Any dispute arising out of the interpretation and/or implementation of this
Memorandum of Understanding shall be settled amicably through
negotiations or consultations between the Parties.
Article 7
Amendment
Any amendments to this arrangement shall only be made after
consultation and by mutual written consent of the Parties.
Article 8
Entering Into Force
1. This Memorandum of Understanding will be effective on the date of
signing.
2. This Memorandum of Understanding shall remain in force for a period
of 5 (five) years and will be automatically extended for another five
years unless terminated at any time by either Party by giving written
notification at lease 6 (six) months prior to the date of the intended
termination.
3. The termination of this Arrangement will not affect the validity and
duration of any on-going Project or activities until the completion of
such project or activities.
IN WITNESS WHEREOF. the undersigned have signed this Memorandum of
Understanding.
DONE in duplicate at Jakarta on March 23, 2009. in the Indonesian.
Chinese and English languages. all texts being equally authentic. In case ot
any divergence on the interpretation of this Memorandum of
Understanding, the English text shall prevail.
