THE GOVERNMENT OF THE REPUBLIC OF FRANCE

(Samarinda and Pontianak diesel power plants)



The Government of the Republic of Indonesia a nd the Government of the
Republic of France, with a view to facilitate economic oovelopment of Indonesia,
agreed on the fo llowing provisions.

ARTICLE I

A total amount of ONE HUNDRED AND SIX MILLION FRENCH
FRANCS (106 MF), is provided to the Government of the Republic of Indonesia in
the form of c redits for financing the implementation of the project of diesel power
plants in Samarinda and Pontianak.
These credits are meant fo r financing the purchase by Indonesia of French
goods and services.

ARTICLE 2
The c redits set in article I consist of a loan fro m the French Treasury to
the Ministry of Finance, acting o n the account of the Indo nesian Gover nment, of
FIFTY FIVE MILLION ONE HUNDRED AND TWENTY THOUSAND FRENCH
FRANCS (55.12 MF) and bankers' c redits guaranteed by the Compagnie ヲイ。ョセゥウ・@
d'assurance pour le commerce exterieur (COFACE) coming to a total amount of
FIFTY MILLION EIGHT HUNDRED AND EIG HTY T HOUSAND FRENCH
FRANCS (50.88 MF).

ARTICLE 3
The loans from the Treasury a nd the guaranteed bankers' credits which are
extended in conjunction with the former will be respectivel y utilized in the
proportion of 52 % a nd 48 % of the contracts allocated on t he present protocol.

The rights of drawing on the Treasury loan will th us be equal to 52 % of
the value of the contract goods requirement, ordered in France for each contract.

ARTIC LE 4
The loans from the French Treasu r y mentioned in article 2 have a duration
of 33 years and a re repayable in 40 equal and successive semi-annual instalments,
the first one falling due 162 months after the end of the calendar half yea r during
which d rawings have been made and bear an interest rate of 2 % per annum. The
interest due on the balance is repayable at the end of each calendar half- year.
The guaranteed bankers' credits mentioned in a rticle 2 will be redeemed in
10 yea rs by 20 equal and successive semi-annual instalments, the first one falling
due six months after the completion of the project o r the deliveries of equipme nt,
or the final de liver y of the ser vices, as s tipulated in the commercial contract or in
the Bankers' Credit Agreement. The rate of interest is the current export rate,
according to the Consensus. The premium of credit insu rance of Coface will be
financed by means of an increase of the principal of the banker's credit.
A convention of implementation between the Ministry of Finance of the
Republic of Indonesia, on the one hand, and Credit National acting on account of
the French government on the other hand, will stipulate the modalities of utilization
and reimbursement of the French Treasury loan. A credit agreement between the

Ministry of Finance of the Republic of Indonesia on one hand and approved banks
on the French market, ac ting under the super vision of AFB Export, on the other
hand, will stipulate the modalities of utilization and reimboursement of the bankers'
credit.



ARTICLES
Each order is subject to a contract between the French supplier and the
Indonesian buyer, the qualification of which into t he present agreement requires a
prior approval of the competent French and Indonesian authorities. In case of
arrears related to French Treasur y loans, no final positive decision may occur until
these arrears are totally paid out.
French franc will be used as currency of account and currency of payment
of contract.
A down- payment of at least 10 % of the amount of the contract will be
paid when placing the order by drawing on the Treasu r y loan and the balance will
be settled between the order and its receipt in conformit y with the terms and
conditions of the contract, by jointly and proportionally utilizing the means of
financing foreseen in article 2 in accordance with the modalities of article 2 of the

present agreement.

ARTICLE 6
The Indonesian authorities will provide additional financing to those mentioned
in th is protocol to complete the implementation of t he project mentioned in article
I.

ARTICLE 7
The ultimate date for the signing of the contract to be financed under the
present ag reement is set at December 31, 1991.
No drawing ma y be made from the Treasury loans a llocated by the present
protocol after Octobe r 30, 1995. T his date cannot be extended but in case of
exceptional event, and with agreement of both goverments.

ARTICLE 8
Freight and insurance are considered as French services when :
- freight is provided under a bill of lading issued by a French shipping
company or under an airway bill issued by a French air freight company, and is
certified by the French appropriate authorities as being a French service.

insurance is taken out with approved companies on the French market.

ARTICJ,E 9
Any party may proceed to undertake post evaluation of the projects financed
under this protocol provided the existence of prior information formalised by an
exchange of letters between the French Economic and Commercial Counsellor to the
French Embassy in Indonesia and BAPPENAS. Evaluation results will be for warded
to the other party.

ARTICLE 10
The present agreement enters in force on the date of its signature.

Republique Fran9aise soot convenus des dispositions suivantes en vue de faciliter le
developpement economique de l'lndonesie.
ART ICLE I
Une somme globale de CENT SIX MILLIONS DE FRANCS FRANCAIS
a la disposition du Gouvernement de l:i Republique d' lndonesie
pour financer le projet de Centrale diesel de Samarinda et Pontianak. Ces credits
serviront :\ financer l'achat par l'lndonesie de biens et services fran9ais.

Les concours financiers prevus a !'article 1 ci-dessus sont constitues d'un
prct du Trcsor fran9ais au Ministc1e des Finances de la Republique d'lndonesie,
agissant pour le compte de l'Et::it indonesien, d'un montant maximum de
CINQUANTE CINQ MILLIONS CENT VINGT MILLE FRANCS FRANCAlS
(55, I2 MF) et de credits bancaires garantis par la Compagnie fran9aise d'assurance
pour le commerce exterieur (COFJ\CE) d'un montant maximum de CINQUANTE
MILLIONS ll UIT CENT QUATRE VINGT MILLE FRANCS FRANCA IS (50,88
MF).
Alff lCLE 3
Les prets du Tresor et les credits bancaires garantis qui les accompagnent
seront utilises dans les proportions de 52 % et 48 lib respectivement pour chaque
contrat impute sur le present protocole.
Les droits de tirage sur les prets du Tresor seront done egaux a 52 % de
la valeur des biens commandes en France au titre de chacun de ces contrats.
AlfflCLE 4
Les prets du Tresor fran9ais mentionn6s a !'article 2 ci-dessus ont une
duree de 33 ans et sont amortissables en 40 semestria lit6s 6gales et successives, la
premiere echeant 162 mois apres la fin du semestre civil au cours duquel auront ete
effectues les tirages. lls portent interet au taux de 2 % l'an. Les interets sur le solde
dO sont payables a la fin de chaque semestre civil.

Les credits bancaires garantis mentionncs a !'article 2 ci-dessus soot
amortissablcs en 10 ans par 20 semestrialites egales et successives. la premiere
echeant six mois apres l'achevement du projet ou la date de livraison des
equipements, ou la fin des prestations de services. scion les stipulations du contrat
commercial ou de la convention de credit bancaire. Les taux d'interet soot les taux
usuels des credits a !'exportation, en vigueur :\ la date de signature de chaque
contra!, conformement au Consensus. Les primes d'assurance credit de la Coface
seront financces par augmentation du principal des credits bancaires.
