I.
PENDAHULUAN
Tata kelola adalah faktor penting dalam industri perasuransian dalam
memelihara kepercayaan dan keyakinan pemegang saham, pemilik polis,
peserta, karyawan, kreditur, penyedia jasa, dan/atau pemerintah
(“Pemangku Kepentingan”). PT Sun Life Financial Indonesia
(“Perusahaan”) menyadari pentingnya Tata Kelola Perusahaan yang Baik
(GCG) dalam mendukung pertumbuhan usaha serta memberi nilai tambah
bagi seluruh Pemangku Kepentingan. Untuk mengimplementasikan GCG
secara menyeluruh dan berkesinambungan. Perusahaan berusaha
menjalankan seluruh nilai praktik GCG berdasarkan ketentuan dan
peraturan perundang-undangan yang berlaku.
I.
INTRODUCTION
Governance is an important factor in the insurance industry in
maintaining the trust and confidence of shareholders, policy holders,
participants, employees, creditor, providers, and/or government
(“Stakeholders”). PT Sun Life Financial Indonesia (“Company”) aware of
the importance of Good Corporate Governance (GCG) in support of
business growth and provide added value to all stakeholders. To
implement comprehensive and sustainable corporate governance, the
Company aims to run the entire value of GCG practice based on the
applicable rules and regulations.
Komitmen yang tinggi dari Dewan Komisaris, Direksi, dan seluruh
karyawan Perusahaan merupakan modal utama Perusahaan untuk
mewujudkan sebuah organisasi yang transparan, akuntabel, bertanggung
jawab, independen, dan wajar.
Strong commitment of the Board of Commissioners, Board of Directors
and all employees is the Company’s basic value to create an
organization that is transparent, accountable, responsible, independent
and fair.
Dalam menghadapi situasi perekonomian yang berkembang cepat,
dengan berbagai tantangan yang dihadapi, diperlukan tata kelola
perasuransian yang sehat dan tangguh agar mampu bertahan terhadap
persaingan yang semakin ketat. Lebih lanjut, berbagai pengaturan terkait
dengan penerapan manajemen risiko dan tata kelola perusahaan yang
sehat juga wajib dilaksanakan oleh Perusahaan.
In dealing with the rapidly evolving economic situation, with various
challenges ahead, strong and sound insurance governance is needed to
be able to withstand the increasing competition. Further, various
arrangements related to the implementation of risk management and
sound corporate governance are also required to be implemented by the
Company.
Dewan Komisaris dan Direksi Perusahaan berkomitmen dan berkeyakinan
bahwa penerapan prinsip-prinsip GCG merupakan salah satu prasyarat
mutlak. Penerapan prinsip GCG secara baik akan meningkatkan
kepercayaan nasabah dan memberikan nilai tambah bagi para Pemangku
Kepentingan.
The Board of Commissioners and Board of Directors are committed and
assured that implementation of GCG principles is one of the absolute
prerequisite. A good implementation of GCG principles will increase
customer confidence and provide added value to the Stakeholders.
Perusahaan percaya bahwa penerapan prinsip-prinsip dan praktik-praktik
GCG yang konsisten akan memberikan manfaat, baik bagi Perusahaan

diri berdasarkan surat pengunduran dirinya tertanggal 23
April 2015 dimana pengunduran atas dirinya sebagai
Komisaris tersebut efektif terhitung sejak tanggal 23 April

Board of Directors is a Company organ responsible to
the business activity and their duties to GMOS. In
performing their duties, Board of Directors is authorized

association of the Company and the prevailing

DEWAN KOMISARIS
Dewan Komisaris adalah organ perusahaan yang

Board of Commissioners Charter and Guideline
Board of Commissioners charter regulates several
matters related to the guideline of the duties and
responsibilities of the Board of Commissioners as well
as other matters related to the organization, duty and
responsibility, authority, disclosure, work ethic,
committees and rule of meeting. This charter is drafted
based on the prevailing regulation, best practice and
regularly evaluated.

SHARIAH SUPERVISORY BOARD
Shariah Supervisory Board is a part of an organ of a
company that conducts business activities in accordance
with shariah principles, which does supervisory function
of insurance business activities to be in accordance with
shariah principles.

*) Berdasarkan Pasal 46 ayat (2) Peraturan OJK No. 2/POJK.05/2014 tentang Tata Kelola Perusahaan Yang Baik Bagi Perusahaan Perasuransian (“POJK No.
2/2014”), anggota Dewan Pengawas Syariah Perusahaan Asuransi hanya dapat merangkap jabatan sebagai anggota Direksi, anggota Dewan Komisaris, atau
anggota Dewan Pengawas Syariah pada 3 (tiga) lembaga jasa keuangan lainnya. Namun demikian, Bapak Moch. Muchlasin, Direktur Industri Keuangan Non
Bank (IKNB) Syariah di OJK, menyatakan secara verbal bahwa anggota Dewan Pengawas Syariah yang sudah menjabat sebelum POJK No. 2/2014 ini keluar,
diperbolehkan untuk merangkap jabatan di lebih dari 3 (tiga) lembaga jasa keuangan lainnya. Bapak Fathurrahman Djamil telah menjabat sebagai Ketua Dewan
Pengawas Syariah di Perusahaan sejak tahun 2010 yang kemudian masa jabatannya diperpanjang dan dipertegas berdasarkan Surat Keputusan Sirkuler
Pemegang Saham pada tanggal 18 Desember 2014 dan telah dituangkan di dalam Akta Notaris No. 2 tertanggal 16 Januari 2015 serta telah diterima
pemberitahuan perubahan susunan Direksi tersebut oleh Kementerian Hukum dan Hak Asasi Manusia melalui Surat Penerimaan Pemberitahuan Perubahan data
Perseroan No. AHU-0005106.AH.01.03.TAHUN 2015 tertanggal 26 Januari 2015 /Based on Article 46 paragraph (2) of the Regulation of OJK No.

2/POJK.05/2014 regarding Good Corporate Governance for Insurance Companies (“POJK No. 2/2014”), member of Shariah Supervisory Board of Insurance
Companies is only allowed to have double positions as member of Board of Directors, Board of Commissioners, or Shariah Supervisory Board in 3 (three) other
financial services institutions. However, Mr. Moch. Muchlasin, the Director of Non-Bank Financial Industry of Shariah in OJK, verbally stated that a person who has
held the position of member of Shariah Supervisory Board before this POJK No. 2/2014 was issued, is allowed to have double positions in more than 3 (three)
other financial services institutions. Mr. Fathurrahman Djamil has held the position of Chairman of Shariah Supervisory Board in the Company since 2010 which
his term of office has been extended and reaffirmed based on the Shareholders Circular Resolution dated 18 December 2014 and has been drawn up in the
Notary Deed No. 2 dated 16 January 2015 also has been accepted the notification of the change on Board of Directors composition by the Minister of Law and

PENDAHULUAN
Tata kelola adalah faktor penting dalam industri perasuransian dalam
memelihara kepercayaan dan keyakinan pemegang saham, pemilik polis,
peserta, karyawan, kreditur, penyedia jasa, dan/atau pemerintah
(“Pemangku Kepentingan”). PT Sun Life Financial Indonesia
(“Perusahaan”) menyadari pentingnya Tata Kelola Perusahaan yang Baik
(GCG) dalam mendukung pertumbuhan usaha serta memberi nilai tambah
bagi seluruh Pemangku Kepentingan. Untuk mengimplementasikan GCG
secara menyeluruh dan berkesinambungan. Perusahaan berusaha
menjalankan seluruh nilai praktik GCG berdasarkan ketentuan dan
peraturan perundang-undangan yang berlaku.
I.
INTRODUCTION
Governance is an important factor in the insurance industry in
maintaining the trust and confidence of shareholders, policy holders,
participants, employees, creditor, providers, and/or government
(“Stakeholders”). PT Sun Life Financial Indonesia (“Company”) aware of
the importance of Good Corporate Governance (GCG) in support of
business growth and provide added value to all stakeholders. To
implement comprehensive and sustainable corporate governance, the
Company aims to run the entire value of GCG practice based on the
applicable rules and regulations.
Komitmen yang tinggi dari Dewan Komisaris, Direksi, dan seluruh
karyawan Perusahaan merupakan modal utama Perusahaan untuk
mewujudkan sebuah organisasi yang transparan, akuntabel, bertanggung
jawab, independen, dan wajar.
Strong commitment of the Board of Commissioners, Board of Directors
and all employees is the Company’s basic value to create an
organization that is transparent, accountable, responsible, independent
and fair.
Dalam menghadapi situasi perekonomian yang berkembang cepat,
dengan berbagai tantangan yang dihadapi, diperlukan tata kelola
perasuransian yang sehat dan tangguh agar mampu bertahan terhadap
persaingan yang semakin ketat. Lebih lanjut, berbagai pengaturan terkait
dengan penerapan manajemen risiko dan tata kelola perusahaan yang
sehat juga wajib dilaksanakan oleh Perusahaan.
In dealing with the rapidly evolving economic situation, with various
challenges ahead, strong and sound insurance governance is needed to
be able to withstand the increasing competition. Further, various
arrangements related to the implementation of risk management and
sound corporate governance are also required to be implemented by the
Company.
Dewan Komisaris dan Direksi Perusahaan berkomitmen dan berkeyakinan
bahwa penerapan prinsip-prinsip GCG merupakan salah satu prasyarat
mutlak. Penerapan prinsip GCG secara baik akan meningkatkan
kepercayaan nasabah dan memberikan nilai tambah bagi para Pemangku
Kepentingan.

prerequisite. A good implementation of GCG principles will increase

Board of Commissioners Charter and Guideline
Board of Commissioners charter regulates several
matters related to the guideline of the duties and
responsibilities of the Board of Commissioners as well
as other matters related to the organization, duty and
responsibility, authority, disclosure, work ethic,
committees and rule of meeting. This charter is drafted
based on the prevailing regulation, best practice and
regularly evaluated.

*) Berdasarkan Pasal 46 ayat (2) Peraturan OJK No. 2/POJK.05/2014 tentang Tata Kelola Perusahaan Yang Baik Bagi Perusahaan Perasuransian (“POJK No.
2/2014”), anggota Dewan Pengawas Syariah Perusahaan Asuransi hanya dapat merangkap jabatan sebagai anggota Direksi, anggota Dewan Komisaris, atau
anggota Dewan Pengawas Syariah pada 3 (tiga) lembaga jasa keuangan lainnya. Namun demikian, Bapak Moch. Muchlasin, Direktur Industri Keuangan Non
Bank (IKNB) Syariah di OJK, menyatakan secara verbal bahwa anggota Dewan Pengawas Syariah yang sudah menjabat sebelum POJK No. 2/2014 ini keluar,
diperbolehkan untuk merangkap jabatan di lebih dari 3 (tiga) lembaga jasa keuangan lainnya. Bapak Fathurrahman Djamil telah menjabat sebagai Ketua Dewan
Pengawas Syariah di Perusahaan sejak tahun 2010 yang kemudian masa jabatannya diperpanjang dan dipertegas berdasarkan Surat Keputusan Sirkuler
Pemegang Saham pada tanggal 18 Desember 2014 dan telah dituangkan di dalam Akta Notaris No. 2 tertanggal 16 Januari 2015 serta telah diterima
pemberitahuan perubahan susunan Direksi tersebut oleh Kementerian Hukum dan Hak Asasi Manusia melalui Surat Penerimaan Pemberitahuan Perubahan data
Perseroan No. AHU-0005106.AH.01.03.TAHUN 2015 tertanggal 26 Januari 2015 /Based on Article 46 paragraph (2) of the Regulation of OJK No.
30
2/POJK.05/2014 regarding Good Corporate Governance for Insurance Companies (“POJK No. 2/2014”), member of Shariah Supervisory Board of Insurance
Companies is only allowed to have double positions as member of Board of Directors, Board of Commissioners, or Shariah Supervisory Board in 3 (three) other
financial services institutions. However, Mr. Moch. Muchlasin, the Director of Non-Bank Financial Industry of Shariah in OJK, verbally stated that a person who has
held the position of member of Shariah Supervisory Board before this POJK No. 2/2014 was issued, is allowed to have double positions in more than 3 (three)
other financial services institutions. Mr. Fathurrahman Djamil has held the position of Chairman of Shariah Supervisory Board in the Company since 2010 which
his term of office has been extended and reaffirmed based on the Shareholders Circular Resolution dated 18 December 2014 and has been drawn up in the
Notary Deed No. 2 dated 16 January 2015 also has been accepted the notification of the change on Board of Directors composition by the Minister of Law and
Human Right based on the Notification Receipt Letter No. AHU-0005106.AH.01.03.TAHUN 2015 dated 26 January 2015.
