ARTICLE Ill
THE EXECUTING AUTHORITIES/AGENCIES

For implementation of this cooperation the Parties designate the following Executing
Authorities/Agencies :
for the IAARD is the Indonesian Center for

Horticulture Research and Development

(ICHORD), representing the four research institutes, respectively for vegetables (IVEGRI),
ornamental plants

(IOPRI), fruits (IFRURI), and citrus and subtropic horticulture

(CITROPHRES), and
for the DWK are the Plant Research International (PRI) and the Applied Plant Research
(PPO).

ARTICLE IV
CONTRJBUTION FOR THE PROGRAMME

1.

As its contribution to the Programme, the MOA shall undertake to provide :
1. Personnel
-

Project Coordinator

-

Research staff at each of the three research institutes involved, matching the input of
the research staff of PRI and PPO for the execution of the research programme as
agreed by both Parties.

-

Supporting personnel: technicians, drivers, administrative staff.

2. Research facilities in Indonesia:
-

office and administrative support

-

laboratories, experimental fields and other research facilities.

3. Operational expenses
-

transport costs and per diem for Indonesian personnel

-

experimental costs (including labour) in Indonesia

-

publication of results in Indonesia

-

international travel costs for Indonesian research staff to the Netherlands.

-

subsistence allowances for Indonesian research staff in the Netherlands.

The MOA will reserve matching financing in its annual budget.

2.

As its contribution to the Programme, the LNV shall undertake to provide :
1. Personnel
-

programme coordinator (PRI) and programme secretary (PPO)

-

research staff at PRI/PPO, matching the input of the research staff of !CHORD -IM RD
c.q. the four horticultural research institutes involved

-

supporting personnel: technicians, administrative staff.

2. Research Facilities in the Netherlands:
-

office and administrative support

-

laboratories, experimental fields and other research facilities .


3. Operational Expenses

transport costs and per diem for PRI/PPO personnel
'

-

experimental costs (including labour) in the Netherlands

-

publication of results in the Nethertands . .

ARTICLE VI
INTELLECTUAL PROPERTY RIGHTS, RESULTS AND PUBLICATION

1. Any intellectual property right brought by one of the Parties for the implementation of the
Programme under this Administrative Arrangement shall remain the property of that Party.
However, that party shall indemnify that the intellectual property right has not resulted from
infringement of any third party' s legitimate right. Further, that Party shall be liable for any
claim made by any third party on the ownership and legality of the use of the intellectual
property right which is brought in by the aforementioned party for the implementation of the
Programme activities under this Administrative Arrangement.
2.

Any intellectual property rights, data and Information resulting from the Programmes
conducted under this Administrative Arrangement shall generally be owned by the Party from
which the object has been derived. If, in progress of the research, both parties generate
intellectual property rights that cannot be separated, both parties are joint owners. Both
parties shall be allowed to use such property for non-commercial purposes free of royalty.
Should the intellectual property rights, data and information, resulting from the Programme
under this Administrative Arrangement (the "object") be used for commercial purposes by one
Party, the other Party shall be entitled to the royalties obtained from the exploitation of such
property on the basis of the principle of equitable contribution. In such a case, the object of
the programme activities conducted under this Administrative Arrangement shall remain the
property of the Party from which the object derives. The value of the object as part of the
contribution of the Party will be measured by taking into account the following factors:
-

The scarcity of the object (the rarer the object is, the higher its value will be);

-

The commercial value of the result of the project (the higher its commercial value, the
higher its worth as part of the contribution will be )

3.

If either Party wishes to disclose confidential data and/or information resulting from the
Programme under this Administrative Arrangement to any third Party, the disclosing Party
must obtain prior consent from the other Party before any disclosure can be made.

4.

Whenever either Party requires the cooperation of another Party outside Indonesia and the
Netherlands for any commercial undertaking resulting from intellectual property covered by
this Arrangement, this Party will give first preference of the cooperation to the other Party
under this Administrative Arrangement, which will be waived, if the other Party is unable to
participate in a mutually beneficial manner;

Termination of this Administrative Arrangement shall not affect rights and/or obligations under
this Article VI during the time of intellectual property protection.

ARTICLE VII
THE PROGRAMME COORDINATOR

1.

Each Party shall appoint a Programme Coordinator representing the director of the research
institute, for the planning, implementation, monitoring and evaluation of the Programme as
agreed between the two parties in the Working Plan .

2.

Each Programme Coordinator shall be responsible for the implementation of the programme
and will provide relevant information to each other in English.

ARTICLE VIII
STATUS OF EQUIPMENT AND MATERIALS

The equipment and materials provided by the Ministry of Agriculture, Nature Management
and Fisheries of the Kingdom of the Netherlands in the Working Programme Plan for HORTIN
may be utilized for other programmes and projects within the framework of this cooperation . Such
utilization shall be decided by mutual consent of the Parties after the implementation of the
individual projects following the Working Plant. The Ownership of all equipment and material
supplied by LNV to IAARD in Indonesia, excluding those mentioned in article VI, will be transferred
to IAARD at the time the cooperation by the two parties on the Programme will be terminated.

ARTICLE IX
LIMITATION OF PERSONNEL ACTIVITIES

The Netherlands assures that its personnel engaged in the activities under this
Adminidtrative Arrangement will not engage in political affairs and any commercial activities in
Indonesia outside the collaborative programme under this Administrative Arrangement, without the
prior approval of the State Secretariat of the Republic of Indonesia.

ARTICLE X
REPORTING AND EVALUATION

The Programme Coordinators shall jointly submit annual reports in the English language to
both the executive authorities on the progress made on the execution of research projects. At the

termination of the programme they shall report the result of the programme by submitting a final
report on all aspects of the work done in connection with the programme to all parties involved.
For evaluation:
-

In the beginning of the fourth year of HORTIN an evaluation team shall be formed consisting
of the representatives of the MOA, LNV and other relevant institutions as deemed necessary.
The results of the evaluation shall be reported to the State Secretariat of the Republic of
Indonesia and to the competent authorities of MOA and LNV.
Necessary action taken after the evaluation shall first be discussed with the Parties , and the
State Secretariat of the Republic of Indonesia when deemeq necessary.

By signing this Administrative Arrangement, the Arrangement between the Indonesian Ministry of
Agriculture (MOA) and the Netherlands Ministry of Agriculture, Nature, Management and Fisheries
concerning the Joint Research Cooperative Programme on Biotechnology, Plant Breeding and
Seed technology Research for Horticulture (Biobrees II), done in the Hague and Jakarta in June
1999 shall be terminated.

ARTICLE XI
SETILEMENT OF DISPUTES

Any disputes or differences arising out between the Parties of the interpretation or
implementation of this Administrative Arrangement shall be settled amicably by negotiations or
consultations.

ARTICLE XII
ENTRY INTO FORCE, DURATION, TERMINATION, AMENDMENT

1.

This Administrative Arrangement shall enter into force on the date of its signing and shall
remain in force for a period of 4 (four) years.

2.

This Administrative Arrangement may be terminated by either Party by giving written
notification at least 6 (six) months prior to its intention to terminate this Administrative
Arrangement. In case the Administrative Arrangement ceases to have effect on account of
termination thereof, the provisions of the Working Plan for HORTIN shall continue to apply to
the extent necessary to ensure the completion of existing joint programmes or activities as
agreed upon
by the parties in the Working Plan .

3.

Either Party may propose in writing any amendment to this Administrative Arrangement. Any
amendment agreed by the Parties shall come into effect on the dnte determined by the
Parties.
