INTISARI
Dewasa ini praktik merger (penggabungan perusahaan) suatu perseroan terbatas
meningkat dengan pesat. Restruturisasi usaha melalui penggabungan perusahaan (merger)
suatu perseroan terbatas banyak diminati oieh karena swasta nasional bertujuan untuk menambah
sinergi usaha. Dengan semakin populernya praktek merger di kalangan dunia usaha,
seringkali tidak diimbangi dengan meningkatnya pengetahuan masyarakat tentang merger di
samping itu meningkatnya merger di Indonesia belum diimbangi dengan kemajuan produk hukum
di bidang ekonomi. Perlu dikaji bagaimana tata cara merger PT.Bank Mandiri. serta bagaimana
akibat hukum merger PT.Bank Mandiri terhadap karyawan. dan bagaimana transparensi
merger PT.Bank Mandiri menurut Peraturan Perundang-Undangan yang beriaku di indonesia.
Untuk mengetahui jawaban atas hal-hal tersebut di atas dilakukan penelitian yang bersifat
normatif, lokasi penelitian pada PT.Bank Mandiri Medan. data primer adalah wawancara
sedangkan data sekunder dikumpulkan melalui studi kepustakaan, analisis terhadap data dilakukan
dengan metode spesifikasi penelitian.
Dan hasil penelitian menunjukkan tata cara merger PT.Bank Mandiri menurut Undangundang No.1 tahun 1995 sesuai dengan Akte Nomor 97 tanggal 24 Juli 1999 yang dibuat oleh
Sutjipto, SH Notaris di Jakarta, RUPS antara lain menyetujui dan menuntaskan untuk melakukan
penggabungan PT.Bank Bumi Daya (Persero), PT.Bank Dagang Negara (Persero), PT.Bank
Exim (Persero) dan PT.Bank Bapindo ke dalam Bank Mandiri. Akibat merger Bank Mandiri
terhadap karyawan sesudah merger yang berjumlah 9980 dirasionalisasi atau pensiun dini dengan
mendapat pesangon sesuai dengan masa kerjanya.

Disarankan Tata cara merger PT.Bank Mandiri diatur berdasarkan Undangundang Nomor 1 Tahun 1995 dan Peraturan Pemerintah No.28 Tahun 1999 serta SK
Bank Direksi Bank Indonesia No.32/51/KEP/DIR tanggal 14 Mei 1999 membawa
konsekuensi hukum bagi semua pihak yaitu perseroan, pemegang saham minoritas,
karyawan dan masyarakat. Oleh karena itu tindakan penggabungan bank harus
dilakukan secara terbuka dan transparan tentang maksud, tujuan dan akibatnya serta
melibatkan secara aktif semua pemegang saham mayoritas dan minoritas dalam
proses penggabungan. Dengan adanya penggabungan keempat Bank Pemerintah
tersebut, perlu diperhatikan kesejahteraan karyawan yang dirasionalisasi tersebut
dengan memberikan pesangon yang cukup memadai sesuai masa kerja masingmasing karyawan dari keempat bank tersebut oleh pihak Bank Mandiri dan bagi
karyawan yang ingin mencoba kembali bekerja di Bank Mandiri haruslah mengikuti
seleksi yang diadakan oleh Bank Mandiri. Perlu diadakan perubahan peraturan
pelaksanaan prinsip keterbukaan berkenaan dengan ketentuan merger dengan cara
menentukan “pembicaraan awal tentang merger” adalah “fakta material”,
sebagaimana yang berlaku di pasar modal Amerika Serikat di Singapura. Pemilikan
penentuan pembicaraan awal tentang merger adalah fakta material dalam peraturan
pelaksanaan prinsip katerbukaan di Pasar modal Indonesia didasarkan kepada
kecenderungan perusahaan publik di Indonesia yang sering mengumumkan rencana
melalui mass media. Padahal rencana merger yang diumumkan tersebut sering tidak
terlaksana. Sementara itu akibat pengumuman rencana merger dari perusahaan publik telah
membuat harga saham perusahaan tersebut naik di bursa efek. Apabila hal ini tidak
diatasi. maka dapat menguntungkan investor.

ABSTRACT
It is noted that merger of a limited company has run rapidly traced already
specifically to several limited companies show rising the number. Re-structuring the
business through merger to a limited company is taken as an alternative that many
national companies practiced intending to enrich the business synergy. In fact, there
becomes more popular merger practicing applied to business companies; however it was
not balanced out with improving people knowledge about the merger itself while raising
the number of merger in Indonesia still is not balanced yet with the advance of legal
product on economy sector. It is recognized necessary to study how the method of
merger PT. Bank Mandiri, and what is the legal consequence of merger PT. Bank
Mandiri over the employees, and how valuable in transparence merger PT. Bank Mandiri
refers to the Regulations rule valid for Indonesia nationally.
In order to know what is the responses to the matters as above, it was
already conducted a research normatively, with the location took place on PT. Bank
Mandiri Medan. Primary data was taken by interview while secondary data was
collected by a library study. still an analysis to the data was done by a research specification
method.
The result of study showed that methods for merger PT. Bank Mandiri
refers to Regulations No.1 of 1995 conforming to the Deed Number 97 dated 24th
July1999 prepared by Sutjipto, SH. Notary public in Jakarta, RUPS shareholders'
meeting in decision there was to approve and complete for having a merger such PT.
Bank Bumi Daya (Persero). Irl . Bank Dagnng Negara (Persero). PT. Bank Exim
(Persero) and PT. Bank Bapindo into Bank Mandiri organization. There was a
consequence of merger Bank Mandiri for those employ ees following merger
occurrence total 998C persons to have rationalization and some got retired earlier with an
allowance offered according to one service period.
It is suggestible then method for merger PT. Bank Mandiri referred to the
Regulation No. 1 of 1995 and the Governmental Regulation No.28 of 1999 and SKby duty letter of National Bank Director, No.32/51/KEP/DIR dated 14 May 1999
however present a legal consequence for all side namely to the company, minority
shareholders, to those employees and community. Therefore, an alternative to take
to take merging the bank should be performed openly and got transparence about the aims,
the objective and the consequence and

to involve actively all majority and minority shareholders in merging process. By
merging the four Governmental banks however it is necessary to keep care those employers'
welfare as rationalization, and for them should awarded a sufficient allowance refers to their
respectively service period of the four banks by Bank Mandiri management to care it. Still,
to whom those employers wishing to get back for working to joint Bank Mandiri must
follow the selection p rov id ed by Bank Mand iri. It is adv isable fo r h av ing there
ch ang e o f regu lation in implementing the openly principle related to the merger
regulations perhaps there by deciding an initial discussion about the merger itself
should be a material fact as recognized on America share stock on Singapore. It is
recognized that determination for initial discussion about the merger should be a material
fact in the regulation to implement an openly principle in the national share market for
Indonesia based on tendency of public companies in Indonesia frequently set the
announcement by media mass, unfortunately the plan of merger as announced
many times be cancelled to conduct. Meanwhile, the consequence of the
announcement to have merger to the public corporation however had resulted in the
price of share of the public corporation rose on capital market. Thus, whenever this
case failed to overcome, however cause lost to the investor.

INTISARI

meningkat dengan pesat. Restruturisasi usaha melalui penggabungan perusahaan (merger)
suatu perseroan terbatas banyak diminati oieh karena swasta nasional bertujuan untuk menambah
sinergi usaha. Dengan semakin populernya praktek merger di kalangan dunia usaha,
seringkali tidak diimbangi dengan meningkatnya pengetahuan masyarakat tentang merger di
samping itu meningkatnya merger di Indonesia belum diimbangi dengan kemajuan produk hukum
di bidang ekonomi. Perlu dikaji bagaimana tata cara merger PT.Bank Mandiri. serta bagaimana
akibat hukum merger PT.Bank Mandiri terhadap karyawan. dan bagaimana transparensi
merger PT.Bank Mandiri menurut Peraturan Perundang-Undangan yang beriaku di indonesia.
Untuk mengetahui jawaban atas hal-hal tersebut di atas dilakukan penelitian yang bersifat
