MEMORANDUM OF UNDERSTANDING
BETWEEN
THE MINISTRY OF HEALTH OF THE REPUBLIC OF INDONESIA
AND
MALTESER INTERNATIONAL
CONCERNING
COOPERATION IN HEALTH SERVICES
The Ministry of Health of the Republic of Indonesia (hereafter referred to as "MoH")
and Malteser International, legally part of Malteser Hilfsdienst e.V. (hereafter
referred to as "Malteser International"), both of them hereinafter referred to as "the
Parties";
CONSIDERING their common interest to assist disaster affected, vulnerable and
poor people by providing health services to the people in Indonesia and to support
the activities of local NGOs related to health services and the welfare of women and
children;
DESIRING to maintain existing cooperation and to develop further cooperation
between the Parties;
PURSUANT to the prevailing laws and regulations in Indonesia, as well as the
procedures and policies of the Government of the Republic of Indonesia concerning
international technical cooperation,


HAVE REACHED THE FOLLOWING UNDERSTANDING:

ARTICLE 1
OBJECTIVE
The objective of this Memorandum of Understanding (hereinafter referred to as
"MoU") is to establish co-operation between the Parties to implement a Health
Program in order to improve basic health services and emergency preparedness to
disaster affected, vulnerable and poor people in agreed areas in Indonesia.

ARTICLE 2
SCOPE OF ACTIVITIES

The scope of activities under this MoU comprises the following programs:
1. Capacity building for local partners in the health sector (for instance Provincial
Health Office (PHO) and District Health Office (DHO), Pusat Rehabilitasi
YAKKUM and Pusat Kesehatan Ummat Muhammadiyah (PKUM) including

Health Care Services, Health Information System and Emergency Response
Preparedness projects;
2. Support project activities of local NGO's in the Health Sector for Emergency
Response.
The Parties agree to work together in any disaster affected regions and other areas
as agreed upon by the Parties.

ARTICLE 3

IMPLEMENTATION OF COOPERATION

1. A detailed cooperation shall be defined in Program Direction, containing
Program Activities, Monitoring, Reporting, and Evaluation, which is set out in the
Annex and constitutes an integral part of this MoU;
2. A detailed description of individual projects or activities in the Program Direction
shall be defined in a Plan of Activities (PoA) to be drawn up and agreed upon by
the Parties.

ARTICLE 4
EXECUTING AGENCIES

1. Ministry of Health assigns Directorate General of Medical Care as the executing
agency for the Ministry of Health.
2. Malteser International assigns Malteser International Indonesia as the executing
agency for Malteser International.

ARTICLE 5
RESPONSIBILITIES
A. MOH shall:


1. Provide Malteser International any information necessary for the assessment,
planning, coordination, implementation, monitoring, and evaluation of
programs or projects undertaken within the scope of this MoU;
2. Make the evaluation toward the situation of the cooperation periodically as
and when deemed necessary;
3. Assist in arranging the required permit to enter and leave the country
whenever necessary, as well as work permits as needed for expatriate
experts assigned by Malteser International and mutually agreed upon by MoH
to assist in the implementation of the program;

4. Assist in arranging the exemption from Value Added Tax (VAT), as well as

duty-free import of equipment and medical material for official purposes. The
exemption and relief from taxes shall be in accordance with the applicable tax
laws and regulations;
5. Provide appropriate and qualified personnel to assist in the monitoring of
projects undertaken with the scope of this MoU as needed.

B. Malteser International shall:

1 .Assist the local/regional MoH structures in the planning and implementation of
health services in Indonesia- particularly in agreed disaster affected regions;
2 .Carry out regular monitoring and evaluation of the program together with the
MoH and other related institutions in order to assess program performance
and impact in the agreed regions;
3 . Provide funds and equipment, as well as technical assistance, for program
implementation as assigned by the parties;
4 .Assign qualified staff and experts to assist in the implementation of the
activities under this cooperation.

ARTICLE 6
STATUS OF LOCAL SOCIAL ORGANIZATIONS


Local social organizations which shall be agreed upon jointly by the Parties to
implement the programs should be legally registered and have extensive experience
in the health sector. Malteser International undertakes the responsibility to regularly
coordinate and inform the respective provincial and local government.

ARTICLE 7
STATUS OF EQUIPMENT AND MATERIALS

After the completion of the cooperation, the ownership of any equipment and
materials purchased by Malteser International for the implementation of the
cooperation under this MoU shall be decided by mutual consent of the Parties.

ARTICLE 8
LIMITATION OF PERSONNELS' ACTIVITIES

Malteser International shall ensure that all its activities and staff assigned under this
MoU, shall:

1. Observe, respect and comply with the laws and regulations, and policies of the

Government of the Republic of Indonesia;
2. Be in line with Indonesian national interests and national health policy;
3. Respect the integrity of the Unity State of the Republic of Indonesia and refrain
from supporting any separatist movements;
4. Respect the customs, traditions, and religions of local community;
5. Refrain from engaging in any political and commercial activities;
6. Refrain from conducting any religious propagation;
7. Refrain from involving in any intelligence/clandestine activities;
8. Not raise any funds in Indonesia to support its programs and activities;
9. Refrain from conducting any activities other than those agreed upon by the
Parties

ARTICLE 9
SETTLEMENT OF DIFFERENCES OR DISPUTES

Any differences or disputes arising out of the interpretation and/or implementation of
this MoU shall be settled amicably through consultation and/or negotiations between
the Parties.

ARTICLE 10

AMENDMENT

This MoU maybe revised or amended at any time, by mutual written consent of the
Parties. Such revision or amendment shall come into effect on such date as may be
determined by the Parties and shall form an integral part of this MoU.

ARTICLE 11
ENTRY INTO FORCE, DURATION AND TERMINATION

1. This MoU shall enter into force on the date of its signing and shall remain in force
for a period of 3 (three) years;
2. This MoU may be extended or terminated by either Party by giving written notice
to other Party at least 3 (three) months in advance;
3. The termination of this MoU shall not affect the validity and duration of any ongoing projects and activities under this MoU until the completion of such projects
and activities.

IN WITNESS WHEREOF, the undersigned, have signed this MoU.
Done in duplicate at Jakarta, on the twelfth day of November in the year two

thousand and seven in the English language, both texts are being equally authentic.

B. MONITORING

1. Reporting
a. The progress report of the program will be discussed on the Annual Program
Review and Annual Program Planning;
b. Malteser International will prepare the annual progress report to be submitted
to the Head of District Health Offices I MoH prior to the Annual Program
Review and Annual Program Planning. The content of the report will cover:
1). Activities and achievements of the completed and ongoing project and
programs;
2). Continuation and evaluation of the completed and ongoing projects and
programs;

3). Financial report, regarding expenditures for the programs and projects;
4). Assessments and recommendation for further action;
5). Unforeseen events and constraints faced.
2. Monitoring, Supervision and Evaluation
I, II

a. Monitoring, supervision and evaluation shall be conducted by Malteser
International together with MoH and other related institutions, if needed every
year, on an ongoing basis as part of specified project activities;
b. Malteser International shall coordinate and provide any arrangements for
each of these representatives;
c. The results of monitoring and evaluation shall be submitted by Malteser
International to the MoH and other related Government institutions.
