Article I
OBJECTIVE
I.
The general objectiYe of the Memorandum of Understanding ("MOU") is to promote
scil:!ntitic o.nd technical collaboration between the Parties in the areas of mineral and
coal rl.'.sources for the mutual benefit of both countries.

Whilst the Parties acknowledge that this MOU is not intended to set out contractual
terms goYerning the conduct of specific Project Agreements, it will :

(a) facilitate the sharing of information on a confidential basis and the development
of proposals for collaborative research, contract research, consultancies and
licence agreements between the Parties;

{b) s\!t out principles and guidelines to be followed by the Parties in discussing and
establishing future Project Agreements; and
(c) facilitate the development by both Parties of their respective capacities to
perform research and development and not inhibit in any way collaborations and
other interactions between individual Parties and other persons.

Article III
WORK PLAN AND PROJECT AGREEMENTS
Detailed technical descriptions of individual Projects will be defined in Work Plans
whici1 "'ill be prepared by the Parties, or their subordinate institutions. Work Plans
,,·ill contain a detailed description of the phases of research, Contributed Intellectual
Property {as defined in Article Y), staffing requirements, cost estimates, funding
sources, and other undertakings, obligations or conditions relating to the proposed
Project.
E:ich \\'ork Plan, and the Project it describes, will be governed by binding terms and
conditions of a separate agreement between the Parties ("Project Agreement").
Before being signed by the Parties, the draft of Project Agreement will be subject to
th.: appro,·al of the authorities concerned in accordance with the prevailing laws and

in their respective countries. Each Project Agreement will include
provisions dealing with, amongst other things :

project management and review procedures;
(b) the ownership and use of intell ectual property developed during the Project;
(c) ::ippropriate commercial arrangements between the Parties; and
(d) insurance, indemnity and warranty protection for the Parties .

the commercial values of the result of the research (the higher its commercial
values is, the higher its worth as part of the contribution will be);
3. The Panies will respect to confidentiality of data and information provided under the
scope of this I\10U by the participating Parties, if either Party wishes of disclose
confidential data and/or information resulted from activities under this MOU to any
third pany, the disclosing Party must obtain written consent from the other Parties
before any disclosure can be made.

continued for a period necessary to ensure the implementation and completion of the
!!xi sting joint projects or activities as agreed upon in that Project Agreement.
