UNITED STATES OF AMERICA

EDUCATION POLICY AND PLANNING PROJECT

This Loan Amendment No. 2 and Grant Amendment No. 5 are
entered into between the REPUBLIC OF INDONESIA
("Borrower"/"Grantee") and the UNITED STATES OF AMERICA, acting
through the AGENCY FOR INTERNATIONAL DEVELOPMENT ("A.I.D").

WHEREAS, the Borrower/Grantee and A.I.D. entered into an
Education Policy and Planning Project Loan Agreement, designated
as A.I.D. Loan No. 497-V-087, on June 29, 1984, as amended ("Loan
Agreement"), and a Project Grant Agreement on February 14, 1985,
as amended ("Grant Agreement"), whereby A.I.D. agreed to lend to
the Borrower/Grantee up to Four Million Nine Hundred Ninety
Thousand United States ("U.S") Dollars ($ 4,990,000)

("Loan") and

to grant to the Borrower/Grantee up to Five Million Five Hundred
Ten Thousand United States ("U.S") Dollars ($ 5 ,510,000)
("Grant"); and

WHEREAS, the Borrower/Grantee and A.I.D. desire to amend the
Loan and Grant Agreements to reduce A. I .D . 's prior year loan
fina ncing commitments for the project, substituting therefor
current year grant financing required to meet the remaining costs
of the project;

NOW, THEREFORE, the Borrower/Grantee and A.I.D. hereby agree
as follows :

Section 3.1. of the Loan Agreement is revised by

changing the words and figures "Four Million Nine Hundred and
Ninety Thousand United States ("U.S.") Dollars ($ 4,990,000)

("Loan")" to read "Four Million Five Hundred Sixty One Thousand
Three Hundred Nine United States ("U.S.") Dollars ($ 4,561,309)
("Loan")".

Section 3.2(b) of the Loan/Grant Agreements, Borrower

Resources for the Project, is revised by changing "U.S.
$3,000,000" to read "U.S. $3,500,000".

Section 3.1. of the Grant Agreement is revised by

changing the words and figures "Five Million Five Hundred Ten
Thousand United States ("U.S.") Dollars ($ 5,510,000)

("Grant")"

to read "Five Million Five Hundred Eight Thousand Eight Hundred
Fifty Eight United States ("U.S.") Dollars ($ 5,508,858)
("Grant")".

Section 3.1 of the Grant Agreement is further revised

by changing the words and figure "Five Million Five Hundred Eight

Attachment 1 to Annex 1, Financial Plan, in both the

Loan Agreement and Grant Agreement is deleted in its entirety,
substituting therefor in each agreement the revised Financial
Plan attached to this amendment.

Except as amended herein, the Loan and Grant Agreements are
unchanged and, as amended, remain in full force and effect.

IN WITNESS WHEREOF, the Republic of Indonesia and the United
States of America, each acting through its duly authorized
representative, have caused this Loan Amendment No. 2 and Grant
Amendment No. 5 to be signed in their names and delivered as of

the day and year first above written.
