IN THE NAME OF GOD
MEMORANDUM OF UNDERSTANDING
BETWEEN
NATIONAL AGENCY FOR EXPORT DEVELOPMENT
AND
IRAN INTERNATIONAL EXHIBITIONS CO.
ON
MUTUAL COOPERATION

National Agency For Export Development (hereinafter referred to as "NAFED") and
Iran International Exhibition Co. (hereinafter referred to as "llEC") collectively referred
to as "The Parties".
Wishing to promote trade relations and economic cooperation between the two sides
on a mutually advantageous basis;

Desiring to bring the producing companies of the two countries into close
commercial contact;
Hoping that the present Memorandum of Understanding (MOU) entered into by the
Parties shall contribute to the development and expansion of trade relationship
between the Islamic Republic of Iran and Republic of Indonesia;
Pursuant to the prevailing laws and regulations of their respective countries.
HAVE AGREED AS FOLLOWS:

Article 1

The Parties expressed interest in participating in each other's international trade
exhibitions and underlined in particular the need for introducing their products to each
other through exhibitions organized by each party as exclusive organizer in their
respective countries.

Article 2

In order to facilitate the fulfilment of the objective described in Article 1 above, the
Parties expressed their readiness to offer to one another certain facilities on a mutual
basis. These facilities include:


A The Parties will do their utmost efforts to facilitate their presence of each other in
the exhibitions and, if possible, reduce the costs and tariffs in reciprocal basis.

B. The Parties shall notify each other of the tariffs in relation to the pavilion
construction, decoration and dismantling works as well as the utility costs as per
the current rates.
C. Each party shall send to other party a complete list of the items it intends to
exhibit in its exhibition in the host country and the host party shall provide the
other party the relevant customs tariffs and other exhibition regulations a long with
necessary information.
D. At the respective fair, its organizer will carry out, free of charge, the insertion in
the fair catalogue, having complete coordinates of participants, one advertising
page, on the condition that all necessary information are communicated in due
time.
E. Generally, each party shall value and respect all the provisions as well as trade
fair regulations of other party.
F. In the promotional stands, the parties undertake to promote their own activity, fair
and exhibitions and only distribute their own literature and information materials,
which should meet the demand of each party.


Article 3

In case one of the Parties can not participate in an agreed fair in due time depending
on the deadlines for the respective exhibition, or a party cannot allocate the stand to
the other party, the respective party shall inform the other party at least 20 days
before the opening · data of the event. In case the allocation of the stand cannot be
carried out in an exhibition, such party's rights shall be reserved and allocated in the
next or any other agreed event.

Article 4

As the Parties look forward to long term trade exchanges between their respective
countries, they agreed that in compliance with the legal provisions of the respective
countries, their exhibitions shall not enjoy the right to sell any exhibition items. This
undertaking, however, shall not apply to the sales or giving away of trade samples in
the last day of the exhibition as per the host country's customs regulations. The
selling of small souvenir items typical of each country shall be excluded from this
provisions during the period of the exhibition, if the law of the respective country so
permits.


Article 5

The Parties shall provide each other with customs and other relevant laws and
regulations as well as information concerning the temporary import of the exhibition
items/good and the last day sale of samples.

Article 6

The Parties agreed that all exhibition items must arrive at the Customs of the host
country no later than one complete week prior to the opening of any exhibition.
Moreover, the Parties shall receive and welcome the participation of the guest party's
high ranking officials as the inauguration of the exhibition concerned in its respective
country.

The Parties agreed that the guest party shall send the names of its exhibitions and
official visitors in an appropriate time to the host party for the following actions:
A. Free of charge insertion in the exhibition catalogue;
B. Providing them with invitation letters to obtain entrance visas of the country
concerned.


Article 8

The Parties agreed on mutual basis to:
A. Provide the other party with the information on professional expertise in the field
of staging trade show;
B. Facilitate and support the holding of press conference, presentations and other
gatherings related to fairs and trade shows, if necessary;
C. Help and organize business trips of the representatives of the other party on the
occasion of fairs and trade shows he.Id in the country concerned;
D. Publish and highlight each other's trade show activities in the relevant fair
publications.

Article 9

The Parties agree to cooperate in identifying and discussing areas of export/import
potentials and taking necessary actions for purpose of expanding the mutually
beneficial trade between their respective Countries. Joint commissions, business
forums and workshops may be created to facilitate marketing research activities.


Article 10

The Parties agree to cooperate in planning and organizing training programs for the
staff of the Parties to benefit from their experience as regard to the trade promotion
and technical activities, as well as to exchange their experts for training purposes,
when such programs or exchanges are agreeable to both sides.

Article 11

Any other cooperation undertakings not covered by this MOU shall be agreed upon
and signed by the Parties in the form of addendum to this MOU.

Article 12

All correspondence and documents of each Party shall be addressed directly to other
Party as per their respective official addresses as below:

Article 13

The Parties agree that any misunderstandings or disputes arising out of the
implementation and interpretation of this MOU, shall be settled in an amicable way
through correspondence or negotiations.

Article 14

This MOU may be amended at any time through written consent by the Parties. Such
amendments shall enter into force on such date as may be determined by the Parties
and shall form an integral part of this MOU.

Article 15

The parties agree that the present MOU will be in force for a period of 2 (two) years,
starting on the date it is signed by the Parties. The present MOU may be extended by
mutual consent or terminated at any time by either party by giving written notification
at least 6 (six) months prior to the date of the intended termination.
