MEMORANDUM OF UNDERSTANDING
BETWEEN
THE GOVERNMENT OF THE REPUBLIC OF INDONESIA
AND
THE GOVERNMENT OF THE ISLAMIC REPUBLIC OF IRAN
CONCERNING
COOPERATION IN THE FIELD OF ENERGY
The Government of the Republic of Indonesia and the Government of the Islamic
Republic of Iran (hereinafter referred to as "the Parties");
BEARING IN MIND the existing friendly relations between the Indonesian and
Iranian peoples;
DESIRING to strengthen cooperation in the field of energy between the Parties
based on the principle of equality and mutual benefit;
RECOGNIZING the significance of a sustainable supply of energy for the economic
and social development of Indonesia and Iran;
CONSIDERING the need to develop and foster the cooperation between the
Parties in the field of energy;
PURSUANT to the prevailing laws and regulations in the two countries;
HAVE AGREED as follows:
Article 1
Objectives
The objectives of the Parties in concluding the MoU are :
a. To strengthen the economic relationship between the Parties;
b. To encourage and promote investments in each country's energy projects;
c. To facilitate the implementation of the cooperation in the field of energy by
private sectors.
Article 2
Areas of Cooperation
The areas of cooperation under this Memorandum of Understanding may include
the following subjects of mutual iQterest:
a. Oil and gas exploration and development;
b. Refinery development and construction;
c. Exchange of scientific and technical development in the field of energy ;
d. Training in oil, gas and petrochemical expertise; and
e. Other areas as may be agreed upon by the Parties.
Article 3
Cooperation Activities
Cooperation of Activities under this Memorandum of Understanding shall be in the
form of:
a. Development of Iranian shut-in and/or under-developed oil and gas fields; and
b. Refinery projects.
Article 4
Participation of other Entities
The Parties may enlist the participation of other entities of the Republic of
Indonesia and the Islamic Republic of Iran in the development of activities
contained in the Areas of Cooperation of this Memorandum of Understanding.
Article 5
Intellectual Property Rights
In case specific arrangements, programs or projects implemented under this
Memorandum of Understanding may result in intellectual property, the Parties shall
include separate arrangements in accordance with the respective legislations.
Article 6
Confidentiality of Data
The Parties shall respect the confidentiality of data and information provided under
the scope of this Memorandum of Understanding, if either Party wishes to disclose
confidential data and/or information resulted from activities under this Memorandum
of Understanding to any third party, the disclosing Party must obtain prior consent
from the other Party before any disclosure can be made.
Article 7
Settlement of Disputes
Any dispute between the Parties concerning the interpretation or implementation of
this [Memorandum of Understanding shall be settled amicably through
consultations or negotiations.
Article 8
Amendments
This Memorandum of Understanding may be amended or modified as may be
required from time to time by mutual written consent of the Parties through
diplomatic channels.

Article 9
Entry into Force, Duration and Termination
1. This Memorandum of Understanding shall enter into force on the date of its
signing.
2. This Memorandum of Understanding shall remain in force for a period of 2 (two)
years and shall be automatically extended for consecutive periods of another 2
(two) years, unless either Party notifies the other in writing six months in
advance of its intention to terminate this Memorandum of Understanding.
3. The termination of this Memorandum of Understanding shall not affect the
validity or the duration of any specific activities made under this Memorandum of
Understanding until the completion of such specific activities.
IN WITNESS WHEREOF the undersigned, duly authorized by their respective
Governments, have signed this Memorandum of Understanding.
