WHEREAS I ndonesia wishes t o purchase two TNin Otter
aircraft as descr ibed in Annex "A" to t his agreement and hereinafter referred to as "The Pr oj ect";

ARTICLE I
The Loan
Section 1 . 01
Canada shall make available to Indonesia on t he terms
and conditions hereinafter set f orth a Loan , to be reloo.ncd t 0 the
Beneficiary , in an amount not to exceed one million, t hr ee hundr ed
and t wenty- five thousand Canadian dollar s ( $1 , 325 , 000) .
Section 1. 02
Canada shall open on its books a Loan Account in the name
of Indonesia and shall credit to such Account the full amount of
the Loan.
Withdr awal s , payments and disbursements may be made from
the Loan Account in accordance with the provisions of t his Agreement .

Section 1.03
This Loan shall be free from interest , commitment or
service charges.
ARTICLE II
Repayment
Section 2. 01
Repayment of the principal amount of the Loan shall be
made in eight semi- annual instalments of sixteen thousand five
hundred and sixty- two dollars and fifty cents (Cdn) ( $16 , 562.50)
each , due and payable on the last day of March and September in
each year commencing on March 31, 1982 and ending on September 30 ,
2021.
Section 2. 02
Indonesia shall have the right to prepay principal in
whol e or in part on any date without notice to Canada.
The amount
of any pre- payment shall be applied on the instalments of principal
then remaining payable in the reverse order of t hei r maturity.
Section 2. 03
All payments and repayments as set forth her ein shall be
made by Indonesia in Canadian dollars to the Receiver-General of
Canada , and shall be deemed to have been paid when received by the
Receiver-Gener al of Canada.
Section 2.04
The principal of the Loan shall be paid without any
deductions whatsoever and more particularly shall be free from any
taxes, charges or other restrictions imposed under the laws of
Indonesia •••

political or juridical divisions or subdivi sions.
Section 2. 05
Indonesia agr ees t hat it will negotiate , at the r equest
of Canada , concerning acceler ation of .payments to the ReceiverGener al of Canada to be made under t his Agreement at any t ime after
six (6) months before the first payment of pr incipal becomes due
and payabl e.
I ndonesia and Canada s hall mutually determine whet her
such an ac celer ation should t ake place on the basis of the capacity
of Indonesia to servic e a more r api d liquidation of its obligations
in the l i ght of i ts internal and ext er nal f inanciel

ARTICLE III
Use of the Loan
Section 3.01
Except as may other wise be specifi cally agreed t o by
Canada , t he proceeds of the Loan shall be used by I ndonesi a exclusively for the purchase of air cr aft and spares required t o carry
out the Project as descr ibed in Annex "A", and procedures for its
procurement and payment shall be those set f orth in Annex "B",
both Annexes being subject to such modification as may be agr eed
upon between Canada and Indonesia.
Section 3. 02
The mater ials and equipment to be financed from the proceeds of t he Loan s hall be used exclusively to carry out the
Project and t he goods procured in Canada and financed from the Loan
shall • • •

Indonesia or its designated agent shall provide Canada
with a copy of each letter(s) of cr edit, contract and/or purchase
order for the procurement of mater ials and equipment in respect of
which any withdrawal is to be made.
Section 4. 05
Withdrawals f rom the Loan account may be made in favour
of such per sons or agencies as may be designated by Indonesia and
agreed to by Canada.
Section Lt• 06
Indonesia or its designated agent shall f urnish 1 or cause
to be furnished , to Canada such documents and other evidence in
support of its l etter(s) of credit referred to i n Section 4.01 as
Canada may reasonably request , such evidence to be sufficient in
form and substance to establish that t he amounts to be withdrawn
are properly relatea to the purposes of the Project.
ARTICLE V
Cancellation and Suspension
Section 5. 01
Indonesia may, by sixty(60) days notice to Canada cancel
all or any part of the Loan not withdrawn by Indonesia prior to t he
giving of such notice and not r equired t o meet outstanding f inancial
obligations t o suppliers or firms incurred under the Loan.
Section 5.02
If any of the following events occur and continue to occur ,
Canada may , by sixty ( 60) days notice t o Indonesja , specifying the
reason •• •
-6reason for suspension, suspend in whol e or in part t he right of
I ndonesia to obtain withdr awals from t he Loan account :
( a) A def ault by Indonesia in the payment of principal
or in any other payments or repayment s r equir ed
under this Agreement and the Annexes hereto ;
( b) A default on the part of Indonesia in t he per formance
of any other undertaking under this Agr eement ;
(c) Any extraordinar"J situation which renders it i mpossible f or I ndonesia to perf or m its obli gations under
t his Agreement .
If suspension occurs and continues for thirty ( 30) days , Canada may ,
by sixty ( 60) days notice to Indonesia, cancel that part of the Loan
not withdr a'l'm prior to the gi ving of such notice , and not requir ed
to meet outstanding f inancial obligations to suppli er s or f irms
i ncurr ed under the Loan.
Sect ion 5. 03
Unless other wi se agr eed to by Canada , i f the full amount
of the Loan is not committed for the Project by Apr il 30 , 1973 , the
bal ance will be cancell ed and the final instalment or inst alments
of the r epayments to be made by Indonesia shall be r educed accordingl y.
ARTICLE VI
Gener al Undertakings
Section 6. 01
Indonesia and Canada shall ensure that the Project is
carried out with due diligence and efficiency.

This Aereement and any Annex her et o shall be free from
any taxes , fees or other charges

of Indonesia and those in ef fect in i ts territories or administrative , poli t i cal or juridical divisions or subdivisions in connection with the execution, issue , delivery and r egistration thereof.
Section 6. 05
Indonesia shall at all times provide or cause to be
pr ovided as needed all other monies and resources ";hich may be
requir ed to carry out the Project .
Section 6. 06
For the purposes of this Aer eement and Annexes hereto ,
Indonesia shall include any agent or agents author ized by and on
behalf of Indonesia with r egard to its r ights , duties and obligations herein.

Communications

Any communication or documents given , made or sent by

Description of the Project
The Project comprises the purchase i n Canada and shipment to Indonesia of t wo DHC Twin Otter aircraft , plus spar e parts
up to $220 ,000 in value.
The specificat ions for t he said aircraft
shall be such as ar e mutually agreed between Canada and Indonesia
except t hat t he total value of Pircraft ,

Description of t he Benef iciary

a st ate owned enterprise est ablished and operating under the laws
of I ndonesia.

Procurement of Equipment and Materials
( a)
A proposal shall be invited by Indonesia or its designated agent from the De Havilland Aircraft of Canada
Ltd.
( b)
A contract will then be negoti ated and l et by Indonesia
or its designated agent , the terms and conditions of
which shal l be subj ect to appr ov al by Canada.
( c)
The equipment and mater ials shall be purchased on the
basis of C. I.F. destination Indonesia.
Payment Procedures

Payment of Equipment and Mat er ials
(a)
Payment of the C. I . F. costs of the equipment and
mat erials as specified in the Contr act between Indonesia
or its designated agent and De Havilland shall be made

to De Havilland Aircr aft of Canada Limited by t he
Canadian International Development Agency under irrevocable l etter s of credit issued by Bank Indonesia.
The l etter s of cr edit will be i ssued to De Havilland
Aircraft of Canada Limited through the designated
correspondent Canadian bank.
Reimbursement from the
Canadian International Development Agency for payment
made shall be against pr esentation to the Canadian
I nt ernational Development Agency by the corresrondent
CanBdian bank of simpl e receipt in t he case of

Deliver"/ invoices in the case of the Aircraft , and , in

All payments to the supplier shall be made

All banking charges incurred by Indonesia or its designated aeent in Canada in connection with the opening
of letters of credit on the designated correspondent
Canadian bank will be reimbursed by Canada from the
Development Loan Fund.
Any interest charges t hat may
be payable by Indonesia or its designated agent to the
correspondent Canadian bank in the event of that bank
advancing funds to meet payments t o Canadian suppliers
will also be reimbursed from the Development Loan Fund.

payment of:

The r eceipt and distribution of equipment and
mater ials in Indonesia and for their unpacking
and distr ibution within Indonesia.

submi ssion of claims cover ing short. shipments or loss or damage
of equipment and mater ials which occur while in transit f rom
Canada to Indonesia.
