MEMORANDUM OF UNDERSTANDING RELATING TO THE
INDONESIAN PREFABRICATED STEEL TRUSS BRIDGE
CONSTRUCTION PROGRAM

GENERAL

1. THIS MEMORANDUM expresses the understandings of the Government
of the Republic of Indonesia and the Government of Australia concerning

the responsibilities and contributions respectively of the two Governments
in regard to a Prefabricated Steel Truss Bridge Construction Program
(hereinafter referred to as the Project) located in the provinces of West
Kalimantan, Central Kalimantan, East Kalimantan, North Sulawesi, Central
Sulawesi and South East Sulawesi as further described and detailed in the
Annexures I, II, Ill to this Memorandum.

AUTHORITIES

2. The Executing Authorities for this Project will be :
For the

Indonesian

Direktorat Jenderal Bina Marga,

Government :

Departemen Pekerjaan Umum (The Directorate General of Highways of
the Ministry of Public Works).
For the Australian Government : The Australian Development Assistance
Bureau of the Department of Foreign Affairs. The Australian Development
Assistance Bureau may nominate suitably qualified agents to undertake
any part of its functions on its behalf.
DURATION

3. This Memorandum will take effect from the date of its signature and the
Project will be deemed to have commenced from that date.
The Australian contribution to the Project and all undertakings given
herein will cease four (4) years after the date of signature of this
Memorandum or on such other date as may subsequently be agreed
between the two Governments.

PROJECT
ORGAN ISATION

4.

Responsibility for development and direction of the Project will be vested
in a Project Co-ordinating Board, whose chairman will be appointed by the
Indonesian Government.

Membership of the Board will include the

Australian Team Leader, who is to be appointed by the Australian
Government and agreed upon by the Indonesian Government. Membership
of the

Board

Government Ministry referred to in Clause 2 above, or nominated at the
discretion of the Indonesian Government, as well as a nominee designated
by the Australian Embassy accredited to Indonesia.

Functions of the Project Co-ordinating Board wil l include :
(a)

co-ordinating policy for the Project;

(b)

co-ordinating operation of the project team ;

(c)

co-ordinating the disposition of the project personnel;

(d)

reviewing and reporting on progress to the two Governments; and

(e)

recommending to the two Governments changes in program, budget
and future development.

RESPONSIBILITY

6. Overall responsibility for this Project will rest with the Government of

Indonesia.

The final authority for decisions on implementation of the

agreed works program shall rest with the Directorate General of Highways
after considering consultations between the Indonesian Project Manager
and the Australian Team leader.
CONTRIBUTIONS

7. The contributions of the Indonesian and Australian Governments are
detailed in Annex I and are estimated to value Rp. 8,1 00,000,000

and

$A 18,000,000 respectively. Disbursement of the Indonesian and Australian Governments' contributions will be subject to the normal annual
Parliamentary approval of Appropriations.
EVALUATION

8. An evaluation of progress of the Project may be made at times arranged

between and mutually convenient to, the

Indonesian and

Australian

Governments. Such an evaluation would be undertaken by a joint investigation team appointed by the two Governments and independenJ of
staff involved in the Project.
PERSONNEL

9. For the purposes of this Project, the Indonesian Government will, in
accordance with existing laws and regulations, faci litate the employment
by the Australian Government or its agent of personnel as required for the
Project and established between the two Governments by :
(a)

granting exemption from income or other taxes on Project salaries
and allowances;

(b)

granting exemption from import and other duties on personal and
household effects;

(c)

granting exemption from import duties on one commercial motor
vehicle per expert on condition that it either be re-exported, sold to
a person who has the same privileges, or duty paid on its assessed
value at time of sale within Indonesia, or granting exemption from
taxes and duties on the purchase in Indonesia of one locally assembled
motor vehicle per expert;

(d)

granting to Australian Project personnel all rights and entitlements
accorded to the aid personnel of any other donor country; and

(e)

expediting the issue of all documentation required for the entry of,
and performance of work by, Project personnel, including work
permits or certificates and drivers' licenses for eligible persons.

SUPPLIES

10. (a)

The Indonesian Government

will in accordance with the existing

and regular exempt from import duties and other taxes (or pay such

duties thereon) all goods supplied for the established purposes of
the Project as set out in Annex I;
(b)

The Indonesian Government will facilitate movement of Project
equipment and supplies by providing appropriate

customs

and

wharfage facilities in the port closest to the Project site and will be
responsible for the expeditious transport of such equipment and
supplies to the site; and
(c)

Project equipment and supplies provided by

Australia

shall

be

available for the unrestricted use of the Project and shall not be
withdrawn from such use without the consent of the Project Coordinating Board.

The Australian Team Leader in consultation

with the Indonesian Project Manager shall exercise administrative
control over such supplies for the duration of the Project.
LIABILITY

11. The Indonesian Government shall be responsible for dealing with any

claims which may be brought by third parties against Australia and its
experts,

agents or Australian personnel and shall hold harmless Austra-

lia and its experts, agents and personnel in case of any claims or liabilities
resulting from operations under this Memorandum. This provision shall
not relieve any person from liability for any criminal, grossly negligent
or fraudulent act.
SECURITY

12. The Indonesian Government will arrange

for any protection deemed

necessary to ensure the safety of Australian personnel, Project and personnel equipment both at the Project location, in transit and on any other
official representational activity in Indonesia. The Australian Government
will take reasonable precautions to ensure that Australian personnel have
due regard for local traditions and customs.

SETTLEMENT OF
DIFFERENCES

13. Any disputes arising out of the interpretation or implementation of the
Memorandum shall be settled amicably by consultation or negotiation
between the two Governments.

AMENDMENTS

14. Amendments to this Memorandum may be made at any time by an
Exchange of Letters between the tow Governments.

DIVISK>N OF RESPONSIBILITY

AND CONTRIBUTIONS

Australia
(a)

The Australian contribution to the Project will be approximately $18,000,000 including escalation
spread over the Australian financial year 1980-81 to 1983-84.

(b)

Within the limits of its contribution Australia will provide the following items for the purpose of
the agreed construction program :
(i)

prefabricated steel components including bearings for the bridges listed in Annex II;

(ii)

erection instructions and manuals for the prefabricated steel truss bridging system;

(iii)

The Australian Team Leader who will be based in Australia will visit the project sites up
to four times per year or in response to specific requests from the Co-ordinating Board; and

(iv)

technical support personnel as Iisted in Annex Ill to provide advice on the transport, storage,
erection and protection treatment of the steel truss bridging system.
All bridge components and manuals supplied by Australia for the Project will become the

property of the Indonesian Government on being shipped C.I.F. from Australia to the port of entry in
Indonesia closest to the respective storage sites and the Indonesian Government will provide the
Australian Embassy, Jakarta with documentary confirmation of the receipt of the equipment.
It is understood that the said prefabricated steel truss bridge components will be provided
by the Australian Government for the construction of the bridges listed in Annex II in the Provinces
of West Kalimantan, Central Kalimantan, East Kalimantan, North Sulawesi, Central Sulawesi, South East
Sulawesi, East and West Nusa Tenggara.

Modification to the list of bridges in Annex II may be made

after consultation with the Indonesian Authorities and the Bureau .

Indonesia
(a)

The Indonesian contribution to the Project will be approximately Rp.B, 100 million spread over
the Indonesian financial years' 1980-81 to 1983·84.

(b)

The Director General of Highways will appoint an officer as Executive Project Director in Jakarta
through whom all communications with the Ministry of Public Works will be directed.

(c)

Within the limits of its contribution, Indonesia will provide :
(i)

design and construction contracts for substructure, superstructure erection and decking
work for bridges Iisted in Annex II;

(ii)

sufficient supervisory staff to ensure that the above work is carried out to an acceptable
standard;

(iii)

field accommodation for the technical support staff as required;

(iv)

office accommodation for technical support personnel;

(v)

accommodation of acceptable standards for technical support personnel;

(vi)

field transport for the technical support personnel;

(vii)

all handling, clearing and transportation costs at the, and from the, ports of entry to the
project sites, of imported materials, equipment, machinery, furniture and fittings and other
goods supplied to the Project by Australia;

(viii) exemption from, or reimbursement of, all duty tax paid in Indonesia by Australia in
purchasing equipment and materials for the Project;
(ix)

secure storage areas for the prefabricated steel truss bridge components with storage con·
ditions which will eliminate deterioration or damage of components during storage; and

(x)

to the Australian Embass.y, Jakarta, receipts for each consignment of prefabricated bridge
components accompanied by a list of items not received, if any.
The personnel provided by Australia shall have an advisory role but final authority for

decisions in formulating and implementing the agreed work program shall rest with the Indonesian
Government after consultation with the Australian Project Manager.
The Australian Team Leader in consultation with the Australian Ambassador in Indonesia
or his delegate shall nevertheless have final jurisdiction in respect of duties, discipline, leave and all
other administrative issues concerning Australian personnel.
It is understood that the Indonesian Government will make arrangements to design and
construct permanent substrutures for the said bridges listed in Annex II. Responsibility for the struc·
tural soundness and adequacy of the bridge substrutures will rest with the Indonesian Governments.
