From the capital aid loan shall be financed :
the imported equipment as well as equipment supplied
by firms domiciled in the Republic of Indonesia after
an interna tional tender has taken place ;
up to 40 % of the civil work's costs as share of the
indirec t foreign exchange costs ;
100 % of the German consulting engineers services .

Should there be any indication of major changes in the
measures stated in the above list of project measures or
in the cost estimates , Kreditanstalt sha ll be informed
without delay . Execution o f such measures shall commence
only on the basis of revised planning and after Kreditanstal t has given its con sent.
( 2 ) The list of goods and services to be financed from the
Loan shal l be p r epared o n the basis of the contracts
concluded for such goods and services . Accordingly ,
Kreditanstalt shall be furnished with a copy of each
contract .
Having checked the contracts/schedule of measures , Kre ditansta l t shall transmit to the Borrower numbered
letters stating the amounts which have been reserved
for the financing from the Loan and send him the
"List of Goods and Services "
as supplemented from case t o case .
(3) When concluding contracts for goods and services to
be financed from the Loan , the fo llowing principles
shal l be adhered to by the Borrower:
(a ) The payment condition s of the contracts shall be in
line with commercial practice .
(b) To safeguard the advance payments and the due imple mentation of the contracts , the contrac t s shall provide for appropriate advance payment and performance
guarantees to be given by banks or insurance companies.
( c ) As according to Article 1.3 of the Loan Agreement
no i mport duties shall be financed from t h e Loan ,
such import duties , i f part o f the contract value ,
shall be stated separ ately in the contr acts to be
concluded for the goods and services and in the
invoices .

(d) It shall be ensured that the goods to be financed
from the Loan are insured adequately and to the
customary extent against transport risks so that
their replacement or repair is possible. Such
insurance shall be taken out in a freely conver tible currency as far as foreign exchange costs
accruing to the Borrower shall be financed .
(e) It shall be ensured that all contracts for goods and
services , if payable from the Loan, contain a provision to the effect that any reimbursements, in surance , guarantee or similar claimable payments
shal l be made fo r the account of the Borrower to
Kred i tansta l t into its account No. 504 091 00 with
Deutsche Bundesbank , Frankfurt am Main , with Kreditanstalt crediting him with the amounts. If such
payments are made in local currency they shall be
transferred to a special account of the Borrower in
Jakarta; such account may be operated only with the
consent of Kreditanstalt . Such funds may be reutilized in accord with Kreditanstalt for the exe cuti on of the Project .
II .

Disbursement Procedure
The disbursement procedure is governed by the "Guidelines
for the Disbursement of Funds of German Financial Co-operation with Developing Countries by Kreditanstalt flir Wiederaufbau", which constitute an integral part of thi s Agreement.

III . Execution of the Project
(1 ) The Directorate General of Housing , Building , Planning
and Urban Development ( " Cipta Karya 11 )

in the Ministry

of Public Work is responsible for the execution of the
Project . The time-table and the cost and financing sched ule required for the proper technical and financial execution of the Project shall be prepared as soon as possible by the Borrower in co-operation with the German
consulting engineers and shall be submitted to Kredit-

anstalt. Such schedule shall show the presumable timing
and co-ordination of the individual project measures
and the resulting financial requirements , by dates and
amounts. If any deviation from such schedule becomes
necessary in the course of the execution of the Project
Kreditanstalt shall be furnished with the revised sched ule .
(2) The duties of the German consulting engineers shall
comprise the planning of the Project , the preparation
of the tender documents, advisory services to the Borrower in connection with the award of contracts for
goods and services (evaluati on of bids , proposal s as
to the award of contract , drafting of contracts), the
supervision of construction and the putting into operation, certificates of acceptance and the surveillance for
about 2 years after its completion . The Borrower inte nds
to entrust the German consulting engineers German Water
Engineering GmbH ("GWE" ) with the execution of the abovementioned measures. Their engagement shall require the
pr i or approval of Kreditanstalt . For this purpose , Kreditanstalt shall be furnished in due course with the
draft of the contract , documents on the qualification
of the experts to be assigned to the Project as well as
any other documents requested in this context. GWE shall
avail itself of the co-operation of qualified Indonesian
consulting engineers .
(3) The contracts for goods and all other services shall be
awarded, in co-operation with the consulting engineers
by way of international public competitive bidding .
The t ender documents shall be submitted to Kreditanstalt
for conunent in due course prior to publication of the
invitation to tender . Such invitation to tender shall be
published at least simultaneously with the other publications in the "Nachrichten fur Aussenhandel "

under the heading "Finanzielle und Technische Zusanunenarbei t der Bundesrepublik Deutschland" (Financial and Tech nical Co-operation of the Federal Republic of Germany) .
The Bundesstelle flir Aussenhandelsinformation shall be
furnished with a copy of the tender documents through
the Indonesian Embassy in Bonn, free of charge, prior
to publication of the invitation to tender. Publication
in the NfA is free of charge.
The bidding period shall be fixed in such a way as to
give the bidders sufficient time to prepare their bids.
The invitation to tender for the civil works can be
limited to firms domiciled in the Republic of Indonesia.
(4) The bids shall be evaluated by way of comparison by Cipta
Karya in co-operation with the German consulting engineers .
The evaluation of bids and the substantiated proposal for
awarding the contract, which shall bear the certification
by the consulting engineers or be accompanied by their
separate comments, shall be submitted to Kreditanstalt
early enough for it to make its comments before any contracts are awarded.
Kreditanstalt reserves the right to demand new competitive bidding if it is obvious that the lowest bid considerably exceeds reasonable cost estimates and if such
new competitive bidding can be expected to result in much
cheaper bids.
Prior to the conclusion of a contract for goods and services , Kreditanstalt shall be furnished for comment with
the draft contract as agreed upon, duly provided with
the visa of the consulting engineers . The same shall
apply to subsequent modifying or amending agreements,
if any .
(5) The Borrower shall until further notice report to Kreditanstalt quarterly on the progress of the Project .
Such reports shall cover the points stated in the list

attached hereto (Memo for Progress Reports) . The first
report on the state of affairs shall be submitted as
of December 3 1, 1982 . The reports shal l be d uly countersigned by the consulting engineers .
After completion of the Project, the Borrower shall report on its further development . Kreditanstalt shall in
due course inform the Borrower about the details, in
particular the period , to be reported on .
(6) Please send all documents we need for preparing the
comments and approvals agreed upon above so early as to
give us sufficient time for their examination.
IV.

The above stipulations may at any time be amended or modi fied by mutual consent if this should appear useful for the
execution of the Project or the implementation of the Loan
Agreement. In addition, the provisions of Article 6.3 and 8
of the Loan Agreement shall apply to this agreement accordingly.

Please confirm your approval of the above agreement by signing
in a legally binding form and returning the enclosed copies
in German and in English.
We enclose herewith copies of the present letter in German and
Engl ish asking you to be so kind as to forward them (one copy
each) to the Directorate General Cipta Karya and in due course
to the consulting engineers.

It is recommended to use graphic presentations (bar charts
or CPM/PERT network) to show the flow of goods and the perfor mance of services and the incurrence of costs. The progress

the end of the period under report.

Wir schlagen vor, zu diesem Zweck folge ndes zu vereinbaren:

Aus dem Kapitalhilfe-Dar1ehen werden f inanziert :
die importierten Ausrtistungslief erungen sowie die Ausrtistungslieferungen , die nach internationaler Ausschrei bung von in der Republik Indones ien ansassigen Firmen
geliefert werden;
bis zu 40 % der Baukosten als indirekter Devisenkostenanteil;
100 % der Leistungen der deutschen beratenden Ingenieure.

Sollten sich wesentliche Anderungen der in der vorstehen den Projektauf stellung genannten MaBnahmen oder der Kosten schatzungen abzeichnen , so ist die Kreditanstalt hiervon
unverzliglich zu unterrichten . Mit der Durchftihrung der artiger MaBnahmen kann erst aufgrund geanderter Planung
und nur nach vorheriger Zustimmung der Kreditanstalt be gonnen werden .
2 . Die Liste der aus dem Darlehen zu finanzierenden Liefe rungen und Leistungen wird auf der Grundlage der abge schlossenen Liefer- und Leistungsvertrage erste l lt. Die
Kreditanstalt erhalt deshalb je eine Ausfertigung oder
Abschrift dieser Vertrage .
Die Kreditanstalt wird dem Darlehensnehmer nach Prtifung
der Vertrage in nume rierten Reservierungsschreiben mitteilen , welche Betrage sie fur die Finanzierung aus dem
Darlehen reserviert hat , und ihm die von Fall zu Fall
erganzte
"Liste der Lieferu ngen und Leistungen "
libersenden .
3 . Be i dem AbschluB von Vertragen tiber Lieferungen und
Leistungen , die aus dem Darlehen finanziert werden sollen ,
beachtet der Darlehensnehmer folgende Grundsatze :
a) Die Zahlungsbedingungen der Vertrage mtissen im handels tibl ichen Rahmen liegen .
b ) zur Sicherung der Anzahlungen und der ordnungsgemaBen
Vertragserftil lung ist in den Vertragen die Gestellung
angemessene r Anzahlungs - und Erftillungsgarantien durch
Banken oder Ve rsicherungsgesellschaften zu vereinbaren .
c ) Da Einfuhrzolle gemaB Artikel 1 . 3 des Darlehensvertrages nicht aus Mitteln des Darlehens f inanziert werden dtirfen , sind diese , soweit sie irn Auftragswert ent halten sind, in den Lie f er - und Leistungsvertragen und
den Rechnungen gesondert auszuweisen .

d) Es ist sicherzustellen, daB die aus dern Darlehen zu
f inanzierenden Lieferungen in angernessenern und liblichern
Urnfang gegen Transportrisiken versichert werden , so daB
ihre Wiederbeschaffung oder Wiederherstellung rnoglich
ist. Die Versicherung ist in frei konvertierbarer Wahrung abzuschlieBen, soweit dern Darlehensnehrner Devisenkosten finanziert werden.
e ) In allen Vertragen liber Lieferungen und Leistungen ist,
soweit Zahlungen aus dem Darlehen geleistet werden sol len, sicherzustellen, daB etwaige zu beanspruchende
Rlickverglitungen, Versicherungs-, Blirgschafts-, Garantie oder ahnliche Zahlungen flir Rechnung des Dar lehensneh mers auf das Konto Nr. 504 091 00 der Kreditanstalt bei
der Deutschen Bundesbank , Frankfurt am Main, geleistet
werden, die sie ihm gutschreiben wird . Werden solche
Zahlungen in Landeswahrung erbracht , so sind sie einern
Sonderkonto des Darlehensnehmers in Jakarta zuzuflihren,
Uber das nur mit Zustimrnung der Kreditanstalt verfligt
werden kann. Diese Betrage konnen im Einvernehmen mit
der Kreditanstalt wieder zur Durchflihrung des Projekts
eingesetzt werden.
II.

Auszahlungsverfahren
Flir das Auszahlungsverfahren gelten die "Richtlinien flir die
Auszahlung von Mitteln der Finanziellen Zusamrnenarbeit durch
die Kreditanstalt flir Wiederaufbau", die Bestandteil dieser
Vereinbarung sind.

III. Projektdurchflihrung
1. Flir die Projektdurchflihrung ist das Directorate General
of Housing, Building , Planning and Urban Development
("Cipta Karya")

im Ministry of Public Works zustandig.

Der flir die ordnungsgemaBe technische und finanzielle
Projektdurchflihrung benotigte Zeit-, Kosten- und Finanzierungsplan wird vom Darlehensnehmer in Zusammenarbeit
mit den deutschen beratenden Ingenieuren so bald wie
moglich erstellt und der Kreditanstalt zugeleitet. Aus

diesem Plan sollen das voraussichtliche zeitliche Inein andergreifen der einzelnen DurchflihrungsrnaBnahmen und
der sich daraus ergebende Finanzierungsbedarf nach Hohe
und Terminen ersichtlich sein. Sofern bei Durchflihrung
des Projektes Abweichungen von diesem Plan erforderlich
werden, wird der Kreditanstalt ein revidierter Plan zu gesandt.
2. Die Aufgaben der deutschen beratenden Ingenieure umfassen
die Planung des Projektes , die Ausarbeitung der Ausschreibungsunterlagen, die Beratung des Darlehensnehmers bei der
Vergabe der Lieferungen und Leistungen (Auswertung der Angebote , Vergabevorschlag , Vertragsgestaltung), Uberwachung
der Baudurchflihrung und der Inbetriebnahme , die Abnahme
und die Nachbetreuung flir ca . 2 Jahre . Der Darlehensnehmer hat flir die Durchflihrung der vorgenannten Leistungen
die deutschen beratenden Ingenieure German Water Engineering GmbH ("GWE") vorgesehen. Ihre Beauftragung bedarf der
vorherigen Zustimmung durch die Kreditanstalt . Zu diesem
Zweck werden der Kreditanstalt rechtzeitig der Entwurf
des Vertrages, Unterlagen Uber die Qualifikation der flir
das Projekt vorgesehenen Fachleute sowie alle sonstigen
hierzu erbetenen Unter lagen libersandt . Die GWE wird zur
Mitarbeit qualifizierte indones i sche beratende Ingenieure
heranziehen.
3. Die Lieferungen und alle librigen Leistungen werden in Zusammenarbeit mit den beratenden Ingenieuren international
offentlich ausgeschrieben .
Die Ausschreibungsunterlagen werden der Kreditanstalt
rechtzeitig vor Veroffentlichung der Ausschreibung zur
Stellungnahme vorgelegt . Die Ausschreibung wird zumindest
gleichzeitig mit den librigen Veroffentlichungen unter dem
Stichwort "Finanzielle und Technische Zusammenarbeit der
Bundesrepublik Deutschland" in den "Nachrichten flir AuBenhandel"

(NfA) der

veroffentlicht . Die Bundesstelle flir AuBenhandelsinformation erhalt vor Veroffentlichung der Ausschreibung ein
kostenloses Exemplar der Ausschreibungsunterlagen liber
die indonesische Botschaft in Bonn. Die Veroffentlichung
in den NfA ist kostenlos.
Die Ausschreibungsfrist ist so festzulegen, daB den Anbietern ein ausreichender Zeitraurn zur Ausarbeitung der
Angebote gegeben wird.
Die Ausschreibung flir Bauarbeiten kann auf Firrnen beschrankt werden, die ihren Sitz in der Republik Indonesien haben.
4. Die Angebote werden von Cipta Karya in Zusarnmenarbeit rnit
den deutschen beratenden Ingenieuren vergleichend ausgewertet. Die Auswertung mit dem begrlindeten Vergabevorschlag,
der einen Bestatigungsverrnerk der beratenden Ingenieure
tragt oder ihre gesonderte Stellungnahme enthalt, werden
der Kreditanstalt rechtzeitig vorgelegt, um auch ihr eine
Stellungnahrne vor Auftragsvergabe zu errnoglichen.
Die Kreditanstalt behalt sich vor, eine neue Ausschreibung
zu verlangen, wenn das niedrigste Angebot angemessene
Schatzkosten offensichtlich erheblich libersteigt und bei
einer neuen Ausschreibung wesentlich preisglinstigere Angebote erwartet werden konnen.
Vor AbschluB eines Liefervertrages und Leistungsvertrages
wird der Kreditanstalt der vereinbarte Entwurf des Vertrages rnit einern Sichtverrnerk der beratenden Ingenieure
zur Stellungnahrne libersandt. Das gleiche gilt flir etwaige
spatere Erganzungs- und Anderungsvereinbarungen.
5. Der Darlehensnehmer wird der Kreditanstalt bis auf weiteres vierteljahrlich liber den Fortschritt des Projekts
berichten. Bei der Abfassung dieser Berichte sind die in

der beiliegenden Auf stellung aufgeflihrten Punkte in die
Berichterstattung einzubeziehen. Erstmalig ist liber den
Sachstand per 31.12 . 1982 zu berichten. Die Berichte
sind jeweils von den beratenden Ingenieuren gegenzu zeichnen .
Der Darlehensnehmer wird nach Fertigstellung des Projekts

6. Wir bitten Sie , uns alle Unterlagen, die wir flir die vor stehend vereinbarten Stellu ngnahmen und Zustimmungen benotigen , so rechtzeitig zu libermitteln, daB uns ein ange messener Zeitraum flir deren Prlifung verbleibt .
IV.

Die vorstehenden Vereinbarungen konnen jederzeit in gegenseitigem Einvernehmen erganzt oder geandert werden , sofern dies
flir die Durchflihrung des Projekts oder die Abwicklung des Darlehensvertrages zweckdienlich erscheint . Im librigen gelten
die Besti mmungen der Artikel 6 . 3 und 8 des Darlehensvertrages
e ntsprechend auch flir diese Vereinbarung .

Wir bitten Sie , uns Ihre Zustimmung zu den vorstehenden Vereinba rungen durch rechtsverbindliche Unterzeichnung und Rlicksendung der
beigeftigten Ausfertigungen in deutscher und englischer Sprache

between

KREDITANSTALT FUR WIEDERAUFBAU, Frankfurt am Main,
( "Kredi tanstal t")

and

the REPUBLIC OF INDONESIA
( "Borrower 11 )

On the basis of the agreements dated December 7 , 1973 ,
December 6, 1974 and June 10 , 1977 between the Govern ment of the Federal Republic of Germany and the Government of the Republic of Indonesia on capital aid ("Government Agreements") , the Borrower and Kreditanstalt
hereby conclude the following Loan Agreement .

Article 1

Amount and Purpose of the Loan
1.1

Kreditanstalt undertakes to extend to the Borrower
a Loan not exceeding
OM 7 , 200 ,0 00 .-(in words: Seven Million two hundred thousand
Deutsche Mark) .

1.2

The Borrower shall use the Loan exclusively to finance
the Water Supply System Kebumen ("Project") and pri marily to pay the foreign exchange costs . By separate
agreement, the Borrower and Kreditanstalt shall determine the details of the Project as well as the goods
and services to be financed from the Loan .

1 .3

Taxes and other public charges to be borne by the
Borrower and import duties shall not be financed from
the Loan .

Article 2

Disbursement
2. 1

Kreditanstalt shall disburse the Loan upon request of
the Borrower in accordance with the progress of the
Project. By separate agreement, the Borrower and Kre ditanstalt shall agree on the disbursement procedure ,
in particular on the evidence to be furnished by the
Borrower for the disbursement of the Loan, proving
the use of the loan amounts for the purpose stipulated in this Agreement .

2.2

Kreditanstalt shall have the right to refuse to make
disbursements after December 31, 1987 .

Article 3

Commitment Charge , Interest , and Repayments
3.1

The Borrower shall pay a commitment charge of 1/4 % p.a.
(one quarter of one per cent per annum) on undisbursed
loan amounts . The commitment charge shall be computed
for a period beginning three months after the signing
of this Agreement and ending at the respective dates
at which disbursements are debited.

3.2

The Borrower shall pay interest on the Loan at a rate
of 2 % p.a .

(two per cent per annum). Interest shall

be charged from the dates at which disbursements are
debited to the dates at which repayments are credited
to Kreditanstalt's account specified in Article 3 . 9 .
3 .3

The Borrower shall pay the commitment charge, the
interest, and the interest on arrears pursuant to
Article 3 . 5, if any , semi-annually on June 30 and
on December 31 for the half-year then ending . The
first commitment charge shall be due together with
the first interest payment .

3.4

The Borrower shall repay the Loan as follows:

3. 5

If repayments are not at Kreditanstalt ' s disposal when
due , Kreditanstalt shall be entitled to increase the
rate of interest on arrears to the discount rate of
Deutsche Bundesbank prevailing at the respective due
date plus 3 % p . a. for the period beginning with the
due date and ending at the date at which such repayments are credited . In the case of arrears of i nterest ,
Kreditanstalt shall be entitled to claim damages . Such
damages shall not exceed the amount arrived at if interest on arrears were charged at the discount rate
of Deutsche Bundesbank prevailing at the respective
due date plus 3 %.

3. 6

Commitment charge, interest , and additions for defau l t
pursuant to Article 3.5 , if any , shall be computed on
the basis of a 360- days year and of 30-days months.

3.7

Undisbursed or prematurely repaid loan amounts shal l
be set off against such redemption instalments as
shall fall due last under the repayment schedul e except
as otherwise agreed upon i n a part icular case .

3.8

Kreditanstalt shall be entitled to set off , at its
discretion , payments received against payments due
under this Agreement or under other loan agreements
concluded between Kreditanstalt and the Borrower .

3.9

Th e Borrower shall remit all payments i n no other
currency than Deutsche Mark to Kreditanstalt ' s account
No . 504 091 00 with Deutsche Bundesbank , Frankfurt am
Main, no set-off against such payments being permitted.

Article 4

Suspension of Disbursements and Premature Repayment
4 .1

The Borrower shall be entitled at any time
(a)

subject to his obligations under Article 7 ,
to forgo any loan amounts not yet withdrawn , and

(b)

to repay the Loan in whole or in part in advance
of maturity.

4.2

Kreditanstalt shall be entitled to suspend disburse ment only if
(a)

the Borrower shall have failed to perform his
obligation vis-a-vis Kreditanstalt to make pay ments when due;

(b)

obligations under this Agreement or under separate
agreements pertaining to this Agreement shall not
have been duly performed;

(c)

the Borrower shall not be able to prove the use
of the loan amounts for the purpose stipulated
in this Agreement or

(d)

any extraordinary situation shall have arisen which
shall preclude or seriously jeopardize the accomplishment of the purpose of the Loan, the execution
of the Project or the performance of the payment
obligations assumed by the Borrower under this
Agreement .

4.3

If any event specified in Article 4 . 2 (a) ,

(b) or (c)

shall have occurred and shall continue for a period to
be specified by Kreditanstalt which shall , however , not
be less than 30 days Kredi t anstal t shal l be entitled
(a )

in the case of events specified in Article 4.2 (a )
or 4.2 (b) to demand the immediate repayment of a l l
loan amounts outstanding as well as payment of all
interest accrued and all other incidental charges
or

(b)

in the case of the event specified in Article 4 . 2 (c)
to demand the immediate repayment of such l oan
amounts which the Borrower is unable to prove to
have been used for the purpose stipulated in this
Agreement.

Article 5

Costs and Public Charges
5.1

The Borrower shall make all payments to be made under
this Agreement without any deduction for taxes , other
public charges or other costs and shall pay any trans fer and conversion costs arising in connection with
the disbursement of the Loan .

5 .2

The Borrower shall bear all taxes and other public
charges accruing in connection with the conclusion
and implementation of this Agreement outside the
German part of the area of validity of the Government Agreements.

Article 6

Validity of the Loan Agreement and Power of Attorney
6.1

In due course prior to the first disbursement the
Borrower shall furnish Kreditanstalt with evidence
satisfactory to Kreditanstalt proving that the
Borrower has met all requirements under his constitutional and other laws for the valid assumption of
all his obligations under this Agreement.

6.2

The Minister of Finance of the Republic of Indonesia
and such persons as designated by him to Kreditanstalt
and authorized by specimen signature authenticated by
him shall represent the Borrower in the implementation
of this Agreement . In the event that a change in the
representation shall occur the person authorized to
represent the Borrower shall notify Kreditanstalt of
the newly designated representative and of his address.
The power of attorney shall expire only when its ex press revocation by the representative authorized at
the time shall have been received by Kreditanstalt.

6 .3

Amendments of , and additions to , this Agreement as
well as any notice or statement which shall be given
or made under this Agreement by the contracting parties shall be in writing . Any such notice or statement shall be deemed to have been received as soon
as it shall have been delivered at the following
address of the contracting party or at such other
address as notified to the other contracting party :

Article 7
The Project
7 .1

The Borrower shall
(a)

prepare and carry out the Project by the Directorate
of Sanitary Engineering within the Directorate Ge neral of Housing , Building , Planning and Urban De velopment (Cipta Karya) of the Ministry of Public
Works, and operate and maintain the Project by a
water enterprise still to be founded in conformity
with sound financia l and engineering practices as
well as substantially in accordance with the plans
and data submitted to Kreditanstalt;

(b)

assign the preparation and supervision of con struction of the Project to independent qualified Ge rman consulting engineers and the Project's
execution to qual ified firms upon prior international public tender ; the invitation to tender
for the civil works can be limited to firms do micil e d in the Republic of Indonesia;

(c)

secure the full financing of the Project and ,
upon request of Kreditanstalt , furnish it with
evidence prov ing that all costs not to be paid
from the Loan are covered;

(d)

maintain , or cause to be maintained, books and
records showing all costs of goods and services
required for the Project and identifying the
goods and services financed from the Loan;

(e)

enable the representatives of Kreditanstalt at
any time to inspect such books and records as
well as any other documentation relevant to the
execution of the Project and to visit the Project and all the installations related thereto ;

(f)

supply any information and reports on the Project
and its further progress which Kreditanstalt may
request;

(g)

of his own accord promptl y inform Kred itanstalt of
any circumstances seriously affecting or jeopardizing the accomplishment of the purpose of this
Agreement , above all the execution or operation
of the Project, and

(h)

take care that the German consulting engineers
for the supervision will be engaged with the surveillance of the system for about 2 years after
its completion.

7.2

The Borrower and Kreditanstalt shall lay down the details pertaining to Artic le 7 . 1 in a separate agree ment.

7.3

Regarding sea and air transport of the goods to be
financed from the Loan the provisions of the Government Agreements , which are known to the Borrower ,
shal l apply.

Article 8

Miscellaneous Provisions
8 .1

The invalidity of one provision of this Agreement
shall not affect the validity of the other provisions.
'Any gap resulting in consequence shall be fi lled by a
provision consistent with the purpose of this Agreement .

8 .2

The Borrower shall not assign or transfer , pledge or
mortgage any rights under this Agreement .

8.3

This Agreement shall be governed by the law of the
Federal Republic of Germany . The place of performance
shall be Frankfurt am Main . In case of doubt as to the
interpretation of this Agreement , the German text
shall be controlling .

Arbitration Clause

All disputes arising from the foregoing Agreement , including
disputes on the validity of such Agreement and this Arbitration Clause, which cannot be settled amicably between the
contracting parties shall be submitted to arbitration as
agreed upon in the Arbitration Agreement pertaining to the
Loan Agreement dated May 24, 1978 (6 Custom Boats). If and
when all the payment obligations under the foregoing Agree ment shall have been performed , such Arbitration Agreement
shall forthwith terminate .
