MEMORANDUM OF UNDERSTANDING
BETWEEN
THE GOVERNMENT OF THE REPUBLIC OF INDONESIA
AND
THE GOVERNMENT OF THE REPUBLIC OF TUNISIA
ON
CULTURAL COOPERATION

The Government of the Republic of Indonesia and the Government of the
Republic of Tunisia, hereinafter referred to as the "Parties";
DESIRING to strengthen the friendly relations between the two Countries in the
field of culture, both tangible and intangible;
CONSIDERING the need to develop and foster cultural relations;
RECOGNIZING the importance of establishing a mechanism, that contributes
to the strengthening of their cultural cooperation and the need to carry out
specific programs of collaboration and exchange in the field of art and culture
for the mutual benefit of both countries;
PURSUANT to the prevailing laws and regulations in both Countries;
HAVE AGREED as to follows:

ARTICLE 1

OBJECTIVES

Promote cultural touristic exchange activities;
Promote human resources development for culture and arts;
Develop cooperation links in areas of preservation of historic, artistic, and
cultural heritages;
Promote the enrichment of their experience in the field of culture.

ARTICLE 2
AREAS OF COOPERATION


1. The Parties shall encourage organizations involved in the field of culture to
establish links and programs and to develop further cooperation and joint
projects contributing to the strengthening of tangible and intangible cultural
relations between both Parties;
2. The activities under this Memorandum of Understanding shall include, but
not be limited to the following:
a.
Research and Development;
b.
Human Resources Development;
c.
Cultural Promotion;
d.
Cultural Heritage;
e.
Cultural Dialogue;
f.
Preservation and Management of Cultural Heritage;
g.
Exchange of Information;

h.
Museum;
i.
Film.

ARTICLE 3
EXECUTING AUTHORITIES

The Executing Authorities responsible for the implementation of this
Memorandum of Understanding are:
a. The Ministry of Culture and Tourism, on behalf of the Government of the
Republic of Indonesia;
b. The Ministry of Culture and Protection of Heritage, on behalf of the
Government of the Republic of Tunisia.

ARTICLE4
IMPLEMENTATION

l. The Parties shall agree to implement this Memorandum of Understanding
through arrangements, programs, and other projects.

2. Financial matters pertaining to the implementation of this Memorandum of
Understanding shall be discussed by the Parties.

ARTICLE 5
JOINT WORKING GROUP

1. The Parties agree to establish a joint working group to facilitate the
implementation of this Memorandum of Understanding.
2. The joint working group shall formulate the procedures, action plans and
recommend programs of cooperation towards achieving its aims through
the executing authorities as mentioned in Article 3.
3. The joint working group shall review the implementation of this
Memorandum of Understanding regularly and submit its report to the
Executing Authorities.
4. The joint working group shall meet annually alternately in Indonesia or in
Tunisia. In case the meeting could not be held, documents shall be
exchanged in lieu of such meeting.
ARTICLE 6

INTELLECTUAL PROPERTY RIGHTS

1.

The Parties agree that any intellectual property arising under the
implementation of this Memorandum of Understanding will be jointly
owned and:

Each Party shall be allowed to use such intellectual property for the
purpose of maintaining, adapting and improving the relevant
property;
In the event the relevant intellectual property is used by a Party
and/or institution on behalf of the said Party for commercial

purposes, the other Party shall be entitled to obtain equitable portion
of loyalty;
Each Party shall be liable for any claim made by any third party on
the ownership and legality of the use of the intellectual property
rights which is brought in by the aforementioned Party for the
implementation of the cooperation activities under this Memorandum
of Understanding.

The Parties shall assure each other that any intellectual property brought
by a Party into the territory of the other Party for the implementation of any
project, arrangement or activities under this Memorandum of
Understanding is not a result of any infringement of third party's property
rights.

If either Party wishes to disclose confidential activities under this
Memorandum of Understanding to any third party, the disclosing Party

must obtain prior consent from the other Party before any disclosure can
be made.

Whenever either Party requires the cooperation of a third party for any
commercial undertaking as a result from intellectual property covered by
this Memorandum of Understanding, this Party will give first preference of
the cooperation to the other Party under this Memorandum of
Understanding, which will be waived, if the other Party is unable to
participate in a mutually beneficial manner.

ARTICLE 7
SETTLEMENT OF DISPUTES

Any disputes or differences arising out from the interpretation or
implementation of this Memorandum of Understanding shall be settled
amicably through consultations and/or negotiations between the Parties.

ARTICLE 8

AMENDMENT

Either Party may request in writing an amendment or modification of
Memorandum of Understanding. Any amendment or modification which
been agreed upon by both Parties, shall constitute an integral part of
Memorandum of Understanding and shall come into effect according to
same procedures stipulated in the first paragraph of Article 9 of
Memorandum of Understanding.

ARTICLE 9
ENTRY INTO FORCE, DURATION AND TERMINATION

1. This Memorandum of Understanding shall enter into force on the date of the
receipt of the second notification through which one of the two Parties

informs the other Party of the completion of its internal procedures;
2. This Memorandum of Understanding shall be in force for a period of 5 (five)
years and shall be renewed through diplomatic channels for a subsequent
period of 5 (five) years thereafter, unless either Party terminates it by giving
a written notification through diplomatic channels 6 (six) months prior to
such termination

3. The termination of this Memorandum of Understanding shall not affect the
validity and duration of any arrangement, plans and programs made under
this Memorandum of Understanding until the completion of such
arrangement, plans, and programs, unless otherwise agreed by the Parties.
IN WITNESS WHEREOF, the undersigned, have signed this Memorandum of
Understanding.

DONE in duplicate, at Bali on 23 November 2006, in the Indonesian, Arabic
and English languages, all texts being equally authentic. In case of any
divergence of interpretation of this Memorandum of Understanding, the English
text shall prevail.
