MEMORANDUM OF UNDERSTANDING
BETWEEN
THE GOVERNMENT OF THE REPUBLIC OF INDONESIA
AND
THE GOVERNMENT OF THE KINGDOM OF THAILAND
ON
COUNTER TRADE ARRANGEMENT
The Government of the Republic of Indonesia and the Government of the Kingdom of
Thailand, hereinafter referred to as the Parties.
Sharing the same wish to develop and expand their respective industrial and
agroindustrial sectors.
Desiring to enhance trade relations between the two countries for the mutual benefit
of their economics and people,
Have agreed as follows :
Article 1
Counter Trade Arrangements
The Parties shall enter into the counter-trade arrangements whereby each Party shall
purchase each other s commodities and products in the equivalent value.

Article 2
Purchase of Indonesian Products
The Government of the Kingdom of Thailand undertakes to purchase from the
Government of the Republic of Indonesia, CN-235 Aircraft(s) including the necessary
ground support equipment, initial spare parts and training package.
Article 3
Purchase of Thai Products
The Government of the Republic of Indonesia undertakes to purchase from the
Government of the Kingdom of Thailand, several types of rice, sugar and sugar
plant(s).
Article 4
Method of Implementation
a.
The implementation of the above arrangements shall be carried out directly
between the two countries by their Government or designated private sectors.
b.
The Parties agree to hold detailed negotiations at the earliest convenience with
the view to conclude the purchase contracts for the commodities or products
under the Counter Trade Arrangement.
c.
The purchase contracts shall be signed concurrently and the respective delivery
of the commodities or products contained therein shall be carried out within the
specified timeframe.
d.
The Parties shall set up an escrow account as a method of payments.
e.
The commodities and products purchased under the counter trade arrangement
shall not be re-exported to the third countries.
f.
In carrying out this cooperative endeavor in the counter trade arrangement,
production figures will be taken into consideration. In case of insufficiency or
over production, consultation to find a common solution to the mutual
satisfaction will be undertaken in an amicable manner in the spirit of friendship.
Article 5
Future Arrangement
The Parties agree on the inclusion of other commodities and products for future
counter trade arrangements.
Article 6
Dispute Settlement
Any dispute arising from the interpretation or implementation of this MOU shall be
settled amicably through consultation between the parties.
Article 7
Final Provision
This MOU shall enter into force on the date of signature and shall remain
enforce until terminated by either Party giving written notice six months in advance.
The termination of this MOU, however, shall not affect the validity of the
counter trade arrangements and purchase contracts concluded under the present MOU
prior to its termination.
Done in duplicate in English language at Jakarta on Thursday twenty-fifth day
of April 1 996.
In Witness whereof, the undersigned being duly authorized by their respective
Governments have signed this MOU.

PURCHASE AGREEMENT
The Government of the Republic of Indonesia as represented by Mr. Beddu Amang,
Chairman of the National Logistics Agency (BU LOG) and Mr. Hari Laksono, General
Manager of PT lndustri Pesawat Terbang Nusantara,
and
The Government of the Kingdom of Thailand, as represented by Mr. Sommai Surakul,
Permanent Secretary, Ministry of Agriculture and Cooperatives and Mr. Pong
Chewananth, Director, Marketing Organization for Farmers,
hereinafter referred to as "the Parties".
Desiring to implement the MOU between the Government of the Republic of
Indonesia and the Government of the Kingdom of Thailand on Counter Trade
Arrangement signed on 25 April 1996 in Jakarta (hereinafter referred as "MOU"), and
Whereas, Article 2 and 3 of the said MOU provide that the Government of the
Kingdom of Thailand undertake to purchase from the Government of the Republic of
Indonesia, CN-235 aircraft and the Government of the Republic of Indonesia undertake
to purchase from the Government of the Kingdom of Thailand, several types of rice.
Have agreed as follows:
1.
The Government of the Kingdom of Thailand agreed to purchase 2 (two) units
of CN-235 aircraft from the Government of the Republic of Indonesia and the
Government of the Republic of Indonesia agreed to purchase from the
Government of the Kingdom of Thailand approximately an amount of 110,000
(one hundred and ten thousand) tons of white rice and glutinous rice.
2.
The Parties agreed to purchase from each other the above mentioned
commodities and products at the equivalent value, the details of which shall be
specified in the purchase contract to be negotiated by the Parties.
3.
The Parties agreed to hold detailed negotiations within one month after the
signing of this purchase agreement with the view to conclude the purchase
contracts of the said commodities and products not later than December 1 996.
4.
This purchase agreement shall enter into force on the date of signature.
In Witness whereof, the undersigned being duly authorized by their respective
Governments have signed this Purchase Agreement at Jakarta on this Thursday, the
twenty-fifth day of April 1 996.
