PENDIRIAN KANTOR PERWAKILAN
KELOMPOK BANK PEMBANGUNAN ISLAM
DI INDONESIA
Pemerintah Republik !ndonesia (selanjutnya disebut sebagai "Pemerintah") dan
Kelompok Bank Pembangunan Islam (selanjutnya disebut sebagai "Kelompok
Bank"), masing-masing disebut sebagai "PIHAK" dan secara bersama-sama disebut
sebagai "PARA PIHAK".

MEMPERHATIKAN ketentuan dalam Persetujuan-persetujuan Pendirian Bank
Pembangunan Islam (lsDB), Piagam lnstitut Penelitian dan Pelatihan Islam (I RTI),
Korporasi1Islam untuk Asuransi lnvestasi dan Kredit Ekspor (ICIEC) , Korporasi Islam
untuk Pembangunan Sektor Swasta (ICD), Korporasi Islam lnternasional untuk
Pembiayaan Perdagangan (ITFC).

MEMPERTIMBANGKAN bahwa pada tanggal 23/12/1432 H (20/11/2011 M) , Dewan

Direktur Eksekutif Bank Pembangunan Islam (lsDB), dalam pertemuan yang ke-279,
telah menyetujui proposal pendirian Kantor Per\vakilan di Indonesia demi
meningkatkan efisiensi berbagai aktivitas Kelompok Bank di Indonesia.

adanya kesediaan Pamerintah untuk memiliki Kantor Pervvakilan
Kelompo k Bank oi Indonesia.

BERMAKSUD untuk mengatur segala hal dalam Persetujuan ini, terkait dengan
upaya pendirian dan pelaksanaan fungsi dari Kantor Perwakilan .

PASALI
Definisi

Dalam Persetujuan ini, apabila tidak dipersyaratkan lain, istilah-istilah berikut
memiliki arti sebagai berikut:

1. "Arsip Kantor Perwakilan" adalah semua rekaman, korespondensi , dokumen,
manuskrip, gambar diam dan bergerak serta rekaman film, program komputer
dan material tertulis, pita video dan cakram, termasuk pita dan cakram yang
berisi data yang dimiliki atau dikuasai oleh atau atas Kantor Perwakilan.
2. "Persetujuan Bank" adalah Persetujuan Pendirian Bank Pembangunan Islam .
3. "Kelompok Bank" adalah Kelompok Bank Pembangunan Islam yang terdiri dari
Bank Pembangunan Islam (lsDB), lnstitut Penelitian dan Pelatihan Islam (IRTI),
Korporasi Islam untuk Asuransi !nvestasi dan Kredit Ekspor (ICIEC), Korporasi
Islam untuk Pembangunan Sektor Swasta (ICD), dan Korporasi Islam
lnternasional untuk Pembiayaan Perdagangan (ITFC).
4. "Kantor Perwakilan" adalah Kantor Kelompok Bank di Republik Indonesia.
5. 'Tanggungan" adalah tanggungan staf pejabat dari Kantor Perwakilan, dan
termasuk orang tua mereka, pasangan, anak-anak dan merujuk pada
persetujuan Pemerint2h termasuk tiap orang yang tergantung dari personil
tersebut dalam hal dukungan keuangan.
6. "Direktur Eksekutif' adaiah Direktur Eksekutif Bank Pembangunan Islam (lsDB).

7. "Kepala Perwakilan" adalah pejabat eksekutif utama di Kantor Perwakilan,
ditunjuk oleh Kelompok Bank sebagai Kepala Perwakilan, dan diberitahukan
kepada Pemerintah dari waktu ke waktu .
8. "Wakil Kepala Perwakilan " adalah pejabat yang ditunjuk Kelompok Bank sebagai
Wakil Kepala Perwakilan dari Kantor Perwakilan dan diberitahukan kepada
Pemerintah dari waktu ke waktu .
9. "Hukum dan Pernturan Perundang-undangan Republik Indonesia" adalah
termasuk Undang-Undang Dasar Negara Republik Indonesia dan undangundang keputusan, dan aturan lainnya yang dikeluarkan oleh atau di bawah
otoritas Pemerintah atau otoritas berwenang di Republik Indonesia.

10. "Staf Pendukung" adalah orang-orang yang dipekerjakan sebagai staf rumah
tangga dari pejabat Kantor Perwakilan atau juru mudi, juru bersih, dan pekerja
lain yang dibayar dengan tarif per jam di Kantor Perwakilan.

11. " Pejabat Kantor Perwakilan" adalah Kepala Perwakilan, Wakil Kepala
Perwakilan , pejabat lainnya, tenaga ahli, dan semua anggota staf yang
dipef{erjakan oleh Kelompok Bank sesuai dengan ketentuan Persetujuan

Kelompok Bank, Peraturan Kepegawaian Kelompok Bank, dan peraturan yang
berlaku lainnya, serta semua personil lainnya yang dipekerjakan dengan
Ketentuan Kantor Perwakilan kecuali orang-orang yang dipekerjakan dengan
tarif per jam .
12. "Tempat Kantor Perwakilan" adalah bangunan-bangunan dan bagian dari
bangunan, serta lahan tambahan, yang digunakan untuk tujuan resmi dari Kantor
Perwakilan, termasuk kediaman Kepala Perwakilan .
13. "Presiden" adalah Presiden Bank Pembangunan Islam (lsDB) dan Ketua
Kelompok Bank Pembangunan Islam .

14. "Properti dan Aset Kantor Perwakilan" adalah semua properti dan aset yang
disebut dalam Persetujuan Kelompok Bank dan dimiliki oleh Kelompok Bank
dalam Kantor Perwakilan.
15. "Rekrutmen dengan Ketentuan Kantor Per"vakilan" adalah rekrutmen yang dibuat
oleh dan untuk urusan ketenagakerjaan Kantor Perwakilan di bawah pengaturan
ya ng terpisah yang ditujukan untuk ketenagakerjaan atas personil yang berada di
luar Kantor Pusat Kelompok Bank.

PASAL II
Kekebalan, Keistimewaan, dan Pembebasan untuk Kelompok Bank

1. Bank Pembangunan Islam memperoleh keistimewaan, pembebasan, serta
kekebalan di Republik Indonesia, sebagaimana diatur dalam Bab VII dari
dokumen Persetujuan Pendirian Bank Pembangunan Islam (lsDB).

2. Entitas-entitas pada Kelompok Bank yang

Pendiriannnya telah diratifikasi memperoleh keistimewaan, pembebasan, dan
kekebalan sebagaimana diatur pada dokumen Persetujuan Pendirian masingmasing.

PASAL Ill
Fungsi Kantor Perwakilan
1. Fungsi utama dari saluran sektor publik (lsDB) pada Kantor Perwakilan
me'liputi manajemen dan administrasi pengoperasian proyek termasuk
pemantauan pelaksanaan proyek, penyelesaian pembayaran dan pelunasan
tunggakan, penyiapan dokumen pengadaan, pelaporan kemajuan proyek

setiap triwulan, laporan audit tahunan, dan laporan penyelesaian proyek.
Kantor Perwakilan juga akan menyediakan dukungan dalam hal pendekatan
partisipatif dalam rangka penyiapan rancangan proyek, pengumpulan
informasi terkait dengan permasalahan ekonomi, formulasi dan implementasi
dari Strategi Kemitraan Negara Anggota, kegiatan program negara yang
bersangkutan, serta mengawali dialog dengan pemangku kepentingan terkait
yang beroperasi di Indonesia.

Fungsi utama dari saluran sektor swasta (lsDB, ICD, ICIEC, dan ITFC) pada
Kantor Perwakilan akan meliputi pengembangan pengetahuan lokal dengan
cara membuat jaringan dengan lembaga-lembaga keuangan dan para
pemangku kepentingan lokal, menyediakan jasa pendampingan bagi klien,

pemasaran produk dan jasa serta pengembangan kesepakatan-kesepakatan
bisnis sektor swasta, pemantauan pengoperasiannya, dan menjadi wakil pada
Dewan Direksi pada perusahaan yang dijadikan sebagai target investasi.

3. Di samping fungsi-fungsi yang disebutkan di atas, Kantor Perwakilan akan
mewakili Kelompok Bank di Republik Indonesia.
4. Berdasarkan konsultasi dengan Pemerintah, Kelompok Bank dan Kantor
Perwakilan yang dimilikinya dapat menja!ankan fungsi dan kegiatan lainnya
dalam rangka mencapai tujuan yang sesuai dengan mandat yang dimiliki oleh
Kelompok Bank.
PASAL IV
Tempat Kantor Perwakilan
1. Pemerintah dapat memfasilitasi Kelompok Bank dengan sebidang tanah
untuk pembangunan gedung Kantor Perwakilan berdasarkan perjanjian
antara Pemerintah dan Kelompok Bank.

2. Sesuai dengan syarat dan ketentuan yang ditetapkan oleh Pemerintah
Indonesia, Kantor Perwakilan dapat mendirikan kantor cabang di lokasi lain di
Republik Indonesia.

3. Kelompok Bank wajib menunjuk Kepala Kantor Perwakilan, dan wajib
didukung dengan personel lain yang ditunjuk atau ditugaskan oleh Kelompok

Bank. Penunjukan Kepala Kantor Perwakilan tunduk pada persetujuan
Pemerintah.
4. Ka ntor Perwakilan berhak untuk menampilkan bendera dan
Kelompok Bank di kantor dan kediarnan Kepala Kantor Perwakilan.

PASAL V
Tempat Kantor Perwakilan Tidak Dapat Diganggu Gugat
1. Tempat Kantor Perwakilan, termasuk kediaman Kepala Perwakilan dan setiap
kantor proyek lainnya , di manapun berada di Republik Indonesia, tidak dapat
diganggu gugat dan harus berada di bawah kendali eksklusif dan
kewenangan Kelompok Bank.

2. Semua arsip dari Kantor Perwakilan tidak dapat diganggu gugat.

3. Kelompok Bank memiliki kewenangan membuat peraturan operasional Kantor
Perwakilan untuk secara penuh dan independen melaksanakan kegiatan dan
kinerja sesuai dengan fungsinya, termasuk perekrutan, seleksi dan
pengangkatan pejabat dan pegawai Kantor Perwakilan.
4. Kantor Perwakilan wajib mencegah Tempatnya untuk dijadikan tempat
pengungsian, untuk menghindari penangkapan, atau proses hukum
berdasarkan undang-undang dan peraturan yang berlaku di negara Republik
Indonesia. Meskipun Pasa l XIII 2yat 4 mengatur tentang penanggalan
kekebalan hukum, ketentuan tersebut tidak akan mempengaruhi kekebalan
hukum yang diberikan kepada pejabat-pejabat di bawah perjanjian ini.

PASAL VI
Perlindungan terhadap Kantor Perwakilan
1. Sesuai dengan hukum dan peraturan perundang-undangan, Pemerintah
harus mengambil semua langkah yang tepat untuk melindungi tempat Kantor
Perwakilan, termasuk tempat kediaman dari Kepala Perwakilan Kantor
Perwakilan, atau dalam hal kekosongan Kepala Pervvakilan dan kediaman
pejabat yang ditunjuk untuk bertindak atas namanya, terhadap setiap
gangguan atau kerusakan di lingkungan Kantor Perwakilan dan untuk

mencegah setiap gangguan hukum dan ketertiban di sekitar Kantor
Perwakilan tersebut. Pemerintah wajib, apabila diperlukan, memastikan
kehadiran polisi yang diperlukan untuk melindungi lingkungan Kantor
Perwakilan dan mengambil tindakan yang tepat untuk memulihkan ketertiban
di sekitar lingkungan tersebut atau menghentikan pelaku jika diperlukan.

2. Kantor Perwakilan wajib melaksanakan pengawasan dan pengendalia n
keamanan atas Tempatnya .
PASAL VII
Pembebasan Pajak
1. a. Entitas dari Kelompok Bank, yang Perjanjian Pendiriannya telah diratifikasi
oleh Pemerintah, akan dikecualikan dan/atau dibebaskan dari pajak
Jangsung maupun tidak langsung, kepabeanan, dan dari segala bentuk

pajak yang dipungut oleh pihak ketiga untuk aset-asetnya, properti,
pendapatan, serta operasional, transaksi dan kegiatan.

b. Kegiatan Kantor Perwakilan, yang dilakukan oleh setiap entitas dari
Kelompok Bank yang Perjanjian Pendiriannya telah diratifikasi oleh
Pemerintah Republik Indonesia, akan dikecualikan dan/atau dibebaskan
dari pajak.
c. Gaji dan pembayaran lainnya yang diberikan oleh Kelompok Bank kepada
semua pejabat internasional yang bekerja dan ditugaskan oleh Kantor
Pusat Kelompok Bank untuk Kantor Perwakilan sehubungan atas jasa
yang diberikan kepada entitas dari Kelompok Bank, yang Perjanjian
Pendiriannya telah diratifikasi oleh Pemerintah Republik Indonesia akan
dikecualikan dan/atau dibebaskan dari pajak penghasilan.
d. Pung utan kepabeanan atas barang-barang pribadi dan rum ah tangga dari
pejabat Kantor Perwakilan yang diimpor ke Indonesia dapat dibebaskan
dalam waktu enam (6) bulan setelah kedatangan pejabat yang
bersangkutan di Indonesia, asalkan barang tersebut harus diekspor
kembali dari Indonesia pada waktu keberangkatan atau dalam jangka
waktu sesudahnya sebagaimana yang disepakati oleh Pemerintah atau
dijual di dalam wilayah Indonesia baik untuk sebuah organisasi
internasional, misi diplomatik atau atas orang dengan status pengecualian,
atau kepada pihak ketiga atas pembayaran tugas yang relevan dan pajak
yang berlaku pad a saat d ijual kembali.
e. Dengan tetap menghormati ketentuan Persetujuan ini dan Persetujuan
Bank,
ketentuan
tentang
pembebasan
dan/atau
penghapusan
sebagaimana dimaksud pada butir (a), (b), (c) dan (d) di atas harus
dilakukan sesuai dengan peraturan perundang-undangan perpajakan
Republik Indonesia.
2. Entitas Kelompok Bank dan Kantor Perwakilan tidak akan meminta pembebasan
pungutan atas pelayanan umum yang disediakan di mana pungutan tersebut

bersifat non-diskriminatif dan umumnya dibayar oleh organisasi internasional
lainnya di Republik Indonesia.
PASAL VIII
La ya nan
1. Pemerintah akan sepenuhnya berusaha untuk membantu Kantor Perwakilan
dalam memperoleh dan menyediakan layanan publik yang diperlukan. Biayabiaya dalam rangka penyediaan layanan tersebut akan ditanggung oleh
Kantor Perwakilan.

2. Dalam hal terjadinya gangguan atau ancaman gangguan pemberian layanan,
otoritas yang berwenang wajb mempertimbangkan kebutuhan Kantor
Perwakilan terhdap layanan tersebut setara dengan organisasi internasional
lainnya dan wajib mengambil tindakan yang diperlukan untuk memastikan
bahwa kegiatan Kantor Perwakilan tidak terganggu.

PASAL IX
Fasilitas Keuangan
Kantor Perwakilan berhak untuk membeli mata uang nasional Republik
Indonesia, sebagai penukar mata uang yang dapat dikonversi yang dimiliki,
sejumlah yang diperlukan oleh Kantor Perwakilan untuk memenuhi anggaran
belanja/pengeluaran di Indonesia dari waktu ke waktu.

Kantor Perwakilan dapat membeli, menyimpan dan mencairkan/menjual mata
uang asing, surat berharga, surat wesel, surat berharga yang dapat dialihkan,
dan mentransfernya dari, menuju, dan di dalam wilayah Republik Indonesia,
serta membuka, memelihara dan mengelola rekening dalam bentuk mata
uang nasional maupun mata uang lainnya.

Pejabat Kantor Perwakilan akan mendapatkan kebebasan untuk mengelola
rekening mata uang lcka l dan asing serta memiliki surat berharga asing di
wilayah Republik Indonesia.

4. Selama bekerja pada Kantor Perwakilan dan pada saat pemutusan hubungan
dan.a dalam bentuk mata uang asing
kerja, Pejabat berhak untuk ｭ･ｮｴｲ｡ｾｳｦｩ＠
keluar dari wilayah Republik Indonesia, dengan ketentuan bahwa Pejabat
yang bersangkutan secara hukum dapat menunjukkan kepemilikan yang sah
atas dana tersebut.

Dengan tetap menghormati ketentuan Persetujuan ini dan Persetujuan Bank,
segala bentuk kegiatan yang dilakukan oleh Kantor Perwakilan dan Pejabat

sebagaimana dimaksud pad a ayat (1 ), (2), (3), (4) , harus sesuai dengan
peraturan perundang-undangan yang berlaku di wilayah Republik Indonesia.

PASAL X
Kebebasan Mengadakan Pertemuan dan Diskusi
Kantor Perwakilan berhak untuk menye!enggarakan pertemuan di Tempat Kantor
Perwakilan, dan berdasarkan konsultasi dengan Pemerintah, di lokasi lainnya di
wilayah Republik Indonesia . Penyelenggaraan
pertemuan tersebut akan
diberitahukan kepada Pemerintah dan Pemerintah akan menjamin kebebasan
diskusi dan pengamb:lan keputusan serta mengambil tindakan yang diperlukan
untuk memastikan keamanan peserta pertemuan.

PASAL XI
Komunikasi
Pemerintah akan memperlakukan komunikasi resmi yang diakukan oleh
Kantor Pervvakilan setara dengan perlakuan Pemerintah terhadap organisasi
internasional lainnya dalam hal prioritas, tarif dan pajak atas surat, kabel ,
telegram, telepon, faksimile, radiogram dan bentuk komunikasi lainnya.

Semua komunikasi dari dan kepada Kelompok Bank dan Kantor Perwakilan
melalui cara atau bentuk apapun akan bebas dari segala bentuk penyadapan
atau gangguan. Ketentuan dari Pasal ini berlaku saat Kantor Perwakilan
menggunakan suatu penyedia jasa komunikasi.

Kantor Perwakilan berhak menggunakan kode, dan untuk meng1nm serta
menerima korespondensi resmi d3n komunikasi lainnya
di Republik
Indonesia baik melalui kurir atau kantong tersegel, yang akan menerima
kekebalan dan keistimewaan yang setara dengan perlakuan pada organisasi
internasional lainnya.

Kantor Perwakilan, dengan konsultasi bersama Pemerintah, dapat memasang
dan mengoperasikan fasili tas telekomunikasi dengan teknologi terkini serta
fasilitas komunikasi dan transmisi lainnya sebagaimana diperlukan untuk
memfasilitasi komunikasi dengan Kantor Perwakilan, baik dari dalam maupun
luar Indonesia .

PASAL XII
Transit Perjalanan dan Tempat Tinggal
1. Sesuai dengan hukum dan peraturan perundang-undangan yang berlaku,
Pemerintah akan memfasilitasi kedatangan atau keberangkatan dari Republik
Indonesia, ketika bepergian ke atau dari Kantor Perwakilan, terhadap
seseorang yang melaksana kan tugas kedinasan di Kantor Perwakilan atau
yan g diundang untuk melaksanakan tugas kedinasan di Kantor Perwakilan.

Secara khusus, Pemerintah akan mengambil semua langkah yang diperlukan
untuk memfasilitasi kedatangan , tempat tinggal, dan keberangkatan dari
Indonesia, dan kebebasan melakukan perjalanan di Indonesia , dari orangorang berikut yang masuk ke Indonesia dalam rangka melaksanakan tugas
resmi :
(i) Perwakilan negara anggota , anggota dewan direksi eksekutif, anggota
dewan direksi lsDB, ICIEC, ICD, dan ITFC, perwakilan lain dari
anggota kelompok bank yang berpartisipasi dalam kegiatan Kelornpok
Bank, Presiden, Wakil- Presiden lsDB, Direktur Jenderal IPPI , Direktur
Utama ICIEC, ICD, Direktur Utama dan Wakil Direktur Utama ITFC,
pejabat dari Kanter Perwakilan dan Kelompok Bank dan tanggungan
mereka;
(ii) Pegawai , tenaga ahli dan orang lain yang menjalankan tugas atas
nama Kantor Perwakilan atau Kelompok Bank, dan
(iii) Orang-orang lain yang secara resmi diundang oleh Kelompok Bank,
atau Kantor Perwakilan, sehubungan dengan kegiatan resmi Kelompok
Bank atau Kantor Perwakilan di Indonesia. Kelompok Bank atau Kantor
Perwakilan wajib menyampaikan nama-nama orang-orang tersebut di
atas kepada instansi terkait di Indonesia yang memiliki kewenangan
sebelum dilakukannya kunjungan tersebut.

2. Pejabat dari Kantor Perwakilan beserta tanggungannya wajib memperoleh
ｾ＠ dari Pervvakilan Republik Indonesia di luar negeri
visa masuk yang ｳ･ｵ｡
sebelum kedatangannya ke Indonesia.
3. Hak-hak tersebut akan di jamin o!eh Pemerintah kepada orang-orang yang
sedang dalam transit atau tinggal sesuai dengan fungsi resmi atau misi
mereka, tanpa mengganggu keamanan nasional Republik Indonesia dan
sesuai dengan peraturan perundang-undangan Republik Indonesia.

4. Kantor Perwakilan dan semua orang yang menikmati keistimewaan dan
kekebalan dan bertanggung jawab untuk mematuhi hukum dan peraturan
perundang-undangan yang ada di Indonesia, dengan tetap menghormati
keistimewaan dan kekebalan mereka yang diatur dalam Persetujuan ini.
5. Sesuai dengan hukum dan peratura_n perundang-undangan yang berlaku di
Indonesia, visa untuk orang-orang yang dimaksud dalam ayat 1 pasal ini akan
diterbitkan secara tepat waktu dan tidak dipungut biaya.

PASAL XIII
Keistimewaan dan Kekebalan
Pejabat Kantor Perwakilan , sepanjang mereka bukan warga negara Indonesia,
akan menikmati keistimewaan dan kekebalan di wilayah Republik Indonesia
ya itu sebagai berikut;
a. Kekebalan dari proses hukum yang berkaitan dengan tugas kedinasan yang
dilakukan
b. Kekebalan dari penyitaan

2. Fasilitas yang sama untuk pejabat dan tanggungan mereka untuk meninggalkan
negara Republik Indonesia, dan perlindungan yang sama oleh otoritas yang
berwenang di Republik Indonesia dalam keadaan darurat nasional sebagaimana
yang diberikan kepada organisasi internasional lainnya.
3. Kepala Kantor Perwakilan di wilayah Republik Indonesia berhak memperoleh,

kekebaian, keistimewaan dan pembebasan yang sama sebagaimana yang
dibe rikan oleh pemerintah Republik Indonesia kepada kepala kantor Bank
Pembangunan Asia di Republik Indonesia, sepanjang status, hak, kekebalan,
keistimewaan dan pembebasan dimaksud tidak mengurangi atau membatalkan
status, hak, kekebalan, keistimewaan dan pembebasan sesuai dengan
Persetujuan Bank.
4. Kantor Perwakilan wajib memberikan upaya terbaik untuk memastikan bahwa
keistimewaan, kekebalan dan fasilitas yang disepakati dalam Perjanjian ini tidak
disa lahgunakan. Apabila Pemerintah menganggap bahwa telah terj adi
penyalahgunaan, maka konsultasi wajib dilakukan antara Kantor Perwakilan dan
Pemerintah untuk mengambi.I ti ndakan yang tepat.

5. Keistimewaan, kekebalan , dan fasilitas-fasilitas yang diberikan dalam
Persetujuan ini dijamin demi kepentingan fungsi Kantor Perwakilan yang efektif
dan bukan untuk kepentingan pribadi individu tertentu. Kelompok Bank dengan
kebijakannya bisa menghapuskan salah satu dari keistimewaan dan kekebalan
yang disepakati melalui Perjanjian i11i, sesuai syarat yang ditentukannya.
PASAL XIV
Penyelesaian Sengketa
1. Setiap sengketa yang muncul antara Pemerintah dengan Kelompok Bank akibat
pelaksanaan atau penafsiran dari Persetujuan ini, atau dari persetujuan
tambahan lainnya atau d3ri instrumen lainnya yang dibuat . berdasarkan
Persetujuan ini , jika tidak dapat diselesaikan secara damai melalui konsultasi

melalui kesepakatan antara kedua PIHAK, atau jika tidak dicapai kesepakatan
maka arbiter yang ketiga akan ditentukan oleh Sekretaris Jenderal Organisasi
Kerja Sama Islam .

2. Keputusan pengadilan arbitrase akan bersifat final dan mengikat PARA PIHAK.

PASAL XV
Amendemen dan Pngakhiran
1. Persetujuan ini dapat diamendemen setiap saat melalui kesepakatan tertulis
bersama PARA PIHAK. Amendemen tersebut wajib berlaku efektif pada tanggal
yang ditentukan oleh PARA PI HAK.

2. Salah satu PIHAK pada Persetujuan ini dapat menghentikan Persetujuan ini
setiap saat dengan memberikan pemberitahuan tertulis 1 (satu) tahun
sebelumnya kepada PIHAK lain mengenai keinginannya untuk menghentikan
Persetujuan. PARA PIHAK wajib terikat dengan ketentuan dari , dan kewajiban
pada , Persetujuan ini hingga berakhirnya 1 (satu) tahun periode pemberitahuan.

3. Ketentuan yang relevan dari Persetujuan ini akan terus berlaku setelah
pengakhirannya selama periode 1 (satu) tahun untuk penyelesaian urusanurusan Kelompok Bank dan penyelesaian atas properti dan aset Kantor
Perwakilan di Republik Indonesia.

PASAL XVI
Pamberlakuan
1. Persetujuan ini berlaku sejak tanggal diberikannya notifikasi oleh Pemerintah
kepada Kelompok Bank mengenai telah terpenuhinya prosedur internal yang
dibutuhkan Indonesia untuk pemberlakuan Persetujuan ini.

2.

Terlepas dari ketentuan ayat 1 dalam pasal ini, Persetujuan ini tidak berlaku
untuk entitas dari Kelompok Bank yang Persetujuan Pendiriannya belum
diratifikasi oleh Republik Indonesia . Semua ketentuan dalam Persetujuan ini
akan berlaku bagi setiap entitas setelah diratifikasinya Persetujuan dan
terpenuhinya semua prosedur yang dibutuhkan.

3.

Dengan tetap menghormati ketentuan Persetujuan ini dan Persetujuan Bank,
pelaksanaan Persetujuan ini harus sesuai dengan peraturan perundangundangan , peraturan, kebijakan , dan prosedur yang berlaku di Republik
Indonesia .

4.

Pe-e-· 1tah dan Kelompok Banr., dapat membuat perja )an tambahan yang
diang]ap perlu untuk pelaksanaan Persetujuan ini.

5.

Keter Jan Persetujuan ini akan berlaku selama Kantor Perwakilan berada di
wilayah Indonesia.

PASAL XVII
Ketentuan Umum
1. Dengan tetap menghormati ketentuan Persetujuan ini dan Persetujuan Bank,
Kantor Perwakilan dan entitas dari Kelompok Bank bekerja sama dengan
Pemerintah dalam menyajikan i-formasi yang relevan sebagaimana
di' Jtuhkan.
2. De 1gan tetap menghormati ketentuan Persetujuan ini dan Persetujuan Bank,
pelaksanaan Persatujuan ini akan tunduk pada peraturan perundangperundangan, peraturan, kebijakan , dan prosedur yang berlaku di Republik
Indonesia.
3. K: 1tor Perwakilan wajib menyampaikan daftar nama pejabat Kantor
P.:. wakilan , tanggungan mereka, dan anggota staf rumah tangga mereka
kepada Pemerintah.

SEBAGAI BUKTI, yang bertanda tangan di bawah ini, telah diberi kuasa untuk

Dibuat di Jakarta, dalam rangkap dua, pada tanggal 17 /04/1434 H (28/02/2013 M)

AGREEMENT
BETWEEN
THE GOVERNMENT OF THE REPUBLIC OF INDONESIA
AND
THE ISLAMIC DEVELOPMENT BANK GROUP
CONCERNING THE ESTABLISHMENT OF
A COUNTRY GATEWAY OFFICE
OF THE ISLAMIC DEVELOPMENT BANK GROUP
IN INDONESIA

The Government of the Republic of Indonesia (hereinafter referred to as the
"Government"), and the Islamic Development Bank Group (hereinafter referred to as
the "Bank Group"), individually referred to as "the Party'" and collectively referred to
as "the Parties" ;
HAVING REGARD to the provisions of the Agreements Establishing the Islamic
Development Bank (lsDB), the Charter of the Islamic Research and Training Institute
(IRTI) , the Islamic Corporation for the Insurance of Investment and Export Credit
(ICIEC), the Islamic Corporation for the Development of the Private Sector (ICD),
and The International Islamic Trade Finance Corporation (ITFC);

CONSIDERING that on 23/12/1432H (20/11/2011G) the Board of Executive
Directors of the lsDB, in its 279th meeting, approved the proposal to establish a
Country Gateway Office in the Republic of Indonesia in order to efficiently conduct
the activities of the Bank Group in Indonesia;
TAKING COGNIZANCE of the willingness of the Government to have the
representative office of the Bank Group in Indonesia;

DESIRING to regulate by this Agreement all matters regarding the establishment
and the f unctioning of the Country Gateway Office;
HAVE AGREED as follows :

ARTICLE I
Definitions
In this Agreement, unless the context otherwise requires , the following terms shall
have the meanings ascribed thereto below:

1. "Archives of the Country Gateway Office" means all records, correspondence,
documents, manuscripts, still and moving pictures and films recordings, computer
programs and written materials, video tapes and discs, as well as discs or tapes
containing data belonging to or held by or on behalf of the Country Gateway
Office;
2. "Bank Agreement" means the Agreement Establishing the Islamic evelopment
Bank;
3. "Bank Group" means the Islamic Development Bank Group comprised of the
Islamic Development Bank (lsDB), the Islamic Research and Training Institute
(IRTI), the Islamic Corporation for the Insurance of Investment and Export Credit
(ICIEC) , the Islamic Corporation for the Development of the Private Sector (ICD},
and the International Islamic Trade Finance Corporation (ITFC);
4. "Country Gateway Office" means the Office of the Bank Group in the Republic of
Indonesia;

5. "Dependents" means the dependents of the officials of the staff of the resident
office, and includes their parents, spouses, children and subject to the
concurrence of the government any other person who are dependent on such
personnel for financial support;

6. "Executive Directors" means the Executive Directors of the lsDB;
7. "Resident Representative" means the principal executive officer of the Country
Gateway Office, appointed by the Bank Group as Resident Representative and
notified to the Government from time to time;
8. "Deputy Resident Representative" means the officer appointed by the Bank
Group as Deputy Resident Representative of a Country Gateway Office and
notified to the Government from .time to time;
9. "Laws and regulations of the Republic of Indonesia" includes the Constitution of
the Republic of Indonesia and legislative acts, decrees, and orders issued by, or

under authority of, the Government or any appropriate authority in the Republic of
Indonesia;

10. "Manual staff' means persons employed as household staff of Officials of the
Country Gateway Office or as drivers, janitors, or other workers assigned to
hourly rates in the Country Gateway Office;

11. "Officials of the Country Gateway Office" means Resident Representative,
Deputy Resident Representative, other officers, experts, and all members of the
staff recruited by the Bank Group or assigned to serve at the Country Gateway
Office in accordance with the provisions of the Bank Group Agreement, the Staff
Regulations of the Bank Group and other relevant instruments in force, and all
other persons recruited on Local Terms excluding persons assigned to hourly
rates;

12. "Premises of the Country Gateway Office" means the buildings and parts of
buildings, and the land ancillary thereto, used for the official purposes of the
Country Gateway Office, including the residence of the Resident Representative;

13. "President" means the President of the lsDB and Chairman of the Islamic
Development Bank Group;

14. "Property and assets of the Country Gateway Office" means all property and
assets referred to in the Bank Group Agreement and vested by the Bank Group
in the Country Gateway Office;

15. "Recruitment on Local Terms" means recruitment made by and for the
employment at the Country Gateway Office under separate instruments provided
for the employment of personnel outside the Headquarters of the Bank Group;

ARTICLE II
Immunities, Privileges and Exemptions of the Bank Group
1. The Islamic Development B3nk shall enjoy in the Republic of Indonesia the
privileges, exemptions and immunities as set forth in Chapter VI I of the Articles of
Agreement establishing lsDB;
2. The Entities of the Bank Group whose Articles of Agreement have been ratified
shall enjoy in the Republic of Indonesia the privileges, exemptions a nd
imm unities as set forth in their respective Articles of Agreement.

ARTICLE Ill
Functions of the Country Gateway Office
1. The principal functions of the public sector window (lsDB) within the Country
Gateway Office shall concern, project operations management and project
adm inistration including project implementation monitoring, clearance of
disbursement and repayment of arrears, preparation of procurement documents,
quarterly progress reports, ann ual audit reports and project completion reports .
The Country Gateway Office will also assist in the participatory approach to the
preparation of project design, collection of relevant economic information,
form ulation and implementation of Member Country Partnership Strategies,
country programming activities , and initiating dialogue with relevant stakeholders
operating in the Republic of Indonesia.

2. The principle functions of the private sector windows (lsDB, ICD, ICIEC and ITFC)
within the Country Gateway Offices concern development of local knowledge by
networking with local financial institutions and stakeholders, providing adviso ry
services to clients, marketing of products and services and development of private
sector business deals, monitoring of operations, and representation on Board of
investee companies .
3. In addition to the forego!ng functions, the Country Gateway Office shall represent
the Bank Group in the Republic of Indonesia.
4. Subject to the consultation with the Government, the Bank Group and its Country
Gateway Office may also undertake any other functions and activities that
advance its purpose within the mandate of the Bank Group.
ARTICLE IV
Premises of ｴｾ･＠
Country Gateway Office
1. The Government may facilitate the Bank Group with a plot of land for the
construction of a building for the Country Gateway Office on the basis of an
agreem ent to be concluded between the Government and the Bank Group.

2. Subject to terms and conditions determined by the Government of Indonesia, the
Country Gateway Office may establish branch offices at other locations in the
Republic of Indonesia .

3. The Bank Group shall appoint the Resident Representative of the Country
Gateway Office, and shall be staffed with such other personnel as are appointed
or ass igned by the Bank Group . The appointment of the Resident Representative
of the Country Gateway Office is subject to the approval of the Government.

4. The Country Gateway Office shall be entitled to display the flag and the emb lems
of the Bank Group at the Office and the residence of the Resident Representative
of the Country Gateway Office.
ARTICLE V
Inviolability of the Premises of the Country Gateway Office
1. The Premises of the Country Gateway Office, including the residence of the
Resident Representative and any other project office, wherever located in the
Republ,ic of Indonesia, sha!i be inviolable and shall be under the exclusive control
and authority of the Bank Group .

2. All archives of the Country Gateway Office shall be inviolable.
3. The Bank Group shall have the power to make rules and regulations operative
with in the Country Gateway Office for the full and independent exercise of its
activities and performance of its functions, including recruitment, selection and
appointment of officials and staff of the Country Gateway Office.
4. The Country Gateway Office shall prevent its Premises from becoming a refuge
for persons, seeking to avoid arrest or service of legal process under the laws
and regulations of the Republic of Indonesia. Notwithstanding Article XIII
Paragraph 4 on the waiver of the immunity, this provision shall not affect
immunities provided to officials under this Agreement.

ARTICLE VI
Protection of the Country Gateway Office
1. In accordance with its laws and regulations, the Government shall take all
appropriate measures to protect the Premises of the Country Gateway Office,
including the residence of the Resident Representative of the Country Gateway
Office, or in the absence of the Resident Representative of the Country Gateway
Office, and the residence of the officer appointed to act on his behalf, against any
intrusion in or damage to the Premises of the Country Gateway Office and to
prevent any disturbance of law and order in the immediate vicinity of the Country
Gateway Office. The Government shall, whenever the need arises, ensure the
presence of the necessary police force for the protection of the Premises of the
Country Gateway Office and take appropriate measures to restore order in the
vicinity' of the Premises or remove offenders as may be necessary.

2. The Country Gateway Office shall exercise supervision of and security control
over 1
its premises.

ARTICLE VII
Exemption from Taxation
a. The entities of the Bank Group, of which their Articles of Agreements have
been ratified by the Government, shall be exempted and/or relieved from
direct or indirect taxation , from customs duties, and from liability for the
collection of withholding of any tax or duty, for its assets, property, income,
as well as its operations, transactions and activities.

b. The activities of Country Gateway Office, as carried out on behalf of any
entity of the Bank Group of which its Articles of Agreement has been ratified
by the Government of the Republic of Indonesia, shall be excluded and/or
exempted from taxation.
c. Sal1aries and other emoluments paid by the Bank Group to all international
officials who are employed and assigned by the Headquarters of the Bank
Group to the Country Gateway Office in respect of services rendered to the
entities of the Bank Group, of which their Articles of Agreements have been
ratified by the Government shall be relieved/exempted from income taxation.
d. Customs duties on household and personal effects of officials of the Country
Gateway Office imported into the Republic of Indonesia may be
relieved/exempted with in six (6) months after his/her arrival in the Republic of
Indonesia, provided that such articles are to be re-exported from Indonesia at
the time of departure or within such period thereafter as may be agreed upon
by the Government or sold inside Indonesia either to an international
organisation, diplomatic mission or person with exemption status, or to a third
party upon the payment of the relevant duties and taxes applicable at the
time of resale.

e. Without prejudice to the terms of this Agreement and the Bank Agreement,
the provision of the exemption and/or relief as mentioned in paragraph (a),
(b), (c) and (d) above shall be carried out in accordance' with the tax laws and
regulations of the Republic of Indonesia.

2. The entities of the Bank Group and the Country Gateway Office will not claim
exe mptions from charges for public utility services provided that such charges are
non-discriminatory and generally paid by other international organizations in the
Republic of Indonesia.

ARTICLE VIII
Services
1. The Government shall undertake to assist the Country Gateway Office to the
fullest extent in obtaining and making available where applicable the necessary
public services . The Country Gateway Office shall bear the cost of these
services .

2. In the case of interruption or threatened interruption of any such service, the
competent authorities shall ｣ｯｮｾｩ､･ｲ＠
the Country Gateway Office's need for
such services as important as that of any other international organizations and
shall therefore take the necessary measures to ensure that the Country
Gateway Office's activities are not impaired by such a situation.

ARTICLE IX
Financial FacHities
1. The Country Gateway Office shall have the right, in exchange for any available
convertible currency, to purchase the national currency of the Republic of
Indonesia in such amounts as the CountrJ Gateway Office may require from time
to time for meeting its expenditures in the Republic of Indonesia.

2. The Country Gateway Office may purchase, hold and dispose of convertible
currencies, securities, bills of exchange, negotiable instruments, and transfer the
same to, ·from and within the territory of the Republic of Indonesia, open, maintain
and operate accounts in national or other currencies.

3. Officials of the Country Gateway Office shall enjoy in the Republic of Indonesia
the freedom to maintain within the Republic of Indonesia local and foreign
cu rrency accounts and the freedom to own in the Republic of Indonesia foreign
securities.

4. While employed by the Country Gateway Office and upon termination of their
employment, the right to transfer funds· out of the Republic of Indonesia in any
foreign currency, provided that in this case the official can show good cause for
the lawful possession of such funds.
5. W ithout any prejudice to the terms of this Agreement and the Bank Agreement,
any activities carried out by the Country Gateway Office and its officials as
re ferred to in paragraph (1 ), (2) , (3), (4), shall be in accordance with the
prevailing laws and regulations of the Republic of Indonesia.

ARTICLE X
Freedom of Meeting and Discussion
The Country Gateway Office shall have the right to convene meetings in the
Premises of the Country Gateway Office, and upon consultation with the
Government, in any other venues within the territory of the Republic of Indonesia. At
such meetings, the Government shall be informed and shall guarantee that no
impediment is placed in the way of full freedom of discussion and decision and take
the appropriate measures to ensure the security of participants in the meetings.
ARTICLE XI
Communications
1. The Country Gateway Office shall enjoy in the Republic of Indonesia for its official
communications treatment not less favourable than that accorded by the
Government to any other international organizations in the matter of priorities,
rates, and taxes on mails, cables, telegrams, telephones, facsimile, radiograms
and any other communication.
2. All communications to and from the Bank Group and its Country Gateway Office
by whatever means or in whatever form transmitted shall be immune from any
form of interception or interference. The provisions of this Article shall apply when
the Country Gateway Office LlSes a service provider for its communications.
3. The Country Gateway Office shall have the right in the Republic of Indonesia to
use codes and to dispatch and receive official correspondence and other
communications either by courier or in sealed bags, which shall have immunities
and privileges no less favourable than those accorded to any other international
organ izations.

4. The Country Gateway Office upon consultation with the Government may install
and operate in the Republic of Indonesia state of the art telecommunication
facilities and other communication and transmission facilities and links as maybe
necessary to facilitate communications with the Country Gateway Office, both
from within and outside Indonesia.
ARTICLE XII
Transit and Residence
1. In accordance with its laws and regulations, the Government shall facilitate the
entry into or departure from the Republic of Indonesia, when travelling to or from
the Country Gateway Office, of persons exercising official functions at the
Cou ntry Gateway Office or invited by it to exercise official functions at the
Country Gateway Office . In particular, the Government shall take all measures
required to facilitate the entry into, residence in and departure from Indonesia,

and freedom of movement in Indonesia, of the following persons entering
Indonesia on official business:
(i)
Representatives of Members, members of the Board of Executive
Directors, members of the Board of Directors of lsDB, ICIEC, ICD and
ITFC, other representatives of Members of the Bank Group who
participate in the activities of the Bank Group, the President, VicePresidents of lsDB, the General Manager of IRTI, Chief Executive Officers
of ICIEC, ICD, Chief Executive Officer and Deputy Chief Executive Officer
of ITFC, Officials of the Country Gateway Office and the Bank Group and
their Dependents;
(ii)
Officers, experts and any other persons performing duties on behalf of the
Country Gateway Office or the Bank Group; and
Other persons officially invited by the Bank Group, or the Country
(iii)
Gateway Office, in connection with official activities of the Bank Group or
the Country Gateway Office in Indonesia. The Bank Group or the Country
Gateway Office shall communicate the names of such persons to the
concerned authorities in Indonesia prior to any such visit.
2. Officials of the Country Gateway Office and Dependents shall obtain appropriate
entry visa from the Missions of the Republic of Indonesia prior to their entry.
3. The entitlements shall be granted by the Government to persons in transit or
residence in accordance with their official fl.!nctions or missions, without prejudice
to the national security of the Republic of Indonesia and in accordance with the
prevailing laws and regulations of the Republic of Indonesia.

Without prejudice to their privileges and immunities provided for in this
Agreement, it is the responsibility of the Country Gateway Office and all persons
enjoyi ng such privileges and immunities to adhere to the laws and regulations of
Indonesia.

5. In accordance with the prevailing laws and regulations in Indonesia, visas for the
persons referred to in paragraph 1 of this Article shall be issued in a timely
manner and no payment charges.
ARTICLE XIII
Privileges and Immunities
1. Officials of the Country Gateway Office, to the extent they are not Indonesian
nationals, shall enjoy in the territory of the Republic of Indonesia the following
privUeges and immunities:
i. Immunity from legal process with respect to acts performed in official capacity.
ii . Immunity from seizure.

2. The same facilities for themselves and their dependents to leave the country , and
the same protection by the authorities of the Republic of Indonesia in time of
national emergency as accorded to other international organizations
3. The Resident Representative shall enjoy, on the territory of the Republic of
Indonesia, the same rights, immunities, privileges and exemptions as are
accorded by the Government to the Heads of Office of similar to those accorded
to the Asian Development Bank in the Republic of Indonesia, provided that such
status, rights, immunities, privileges and exemptions do not diminish, or invalidate
the status, rights, immunities, privileges and exemptions afforded to them under
the Bank Agreement.

4. The Country Gateway Office shall use its best efforts to ensure that the
privileges, immunities and facilities conferred by this Agreement are not abused .
Should the Government consider that an abuse has occurred, consultations shall
be held between the Country Gateway Office and the Government to take
appropriate action.

5. The privileges, immunities and facilities accorded in this Agreement are granted
in the interests of the effective functioning of the Country Gateway Office and not
for the personal benefit of the individuals themselves . The Bank Group may at its
discretion waive any of the privileges and immunities conferred to it by this
Agreement, to such extent and upon conditions as it may determine

ARTICLE XIV
Settlement of Disputes
1. Any dispute between the Government and the Bank Group arising out of the
implementation or interpretation of this Agreement, or any other supplemental
agreement or any other instrument entered into pursuant to this Agreement,
unless settled amicably through consultation and negotiation between the
Government and the Bank Group, may be referred for arbitration to a tribunal of
three arbitrators, in case it cannot be resolved through negotiations. The
Government and the Bank Group shall each designate one arbitrator, and the
third arbitrator shall be appointed by agreement of both Parties or, if no
agreement is reached, by the Secretary General of the Organization of the
Islamic Cooperation.

2. The decision of the trib\.Jnal shall be final and binding upon the Parties.

ARTICLE XV
Amendment and Termination
This Agreement may be amended at any time through mutual written consent of
the Parties. Such amendment shall come into effect on a date as may be
determined by the Parties.

2.

Either Party to this Agreement may terminate this Agreement at any time by
giving 1 (one) year's notice in writing to the other Party of its intention to
terminate it. The Parties shall be bound by the terms of, and their obligations
under, this Agreement until the expiration of the 1 (one) year notice period.

3.

Relevant provisions of this Agreement shall continue to be applied after its
term ination within 1 (one) year period for the settlement of the affairs of the Bank
Group and the disposal of the Country Gateway Office's property and assets in
the Republic of Indonesia.

ARTICLE XVI
Entry into Force
This Agreement shall enter into force on the date of the notification by the
Government informing the Bank Group of the execution of internal procedures
requi red in Indonesia for its entry into force.

2.

Notwithstanding paragraph 1 of this Article, this Agreement shall not apply to
any entities of the Bank Group whose Articles of Agreements have not been
ratified by the Republic of Indonesia. Upon such ratification, the terms of this
Agreement shall apply to any entity after ti1e completion of required procedures.

3.

Without any prejudice to the terms of this Agreement and the Bank Agreement,
the implementation of this Agreement wiil be in compliance with the respective
regulations, rules, policies and procedures of the Republic of Indonesia.

4.

The Government and the Bank Group may enter into such supplementary
agreements as may be necessary for the implementation of this Agreement.

5.

The provisions of this Agreement shall prevail as long as the Country Gateway
Office remains in the territory of Indonesia .

ARTICLE XVII
General Provisions
1. Without prejudice to the terms of this Agreement and the Bank Agreement, the
Country Gateway Office and the entities of the Bank Group undertake to
cooperate with the Government in providing any relevant information as
required .
2. Without any prejudice to the terms of this Agreement and the Bank Agreement,
the implementation of this Agreement will be in compliance with the respective
regulations, rules, policies and procedures of the Republic of Indonesia.
3. The Country Gateway Office shall submit to the Government the names of those
Officials of the Country Gateway Office, their Dependants and Members of the
household staff.

IN WITNESS WHEREOF , the undersigned being representatives duly authorized
thereto , have signed this Agreement.
Done in duplicate in Jakarta on this 17/04/1434H (28/02/2013G) in the Indonesian
and English Languages, both text being equally authentic, in case of any divergence
of interpretation, the English text shall prevail.
