Pendirian Establishment
Pada bulan Desember 2014, Perusahaan dengan Oji Holdings Corporation OHC,
sebuah perusahaan yang berkedudukan di Jepang yang sahamnya tercatat di Tokyo
Stock Exchange,
telah mendirikan
perusahaan, bernama IOSP, yang bergerak di bidang pemasaran dan distribusi produk paper
diapers, dengan jumlah modal ditempatkan sebesar Rp8.750, dimana 67,0 saham IOSP
diambil bagian oleh Perusahaan dan sisanya diambil bagian oleh OHC.
In December 2014, the Company and Oji Holdings Corporation OHC, a company
domiciled in Japan and listed in Tokyo Stock Exchange, established a company named
IOSP, which is engaged in marketing and distribution of paper diapers products, with
total issued share capital of Rp8,750, 67.0 of which was subscribed by the Company and
the remaining was subscribed by OHC.
Pada bulan Januari 2015, Perusahaan bersama dengan OHC telah melakukan
setoran penuh atas modal ditempatkan IOSP. Dari jumlah modal ditempatkan IOSP sebesar
Rp8.750, Perusahaan
dan OHC
telah menyetor masing-masing sebesar Rp5.863
dan Rp2.887. In January 2015, the Company together with
OHC, paid in full the issued share capital of IOSP. For the issued share capital of IOSP of
Rp8,750, the Company and OHC paid Rp5,863 and Rp2,887, respectively.

Akuisisi Acquisition
Pada tanggal 30 Desember 2014 IDLK dan SAJ
selanjutnya secara
bersama-sama disebut “Pembeli” telah melakukan akuisisi
atas 100 saham PT Danone Dairy Indonesia, yang sekarang telah berganti nama menjadi
PT Indokuat Sukses Makmur Indokuat, dari Danone Dairy Investments Indonesia Pte. Ltd.
DDII dan Danone Asia Pte. Ltd. DAPL selanjutnya secara bersama-sama disebut
“Penjual” serta membeli merek dagang “Milkuat” dari Compagnie Gervais Danone
CGD. Pada tanggal 30 Desember 2014, DDII telah
mengalihkan seluruh
sahamnya sebanyak 119.988 saham atau mewakili 99
di Indokuat, kepada IDLK dan SAJ, masing- masing sebanyak 119.986 dan 2 saham.
On December 30, 2014, IDLK and SAJ collectively defined as “Buyers” acquired the
whole shares of PT Danone Dairy Indonesia, currently has changed its name to become
PT Indokuat Sukses Makmur Indokuat, from Danone Dairy Investments Indonesia Pte. Ltd.
DDII and Danone Asia Pte. Ltd. DAPL collectivetly defined as “Sellers” as well as
brand name “Milkuat” from Compagnie Gervais Danone CGD. On December 30,
2014, DDII transferred all of its shares, consisting of 119,988 shares or representing
99 ownership in Indokuat to IDLK and SAJ for 119,986 and 2 shares, respectively.
Pada tanggal yang sama, DAPL juga mengalihkan seluruh sahamnya sebanyak
1.212 saham atau mewakili 1 di Indokuat kepada IDLK. Dengan demikian, Kelompok
Usaha memperoleh
pengendalian atas
Indokuat dengan kepemilikan melalui IDLK dan SAJ masing-masing 121.198 dan 2 saham.
On the same date, DPAL also transferred all of its shares, consisting of 1,212 shares or
representing 1 ownership in Indokuat to IDLK. Accordingly, the Group obtain control of
Indokuat through the ownership of its 121,198 and 2 shares by IDLK and SAJ, respectively.
