Pembeli telah membayar sejumlah Rp141.161 kepada penjual, dan telah menempatkan ke
dalam akun escrow sebesar Rp75.000 untuk pembelian
saham serta
sebesar USD3.609.529 atau setara Rp45.000 untuk
pembelian merek dagang, sehingga nilai keseluruhan
transaksi adalah
sebesar Rp261.161. Nilai transaksi pembelian saham
tersebut masih dapat berubah sesuai dengan beberapa kondisi yang tercantum dalam
Perjanjian Jual Beli Bersyarat PJBB. The Buyers paid to the Sellers Rp141,161 and
placed Rp75,000 as shares consideration value and USD3,609,529 or equivalent to
Rp45,000 as the brand consideration value, both into escrow accounts. Thus, the total
consideration value amounted to Rp261,161. The said shares consideration value is subject
to adjustment based on certain conditions described in the Conditional Sales and
Purchase Agreement CSPA.
Sebagaimana dijelaskan
dalam PJBB,
Proforma Nilai Aset Bersih Indokuat PNAB adalah sebesar Rp263.012. Nilai penyelesaian
transaksi tergantung pada saldo Nilai Aset Bersih Indokuat yang akan diverifikasi NABV
oleh pihak
independen dan
beberapa ketentuan lain yang ditetapkan dalam PJBB
antara lain, jika NABV lebih tinggi dari nilai PNAB, maka nilai transaksi akan ditambah
sebesar selisih lebih NABV di atas PNAB atau maksimum 10 dari nilai PNAB dan jika saldo
NABV lebih rendah dari 90 nilai PNAB, maka nilai transaksi akan dikurangi sebesar selisih
antara 90 nilai PNAB dengan nilai NABV. As stipulated in the CSPA, the Proforma Net
Tangible Assets of Indokuat PNTA amounted to Rp263,012. The final consideration value of
the transaction depends on the Verified Net Tangible Assets of Indokuat VNTA by
independent party and any terms and conditions as described in CSPA, among
others, if the VNTA is larger than PNTA, the consideration value shall increase by the
excess of VNTA above PNTA up to a maximum of 10 of PNTA, if the VNTA is less
than 90 of PNTA, it shall be reduced by the difference between 90 of PNTA and VNTA.
Sampai dengan tanggal penyelesaian laporan keuangan konsolidasian, saldo NABV belum
tersedia. Until the date of completion
of the consolidated financial statements, the VNTA
has not been available. Akun escrow untuk pembelian saham dapat
dicairkan sampai
dengan penyelesaian
perhitungan transaksi yang diperkirakan akan diselesaikan selambat-lambatnya bulan Juni
2015. Sedangkan
akun escrow
untuk pembelian merek dagang dapat dicairkan pada
saat proses registrasi merek dagang atas nama IDLK selesai dilakukan dimana proses
tersebut diperkirakan
akan diselesaikan
selambat-lambatnya dalam waktu satu tahun sejak tanggal transaksi.
The escrow account for shares consideration can be drawndown once the transaction
computation is estimated to be completed at the latest June 2015. While the escrow
account for brand consideration can be drawndown when the registration process of
the brand under the name of IDLK is completed, which is estimated to be settled at
the latest one year since the transaction date.
Pada tanggal 30 Juni 2015 dan 31 Desember 2014, akun escrow dicatat dalam aset lancar
sebagai bagian dari “Beban dibayar di muka dan aset lancar lainnya” pada laporan posisi
keuangan konsolidasian. As of June 30, 2015 and December 31, 2014,
escrow accounts were recorded in current assets as a part of “Prepaid expenses and
other current assets” in the consolidated statement of financial position.
