PENERAPAN TATA KELOLA PERUSAHAAN
Terkait penerapan tata kelola perusahaan yang baik Good Corporate GovernanceGCG, pada dasarnya seluruh
jajaran Direksi BGR mendukung upaya peningkatan kualitas penerapan GCG secara terus-menerus dan
menyeluruh dengan tidak hanya puas pada satu tataran saja. Pengelolaan dan implementasi GCG di lingkungan
BGR diharapkan dapat memenuhi prinsip-prinsip tata kelola yang ada seperti transparansi, akuntabilitas,
tanggung jawab, independen dan keadilan. Direksi telah menyiapkan rencana kebijakan yang
matang dalam pengintegrasian penerapan GCG baik dari sistem maupun infrastruktur organnya. Dari segi
peningkatan kualitas sistem, salah satu implementasinya adalah penerapan prinsip keadilan fairness dalam
pengelolaan Sumber Daya Manusia SDM Perusahaan. BGR menekankan bahwa setiap karyawan diberikan
kesempatan yang sama dalam meningkatkan produktivitas dan karirnya sebagaimana tertuang dalam
visi dan misi BGR. Sedangkan dari aspek infrastruktur organ tata kelola,
BGR telah melakukan penggabungan Manajemen Risiko ke dalam Departemen Perencanaan Perusahaan. Tujuan
dari penggabungan tersebut agar aspek manajemen dan pengelolaan risiko usaha tidak hanya terbatas pada
kegiatan pemetaan dan penyusunan mitigasi risiko semata, namun hal tersebut dapat tersinergi dan masuk
pada setiap standar operasional aktivitas perusahaan.

Sepanjang 2015, komposisi Direksi BGR tidak mengalami perubahan. Susunan Direksi BGR masih sama dengan

IMPLEMENTATION OF CORPORATE GOVERNANCE
Related to the implementation of good corporate governanceGCG, basically, the Board of Directors of BGR
continuously supports the effort of increasing the quality of GCG implementation by not only being complacent
in one level. The management and implementation of GCG at BGR environment is expected to be able to fulfill
corporate governance principles such as transparency, accountability, responsibility, independency, and fairness.
Board of Directors has prepared effective policy plan in integrating the implementation of GCG, be it from the
system and infrastructure of the organ. In view of its system quality increase, one of the implementation is the
implementaiton of fairness principle in the management of the Company’s Human Resources. BGR emphasizes
that each employee is given fair opportunity in increasing the productivity and career as stated in BGR’s vision and
mission.
Meanwhile, in view of corporate governance organ infrastructure, BGR has integrated Risk Management to
the Company’s Planning Department. The objective of the integration is to make management and business risk
management not only limited to mapping activity and preparation of risk mitigation, but also to be synergized
and included in each operational standard of the company’s activity.

Desain Logo BGR sesungguhnya menyerupai Piramida Segitiga yang mengandung arti bahwa manajemen yang baik berbentuk piramida segitiga dengan top manajemen di puncak
serta organisasi di bawahnya yang berkembang di seluruh Indonesia dan luar negeri. Logo
design of BGR truly resembles the Pyramid Triangle, which means that good management takes form in the pyramid triangle, the top one being the management and below it is the
organization it manages to grow across Indonesia and abroad.

PT Bhanda Ghara Reksa Persero atau selanjutnya disebut BGR didirikan pada tanggal 11 April
1977 sebagai sebuah Badan Usaha Milik Negara BUMN yang bergerak di bidang jasa
pergudangan. Sampai saat ini 100 sahamnya masih dimiliki oleh Pemerintah Republik Indonesia
melalui Kementrian Negara BUMN selaku Pemegang Saham. Gagasan dan didirikannya
BGR berdasarkan adanya kebutuhan badan usaha yang dapat mengelola fasilitas pendukung sarana
distribusi pupuk yang memadai berupa fasilitas gudang yang lokasinya menjangkau ke sentra-
sentra pertanian. Pada saat itu, pemerintah membangun gudang sebanyak 32 unit yaitu
di Jawa, Bali dan Kalimantan Selatan melalui Departemen Perdangangan yang dimulai sejak
tahun 1975 sampai dengan tahun 1977. PT Bhanda Ghara Reksa Persero, or hereinafter
called as BGR, was established on April 11, 1977 as a State Owned Enterprise SOE engaged
in warehousing services. Until present, the Government of the Republic of Indonesia still
owns 100 of its shares through the Ministry of SOE as the Shareholder. The idea behind the
establishment of BGR rooted from the needs for a proper institution to manage supporting facilities
of fertilizer distribution that has warehouse facilities spread in locations that can reach prime
agricultural areas. At that time, the government built 32 units of warehouse in Java, Bali, and
South Kalimantan through Department of Trade, from 1975 until 1977.

Bisnis utama BGR adalah menyediakan, menyewakan dan mengelola ruangan gudang, baik tertutup maupun
terbuka open storage dan menyelenggarakan jasa pergudangan lainnya. Dalam perkembangannya,
BGR menambah jasa-jasa transportasi baik darat maupun udara dan pengurusan ekspor-impor serta
mengkombinasikannya dengan jasa pergudangan yang telah ada menjadi paket-paket jasa logistik. Sejalan
dengan itu, guna mengambil posisi dalam persaingan usaha, BGR melengkapi kegiatannya dengan jasa-jasa
penunjang yang relevan yaitu jasa-jasa pest control dan fumigasi. Pada tahun 2004, BGR mengembangkan
Collateral Management Service CMS yang memberikan laba operasi cukup berarti.
Kini BGR telah menjadi salah satu kepercayaan perusahaan-perusahaan besar, baik BUMN maupun
swasta dalam pengelolaan kegiatan logistik mereka. BGR telah memiliki layanan logistik terintegrasi yang
didukung oleh penggunaan teknologi dan SDM yang profesional sehingga mampu memberikan pelayanan
maksimal untuk memenuhi kebutuhan akan jasa integrated distribution centre, warehouse management,
transportation management, custom clearance, record management service, collateral management service, dan
depo container, dengan berbagai diferensiasi layanannya. BGR berperan sebagai penyedia jasa pergudangan dan
logistik yang memiliki jaringan infrastruktur hampir di seluruh wilayah Indonesia. Tercatat Kantor Cabang yang
dikelola BGR sebanyak 24 cabang, sedangkan dari sisi fasilitas, saat ini BGR mengelola sekitar 600 gudang yang
tersebar di seluruh Indonesia. Perjalanan panjang selama 38 tahun dan kemampuan
perusahaan memberikan kontribusi yang positif kepada para pemangku kepentingannya telah membuktikan
bahwa BGR menjadi perusahaan logistik yang handal dan terkemuka.
BGR’s main business is to provide, rent, and manage warehouse, be it closed or open storage, and make
available of any other warehousing services. In its development, BGR also expands to both land and
air transportation service business and export-import management, combining them with the existing
warehousing services into an integrated logistics service packages. In line with this development, in order to
enhance its competitive edge, BGR complements its business activities by providing relevant supporting
businesses, namely pest control and fumigation services. In 2014, BGR developed Collateral Management Service
that gave a quite significant gross profit.
BGR has now become a trusted partner of big companies, be it from SOE or private sectors, to manage their logistic
operations. BGR has had an integrated logistics service, supported by the use of technology and professional
HR so that the Company can give maximum service to fulfill the needs for an integrated distribution center,
warehouse management, transportation management, customer clearance, record management service,
collateral management service, and container deport, with its various service differentiations.
BGR takes role as a provider of warehousing and logistic service that have infrastructure network in almost the
entire region in Indonesia. BGR is recorded to have managed 24 branches, while in terms of facilities, BGR
has managed approximately 600 warehouses spread across Indonesia.
BGR’s long service for 38 years and the company’s capacity to provide positive contribution to its stakeholders has
proved that BGR has become a reliable and renowned logistic company.

Layanan BGR Integrated Logistics Service merupakan layanan unggulan featured service yang dihadirkan
oleh BGR sebagai layanan terpadu dalam memberikan solusi distribusi bagi pelaku industri yang ragam
fasilitasnya antara lain membuat desain sistem distribusi barang keluar dari pabrik, penyiapan alat transportasi,
p elaksanaan pengiriman barang ke gudang distribusi,
menyiapkan gudang, mengelola barang digudang handling in, handling out, packaging, racking,
barcode, labelling dan lain sebagainya sampai dengan pengangkutan atau pengantaran barang ke pengguna
akhir, dengan dukungan sistem informasi terpadu yang dapat dihubungkan langsung pada sistem informasi
produksi pelanggan. Tidak hanya sampai disitu, khusus dalam pengelolaan
pergudangan BGR menerapkan beberapa sistem terkait guna menciptakan efisiensi, keteraturan pada aspek
teknis maupun administratif serta pengawasan yang baik yang dapat meminimalisasi potensi gangguan
dari awal proses penyimpanan sampai dengan pasca pendistribusian after service. Sistem tersebut antara
lain Collateral Management System CMS, Sistem Resi Gudang SRG, Record Management Service Penitipan
Pengelolaan Arsip RMS, Open Storage Area dan lain sebagainya.
Generally, BGR is engaged in an integrated logistics service as its line of business where it provides other supporting
services in fulfilling the needs of many industries. Based on the Company’s Articles of Association that is pursuant
to Notarial Deed of Rachmad Umar S.H. No. AHU- AH.01.03-0970632 dated October 28, 2015, BGR’s line

BGR INTEGRATED LOGISTICS SERVICE ILS
BGR Integrated Logistics Service is a featured service provided by BGR as an integrated service that contains
distribution solution for industries whose types of facilities include, among others, developing a distribution system
design for goods moved out of the factory, preparing transport equipment, delivering goods to distribution
storage, preparing the storage, goods handling in the storage handling in, handling out, packaging, racking,
barcode, labelling, etc, and transporting or delivering goods to end users. All of this is supported by an
integrated information system directly connected to the customer production information system.
Besides, especially in warehousing management, BGR adopts several system to create efficiency, order in both
technical and administrative aspects, as well as effective surveillance that is able to minimize disruption from the
start of warehousing process until goods distribution after service. The system includes, among others, Collateral
Management System CMS, Warehouse Receipt System SRG, Record Management Service RMS, Open Storage
Area, etc.

BGR TRANSPORTATION
Selain layanan ILS, secara terpisah BGR juga menyediakan layanan BGR Transportation dalam mendukung
pendistribusian logistik pelanggan. Armada yang dimiliki oleh BGR pada layanan ini terdiri dari kendaraan
transportasi darat dengan beragam spesifikasi kendaraan, transportasi laut, udara dan Kereta Api.
a. Land Transportation Pada layanan ini, BGR menyediakan beragam
kendaran angkutan barang berupa truk box dan truk container yang dilengkapi dengan GPS Global
Positioning System. b. Marine Transportation
Selain angkutan barang darat, BGR juga menyediakan angkutan barang, bongkar muat serta pengurusan
dokumen dengan menggunakan jasa transportasi laut.
c. Air Transportation BGR berupaya melengkapi sarana distribusi di
berbagai dimensi, salah satunya adalah menggunakan fasilitas angkutan udara dalam melakukan aktivitas
pengangkutan, bongkar muat serta pengurusan dokumen.
BGR TRANSPORTATION
In addition to ILS service, BGR also provides BGR Transportaiton service separately in supporting customer
logistic distribution. The transportation fleet owned by BGR for this service includes various specifications of land
transportation, besides sea and air transportation, as well as train.
a. Land Transportation In connection with this service, BGR provides various
goods transport vehicle in the form of box truck and container equipped with GPS Global Positioning
System. b. Marine Transportation
In addition to land transportation, BGR also provides goods shipping, cargo handling equipment, and
freight forwarding services.
c. Air Transportation BGR strives to complement its distribution facilities
in various aspects, one of which is by prividing air transport facilities in the transport, cargo handling

Perencanaan strategis BGR tahun 2015 disusun dengan mempertimbangkan hasil analisis SWOT dan assessment
Kriteria Penilaian Kinerja Unggul BUMN tahun 2014. Dengan mempertimbangkan hasil analisis SWOT, maka
strategi untuk memenangkan persaingan yg dipilih adalah strategi “peningkatan kapabilitas dan kapasitas
untuk daya saing”. Strategi usaha BGR dituangkan dalam bentuk peta
strategi yang berfungsi : a. Sebagai alat komunikasi yang digunakan untuk
menjelaskan bagaimana nilai-nilai strategis dapat dihasilkan oleh BGR.
b. Membantu manajemen BGR dalam menjabarkan perencanaan strategis menjadi perencanaan
operasional. PBGR’s strategic plan in 2015 was developed by taking
into account SWOT analysis results and assessment for Criteria for Strong Performance of SOE in 2014. By
considering SWOT analysis result, the strategy taken to win the competition is the “increase of capability and

1. Dalam perspektif keuangan, sasaran yang ingin dicapai dalam tahun 2015 adalah laba sebesar Rp100,36
miliar yang diperoleh dari pendapatan sebesar Rp1,28 triliun dengan menurunkan ratio biaya 0,40.

2. Dalam perspektif pasar, perusahaan akan
meningkatkan pangsa pasar, meningkatkan citra perusahaan, dan penguatan kemitraan strategis
sebagai upaya dalam menghadapi kompetitor dan memenangkan persaingan.
3. Dalam perspektif pelanggan, perusahaan berfokus kepada pelanggan dengan membagi menjadi dua
segmen, yaitu segmen pelanggan BUMN Pupuk dan segmen BUMN non Pupuk Swasta. Sehingga
kegiatan pemasaran dan penjualan produk jasa dilakukan secara berbeda-beda untuk masing-masing
segmen. Untuk BUMN Pupuk, strategi yang digunakan adalah intensifikasi, dan untuk BUMN non Pupuk
Swasta strategi yang digunakan adalah intensifikasi dan ekstensifikasi.
4. Dalam perspektif produk, perusahaan meningkatkan produk jasa yang berorientasi memberikan solusi
logistik yang dibutuhkan pelanggan total logistics solutions melalui pengembangan produk jasa
pergudangan dan distribusi, transportasi dan forwarding menjadi perusahaan logistik dengan level
‘Lead Logistics’ serta mengembangkan produk jasa baru berupa jasa kurir dengan target pasar yang
meliputi retail, korporat dan e-commerce. 5. Dalam perspektif proses perusahaan akan menguatkan
sistem dan proses kerja melalui implementasi sistem- sistem korporasi best practice dan memperkuat cash
flow management. 6. Dalam perspektif sarana dan prasarana, perusahaan
akan mengoptimalkan pemanfaatan aset dan investasi.
7. Dalam perspektif tenaga kerja, perusahaan
meningkatkan kapabilitas dan kapasitas SDM melalui program-program diklat dan rekrutmen tenaga-
tenaga professional yang sesuai dengan kebutuhan dan tuntutan bisnis.
8. Dalam perspektif kepemimpinan, perusahaan
akan melakukan transformasi budaya kerja melalui penguatan penerapan tata nilai perusahaan, tata kelola
perusahaan dan ketaatan hukum untuk mendukung tercapainya visi perusahaan, dan mengoptimalkan
tanggungjawab kepada masyarakat melalui program PKBLCSR.
2. In market perspective, the company will increase its market share, reputation, and strengthen strategic
partnership as an effort to face the competitors and win the competition.
3. In customer perspective, the company focuses on customers, which is divided into two segments,
namely Fertilizer - SOE customers and Non-Fertilizer Private customers. Therefore, marketing and sales
activities of the products and services are conducted differently for each segment. For Fertilizer – SOE
customers, the strategy taken is intensification, while for Non-Fertilizer Private customers, the strategy is
both intensification and extensification. 4. In product perspective, the company increases its
products and services that orient to giving total logistics solutions to its customers through the
development of products and services of warehousing and distribution, transportation and forwarding into
logistic company at a level of ‘Lead Logistics’ and the development of new products and services in the
form of courier service with target market covering retail, corporate and e-commerce customers.
5. In process perspective, the company will strengthen the working system and process through the
implementation of corporate system of best practice and strengthen cash flow management.
6. In infrastructure perspective, the company will
optimize the utilization of assets and investment. 7. In employee perspective, the company will improve the
capability and capacity of its human resources through education and training programs and recruitment of
professional staff according to the needs and demand of business.
8. In leadership perspective, the company will transform work culture through improved implementation of
corporate values, corporate governance, and legal compliance to help achieve the vision of the company
and optimize its responsibility to the community through PKBLCSR.

Sebelum menjabat sebagai Komisaris Utama Perseroan, Beliau pernah menduduki beberapa jabatan strategis di berbagai
instansi pemerintahan diantaranya di lingkungan Sekretariat Negara dan Staf Ahli Menteri Perdagangan Bidang Iklim Usaha
Perdagangan. Beliau mulai menjabat sebagai Komisaris Utama sejak 2012.
Indonesian citizen, 62 years old, born in Singaraja, Bali, in 1953. He graduated with a Master’s degree in Business Policy, majoring
in Procatization, from University of Indonesia. He currently resides in Jakarta.
Prior to serving as the Company’s President Commissioner, he held several positions in various government bodies, among
others, the State Secretariate and as Expert Staff of the Minister of Trade in Trade Business Climate. He began to serve as Presidnet
Commissioner since 2012.

sebagai Komisaris PT Bhanda Ghara Reksa Persero sejak tahun 2012.
Indonesian citizen, 53 years old, born in Medan, North Sumatera in 1962. He obtained his Master’s degree in Management from
Pancasila University. He currently resides in Jakarta. He has developed his career in various Private and government
institutions from 1983 until now. He was appointed as Commissioner of PT Bhanda Ghara Reksa Persero since 2012.

DJPBUMN, Depkeu. Diangkat menjadi Komisaris Independen PT Bhanda Ghara Reksa Persero pada tahun 2014.
Indonesian citizen, 46 years old, born in Medan, North Sumatera in 1969. He acquired his Master’s degree from Bhayangkara
University, Jakarta. He currently resides in Jakarta. He started his career as Acting Official at Directorate of Industry,
DPJBUMN, the Ministry of Finance. He was appointed as Independent Commissioner of PT Bhanda Ghara Reksa Persero
in 2014.

Teknik Mesin dari Universitas Brawijaya pada tahun 1985. Saat ini Beliau berdomisili di Jakarta.
Sebelum menjabat sebagai Direktur Utama Perseroan, Beliau pernah menduduki beberapa posisi penting di berbagai
perusahaan diantaranya pernah menjabat sebagai General Manajer Pemeliharaan di PT Pupuk Sriwijaya dan Komisaris
Utama di PT Sri Aneka Karya. Pada tahun 2012 menjabat sebagai Direktur Utama PT Industri Gelas. Terhitung mulai tanggal 21
April 2014 menjabat sebagai Direktur Utama PT Bhanda Ghara Reksa Persero.
Indonesian citizen, 55 years old, born in Tulungagung, East Java, on March 21, 1961. He received his Bachelor’s degree in
Mechanical Engineering from Brawijaya University in 1985. He currently resides in Jakarta.
Prior to serving as the Company’s President Director, he held several key positions in various comapnies, among others, as
General Manager of Maintenance at PT Pupuk Sriwijaya and President Commissioner at PT Sri Aneka Karya. In 2012, he
served as President Director of PT Industri Gelas. Effective from April 21, 2014, he has been serving as President Director of PT
Bhanda Ghara Reksa Persero.
