II. LAPORAN DEWAN KOMISARIS
Para Pemegang Saham yang Terhormat, Puji dan syukur kepada Tuhan Yang Maha Esa atas segala rahmat yang
diberikannya, sehingga PT SMR Utama Tbk dapat melewati tahun 2016 dengan baik. Industri batubara mulai membaik di semester kedua
2016, ditandai dengan meningkatnya rata-rata harga jual batubara dari USD 61 per Ton di 2015 menjadi USD 70 per Ton di 2016.
Dibutuhkan sebuah kerjasama untuk menghasilkan sinergi positif dan untuk itu Dewan Komisaris senantiasa meningkatkan fungsi
pengawasan dalam rangka memastikan Perusahaan berjalan sesuai dengan jalur yang telah ditetapkan. Dewan Komisaris senantiasa mengarahkan Perseroan untuk
selalu memperhatikan prinsip-prinsip pengelolan Perseroan yang baik dengan harapan dapat menunjang pengembangan Perseroan di tahun-tahun yang akan datang. Secara rutin Dewan
Komisaris dan Direksi juga menggelar rapat bersama untuk menelaah kinerja Perseroan dan memastikan setiap keputusan yang diambil dapat memberikan nilai tambah bagi Perseroan. Dan
untuk memaksimalkan fungsi pengawasan, Dewan Komisaris juga mendorong peranan Komite Audit yang bertugas memberikan pendapat dan memantau aktivitas Perseroan agar tetap
berjalan sesuai kaidah kepatuhan dan kepatutan pada lintasan yang tepat dan membanggakan. Dewan Komisaris juga menilai kinerja Direksi selama 2016 sangatlah baik.Dewan Komisaris
mengapresiasi keberhasilan Direksi dalam menjaga keberlanjutan bisnis Perusahaan. Perusahaan mencatatkan kenaikan volume produksi dari 21,32 juta BCM di 2015 menjadi 24,96 juta BCM di
2016. Aspek-aspek keselamatan kerja juga selalu menjadi perhatian Direksi dalam setiap kegiatan yang dikerjakan. Dewan Komisaris juga terus mendorong Direksi dan jajaran manajemen untuk
menciptakan proses kerja yang efektif dan efisien dengan tujuan untuk menekan biaya serendah mungkin dan meningkatkan profitabilitas Perseroan.
Dengan pengharapan masa depan yang lebih baik yang ditandai dengan membaiknya harga batubara, kami berharap agar Direksi dan segenap manajemen senantiasa siap dan tanggap
untuk menghadapai setiap tantangan dan kesempatan yang ada untuk menjadikan Perusahaan menjadi lebih baik.
Akhir kata kami menyampaikan terimakasih dan apresiasi kepada jajaran Direksi dan seluruh karyawan yang telah bekerja keras bagi Perseroan, mitra dan pelanggan yang selalu setia serta
masyarakat yang mendukung ke- giatan bisnis kita hingga dapat tetap eksis saat ini, semoga Perseroan dapat maju dan semakin berkembang dimasa yang akan datang.

II. REPORT OF THE BOARD OF COMMISSIONERS
Dear Shareholders, Praise and thanks to God Almighty for all the graces that it provides,
so that PT SMR Utama Tbk can pass through 2016 well. The coal industry started to recover in the second half of 2016, characterized
by an increased average selling prices of USD 61 per ton in 2015 to USD 70 per ton in 2016.
It takes a partnership to generate positive synergies and to the Board of Commissioners continuously improve oversight function
in order to ensure the company is growth in accordance with a predetermined path. BOC always directing the Company to
always pay attention to the principles of good management of the Company with the hope to support the development of the Company in the years to come. Routinely Board of
Commissioners and Board of Directors also held a joint meeting to review the performance of the Company and ensure every decision could provide added value to the Company.
And to maximize the supervisory function, the Board also encourages the role of the Audit Committee tasked with providing opinions and monitor the activities of the Company in order
to keep to the rules of compliance and propriety on the right track and boast. The Board also assess the performance of the Board of Directors for 2016 which is running
well. The Board of Commissioner appreciated the success of the Board of Directors in ensuring the sustainability of our business.The Company recorded a rise in production volume
of 21.32 million BCM in 2015 to 24.96 million BCM in 2016. The safety-aspect is always a concern of Directors in any of the activities undertaken. The Board also continues to encourage
the Board of Directors and management team to create work processes that effectively and efficiently with the aim to keep costs as low as possible and increase the profitability of the
Company. With the hope of a better future that is marked by the improvement in coal prices, we expect
that the Board of Directors and the entire management is always ready and responsive in facing every challenge and opportunity to make the company better.
Finally, we express gratitude and appreciation to the Board of Directors and all the employees who have worked hard for the Company, partners and customers are always loyal and
communities that support our business till to-activeities can still exist at this time, the Company may be able to progress and growing future which will come.
