Jumlah keseluruhan kepemilikan saham Perusahaan atas saham milik PT GDS pada tahun 2011 dan 2010 masing-
masing sebesar Rp 187.940.000 lembar saham atau 2,29 dan sebesar 189.338.500 lembar saham atau
2,31 dari jumlah saham PT GDS. Catatan 6 dan 10. In 2010, the company increased its purchases of shares
owned by PT GDS number of 16,570,500 shares with acquisition cost of Rp 1,784,729,116 which is intended to
meet the shortage of investment purchases that have been determined in accordance with collective share
certificate. This account is Investment in Shares of Stock to
PT Gunawan Dianjaya Steel, Tbk. PT GDS. Merupakan Investasi Surat Berharga ke PT Gunawan
Dianjaya Steel, Tbk. PT GDS.
The whole ownership of the Company shares by name of PT GDS in 2011 and 2010 are 187.940.000 shares or
2,29 and 189,338,500 shares or 2.31, respectively from share amount of PT GDS Notes 6 and 10.
Pada tanggal 21 Desember 2009, Perusahaan membeli saham milik PT GDS sejumlah 163.429.500 lembar
saham atau 1,99 dengan biaya perolehan sebesar Rp 26.148.720.000 yang dimaksudkan untuk memiliki
saham pada PT GDS secara jangka panjang yang pada saatnya dapat meningkatkan sinergi usaha. Transaksi
tersebut merupakan transaksi afiliasi sebagaimana dimaksud
dalam Peraturan
No. IX.E.1
Lampiran Keputusan Ketua Bapepam No. KEP-412BL2009 dan
transaksi material dan perubahan kegiatan usaha utama sebagaimana dimaksud dalam peraturan No. IX.E.2

memerlukan persetujuan pemegang saham perusahaan. Persetujuan tersebut telah diperoleh melalui Rapat Umum
Pemegang Saham Luar Biasa RUPSLB berdasarkan akta Berita Acara Rapat No. 20 tanggal 15 Desember
2009, oleh Untung Darnosoewirjo SH., notaris di Surabaya.
Pada tahun 2010, Perusahaan melakukan penambahan pembelian saham milik PT GDS sejumlah 16.570.500
lembar saham
dengan biaya
perolehan sebesar
Rp 1.784.729.116 yang dimaksudkan untuk memenuhi kekurangan pembelian investasi saham yang telah
ditentukan sesuai dengan surat kolektif saham. On
