a. Time Loan a. Time Loans
1. Perusahaan memperoleh fasilitas kredit Time Loan TL 1 dan 2 yang digunakan untuk:
1 mendanai
pelunasan pinjaman
Perusahaan dari bank sindikasi tranche B dan 2 pembelian barang konsumsi dari
PT Procter Gamble Home Products Indonesia pemasok dengan pagu kredit
masing-masing sebesar Rp205.000.000 dan Rp30.000.000. Pagu fasilitas kredit TL 2 telah
mengalami beberapa kali perubahan terakhir menjadi
sebesar Rp227.000.000
yang diaktakan dalam akta notaris Arnasya A.
Pattinama, S.H. No. 14 tanggal 14 Oktober 2016 dan melalui akta notaris tersebut,
Perusahaan juga memperoleh fasilitas TL 3 dengan pagu keredit sebesar Rp80.000.000.
Pagu fasilitas kredit TL 2 tersebut, termasuk pagu fasilitas kredit rekening koran untuk
keperluan pendanaan distributor kepada PT
Frisian Flag
Indonesia sebesar
Rp40.000.000 Catatan 14b.2. Jatuh tempo ketiga
TL tersebut
telah diperpanjang
sementara sampai
pada tanggal
11 September 2017. Pinjaman TL dijamin dengan jaminan yang sama dengan jaminan
untuk fasilitas kredit rekening koran dari BCA serta dikenakan bunga dengan tingkat suku
bunga tahunan yang berkisar antara 9,5 sampai dengan 9,75 dan berkisar antara
9,75 sampai dengan 10,75 masing- masing untuk tahun yang berakhir pada
tanggal 30 Juni 2017 dan 31 Desember 2016. Berdasarkan perjanjian fasilitas pinjaman,
Perusahaan diharuskan untuk memenuhi beberapa
persyaratan tertentu,
seperti memelihara rasio keuangan tertentu. Pada
tanggal 30 Juni 2017, semua rasio keuangan tersebut telah terpenuhi.
1. The Company obtained Time Loans TL 1 and 2 credit facilities which were used to:
1 refinance the Company’s loan from syndicated
banks tranche
B and
2 purchase consumer goods from PT Procter Gamble Home Products
Indonesia supplier
with maximum
amounts of
Rp205,000,000 and
Rp30,000,000, respectively. The total maximum amount of TL 2 has changed
several times, the latest of which based on notarial deed No. 14 of Arnasya A.
Pattinama, S.H. dated October 14, 2016, was
to increase
it to
become Rp227,000,000 and with that notarial deed
the Company also received the TL 3 credit facility
with maximum
amount of
Rp80,000,000. The total maximum amount for TL 2 credit facilities includes the amount
of Rp40,000,000 Note 14b.2 as the maximum amount of overdraft credit facility
for distributor financing to PT Frisian Flag Indonesia. The maturity dates of all TL are
temporarily extended until September 11, 2017. The loans from the TL facilities are
collateralized by the same collateral used for bank overdraft credit facility with BCA
and bore interest at the annual rates ranging from 9,5 to 9.75 and ranging
from 9.75 and at 10.75 for the periods ended June 30, 2017 and December 31,
2016, respectively. Under the terms of the loan agreement, the Company is required
to comply with certain conditions, such as to maintain certain financial ratios. As of
June 30, 2017, all of these financial ratios have been met.
