35. PERJANJIAN DAN IKATAN YANG SIGNIFIKAN 35. SIGNIFICANT AGREEMENTS AND
COMMITMENTS
a Pada tanggal 4 Juni 2014, Perusahaan
menandatangani perjanjian dengan RC Buminiaga Sdn Bhd “Pemasok” untuk penerapan Sistem ERP
Perkebunan sebesar USD541.728. Berdasarkan perjanjian tersebut, cakupan pekerjaan Pemasok
adalah menyediakan lisensi Sistem ERP Pengelolaan Perkebunan, menerapkan solusi yang disesuaikan
dengan kebutuhan induk dan beberapa entitas anak di Indonesia dan memberikan dukungan pasca
penerapannya. Penerapan sistem ERP Perkebunan dimulai sejak 1 Juli 2014 dan diharapkan akan selesai
pada tahun 2016. a On June 4, 2014, the Company entered into an
agreement with RC Buminiaga Sdn Bhd “Vendor” for the implementation of the Plantation ERP System
for a total consideration of USD541,728. Based on the agreement, the scope of work of the Vendor is to
supply license of its Plantation Management ERP System, implement the solution with the required
customization of the Company and certain Subsidiaries in Indonesia and provide the post
implementation support. The implementation of Plantation ERP System commenced on July 1, 2014
and is expected to be completed in 2016.
b Pada tanggal 18 April 2006, Perusahaan dan PT Rekayasa Industri Rekin menandatangani
perjanjian usaha patungan untuk membentuk suatu perusahaan usaha patungan yakni PT Bakrie Rekin
Bio Energy JV Company, yang bertujuan untuk mengembangkan pabrik green-field bio-diesel
dimana kepemilikan Perusahaan 70 dan kepemilikan Rekin 30. Perusahaan bertanggung
jawab untuk menyediakan persediaan yang dibutuhkan berdasarkan pada suatu jaminan
minimum bulanan pada harga pasar dan Rekin bertanggung jawab untuk menyediakan tenaga ahli
untuk pembangunan pabrik bio-diesel. b On April 18, 2006, the Company and PT Rekayasa
Industri Rekin entered into a joint venture agreement to establish a joint venture company,
PT Bakrie Rekin Bio Energy JV Company, whose objective is to develop a green-field bio-diesel plant.
The Company and Rekin hold 70 and 30 ownership, respectively. The Company will be
responsible for supplying the feedstock based on a guaranteed monthly minimum at market price and
Rekin will be responsible for providing the technical expertise for the construction of the bio-diesel plant.
Pada tanggal 30 Juni 2015 dan 31 Desember 2014, JV Company masih dalam tahap pengembangan dan
belum beroperasi secara komersial. As of June 30, 2015 and December 31, 2014, the JV
Company is still in the development stage and has not yet started its commercial operations.
