Tata Cara Penunjukan Anggota Dewan Komisaris
Anggota Dewan Komisaris yang akan diangkat wajib mengikui ketentuan:
a. Undang-Undang Perseroan Terbatas;
b. Peraturan perundang-undangan di bidang Pasar
Modal; dan c.
Peraturan perundang-undangan yang terkait dengan kegiatan usaha Perseroan.
Usulan anggota Dewan Komisaris dapat diajukan melalui mekanisme pengajuan usulan acara RUPS dengan
ketentuan:
1. Diajukan oleh seorang atau lebih Pemegang Saham yang mewakili paling sedikit 120 satu per dua puluh
dari jumlah seluruh saham yang telah ditempatkan oleh Perseroan dengan hak suara;
2. Usul-usul yang bersangkutan harus sudah diterima oleh Direksi 7 tujuh hari Kalender sebelum tanggal
panggilan RUPS Para anggota Dewan Komisaris diangkat dan diberhenikan
oleh RUPS. Pengangkatan tersebut berlaku sejak tanggal yang ditentukan dalam RUPS dimana anggota diangkat
dan berakhir pada saat ditutupnya RUPS Tahunan ke-2 dua setelah tanggal pengangkatan anggota kecuali
apabila ditentukan lain dalam RUPS.
Prosedur Penetapan Remunerasi
Perusahaan menyusun
anggaran remunerasi,
salah satunya untuk Dewan Komisaris, dengan memperhatikan pencapaian atau kinerja perusahaan
pada tahun yang berjalan dan strategi bisnis pada tahun berikutnya. Anggaran remunerasi ini disampaikan
oleh Direksi kepada Komite Human Capital MBSS dan berdasarkan pembahasan Komite Human Capital akan
memberikan rekomendasi kepada Dewan Komisaris MBSS mengenai anggaran remunerasi ini. Penetapan
remunerasi Dewan Komisaris ini ditetapkan oleh rapat umum pemegang saham MBSS. Pada tahun
2015, Dewan Komisaris menerima total remunerasi berjumlah USD618.738.
Appointment Process for Members of the Board of Commissioners
Members of the Board of Commissioners to be appointed shall comply with the provisions of:
a. The Limited Liability Company Act;
b. Capital market legislaion; and
c. Laws and regulaions related to the Company’s
business aciviies.
Proposed members of the Board of Commissioners may be submited through the proposal mechanism of the
AGMS on the condiion that:
1. The proposal is made by by one or more shareholders represening at least 120 one-twenieth of the total
shares issued by the Company with voing rights; 2. The relevant proposals must be received by the Board
of Directors 7 seven calendar days prior to the date of the AGMS.
Members of the Board of Commissioners are appointed and dismissed by the General Meeing of Shareholders
GMS. The appointment will stand in efect from the date determined at the GMS, with tenure through to the end
of the GMS held in the second year from the date of their appointment, unless determined otherwise in the GMS.
Establishment of Remuneraion
The Company formulates remuneraion budgets, among others for the Board of Commissioners, taking into account
the achievements or performance of the company during the year and the business strategy for the following year.
The remuneraion budget is submited by the Board of Directors to the MBSS Human Capital Commitee and based
on discussion, the Human Capital Commitee will make recommendaions to the MBSS Board of Commissioners
regarding the remuneraion budget. Remuneraion for the Board of Commissioners is determined by the MBSS
General Meeing of Shareholders. In 2015, the Board of Commissioners received total remuneraion amouning to
USD618,738.
