18. DIFFERENCE ARISING
FROM RESTRUCTURING TRANSACTIONS AMONG
ENTITIES UNDER COMMON CONTROL Selisih Nilai Transaksi Restrukturisasi Entitas
Sepengendali pada tanggal 31 Desember 2010 dan 2009 berasal dari akuisisi Perusahaan atas
100 kepemilikan pada Palma Agro yang sebelumnya
dimiliki oleh
entitas-entitas sepengendali.
Difference arising from Restructuring Transactions among Entities Under Common Control as of
December 31, 2010 and 2009 is arising from the Company’s acquisition on 100 ownership interest
in Palma Agro from entities under common control.
Pada tanggal 27 Maret 2009, Palma Agro telah mengalihkan saham yang dimilikinya di Sungai
Rangit, yang mewakili 93,6 saham yang telah dikeluarkan oleh Sungai Rangit, ke Perusahaan,
sebagai akibat dari likuidasi Palma Agro Catatan 1c. Selisih antara nilai yang dialihkan dengan
kepemilikan Perusahaan atas aset bersih dari Sungai Rangit mengurangi nilai “Selisih Nilai
Transaksi Restrukturisasi Entitas Sepengendali” sebesar Rp4.676.457 yang disajikan sebagai
komponen ekuitas pada neraca konsolidasi. On March 27, 2009, Palma Agro has transferred its
ownership in Sungai Rangit, representing 93.6 shares of Sungai Rangit, to the Company, as a
result of liquidation of Palma Agro Note 1c.The difference between the transferred amount and the
Company’s interest in the net assets of Sungai Rangit deducted the amount of “Difference arising
from Restructuring Transactions among Entities Under Common Control” by Rp4,676,457, under
shareholders’ equity in consolidated balance sheets.
Pada tanggal 27 Maret 2009, Perusahaan menukarkan sebagian Exchangeable Loan sebesar
US413.961 untuk 1,4 saham yang dimiliki oleh Sampoerna Bio Energi di Sungai Rangit Catatan
1c. Selisih sebesar Rp231.490 antara nilai Exchangeable
Loan yang
ditukarkan oleh
Perusahaan sebesar
Rp4.758.482 dengan
kepemilikan Perusahaan atas aset bersih dari Sungai Rangit sebesar Rp4.526.992 dibukukan
sebagai “Selisih Nilai Transaksi Restrukturisasi Entitas Sepengendali” yang disajikan sebagai
komponen ekuitas pada neraca konsolidasi. On March 27, 2009, the Company converted part
of the Exchangeable Loan amounting US413,961 into 1.4 shares in Sungai Rangit owned by
Sampoerna Bio Energi Note 1c. The difference amounting to Rp231,490 between the value of
Exchangeable Loan converted by the Company of Rp4,758,482 and the Company’s interest in the net
assets of Sungai Rangit of Rp4,526,992 was recognised
as “Difference
arising from
Restructuring Transactions among Entities Under Common Control”, under shareholders’ equity in
consolidated balance sheets.
