Selanjutnya, anggaran dasar SPN telah mengalami perubahan pada pasal 4 yang
didokumentasikan dalam akta No. 14 notaris Dr. Irawan Soerodjo, S.H., MSI. tanggal 2
Maret 2016 mengenai peningkatan modal dasar
dari 100.000
lembar atau
Rp100.000.000.000 menjadi 250.000 lembar atau
Rp250.000.000.000 dan
modal ditempatkan dan disetor dari 25.000 lembar
atau Rp25.000.000.000 menjadi 180.000 lembar atau Rp180.000.000.000. Perubahan
ini telah disetujui oleh Menteri Hukum dan Hak Asasi Manusia dengan Surat Keputusan No.
AHU-0004810.AH.01.02.TAHUN 2016 tanggal 11 Maret 2016 dan telah dicatat di dalam pusat
data Sisminbakum-Departemen Hukum dan Hak Asasi Manusia Republik Indonesia No.
AHU-AH.01.03-0030739 tanggal 11 Maret 2016. Pada tahun 2016, tambahan penyetoran
modal ke SPN sebesar Rp45.582.250.000. Subsequently, SPNs articles of association
have been amended in relation to the changes of article 4 of which were
documented in the notarial deed No. 14 dated March 2, 2016 of Dr. Irawan Soerodjo, S.H.,
MSI. regarding to increase of authorized capital

to SPN

Sampai dengan 31 Desember 2016, total penyetoran modal SPN yang telah dibayarkan
Perusahaan sebesar Rp88.200.000.000 yang merupakan jumlah investasi Perusahaan di
SPN sebesar 49 dari kepemilikan. Until December 31, 2016, total capital
contribution that has been paid by the Company amounting to Rp88,200,000,000
that represent the Company’s investment in SPN of 49 of ownership.
Sampai dengan
31 Desember
2016, Perusahaan
telah menyetorkan
Rp34.300.000.000 kepada SPN sehubungan dengan
rencana Perusahaan
untuk memperoleh lebih lanjut 49 kepemilikan atas
tambahan modal saham yang akan diterbitkan oleh SPN. Jumlah tersebut telah dicatat oleh
Perusahaan sebagai uang muka investasi. Penambahan investasi tersebut tergantung
pada penerbitan tambahan saham oleh SPN. Until December 31, 2016, the Company has
paid an amount of Rp34,300,000,000 to SPN in connection with the Companys plan to
acquire a further 49 ownership interest in additional share capital to be issued by SPN.
Such amount has been recorded by the Company as an advance payment for
investment. The addition of such investment depends on the issuance of additional shares
by SPN.

sebagai “Keuntungan yang belum direalisasi atas aset keuangan yang tersedia untuk dijual, neto”
dalam komponen ekuitas. The club membership in the form of shares is
available for sale and its cost amounts to Rp594,000,000. The fair value of the club
membership in form of shares is based on the market price established among the club members.
As of December 31, 2016, the net cumulative differences between the cost and the fair value
amounting to Rp8,104,500,000, net of deferred tax amounting to Rp2,701,500,000, were recorded as
“Unrealized gain on available-for-sale financial assets, net”, which is a component of equity.

Pinjaman sebesar Rp95.000.000.000 merupakan fasilitas pinjaman dengan tingkat bunga sebesar
Cost of Loanable Funds CoLF ditambah 0,75 per tahun. Rata-rata tingkat suku bunga efektif
selama tahun 2016 sebesar 8,16 per tahun 2015: 9,51 per tahun. Pinjaman ini akan jatuh
tempo pada tanggal 31 Desember 2017 dan dapat diperpanjang.
Borrowing of Rp95,000,000,000 represents a borrowing facility which bears interest at the rate of
Cost of Loanable Fund CoLF plus 0.75 per annum, average effective interest rate during 2016
is 8.16 per annum 2015: 9.51 per annum and its maturity date is on December 31, 2017 which
can be extended.
Pinjaman sebesar AS3.000.000 atau setara dengan Rp40.308.000.000 merupakan fasilitas
pinjaman dengan tingkat bunga sebesar Cost of Loanable Funds CoLF ditambah 0,75 per
tahun. Rata-rata tingkat suku bunga efektif selama tahun 2016 sebesar 1,41 per tahun. Pinjaman ini
mempunyai fasilitas nilai pinjaman maksimal sebesar AS17.000.000 dan akan jatuh tempo
pada 31 Desember 2017 dan dapat diperpanjang. Borrowing of US3,000,000 or equivalent to
Rp40,308,000,000 represents a borrowing facility which bears interest at the rate of Cost of Loanable
Fund CoLF plus 0.75 per annum. Average effective interest rate during 2016 is 1.41 per
annum. This borrowing has a maximum facility in the amount of US17,000,000 and its maturity date
is on December 31, 2017 which can be extended.
