didirikan di Republik Indonesia pada tanggal 14 Agustus 1990 dengan nama PT Panganjaya Intikusuma, berdasarkan Akta Notaris Benny Kristianto, S.H., No. 228. Akta pendirian ini disahkan oleh Menteri Kehakiman Republik Indonesia dalam Surat Keputusan No. C2 2915.HT.01.01.Th’91 tanggal 12 Juli 1991, dan diumumkan dalam Berita Negara Republik Indonesia No. 12 Tambahan No. 611 tanggal 11 Februari 1992. Anggaran Dasar Perusahaan telah mengalami beberapa kali perubahan.

M.H. Mkn No. 22 dibuat di hadapan notaris, tanggal 8 Mei 2015 dan telah disetujui oleh Menteri Hukum dan Hak Asasi Manusia Republik Indonesia berdasarkan Surat Keputusan No. AHU - 0936677.AH.01.02. Tahun 2015 tanggal 5 Juni 2015 serta telah diumumkan dalam Berita Negara Republik Indonesia No. 89/44146 tanggal 6 November 2015.

PT Indofood Sukses Makmur Tbk (the Company) was established in the Republic of Indonesia on August 14, 1990 under its original name PT Panganjaya Intikusuma, based on Notarial Deed No. 228 of Benny Kristianto, S.H. The deed of establishment was approved by the Ministry of Justice of the Republic of Indonesia in its Decision Letter No. C2 2915.HT.01.01.Th’91 dated July 12, 1991, and was published in the Supplement No. 611 of State Gazette No. 12 dated February 11, 1992. The Company’s Articles of Association has been amended several times. The latest amendment of the Company’s Articles of Association were in connection with the shareholders’ approval for the amendments of the Company’s Articles of Association to comply with the Regulation of Financial Services Authority (“Otoritas Jasa Keuangan” or “OJK”) as stipulated in the Notarial Deed No. 22 of Kumala Tjahjani Widodo, S.H. M.H. Mkn,dated May 8, 2015, which was approved by the Minister of Laws and Human Rights of the Republic of Indonesia in Decision Letter No. AHU - 0936677.AH.01.02. Year 2015 dated June 5, 2015. and was published in BNRI No. 89/44146 dated November 6, 2015.

Seperti yang tercantum pada Pasal 3 Anggaran Dasar Perusahaan, ruang lingkup kegiatan Perusahaan terdiri dari, antara lain mendirikan dan menjalankan industri makanan olahan, bumbu penyedap, minuman ringan, kemasan, minyak goreng, penggilingan biji gandum, pembuatan tekstil karung terigu, perdagangan, pengangkutan, agrobisnis dan jasa.

As stated in Article 3 of the Company’s Articles of Association, the scope of its activities comprises, among others, establishing and operating processed food, seasoning, beverages, packaging, cooking oil, wheat grain mills, flour sacks textile manufacturing, trading, transportation, agribusiness, and services. 40. STANDAR AKUNTANSI YANG TELAH DITERBITKAN NAMUN BELUM BERLAKU EFEKTIF

Standar dan interprestasi akuntansi yang relah diterbitkan namun belum berlaku efektif sampai tanggal penerbitan laporan keuangan konsolidasian Kelompok Usaha dan diperkirakan akan relevan terhadap pelaporan keuangan Kelompok Usaha adalah sebagai berikut:

The accounting standards and interpretations that are issued, but not yet effective, up to the date of issuance of the Group’s consolidated financial statements are disclosed below. The Group intends to adopt these standards that are considered relevant to the Group when they become effective. • Amandemen PSAK No. 1: Penyajian Laporan

Keuangan tentang Prakarsa Pengungkapan, berlaku efektif 1 Januari 2017.

Amandemen ini mengklarifikasi, bukan mengubah secara signifikan, persyaratan PSAK No. 1, antara lain, mengklarifikasi mengenai materialitas, fleksibilitas urutan sistematis penyajian catatan atas laporan keuangan dan pengidentifikasian kebijakan akuntansi signifikan.

• Amendments to PSAK No. 1: Presentation of Financial Statements on Disclosures Initiative, effective January 1, 2017.

This amendment clarify, rather than significantly change, existing PSAK No. 1 requirements, among others, to clarify the materiality, flexibility as to the order in which they present the notes to financial statements and identification of significant accounting policies.

• Amandemen PSAK No. 69: Agrikultur dan PSAK No. 16: Aset Tetap - Amandemen atas Tanaman Produktif (Bearer Plants), berlaku efektif 1 Januari 2018.

Amandemen ini memperkenalkan akuntansi atas aset biologis, termasuk yang memenuhi kriteria sebagai tanaman produktif. Dalam amandemen tersebut, aset biologis yang memenuhi definisi sebagai tanaman produktif tidak diatur oleh PSAK No. 69, namun oleh PSAK No. 16.

Setelah pengakuan awal, tanaman produktif diukur sesuai PSAK No. 16 pada akumulasi biaya sebelum menghasilkan, dan menggunakan antara model biaya atau model revaluasi setelah menghasilkan. Amandemen tersebut juga mensyaratkan produk agrikultur yang tumbuh pada tanaman produktif tetap diatur oleh PSAK No. 69 dan diukur pada nilai wajar dikurangi biaya untuk menjual pada titik panen.

Amandemen tersebut diperkirakan akan mempengaruhi pengukuran Kelompok Usaha atas produk agrikultur, HTI dan benih, yang tetap memenuhi syarat sebagai aset biologis dan karenanya harus diukur pada nilai wajar dikurangi biaya untuk menjual pada titik panen.

• Amendments to PSAK No. 69: Agriculture and PSAK No. 16: Fixed Assets - Bearer Plants, effective January 1, 2018.

The amendments introduce the accounting requirements for biological assets, including those that meet the definition of bearer plants. Under the amendments, biological assets that meet the definition of bearer plants are not within the scope of PSAK No. 69, but instead within the scope of PSAK No. 16.

After initial recognition, bearer plants will be measured under PSAK No. 16 at accumulated cost before maturity, and using either the cost model or revaluation model after maturity. The amendments also require that produce that grows on bearer plants will remain in the scope of PSAK No. 69 measured at fair value less costs to sell at the point of harvest.

These amendments are expected to have impact to the Group’s measurement on its agriculture produce, HTI and seeds, as they are still considered as biological assets and therefore shall be measured at fair value less costs to sell at the point of harvest.

Interpretasi ini membahas definisi yang digunakan untuk Bangunan dalam properti investasi.

• ISAK No. 31 (2015): Interpretation on scope of PSAK No. 13 Investment Property, effective January 1, 2017.

This Interpretation addresses the definition used for Building under the investment property.

41. PERISTIWA PENTING SETELAH PERIODE PELAPORAN

41. SIGNIFICANT EVENTS AFTER REPORTING PERIOD

Dalam Rapat Umum Pemegang Saham Luar Biasa yang diselenggarakan pada tanggal 21 Oktober 2016, Perusahaan memperoleh persetujuan dari pemegang saham independen terkait rencana divestasi saham Perusahaan di CMFC.

Dengan diperolehnya persetujuan ini dan persetujuan dari pemegang saham independen First Pacific Company Limited, entitas induk Perusahaan pada tanggal 19 Oktober 2016, maka seluruh pra-syarat transaksi sebagaimana dijelaskan pada Catatan 14 telah dipenuhi.

At the extraordinary General Meeting of shareholders held on October 21, 2016, the Company obtained approval from independent shareholders on the propose divestment oh the Company’s share in CMFC.

Having obtained this approval and the approval of independent shareholders of First Pacific Company Limited, the parent entity of the company on October 19, 2016, the entire pre-condition for the transaction as discussed in Note 14 have been fulfield.
