- 99 - 4. Pada tanggal 8 April 2014, Perusahaan
dan AKG, entitas anak, menandatangani Perjanjian Kerja Sama Jual Beli Tebu
dengan PT Perkebunan Nusantara VII Persero
“PTPN”. Berdasarkan
perjanjian tersebut, Perusahaan dan AKG menyetujui untuk menjual tebu
dengan syarat
dan kondisi
yang ditetapkan kepada PTPN untuk musim
giling tahun 2015 dengan jumlah masing- masing sebanyak 14.500 ton dan
125.100 ton. 4. On April 8, 2014, the Company and
AKG, a subsidiary signed Sale and Purchase Agreement of sugar cane
with PT Perkebunan Nusantara VII Persero “PTPN”. Based on those
agreements. The Company and AKG agree to sell the sugar cane with the
agreed terms and conditions to PTPN for milling season in 2014 with a total of
14,500 tons and 125,100 tons.

dan produk turunannya dari Perusahaan dengan rincian sebagai berikut:
The Company and the Buyer has entered into a Purchase Contract wherein the Buyer
agreed to purchase the Company‟s CPO with details as follows:
1. Kontrak No. 1 tanggal 10 Juli 2013 untuk penjualan stearine, fatty acid
distillate dan PKO maksimum 3.500 –
5.000 metrik ton setiap bulanpengiriman yang mencakup periode 2 tahun sejak
tanggal kontrak. 1. Contract No. 1 dated July 10, 2013 for
sale of stearine, fatty acid distillate and PKOfor maximum 3,500 -5,000 metric
tons for
each shipment
month, covering the period of 2 years from the

- 100 - Sehubungan dengan transaksi tersebut,
Mandiri dan BRI telah menyetujui untuk memberikan
fasilitas SBLC
kepada Perusahaan sebagai jaminan pembayaran
dimuka dari Pembeli Catatan 39d dan 39e.
In relation
to the
aforementioned transactions, Mandiri and BRI have agreed
to grant SBLC facility to the Company to secure advance payment from the Buyer
Notes 39d and 39e.

Perusahaan memperoleh fasilitas kredit non- tunai dari Mandiri sebagai berikut:
The Company obtained non-cash loan facilities from Mandiri as follows:
1. Fasilitas SBLC
dengan jumlah
maksimum sebesar US 54.000 ribu sehubungandengan Kontrak Pembelian
dengan Pembeli dari Luar Negeri Pembeli
Catatan 39c.SBLC
ini digunakan sebagai jaminanpembayaran
dimuka dari Pembeli. 1. SBLC Facility in amount not exceeding
US 54,000 thousand In relation to the Purchase Contract with Overseas
Buyer the Buyer Note 39c. In March 2014 this facility has been increased to
US 54,000 thousand. The SBLC is used to secure the advance payment
received from buyer.
Pemberian fasilitas SBLC tersebut dijamin dengan piutang usaha kepada
Pembeli, persediaan minyak sawit, dan aset tetap Perusahaan, serta jaminan
pribadi
personal guarantee
dari Widarto dan Santoso Winata Catatan
6, 7, 13 dan 38. Sehubungan dengan penerbitan SBLC tersebut, Perusahaan
diwajibkan untuk menempatkan setoran jaminan pada Mandiri sebesar 5 dari
plafon SBLC. Fasilitas SBLC ini telah diperpanjang beberapa kali dan akan
jatuh
tempo pada
tanggal 31 Maret 2017.
The SBLC facility is secured with trade accounts receivable from the Buyer,
CPO inventories, fixed assets, and personal guarantee from Widarto and
Santoso Winata Notes 6, 7, 13 and 38. In relation to the SBLC facility,
the Company is required to place a 5
guarantee deposits of SBLC‟s amount. The SBLC facility has been extended
several times and will mature on March 31, 2017.
2. Fasilitas Non Cash Loan NCL dalam bentuk LC impor dan SKBDN serta
Supply Chain Financing SCF sebesar US 15.000 ribu. Fasilitas ini telah
diperpanjang beberapa kali dan akan jatuh
tempo pada
tanggal 31 Maret 2017. Fasilitas ini digunakan
dalam rangka pembelian pupuk dan batubara.
2. Non Cash Loan Facility in form of import LC and SKBDN Local LC
amounting to US 15,000 thousand. This facility has been extended several
times and
will mature
on March 31, 2017. This facility is used to
finance the purchases of fertilizer and coal.
