Pada bulan Agustus 2011, Perusahaan melalui entitas anak memperoleh 100 kepemilikan saham di PT
Mitrayasa Sarana Informasi. Goodwill yang timbul dari transaksi ini adalah sebesar Rp 229.130.
Pada bulan April 2010, PT Metric Solusi Integrasi
memperoleh 70 kepemilikan saham di PT Solu Sindo Kreasi Pratama. Goodwill yang timbul atas transaksi ini
adalah sebesar Rp 133.840. Pada tahun 2010, goodwill tersebut telah diamortisasi sebesar Rp 5.019, dan nilai
tercatat goodwill pada 30 September 2011 adalah sebesar Rp 128.821.
In August 2011, the Company through its subsidiaries acquired 100 share ownership of PT Mitrayasa
Sarana Informasi. The goodwill arising from this transaction was amounted to Rp 229,130.
In April 2010, PT Metric Solusi Integrasi acquired 70 share ownership in PT Solu Sindo Kreasi Pratama,
creating Rp 133,840 in goodwill. In 2010, the goodwill had been amortized of Rp 5,019, and the carrying value
of goodwill as of 30 September 2011 is Rp 128,821.
Pada bulan Juni 2008, PT Prima Media Selaras PMS menerbitkan hak memesan efek terlebih dahulu
subscription rights SR kepada pemegang saham pendiri. SR tersebut memberikan hak kepada pemiliknya
untuk dapat memesan terlebih dahulu saham-saham baru yang akan diterbitkan PMS sebanyak 60.000
saham. Jika SR tersebut dilaksanakan, maka kepemilikan PT Tower Bersama TB pada PMS akan
terdilusi hingga hanya menjadi sebesar 20. Untuk mempertahankan kepemilikannya tersebut pada bulan
Agustus 2009, TB telah membeli SR tersebut dari HKDN Investment Ltd. sebagai pemilik akhir, sebesar
US.25,900,000 dalam nilai penuh. Nilai akuisisi dari pembelian SR tersebut serta biaya transaksi lainnya
adalah sebesar Rp 255.391 dicatat sebagai goodwill. Amortisasi goodwill tersebut pada periode 9 sembilan
bulan yang berakhir pada 30 September 2010 adalah sebesar Rp 7.463. Nilai tercatat goodwill pada 30
September 2011 adalah sebesar Rp 238.409.
Pada bulan Nopember 2008, PT Tower One TO, entitas anak, memperoleh 99,99 kepemilikan saham
di PT Bali Telekom Balikom. Goodwill yang timbul atas transaksi ini adalah sebesar Rp 103.318.
Amortisasi goodwill tersebut pada periode 9 sembilan bulan yang berakhir pada 30 September 2010 adalah
sebesar Rp 2.561. Nilai tercatat goodwill pada 30 September 2011 adalah Rp 91.323.
Pada bulan Mei 2008, Perusahaan memperoleh tambahan kepemilikan saham di PT Telenet Internusa
TI, entitas anak, sebesar 19,5. Setelah transaksi tersebut, seluruh kepemilikan Perusahaan di TI menjadi
sebesar 99,5. Goodwill yang muncul dari transaksi tersebut adalah sebesar Rp 10.018. Amortisasi goodwill
untuk periode 9 sembilan bulan yang berakhir pada 30 September 2010 adalah sebesar Rp 250. Nilai tercatat
goodwill pada 30 September 2011 adalah sebesar Rp 8.683.
In June 2008, PT Prima Media Selaras PMS issued subscription rights SR to its former shareholders,
providing rights to subscribe 60,000 new PMS shares. Had the SR been fully executed, the ownership of
PT Tower Bersama TB, a subsidiary of the Company, in PMS would be diluted accordingly to be 20. To
avoid dilution, TB acquired the SR from HKDN Investment Ltd., the ultimate owner, for US
25,900,000 full amount including transaction cost, equivalent to Rp 255,391, in August 2009. The
transaction formed part of the acquisition cost of PMS and was therefore recorded as goodwill. Amortization
of goodwill for the period of 9 nine months ended 30 September 2010 was amounted to Rp 7,463. The
carrying amount of goodwill as of 30 September 2011 is amounting to Rp 238,409.
In November 2008, PT Tower One TO, a subsidiary, acquired 99,99 share ownership of PT Bali Telekom
Balikom. The goodwill arising from this transaction amounted to Rp 103,318. Amortization of goodwill for
the period of 9 nine months ended 30 September 2010 was amounted to Rp 2,561. The carrying amount
of goodwill as of 30 September 2011 is amounting to Rp 91,323.
In May 2008, the Company acquired an additional 19,5 share ownership in PT Telenet Internusa TI, a
subsidiary of the Company. Following this transaction, the total ownership of the Company increased to
99,5. Goodwill arising from this transaction amounted to Rp 10,018. Amortization of goodwill for the period of
9 nine months ended 30 September 2010 was amounted to Rp 250. The carrying amount of goodwill
as of 30 September 2011 is amounting to Rp 8,683.
