Persyaratan dan kondisi yang terkait dengan Perjanjian Penerbitan Waran adalah sebagai
berikut: The relevant terms and conditions of this
Warrant Issuance Agreement are as follows:
Waran tersebut akan di konversi pada saat
dan atas kondisi penawaran umum perdana
saham Perusahaan
atau persetujuan
atas status
Perusahaan sebagai perusahaan Penanaman Modal
Asing.
Each warrant may be exercised on, and is conditional upon, an initial public offering
of the shares of the Company or approval of the Company’s status as Foreign
Investment Company.
Atas konversi dari setiap waran, harga
pemesanan harus dibayar penuh oleh Pemegang Waran melalui permohonan
pinjaman sejumlah Rp1.311.078.188 oleh Perusahaan kepada Pemegang Waran.
Upon exercise of each warrant, the
subscription price must be fully settled by the
Warrantholders through
the application of the Rp1,311,078,188 loans
payable by
the Company
to the
Warrantholders.
Pada
saat pengumuman
pembagian dividen oleh Perusahaan setiap tahun buku
sebelum perjanjian berakhir atau waran dibatalkan, Perusahaan harus membayar
kompensasi atas setiap waran setara dengan nilai dividen per saham yang
diumumkan oleh Perusahaan pada saat yang sama di mana dividen dibayarkan.
When a dividend is declared by the
Company in any financial year prior to the termination
of the
agreement or
cancellation of
the Warrants,
the Company shall pay compensation on
each Warrant equal to an amount of the dividend per share declared by the
Company at the same time as any dividend is paid.
Pada
saat Perusahaan
melakukan pelunasan
atas pinjaman
kepada Pemegang Waran, waran tersebut akan
dibatalkan dan perjanjian akan dihentikan.
In the event the Company makes full payment
on the
loan to
the Warrantholders, the Warrants shall be
cancelled and the agreement terminated. Pada tanggal 4 April 2008, AEEP telah
menyerahkan hak, kepemilikan dan kewajiban terkait dengan partisipasi atas pinjaman
masing-masing sebesar Rp59.311.199 dan 13.628.882 waran pada saham Perusahaan
kepada ARF sebesar Rp53.580.000 dan 12.311.933 waran dan kepada GSSF2 masing-
masing sebesar Rp5.731.199 dan 1.316.949 waran.
