PERJANJIAN SIGNIFIKAN 26. SIGNIFICANT AGREEMENTS Perusahaan Company a. Pada tanggal 6 Januari 1997, Perusahaan mengadakan Perjanjian Pemrosesan dengan Interpacific Oil Pipes Limited IOPL, Oil Metals Pacific Limited OMPL, Pacific Tubulars Limited PTL, Laurison Limited LL dan Edge Trend Limited ETL untuk jangka waktu sepuluh 10 tahun sampai dengan tanggal 6 Januari 2007. a. On January 6, 1997, the Company entered into Processing Agreements with Interpacific Oil Pipes Limited IOPL, Oil Metals Pacific Limited OMPL, Pacific Tubulars Limited PTL, Laurison Limited LL and Edge Trend Limited ETL for a period of ten 10 years up to January 6, 2007. Pada tanggal 16 Oktober 2000, Perusahaan menandatangani perjanjian dengan Tuboscope UK Ltd Tuboscope, dimana Perusahaan setuju untuk menyewakan kepada Tuboscope, pabrik plastik pelapis pipa yang dibangun oleh Perusahaan dengan biaya sendiri untuk keperluan Tuboscope atau perusahaan asosiasinya, PT Imeco, untuk jangka waktu dua puluh 20 tahun, dimulai pada tanggal 1 April 2001. b. On October 16, 2000, the Company signed an agreement with Tuboscope UK Ltd Tuboscope, whereby the Company agreed to lease to Tuboscope, pipe plastic coat factory building which was constructed by the Company at its own cost for the use of Tuboscope or its associated company, PT Imeco, for a term of twenty 20 years, commencing on April 1, 2001. Berdasarkan perjanjian tersebut, PGN setuju untuk memasok gas ke Perusahaan untuk jangka waktu lima belas 15 tahun mulai tanggal 28 Februari 2005 dan dapat diperpanjang sampai dengan jangka waktu tertentu atas kesepakatan kedua pihak. Berlaku efektif tanggal 1 April 2010, Perusahaan akan membayar tarif gas sebagai imbalan sebesar AS4,22MMBTU + Rp700m 3 , yang dihitung berdasarkan pemakaian gas dengan pemakaian minimum bulanan sebesar 300.000m 3 . c. On August 27, 2004, the Company entered into a sale and purchase agreement for gas supply with PT Perusahaan Gas Negara Persero Tbk PGN. Under this agreement, PGN agreed to supply gas to the Company for a term of fifteen 15 years commencing from February 28, 2005 and may be thereafter extended by such further term as may be agreed upon by both parties. Effective on April 1, 2010, the Company is paying gas tariff fee as compensation amounting to US4.22MMBTU + Rp700m 3 , which shall be computed based on actual gas consumed with monthly minimum gas consumption of 300,000m 3 .
