Pada tanggal
22 November
1996, Perusahaan
mengadakan Cooperation
Agreement dengan Mitsui, Co. Ltd., Mitsui dan Tomen Corporation Tomen untuk
pelaksanaan dan
penyelesaian proyek
Kaltim Pasifik Amoniak KPA yang terdiri dari pekerjaan konstruksi, pembangunan
dan pengoperasian proyek KPA. Dalam perjanjian tersebut disepakati bahwa untuk
tujuan
pelaksanaan proyek
KPA dan
pemilikan pabrik KPA, Tomen dan Mitsui wajib
mendirikan suatu
Perusahaan Penanaman Modal Asing yang selanjutnya
disebut PT Kaltim Pasifik Amoniak dengan komposisi pemilikan saham 30 dimiliki
Tomen dan
70 dimiliki
oleh Mitsui.
Disepakati juga bahwa Tomen dan Mitsui sebagai
pemegang saham
KPA bertanggung
jawab untuk
mengatur masalah pembiayaan bagi konstruksi pabrik
KPA. Perusahaan berkewajiban antara lain untuk
memberikan dukungan bagi KPA dalam rangka
mengimplementasikan konstruksi
pabrik KPA termasuk tanah untuk lahan pabrik dan menyediakan jasa operasi dan
pemeliharaan, memberikan bantuan dalam proses penandatanganan kontrak dengan
Pertamina untuk memperoleh pengadaan gas alam yang berjangka waktu 20 tahun,
dan menyediakan utilitas yang diperlukan KPA.
KPA berkewajiban
untuk mengalihkan
pabrik dan aset lainnya kepada Perusahaan setelah 18 tahun beroperasi penuh dari
Tanggal Dimulainya
Operasi Komersial
TDOK. Jangka waktu perjanjian ini adalah berlaku sejak tanggal 22 Nopember 1996
selama 25 tahun sampai dengan setelah TDOK, dengan ketentuan bahwa dengan
dilakukannya pengalihan aset pabrik KPA kepada Perusahaan, maka perjanjian ini
dianggap berakhir terhitung sejak tanggal pengalihan aset dimaksud.
Pada tanggal 31 Maret 2014, KPA setuju untuk menyerahkan pabrik ammonia ke
Perusahaan lebih awal Catatan 5. On November 22, 1996, the Company
entered into a Cooperation Agreement with Mitsui,
Co. Ltd.,
Mitsui and
Tomen Corporation Tomen for the construction
and completion
of the
Kaltim Pasifik
Amoniak KPA project which includes the construction works, building and operation
of the KPA project. Under the agreement, for the construction of the KPA project and
the ownership of the KPA plant, Tomen and Mitsui are required to establish a foreign
capital investment company to be named PT Kaltim Pasifik Amoniak with ownership
interest of 30 by Tomen and 70 by Mitsui. The agreement stated that Tomen
and
Mitsui as
the stockholders
are responsible to arrange the financing for the
construction of the KPA plant.
The Company has the obligation, among others, to support the implementation of the
KPA plant construction including land for location of plant and to provide operational
and maintenance services, to assist in the contract signing process with Pertamina for
the purchase of natural gas for a period of 20 years and to provide utilities required by
KPA.
KPA has the obligation to transfer the ownership of its plant and other assets to
the Company
after 18
years of
its operations from the Starting Date of
Commercial Operation
TDOK. The
agreement is valid from 22 November 1996 within 25 years after the TDOK, with the
condition that upon the transfer of the KPA plant to the Company, the agreement shall
be terminated at the time of the transfer of such asset.
As at 31 March 2014, KPA agreed to transfer
early ammonia
plant to
the Company Note 5.

Pada tanggal 20 Juni 2011, Perusahaan mengadakan perjanjian dengan PT Inti
Karya Persada
Tehnik dan
Toyo Engineering
Corporation untuk
jasa rekayasa,
pengadaan, konstruksi,
dan pembangunan
Pabrik KaItim-5
yang berlokasi di Bontang, Kalimantan Timur.
Perusahaan bertindak
sebagai pemilik
sedangkan PT Inti Karya Persada Tehnik dan Toyo Engineering Corporation bertindak
sebagai kontraktor dan pemasok peralatan, material yang dibutuhkan, dan jasa-jasa
yang
berhubungan dengan
proyek pembangunan pabrik ini. Dalam Perjanjian
disepakati besarnya
nilai kontrak
Engineering, Procurement, and Construction sebesar Rp1.505.868 dan USD82.469.300
tidak termasuk
PPN, sedangkan
nilai Supply Contract sebesar USD326.995.000.
Perjanjian Proyek ini berlaku efektif pada tanggal 14 September 2011 dengan jangka
waktu pelaksanaan proyek selama 33 bulan. On 20 June 2011, the Company entered into
an agreement with PT Inti Karya Persada Tehnik and Toyo Engineering Corporation
for engineering
services, procurement,
construction, and
development Kaltim-5
Plant located in Bontang, East Kalimantan, The Company acts as the owner and PT Inti
Karya Persada
Technics and
Toyo Engineering
Corporation to
act as
contractors and suppliers of equipment, materials
needed, and
the services
associated with the construction project of the plant. In the agreement the value of the
contract is
agreed upon
Engineering, Procurement,
and Construction
contract were
Rp1,505,868 and
USD82,469,300 excluding VAT, while the value of Supply
Contract was USD326,995,000, The Project Agreement
has been
effective on
14 September
2011 with
the project
implementation period for 33 months.

Pada 29 November 2012, BTMU cabang Jakarta setuju untuk memberikan pinjaman
jangka pendek kepada PT Pupuk Indonesia Persero dan entitas anak dalam bentuk
Fasilitas Kredit Tanpa Komitmen untuk mendukung kebutuhan modal kerja jangka
pendek,
termasuk untuk
kebutuhan transaksi Impor Letter of Credit Sight,
Usance, Acceptance, dan SKBDN, SBLC, jaminan pengapalan, dan bank garansi.
Fasilitas ini telah diperpanjang, dengan perpanjangan
terakhir sampai
dengan tanggal 29 November 2015 dengan rincian
sebagai berikut: On November 29, 2012, BTMU Jakarta
branch agreed to provide short-term loans to PT Pupuk Indonesia Persero and
Subsidiaries in the form of Uncommitted Credit Facilities to finance working capital
requirements, including the transaction of import Letter of Credit Sight, Usance,
Acceptance, and SKBDN, SBLC, shipping guarantee,
and bank
guarantee. The
