determined at a later date and at least two 2 implementation periods for each year and the
execution price will be determined by reference to the provisions contained in Article V.2.2 Regulation I-A
Attachment I Decision of the Directors of PT Bursa Efek Jakarta No. Kep 305BJ07-2004 dated July 19,
2004, which is at least 90.0 of the average closing price of the Listed Company’s shares for the period
of 25 Exchange Days in Regular Market before the start of the Option Period. The MESOP program will
be carried out according to the terms and conditions applied by the Company’s Directors according to the
prevailing laws.

824SK- APLX2010 tanggal 26 Oktober 2010 periode
pelaksanaan MESOP ditetapkan satu kali dalam setahun setelah masa tunggu pelaksanaan opsi
vested period. Based on Directors’ decree No. 824SK-APLX2010
dated October 26, 2010 MESOP implementation period was specified once in a year after the vesting
period.

027EXT- APLIV.2011 tanggal 27 April 2011 kepada PT Bursa
Efek Indonesia, Perusahaan menyampaikan rencana pelaksanaan MESOP PT Agung Podomoro Land Tbk
untuk Opsi Tahap I dan II masing-masing sejumlah 205.000 ribu saham opsi untuk membeli saham
dengan umur 5 tahun sejak tanggal penerbitan dan terkena vesting period 1 tahun sejak tanggal
pendistribusian. Harga pelaksanaan untuk Tahap I dan II yaitu sebesar Rp 330,- per saham mengacu
pada harga rata-rata perdagangan saham APLN di BEI pada penutupan perdagangan tanggal 22 Maret
2011 sampai dengan tanggal 26 April 2011. Based on the Company’s letter No. 027EXT-

plan for
PT Agung
Podomoro Land Tbk for Option phases I and II, respectively 205.000 thousand stock options to
purchase shares the age of 5 years from the date of issuance and vesting period is affected by a year
from the date of distribution. The exercise price for the Phases I and II in the amount of Rp 330,- per
share refers to the average trading price of shares on the Stock Exchange APLN at the close of trading on
March 22 2011 until April 26, 2011
Pada tahun 2011, jumlah hak opsi Tahap I telah didistribusikan kepada para peserta MESOP. Sampai
dengan tanggal pelaporan, jumlah hak opsi Tahap II belum didistribusikan kepada para peserta MESOP.
In 2011, the number of option rights for Phase I has been distributed to the participants of the MESOP
program. As of reporting date number of option rights for Phase II has not been distributed to the MESOP
program participants.
Opsi yang beredar pada tahun 2011 205.000.000 lembar saham, dimana selama tahun 2011 opsi ini
belum ada yang dilaksanakan. Oustanding options issued in 2011 are 205,000,000
shares, while in 2011, there are no options exercised.
Beban kompensasi program pemberian opsi pada tahun 2011 adalah sebesar Rp 12.821.100 ribu
Catatan 32 dan pada tanggal 31 Desember 2011 modal lain-lain sehubungan dengan pelaksanaan
opsi sebesar Rp 12.821.100 ribu. Compensation expense for options granted in 2011
amounted to Rp 12,821,100 thousand Note 32 and as of December 31, 2011, other capital in connection
with the
exercise of
options amounted
to Rp 12,821,100 thousand.
Nilai wajar dari hak opsi MESOP tahap pertama diestimasi pada tanggal pemberian hak opsi dengan
menggunakan model Black-Scholes. The fair value of the MESOP first phase was
estimated at grant date of option rights using the Black Scholes model.
