11. Dividend Policy
Based on Limited Liability Companies Act 40 of 2007, the company is required to set aside a certain amount of
the net profit of each fiscal year to spare if the balance of positive earnings until the spare reaches at least 20 of
the issued and paid-up.
Based on the initial budget of PT PELNI Persero, the amount of the dividend is derived from net income as
determined in the decision of the Annual General Meeting in accordance with the provisions and the applicable
legislation. Until 2015, PT PELNI Persero has not yet pay any dividends, as they have accumulated losses the
previous year.
12. Management andor Employee Share
Ownership Program
Until 2015, the company’s shares are only owned by the Government through the Minister of State-Owned
Enterprises. There is no share ownership of employee and management of PT PELNI Persero, so there is no
information related to ESOP Employee Stock Option Program and MSOP Management Stock Option
Program, either the number of shares and realization, period, terms of employees andor management is
entitled and the exercise price.
13. Realization of Use of Public Offering Funds
In 2015, PT PELNI Persero has not performed any activities related to the public offering on the Stock
Exchange Indonesia so no information related to the acquisition of funds, the planned use of funds, fund
balance and the date of approval of the AGM on the use of funds from the IPO.
14. Information Related Material Transactions with PartiesAffiliation
PT PELNI Persero conducted transactions with affiliated parties between the banks together with the parties that
have ownership relations, organizationmanagement and the government in their business activities.
11. Kebijakan Deviden
Berdasarkan Undang-undang Perseroan Terbatas No.40 Tahun 2007, Perusahaan wajib menyisihkan
jumlah tertentu dari laba bersih setiap tahun buku untuk cadangan apabila saldo laba positif sampai
cadangan tersebut mencapai paling sedikit 20 dari jumlah modal yang ditempatkan dan disetor.
Berdasarkan Anggaran Dasar PT PELNI Persero, jumlah dividen yang dibagikan berasal dari laba bersih
yang besarnya ditetapkan dalam keputusan RUPS Tahunan menurut ketentuan dan perundang-undangan
yang berlaku. Hingga Tahun 2015 PT PELNI Persero belum membagi dividen karena masih memiliki
akumulasi rugi tahun sebelumnya.
