PT PELNI Persero
8. Telah mendapat persetujuan oleh Menteri Keuangan sesuai Nomor : S-608MK.052015 tanggal 7
Agustus 2015 perihal persetujuan penyelesaian piutang Negara pada PT PELNI Persero.
9. Telah dibuat studi kelayakan terkait rencana pengadaan kapal dan telah dibuat SOP pengadaan
kapal bekerjasama dengan BPKP. 10. Pelaksanaan dock perawatan pada saat low session.
11. Realisasi investasi masih dibawah anggaran sebesar 56 karena keterbatasan cash flow perusahaan.
12. Dilaksanakan sesuai arahan RUPS terkait Direksi diminta untuk memperhatikan saran dan pendapat
Dewan Komisaris, sebagaimana yang telah disampaikan dalam suratnya Nomor : 76DK
XII-2014 tanggal 17 Desember 2014. Tanggapan Dewan Komisaris tersebut merupakan bagian yang
tidak terpisahkan dari Keputusan RUPS ini.
13. Dilaksanakan sesuai arahan RUPS terkait Buku
RKAP tahun 2015 yang disampaikan oleh Direksi kepada Pemegang Saham dengan memperhatikan
pembahasan-pembahasan dalam RUPS ini merupakan bagian yang tidak terpisahkan dari
keputusan RUPS ini.
Dewan Komisaris
Dewan Komisaris merupakan Organ Perusahaan yang bertanggung jawab secara kolektif untuk
melakukan pengawasan dan memberikan nasihat kepada Direksi serta memastikan bahwa PT PELNI
Persero melaksanakan GCG pada seluruh tingkatan atau jenjang organisasi. Dalam rangka mendukung
pelaksanaan tugasnya, Dewan Komisaris dibantu oleh Komite Audit dan Komite Kebijakan Risiko.
Pengangkatan dan Pemberhentian Dewan Komisaris
Dewan Komisaris PT PELNI Persero diangkat dan diberhentikan oleh RUPS sesuai dengan peraturan
perundang-undangan. Pengangkatan Dewan Komisaris harus memenuhi persyaratan umum dan khusus yang
ditetapkan dalam Board Manual Dewan Komisaris PT PELNI Persero.
Komposisi Dewan Komisaris
Sepanjang tahun 2015 terdapat perubahan komposisi Dewan Komisaris. Adapun susunan Dewan Komisaris
PT Pelayaran Nasional Indonesia sesuai dengan Keputusan Menteri Badan Usaha Milik Negara Nomor
SK–218MBU102014 tanggal 17 Oktober 2014, sehingga Susunan Dewan Komisaris menjadi sebagai
berikut:
• Komisaris Utama: Sugihardjo • Komisaris: Omo Dahlan
• Komisaris: Siswanto Rosjidi
Seluruh anggota Dewan Komisaris PT PELNI Persero memiliki integritas, kompetensi, reputasi dan
pengalaman serta keahlian yang dibutuhkan dalam menjalankan fungsi dan tugasnya masing-masing.
Hubungan Afiliasi antara Dewan Komisaris dengan Direksi dan Pemegang Saham
Seluruh anggota Dewan Komisaris PT PELNI Persero bertindak independen dan bebas intervensi dari
pihak manapun. Seluruh anggota Dewan Komisaris tidak memiliki hubungan keuangan, kepengurusan,
kepemilikan saham, danatau hubungan keluarga sampai dengan derajat kedua dengan anggota Dewan
Komisaris lainnya, Direksi danatau pemegang saham pengendali atau hubungan dengan perusahaan yang
dapat mempengaruhi kemampuannya untuk bertindak independen. Hal ini ditunjukkan dalam tabel berikut:

• Komisaris: Raldi Hendro T. Koestoer
Sampai dengan 31 Desember 2015, Dewan Komisaris PT PELNI Persero terdiri dari 6 enam orang, dengan
komposisi sebagai berikut: 8. Has been approved by the Minister of Finance in

due to the limited cash flow of the company. 12. Implemented according to directives of GMS related to
the Board of Directors are asked to notice the advice and opinion of the Board of Commissioners, as has
been presented in the letter No. 76 DK XII- 2014 dated December 17, 2014. The response of the BOC
is an integral part of this GMS’s decision.
13. Implemented according to the direction of GMS related to Buku CBP 2015 that was presented by the Board of
Directors to the Shareholders focusing on discussions at the GMS and it is an integral part of the decision of
this GMS.
Board of Commissioners
Board of Commissioners is the organ of the Company which is collectively responsible for overseeing and advising the
Board of Directors and ensures that PT PELNI Persero implementing GCG at all levels of the organization. In
order to support the implementation, the BoC is assisted by the Audit Committee and Risk Policy Committee.
Appointment and Dismissal of the Board of Commissioners
The Board of Commissioners of PT PELNI Persero is appointed and dismissed by the GMS in accordance with
the legislation. Appointment of the Board of Commissioners must meet the general and specific requirements set in
the Board Manual of Board of Commissioners of PT PELNI Persero.
Composition of the Board of Commissioners
Throughout year 2015 there were changes compositions of BOC. The Board of Commissioners of the PT PELNI in
accordance with the Decree of the Minister of State Owned Enterprises No. SK-218 MBU 102014 dated October
17, 2014, so that the Board of Commissioners to be as follows:
• Chief Commissioner: Sugiharto • Commissioner: Omo Dahlan
• Commissioner: Siswanto Rosjidi All members of the Board of Commissioners of PT PELNI
Persero have the integrity, competency, reputation and the experience and expertise required to do the functions
and each duty.
Affiliate Relations between Commissioners, Directors and Shareholders
All members of the Board of Commissioners of PT PELNI Persero act independently and free from intervention from
any party. All members of the Board of Commissioners has no financial, management, share ownership, andor family
relationship up to the second degree with other members of the Board of Commissioners, Board of Directors and
or the controlling shareholders or relationship with the company that could affect its ability to act independently.
