l. Pada tanggal 20 April 2010, BNR
menandatangani perjanjian jasa manajemen dengan Pan Pacific untuk mengelola dan
mengoperasikan Kawasan Residential Nirwana Bali Resort yang terdiri dari unit-unit
timeshare, executive housing, vila dan unit- unit resort homes Residential Management
Agreement. Jangka waktu perjanjian mengikuti Hotel Management Agreement
dan setiap saat dapat dihentikan dengan pemberitahuan secara tertulis 6 bulan
sebelumnya. Atas penandatangan perjanjian ini, BNR diwajibkan membayar jasa
manajemen sebesar 2 dari Gross Revenue atau 12 dari
Gross Operating Profit “GOP”, mana yang lebih besar.
l. On April 20, 2010, BNR entered into
management services agreement with Pan Pacific to manage and operate Residential
Area of Nirwana Bali Resort which consist of timeshare units, executive housing, villas and
resort homes units Residential Management Agreement. The term of agreement is in
accordance with the Hotel Management Agreement and can be terminated at any time
with a 6 months prior notice. For this agreements, BNR is required to pay
management fee in the amount of 2 of Gross Revenue or 12 of Gross Operating
Profit “GOP”, whichever is higher.
m. Pada tanggal 14 Agustus 2015, PT Bali Nirwana Resort “BNR”, entitas anak,
menandatangani perjanjian-perjanjian sebagai berikut:
m. On August 14, 2015, PT Bali Nirwana Resort “BNR”, a subsidiary, entered into
agreements with details follow:
i. BNR mengadakan Perjanjian Jasa
Teknis dengan DT Bali Technical Services Manager LLC DTBT, dimana
DTBT akan menyediakan bantuan teknis dan konsultasi atas konstruksi,
teknik, perencanaan,
melakukan program
sehubungan dengan pembangunan proyek kawasan hiburan
terintegrasi dan komponen pengembangan resor yang berlokasi di
Raya Tanah Lot, Tabanan, Bali. BNR setuju untuk membayar imbalan
sebesar USD11.904,76 tiap bulannya selama 42 bulan. Imbalan atas jasa
konsultan sebesar USD166.666,64 disajikan sebagai bagian dari “Aset
Tetap - Aset Dalam Penyelesaian” pada laporan posisi keuangan konsolidasian
pada tanggal 31 Desember 2016. Tidak ada pembayaran terkait dengan
perjanjian ini di tahun 2015. i.
BNR entered into Technical Services Agreement with DT Bali Technical
Services Manager LLC DTBT, whereby DTBT will provide technical assistance
and consultation for the construction, engineering, planning and programming
for the construction of integrated entertainment and resort development
components located in Raya Tanah Lot, Tabanan, Bali. BNR agreed to pay a
technical fee payable in 42
equal monthly installments of USD11,904.76
commencing from the date of the agreement. Compensation of consultant
fee amounted to USD166,666.64 was presented as part of “Fixed Assets -
Construction in Progress” in the consolidated statements of financial
position as of December 31, 2016. No payment related to this agreement in
2015.
Perjanjian ini berlaku sejak tanggal perjanjian sampai dengan a tanggal
pembukaan b tanggal difinalisasi “Deficiency List” yang disetujui DTBT,
kecuali jika diakhiri lebih cepat sesuai dengan ketentuan dalam perjanjian ini.
