Perjanjian ini berlaku terhitung 20 tahun sejak tanggal operasional, atau diakhiri
lebih cepat oleh kedua pihak. This agreement is valid for 20 years
starting from the opening date of the hotel, unless terminated earlier by both
parties.
iii. LNP mengadakan Perjanjian Lisensi
dengan DT Marks Lido LLC DTML, dimana LNP memiliki hak untuk
menggunakan nama “Trump” pada proyek residensialnya. Selain itu, LNP
harus membayar royalti sesuai ketentuan pada perjanjian dengan nilai
seperti yang diatur dalam perjanjian. Up- front fee yang telah dibayarkan tidak
dapat dikembalikan, tetapi dapat diperhitungkan dengan kewajiban
pembayaran fee atas penjualan unit residensial di masa mendatang dari LNP
ke DTML. LNP telah membayar up-front fee
sebesar USD1.500.000 yang
disajikan sebagai bagian dari “Uang Muka Proyek dan Pembelian Tanah”
pada laporan posisi keuangan konsolidasian pada tanggal
31 Desember 2016 dan 2015. iii.
LNP entered into License Agreement with DT Marks Lido LLC DTML,
whereby LNP is authorized to use the name “Trump” on its residential projects.
Also, LNP agreed to pay royalty as compensation in accordance with the
terms of the agreements. The up-front fee is non-refundable but shall be
applied against future license fee due from LNP to DTML. LNP has paid the up-
front fee amounting to USD1,500,000 which is presented as part of “Advance
for Project and Purchase of Land” in the consolidated statements of financial
position as of December 31, 2016 and 2015.
Perjanjian ini berlaku sejak tanggal perjanjian dan berakhir pada kondisi
yang mana lebih dahulu sebagai berikut: i
tanggal terjadinya “closing” menutup penjualan untuk 100
unit; ii DTML telah berhenti secara aktif
dalam memasarkan dan mempromosikan penjualan;
iii tanggal perjanjian dapat berakhir atas kondisi atau konsekuensi dari
penerapan hukum. This agreement is valid on the date of
this agreement and shall end on the earlier of as follows:
i the date upon which closings
making a sale for 100 of the units shall have occurred;
ii DTML has ceased to actively market and promote the sale of the
foregoing; iii the date this agreement shall
terminate pursuant to any of its terms of provisions or as a
consequence of the operation of law.
iv. LNP mengadakan Perjanjian Jasa
Manajemen Golf dan Klub dengan DT Lido Golf Manager LLC DTLGM,
dimana DTLGM akan melakukan pengawasan, mengarahkan dan
mengatur manajemen dan operasional serta berlaku sebagai operator eksklusif
selama jangka waktu tertentu. Sebagai kompensasinya, DTLGM akan menerima
jasa manajemen berdasarkan perhitungan yang ditentukan dalam
perjanjian ini. Selama 2016 dan 2015, tidak ada kompensasi yang dibayarkan
terkait perjanjian ini. iv.
LNP entered into Golf and Club Management Agreement with DT Lido
Golf Manager LLC DTLGM, whereby DTLGM will supervise, direct and control
the management and operation of all aspects of the hotel and as the exclusive
operator during the term. As compensation, DTLGM is entitled to
receive management fee which is based on certain computation that determined
on this agreement. In 2016 and 2015, no compensation have been paid to
DTLGM.
